Mike R. Shumsky, CEO, CiCi Enterprises, LP

Michael R. Shumsky is CEO, CiCi’s Pizza, a family-oriented restaurant serving guests
fresh pizza, pasta, salad and dessert, all you want for about five bucks and change.
Founded in 1985, CiCi’s Pizza has over 650 restaurants in 33 states. Mr. Shumsky was
previously at La Madeleine Restaurant, Inc., a Dallas-based 62-unit country French Café
restaurant chain operating in six states. Prior to La Madeleine Mr. Shumsky was
Chairman and Chief Executive Officer of the California based Johnny Rockets Group,
Inc. which operated in 28 states and 8 countries where he grew the franchise system and
improved operations which led the company to be awarded Nations Restaurant News
“Hot Again” award.

Mr. Shumsky was President of Sonic Restaurants before joining Johnny Rockets and
was charged with the management of over 1800 restaurants and had the responsibility
for franchise and company operations, training, franchise development, human
resources as well as restaurant construction and design. Mr. Shumsky also spent 15
years of his restaurant career with Yum Brands at Taco Bell where he held a number of
senior financial and operations positions. He lives in Allen, Texas with his wife Cindy and
earned an MBA from Pepperdine University.

Robert A. Kulick, President, JMC Distribution, LP
Robert Kulick, joined JMC Restaurant Distribution, LP in 1992 as director of purchasing
and distribution. In 1994 he was promoted to vice president and has served as the
company's president for the past seven years. He is responsible for overseeing
purchasing, research and development and product distribution for JMC, the captive
distributor for CiCi's Pizza restaurants. In his role, Kulick works closely with suppliers to
research new products and control product costs.

During his tenure at JMC, he managed the transition and growth of the company from
one truck serving 22 CiCi's Pizza locations in the Dallas-Fort Worth area to today's
service-focused, $100 million purchasing and distribution company. Currently, JMC
serves nearly 650 CiCi's restaurants located throughout 33 states from three strategically
located distribution centers with a fleet of nearly 70 tractor-trailers and over 100

Before joining JMC, Kulick served as director of purchasing and wholesale sales for
Warburtons Bakery Café Inc., a 22-unit, Chicago-based company and USDA production
facility. In this position, he was part of the team responsible for attaining a positive cash
flow position for the company prior to being sold to Au Bon Pain.

In addition, Kulick previously held the position of director of purchasing for Unigate, the
parent company for Black-Eyed Pea, Casa Bonita, Taco Bueno, Crystal's and Dixie
House restaurants.

Kulick holds a BA in social science from Colorado State University in Ft. Collins,
Colorado. Along with his wife and two daughters, he currently resides in Coppell, Texas.

J. Forbes Anderson, Chief Strategic Officer, CiCi Enterprises, LP
J. Forbes Anderson, joined CiCi Enterprises, LP in 1996 and serves as Chief Strategic
Officer for the pizza chain and JMC Distribution, CiCi's purchasing and distribution
services company. He is responsible for all aspects of the finance, accounting,
technology and administrative functions. In 2003, Anderson orchestrated the
management buyout of CiCi's Pizza from founder Joe Croce.

Prior to joining the CiCi's team, Anderson spent eight years with EMCARE Holdings, Inc.,
a $200 million emergency physician services management company. He served as the
company's Chief Financial Officer and Chief Information Officer. Anderson oversaw the
financial, accounting, technological and administrative functions. He spearheaded a
multi-million dollar redesign of the company's technology systems. He also raised both
debt and private equity and was a member of the team that took EMCARE public. After
going public, Anderson was responsible for the acquisition of other physician
management groups.

His resume also includes working as the Director of Financial Operations for US
Cosmetics, Inc. during its turnaround from bankruptcy. Anderson was responsible for
working with banks, reestablishing credit with vendors and cutting costs in order to lead
the company back into profitability. He also served as a management consultant where
he helped high-growth companies, as well as companies reorganizing after filing for

Anderson earned his Bachelor of Business Management and Masters of Business
Administration degrees from Southern Methodist University in Dallas, Texas. He currently
resides in Dallas, Texas with his wife and two daughters.

Thomas Koenigsberg, Brand Value Officer, CiCi Enterprises, LP
Thomas Koenigsberg, joined CiCi Enterprises, LP in December 2003 and serves as
Brand Value Officer for the pizza chain's 650 restaurants in 33 states. In this role, he is
responsible for all aspects of CiCi's marketing efforts including strategic planning,
advertising, website and online initiatives, promotions, local restaurant marketing, public
relations and market research. His distinguished career in marketing restaurant concepts
spans over 27 years.

Prior to joining CiCi's, Koenigsberg spent seven years serving as Vice President of
Marketing for T.G.I. Friday's Domestic Brands, a Carlson Restaurants Worldwide
company. He managed all functions of marketing including research and development,
advertising, promotional planning, pricing, menu development, local restaurant
marketing, public relations, market research, brand licensing and field communications
for all T.G.I. Friday's locations in the United States.

Koenigsberg has also held the position of Vice President of Marketing for Ruby
Tuesday's (RTI). In this position, he was responsible for all consumer marketing activities
for the Tia's Tex-Mex and American Cafe Brands. Prior to joining RTI, Koenigsberg was
partner, publisher and marketing chief for Priority Publishing, an entrepreneurial start-up

Koenigsberg's extensive background also includes nine years with the Pillsbury
Company. He held a variety of positions contributing to new business development and
strategic brand consulting for the company's packaged goods businesses. During his
tenure, Koenigsberg was also responsible for overseeing the baked goods foodservice
business and provided marketing management and strategic planning to various brands
in the Pillsbury Restaurant group.

Tim Alba, Chief Financial Officer, CiCi Enterprises, LP
Tim Alba, joined CiCi Enterprises, LP in January 1998 and serves as Chief Financial
Officer for the accounting, financial and administrative aspects of the pizza chain and
JMC Distribution, CiCi's purchasing and distribution services company. Prior to joining
the CiCi's team, Alba served as Corporate Controller for Philips Consumer
Communications, a $100 million start-up joint venture in North American by Philips and
Lucent Technologies. Before then, he served as Division Controller for Clarke American,
in which he expanded and applied the financial function from the corporate office out to
the operational division and plant locations.

His resume also includes working in various financial, accounting and audit roles at the
nation's largest aircraft subcontractor. His efforts to identify and quantify previously
undisclosed significant cost and schedule concerns on major defense contracts led to
various promotions and cross-functional roles and responsibilities. He started his career
as an auditor at one of the Big 4 international accounting firms and a Fortune 50 firm.
Alba earned his Masters of Business Administration degrees from University of Texas at
Arlington in 1995. He earned his undergraduate degree in Business Management and
Accounting from John Brown University, along with his CPA, in 1984. He currently
resides in Grapevine, Texas with his wife and three children.

Jim Sheahan, Vice President of Franchise Sales, CiCi Enterprises, LP
Jim Sheahan has been with CiCi Enterprises, LP for the past 8 ! years and currently
serves as the Vice President of Franchise Sales. In Mr. Sheahan's tenure CiCi's has built
over 300 stores and signed over 700 development agreements. Currently, CiCi's Pizza
has around 650 stores in 33 states and one of the fastest growing restaurant concepts in
the country. CiCi's goal is to double in size over the next 5 years.

Prior to CiCi's, Mr. Sheahan held the position of National Account Manager with the
Coca-Cola Company for 7 years. He actually called on CiCi's for 4 ! years while at

Mr. Sheahan started his career with the Procter and Gamble Company after obtaining a
Communications Degree from the University of Texas at Austin. He currently resides with
his family in Frisco, Texas.

John Baldwin, Vice President of Real Estate, CiCi Enterprises, LP
John Baldwin has over 15 years of both franchise and corporate retail real estate
experience throughout continental USA, including the national roll-out and development
of several national retail brands. Baldwin also has several years of Brownfield
remediation real estate development.

Baldwin has already begun the restructuring of CiCi's Real Estate Team and is rebuilding
this Team from the ground up with internal and external professionals. The goal of CiCi's
Real Estate Team is to be the best in practice real estate department in the franchise
retail restaurant industry. To accomplish this goal Baldwin, along with Brooke Schroder -
Director of Real Estate, will utilize many different strategies, but will focus on being
transparent with all pertinent information to all CiCi's franchisees and vendors.

Baldwin earned his Master of Urban Planning from Texas A&M University. He currently
resides in Coppell, Texas with his wife and children.
Kyle Smith, Vice President of Brand Excellence, CiCi Enterprises, LP
Kyle Smith, joined CiCi Enterprises, LP in September 1999 and serves as Vice President
of Brand Excellence. In that role, Smith oversees all corporate and franchise restaurant
operations along with the development of CiCi's new To-Go concept. Smith has also
served the company as Director of Operations, Franchise Regional Operations Manager
and Manager during his tenure. Since joining CiCi's, Smith has seen CiCi's more than
double in unit size to its current 650 locations.

Before joining CiCi's Pizza, Smith was employed for 10 Years with Restaurant
Enterprises Group, Inc., in Irvine, California as a District and Regional Manager.
As Vice President of Operations, Smith will continue to focus on building operational
initiatives that drive CiCi's reputation for extraordinary customer service and value.

Smith attended Broome Community College and Binghamton State University where he
majored in Business Administration. He and his family currently reside in Plano, Texas.

Mark Kiefer, Vice President of Construction, CiCi Enterprises, LP
Mark Kiefer, joined CiCi Enterprises, LP in January 2001 and serves as the Company's
Vice President of Construction. In this role, he is responsible for all aspects of CiCi's
store design and construction. This includes developing and maintaining a network of
qualified architects, contractors, and product manufacturers, to help execute the
departmental goals of expanding the chain and reimaging existing stores for the lowest
possible cost in the shortest possible timeframes.

Kiefer's construction management team establishes national account pricing agreements
with vendors to help capitalize on bulk purchasing opportunities. They also provide on-
going support and advice to the Franchise community on issues of renovation,
relocation, preventative maintenance, and repairs. Kiefer's primary focus is overseeing
the entire construction management process on all stores. This starts with a detailed
lease review, store design, competitive bidding, and construction administration,
including on-site construction inspections.

Prior to joining CiCi's, Kiefer was Vice President of Construction at DF&R Restaurants
(Don Pablo's Mexican Kitchen and Harrigan's) for five years. Kiefer was hired shortly
after the company went public to help aggressively expand the brand. Kiefer also has
held senior construction management positions as Director of Construction for
CompUSA, Regional Construction Manager for Chief Auto Parts, and as Asst. Director of
Construction for Southmark Commercial Management.

Kiefer received his B.S. Architecture degree from The University of Texas – Arlington. He
currently resides in Arlington, Texas with his wife and two daughters.
Steve Hawter, Vice President of Franchise Services, CiCi Enterprises, LP
Steve Hawter, joined CiCi Enterprises, LP in 2000 and serves as Vice President of
Franchise Services for the pizza chains 650 restaurants in 33 states. He is responsible
for all aspects of training, people development, managing CiCi's guest loyalty program
and providing operational support tools. His success in restaurant leadership and people
development spans over 22 years.

Prior to leading CiCi's University, Hawter spent 3 years as a District Manager for CiCi's.
Hawter was responsible for the development of the CiCi's brand and the growth of over
35 restaurants and franchisees in the Gulf South market.

Prior to joining the CiCi's team, Hawter spent 3 years with RTM Restaurant group. He
served as an Area Supervisor responsible for the operational performance of nine Arby's
restaurants in the Atlanta market. At RTM, Hawter managed every aspect of developing
people, growing guest loyalty, developing strong operations and growing sales and

Hawter's restaurant leadership background also includes 10 years as an Owner/Operator
of Chick-fil-A. He operated restaurants in Pompano Beach, Florida and Carrollton, Texas
and served as a brand consultant to a licensed location at the University of West
Georgia. He also was responsible for working with new operators and helped to develop
a team member leadership development program. He served as part of Chick-fil-A's
marketing board. Hawter earned his Bachelor of Science in Business Administration from
Berry College in Rome, Georgia. He currently resides in Frisco, Texas with his wife and
four children.
