GEORGETOWN INTERNATIONAL ACADEMY PARENT TEACHERS
ARTICLE I – NAME, DESCRIPTION & PURPOSE
Section 1: NAME – The name of the organization shall be Georgetown International Academy Parent
Teachers Association (“GIA-PTA”), whose offices are located at 9 Delhi Street, Prashad Nagar,
Section 2: DESCRIPTION – The GIA-PTA is an unincorporated, not for profit organization that exists for
charitable, educational, scientific and recreational purposes related to the activities and the mission of the
Section 3: PURPOSE – The purpose of the GIA-PTA is to enhance and support the educational
experience at Georgetown International Academy (“GIA”) to develop a closer connection between school
and home by encouraging parental involvement, and to improve the environment at GIA through volunteer
ARTICLE II – MEMBERSHIP
Section 1: Membership shall be automatically granted to all parents and guardians of GIA students, plus
all staff at GIA. Membership dues shall be set at $1,000. GYD (one thousand Guyana Dollars) per year.
Members shall have voting privileges, one vote per household.
ARTICLE III – OFFICERS
Section 1: EXECUTIVE BOARD– The Executive Board shall consist of the following officers: President,
Vice President, Secretary, Treasurer and one other member along with The School Director, or his/her
designee as an ex-officio member. All members of the board are full voting members except the School
Director or designee.
Section 2: TERM OF OFFICE – The term of office for all officers is one year, beginning immediately upon
election, and ending upon the election of new officers at the annual general meeting held in accordance
with these bylaws.
Section 3: QUALIFICTIONS – Any GIA-PTA member in good standing may become an officer, save and
except members of the GIA school board.
Section 4: DUTIES –
Executive Board – Develop the annual budget, establish and oversee committees to conduct approved
projects and work, establish fundraising programs, approve by majority vote of the Board unbudgeted
expenditures of no more than $20,000.00 Guyana dollars.
President – Preside at general meetings and Executive Board meetings, serve as the official representative
and retain copies of all official records.
Vice President – Oversee the committee system of the GIA-PTA, assist the President and chair meetings in
the absence of the President.
Secretary – Record minutes, manage communications and marketing including, but not limited to
newsletters, email broadcasts, website, bulletin boards, etc. as well as distribute minutes of all Executive
Board meetings and all general meetings, prepare agendas for official meetings and hold historical records
for the GIA-PTA.
Treasurer – Serve as custodian of the GIA-PTA’s finances, collect revenue, pay authorized expenses,
report financial activity every month, prepare year-end financial report, facilitate an annual audit, and hold
all financial records.
Section 5: BOARD MEETINGS – The Executive Board shall meet monthly during the school year at the
GIA or whenever required. Notices of such meetings must be sent at least seven (7) days before. The
failure to give notice does not invalidate the proceedings at any meeting. A quorum of four (4) members is
required for all board meetings.
Section 6: REMOVAL – An officer can be removed from office for failure to fulfill his/her duties, after
reasonable notice, by a majority vote of the Executive Board.
Section 7: VACANCY – If a vacancy occurs on the Executive Board, the board itself shall appoint a
member to fill the vacancy for the remainder of the officer’s term.
ARTICLE IV – GENERAL MEETINGS
Section 1: ANNUAL GENERAL MEETINGS – Annual General meetings shall be held in September of
each year and no later than the end of October.
Section 2: GENERAL MEETINGS – General meetings may be held to discuss urgent business and to
update the membership on the activities of the Executive Board.
Section 3: VOTING – Each member or officer as the case may be, in attendance at a meeting is eligible to
vote, one vote per household. Absentee or proxy votes are not allowed.
Section 4: QUORUM – Fifteen (15) members present and voting constitute quorum for the purpose of
ARTICLE V – FINANCIAL POLICIES
Section 1: FISCAL YEAR - The fiscal year of the GIA-PTA begins September 1st and ends June 30th of the
Section 2: BANKING - All funds shall be kept in a checking account in the name of GIA-PTA, requiring the
signatures of the treasurer and another member of the Executive Board and held at a local financial
Section 3: REPORTING - All financial activity shall be recorded in a manual or computer-based accounting
system. The Treasurer shall reconcile the account(s) monthly and report all financial activity monthly. The
PTA shall arrange an independent review of its financial records each year by external auditors.
Section 4: ENDING BALANCE - The organization shall leave an overall surplus in the treasury at the end
of each fiscal year.
ARTICLE VI – AMENDMENTS
These bylaws may be amended at any Annual General Meeting. Proposed amendments must be submitted
at least twenty eight (28) days before the date of the Annual General Meeting, signed by the proposer and
seconder. A two-thirds (2/3) approval of members present and voting is required to adopt an amendment to
ARTICLE VII - DISSOLUTION
In the event of dissolution of the PTA, any funds remaining shall be donated to GIA.
ARTICLE VIII – RECOURSE
Recourse shall be had to the Companies Act 1991 of Guyana, in the event that these bylaws are silent on
any matter to fill any such omission.
