                   Re: - Sandella’s Basic/Standard Franchisee Storefront SIGNAGE

This Contract made this ( Date ), by IMAGE WORKS, INC., a Virginia Corporation, and (Franchisee
corporation), where by Image Works will function as the sign designer (Seller) and vendor for a Sandella’s storefront
sign, awning, and windows vinyl and Franchisee as Buyer.

General Description: Contract to PROVIDE DUE DILIGENCE, LANDLORD COORDINATION, CREATIVE DESIGN,
IDENITY CONSISTENCY, and SPECIFICATION DRAWINGS FOR Buyer’s signage. In the process, Seller will
develop and maintain sign standards manual.

       Buyer will provide Seller an $850.00 deposit and Buyer’s contact information (Key Contact spreadsheet -
        attached) and site address to initiate the process.

       Seller will provide necessary design concepts for signs, awnings, window and door vinyl, and once a design
        concept is accepted, Seller will provide detailed specification drawings and a proposal to furnish and install the
        signage, vinyl, and awnings. Design and engineering shall follow State, City and Landlord as well as
        Franchisor requirements.

       The standard signage package, channel letters and window and door vinyl are budgeted at $8,500.00.

       Seller’s proposal to furnish and install the sign, vinyl, and awnings will reflect the $850.00 pre-payment or
        deposit. If the proposal is not accepted the $850.00 deposit is forfeited.

    If Buyer elects not to proceed beyond the design phase there will be no additional cost to Buyer.


ACCEPTANCE OF THIS AGREEMENT: This Agreement shall not take effect until signed on behalf of Buyer and by Seller. This
Agreement constitutes the entire understanding between parties. No modification of this Agreement shall be binding on the either
unless approved by an officer of each company. The process is typically about two (2) weeks.
