WHAT YOU MUST DO:

Please arrange for an authorized representative of your company to review, complete and sign the enclosed Electronic
Services Agreement and Web InfoPLU$ Appointment or Removal of System Administrator Form (each of which is
included as a separate enclosure in this mailing),* as well as the enclosed Funds Transfer Agreement and Schedules A
and B to the Transfer Agreement. These documents must be returned to M&T in the enclosed, self-addressed envelope
no later than April 23, 2009 in order to have Web InfoPLU$ wire transfer service from M&T following conversion.

PRODUCT INFORMATION:
Web InfoPLU$ is M&T Bank’s newest Internet information reporting and payment initiation service. This robust treasury
management service can help you manage your organization’s cash flow more efficiently. In addition to wire transfer
service, after conversion your company may sign up for a wide range of other Web InfoPLU$ services, including ACH
origination, viewing previous and intraday account information, placing stop payments, performing book transfers,
viewing bank reports and viewing images of checks paid.

Changes to Existing Service: Token Security Devices: For additional security, Web InfoPLU$ users will be prompted
to enter their token response numbers at the beginning of each session.

Pricing: If you elect to receive wire transfer service through Web InfoPLU$ after conversion, your pricing for this service
will be as set forth on the fee schedule enclosed in this mailing.

User Access:
     Users, Entitlements, IDs and Passwords: All of your Cash Management Internet Banking users (including
        System Administrators) and their existing system entitlements and authorities will be established in Web
        InfoPLU$. Each user will receive a Web InfoPLU$ ID and password. Web InfoPLU$ user IDs and passwords
        will be sent via email to each user. System Administrators will have the authority to add and delete other users,
        assign user access privileges and reset user passwords, and will also have other administrative capabilities.
     Token Security Devices: Each Web InfoPLU$ user will receive a token security device (token) that must be used
        for a second level of authentication for all activities. Assuming you return the required documentation by April
        23, 2009, in mid-May we will mail token security devices to you for each of your current users. These tokens
        may be used beginning on May 26, 2009.

Available Services:
    Hours of Availability: The Web InfoPLU$ Service is generally available at your convenience 24 hours a day,
       seven days a week, with the exception of routine system maintenance from 12:00 AM to 3:00 AM Eastern Time
       on Sunday mornings.
       o Wire Initiation: Authorized users can initiate domestic wire transfers between 6:00 am and 5:30 pm Eastern
           Time and International USD wire transfers between 6:00 AM and 4:30 PM Eastern Time.

System Security Features:
     Encryption and Secure Browsers: To access Web InfoPLU$, you must use Internet Explorer with a minimum v.
       6.0 with 128-bit SSL encryption to communicate with the bank. Please note: Web InfoPLU$ is not supported
       on any browser except Internet Explorer v. 6.0 and higher.
     User Security: Web InfoPLU$ users must know their unique user IDs and passwords. Web InfoPLU$ users also
       must enter their token response numbers at the beginning of each session. This ensures that only users who have
       been properly authorized by the System Administrator can use the service. The System Administrator also has the
       ability to limit the types of activities each user can perform.
     User Passwords: Web InfoPLU$ user passwords expire every 90 days. Users are automatically prompted to
       create a new password at that time. Users also have the option to change their passwords at any time, as needed.
     Automatic Logoff: Automatic system log-off occurs after 10 minutes of inactivity.

Wire Transfer Features:
    Wire Initiation: Authorized Web InfoPLU$ users can initiate repetitive and non-repetitive wires, domestic and
      international wires in U.S. Dollars. Customers cannot initiate foreign checks through Web InfoPLU$; however, if
      you need a foreign check, please contact an M&T branch or the M&T International Operations Department.
    Wire Templates: After the date of conversion, your authorized users can maintain (create, approve, modify,
      delete) their own wire profiles online.
    Secondary Authorization: Customers can establish multiple levels of approval for wire payments.
    Future Dating: Wire payments can be initiated for processing up to 45 days in the future.
    Limits: Transaction dollar limits can be assigned to Web InfoPLU$ wire templates.
    Wire Reporting: Wire status reporting allows users to monitor the progress of outbound wires.

Important Information about Incoming Wire Transfers:
    Routing/Transit Number (RTN): Please Note: The M&T RTN is 022000046. You will need to notify your
      trading partners to use the M&T RTN, 022000046, along with your M&T account number, when sending a wire
      to your account at M&T Bank as of May 26, 2009.

    Online Help: Web InfoPLU$ provides online messages to help answer your questions and to assist you with
       system navigation.
    Quick Reference Guides: To help familiarize yourself with Web InfoPLU$, M&T offers several Quick Start
       Guides which are located on the “Welcome” page after logging into Web InfoPLU$.
    Wire Reference Materials: The Funds Transfer Operating Procedures included with this letter provide additional
       important information about wire transfers.
