This Bill of Sale is a written acknowledgement of the transfer of property from a seller to a buyer, and includes the terms and conditions of the sale. demands, and charges of every nature and description whatsoever.

Seller further warrants to Buyer, and its successors and assigns, that it will defend, protect the
title to the Property and indemnify and hold harmless the Buyer, its successors and assigns
against every person lawfully claiming the Property or any part of it.

THE ABOVE DESCRIBED PROPERTY IS SOLD “AS-IS” WITHOUT ANY WARRANTIES,
EXPRESS OR IMPLIED, AS TO THE CONDITION OF SUCH PROPERTY. BY
ACCEPTING THIS BILL OF SALE, BUYER AND ITS SUCCESSORS AND ASSIGNS
REPRESENTS THAT BUYER HAS PERSONALLY INSPECTED THE PROPERTY AND
ACCEPTS THE PROPERTY “AS-IS”.

This Bill of Sale shall be effective as to the transfer of all Property listed in it as of
