									This Bill of Sale is a written acknowledgment of the transfer of ownership of property
between two parties, a buyer and a seller. It includes a warranty provision whereby the
seller warrants to have good and marketable title to sell and transfer the property.ÿ The
seller further warrants to defend the buyer against any claims to the property. This
document in its draft form contains numerous of the standard clauses commonly used in
these types of agreements, as well as optional language to allow for customization to
ensure the specific terms of the parties agreement are addressed.ÿ This document
should be used by buyers and sellers of personal property.

demands, and charges of every nature and description whatsoever.

Seller further warrants to Buyer, and its successors and assigns, that it will defend, protect the
title to the Property and indemnify and hold harmless the Buyer, its successors and assigns
against every person lawfully claiming the Property or any part of it.

This Bill of Sale shall be effective as to the transfer of all Property listed in it as of
