Pennsylvania      corporation,     having      its    registered     office     is    located      at
             , has filed a Certificate of Election to Dissolve with the Department of State of the
Commonwealth of Pennsylvania, pursuant to and in accordance with the provisions of the Business
Corporation Law of the Commonwealth of Pennsylvania, approved May 5, 1933, as amended, and
that the said corporation is winding up its affairs in the manner prescribed by said law, so that its
corporate existence shall be ended upon the issuance of a Certificate of Dissolution by the
Department of State of the Commonwealth of Pennsylvania.
