                            Background on the Oregon Law Foundation

The Oregon Law Foundation was organized in 1981 by the Oregon State Bar. Its purpose is "to
generate and use Foundation income for the benefit of the public of Oregon, supporting programs
which advance and promote the rule of law in a just society." The OLF Makes grants to law-related
charitable programs throughout Oregon in Support of three general purposes: (1) To provide legal
services to persons of lesser means, (2) to promote diversity in the legal profession, and (3) To
educate the public about the law.

OLF’s chief source of income for these purposes is the Interest on Lawyers’ Trust Accounts
(IOLTA) program. Under rules adopted by the Oregon Supreme Court in 1989, interest generated
by small or short term deposits of client funds paid to the Oregon lawyers' trust accounts is
forwarded to the Foundation to be used for its public purposes. OLF also receives income from
membership dues and donations to it Endowment Fund, all of which are voluntary contributions
from Oregon Lawyers and others interested in advancing OLF's purposes.

                                          Grant Procedure


The OLF Board of Directors makes grants once each year, in December, for payments to be made
beginning in March. In the absence of special circumstances, the funding period for successful
applicants is one year. Grantees will be asked to provide periodic reports on their progress. At the
end of the grant period, programs receiving funds will be asked to account for their use of the
money submitting audited financial statements or similar reports to the Oregon Law Foundation.

To be considered by the OLF in December, 2006, completed grant application forms should be
received by the Foundation not later than 5:00 p.m., Monday October 2, 2006. All applications
should be addressed to the OLF at P.O. Box 1689, Lake Oswego, Oregon, 97035. Electronic
copies may be emailed to dnelson@osbar.org

Applications will be initially reviewed by the Grants Committee of the board in October and all
applicants will be notified of the full Board's action by mid-December, 2006.

               Grantee Standards, Guidelines and Funding Levels

I.    Standards

A.    The applicant's legal status, operation, and proposed use of Oregon Law Foundation (OLF)
      funds must not jeopardize the OLF's funding or 501 (c) (3) tax-exempt status.
B.    The applicant's proposed use of OLF funds must be consistent with the OLF's mission.
C.    The applicant must identify and quantify the needs to be met by its proposed use of OLF
      funds.
D.    The applicant must keep accurate and reliable records of the services it provides.
E.    The applicant must maintain financial records according to generally accepted accounting
      standards, prepare annual operating budgets and financial statements available for OLF
      review, and otherwise demonstrate fiscal responsibility and integrity.
F.    The applicant must demonstrate a clear ability to deliver quality services.
G.    The applicant must assure the OLF that, to the best of applicant's knowledge and except as
      disclosed on its application, no other grantor will withdraw or reduce funding as a
      consequence of applicant's receipt of OLF funding.
H.    The applicant must not discriminate on the basis of race, color, national origin, religion, sex,
      sexual orientation, age or handicap with regard to employees or applicants for employment.

I.    The applicant must, within 90 days following the OLF funding period, provide to the OLF a
      final written report generally describing how the OLF funds were spent and the results
      achieved.

II.   Guidelines

A.    The OLF may fund an applicant's general operating expenses as well as specific projects or
      programs.
B.    The OLF prefers to fund established applicants with a history of stable operations, but will
      consider funding startup applicants as well as innovative programs.
C.    The OLF prefers to fund applicants having an organizational structure which results in
      effective and efficient management and governance.
D.    The OLF prefers to fund applicants whose costs of administration, as distinguished from
      program delivery, are controlled and minimized.
E.    The OLF prefers to fund applicants which support and promote such diversity as is feasible in
F.    The OLF prefers to fund applicants which offer the opportunity, if appropriate, for volunteer
      assistance.
G.
      The OLF prefers to fund applicants with effective mechanisms for client input and feedback.
H.     The OLF prefers not to fund a new program which duplicates an existing program, but will
       consider funding a new program which demonstrates a likelihood of substantial improvement
       over the existing program.
I.     The OLF prefers to fund programs which have established, or are in the process of
       establishing, practical methods for identifying needs and evaluating results.
J.     The OLF prefers to fund programs which achieve desired and intended results in a cost-
       effective manner.
K.     The OLF prefers to fund applicants which, where practicable, identify and develop additional
       and alternative funding sources in light of OLF's history of substantial income fluctuation.

L.     The OLF prefers to fund applicants which cooperate with other service providers.
M.     The OLF expects to be acknowledged for its funding assistance in public relations activities
       by grantees.


III.   Funding Levels

       Each applicant will be assigned to a specific Funding Level according to the degree to which
       it meets or fails to meet the criteria set forth below. As used in these criteria, the term "critical
       need" means an urgent need for legal advocacy to protect the most basic necessities of
       existence for eligible clients, such as physical safety, health, shelter, subsistence income,
       custodial rights, and civil rights. The percentages set forth below for each Funding Level are
       subject to temporary adjustment in response to an emergency which could not have been
       anticipated. Whenever possible, the OLF will inform each applicant of its tentative Funding
       Level by June 30 preceding the grant year.

       Funding Level A
       Funding Level A is reserved for the Association of Oregon Legal Services Programs as
       funded on January 1, 2000. The OLF ordinarily will award 65% of its grant funds to Level A
       applicants. However, in any given year the OLF may award as little as 55% or as much as
       80% of its grant funds to Level A applicants in recognition of other funding available to
       them, particularly available governmental funding. An applicant will be assigned to Funding
       Level A if the applicant:

           1.     Participated in the Association of Oregon Legal Services Programs on January 1,
                  2000;
           2.     Fulfills a critical need in an area consistent with the OLF's mission;
           3.     Has a demonstrated record of effective and efficient delivery of services;
           4.     Has a record of sufficient accountability regarding the use of OLF funding; and
                  Meets all of the Standards and substantially all of the Guidelines set forth above.
           5.
         Funding Level B
         Funding Level B is reserved for those other applicants which are direct providers of civil
         legal services to their clients. The OLF ordinarily will award 30% of its grant funds to Level
         B applicants. However, in any given year the OLF may award as little as 15% or as much as
         35% of its grants to Level B applicants in recognition of other funding available to them. An
         applicant will be assigned to Funding Level B if the applicant:

            1.     Fulfills or will fulfill a critical need in an area consistent with the OLF's mission;

            2.     Has a demonstrated record of effective and efficient service delivery, or a credible
                   plan for effective and efficient delivery of services;
            3.     Demonstrates to the OLF the capacity for sufficient accountability regarding the
                   use of OLF funds, were they to be granted; and
            4.     Meets all of the Standards and most of the Guidelines set forth above.

         Funding Level C

         Funding Level C is reserved for applicants which educate the public about the law or promote
         diversity in the legal profession in Oregon. The OLF ordinarily will award 5% of its grant
         funds to Level C applicants. However, the funds awarded by the OLF to Level C applicants
         in any given year may vary from 0% to 10% of OLF grant funds in recognition of the
         percentage of its funds which are awarded to applicants in Levels A and B. An applicant will
         be assigned to Funding Level C if the applicant:

            1.     Fulfills or will fulfill a need in an area consistent with the OLF's mission;
            2.     Has a demonstrated record of, or a credible plan for, educating the public about the
                   law or promoting diversity in the legal profession in Oregon;
            3.     Demonstrates to the OLF the capacity for sufficient accountability regarding the
                   use of OLF funds, were they to be granted; and
            4.     Meets all of the Standards and most of the Guidelines set forth above.

         The income available to the OLF for making grants can vary substantially from year to year.
         Generally, the OLF will award grants out of its current income. Also, in order to minimize
         fluctuation in its grant awards, the OLF maintains a general fund reserve.
