					This is an agreement between a contractor and a client for sound and lighting services
provided at a particular event. This agreement states that the contractor will provide all
sound and lighting requirements at the event and shall supply all of the necessary
personnel, materials, and equipment. In addition, this agreement provides for the date
of the event as well as the fee charged. This agreement can be used by individuals or
entities that want to enter into an agreement for sound and lighting services.
        SOUND & LIGHTING CONTRACTING AGREEMENT
       THIS SOUND & LIGHTING CONTRATING AGREEMENT (the “Agreement”), is
made this ____ day of _____________, 201____, by and between __________________ (the
“Contractor”) and __________________ (the “Client”).

      NOW THEREFORE in consideration of the mutual promises and agreement contained in this
Agreement, and other good and valuable consideration, the parties hereto agree as follows:

1.01    The Client hereby retains the services of the Contractor for the sound and lighting
        services required by the Client at _______________________ [DESCRIBE THE
        EVENT WHERE SERVICES WILL BE PERFORMED] (the “Event”).

1.02    The Contractor will attend to all sound and lighting requirements at the Event and shall
        supply all of the necessary personnel, materials and equipment for the sound and lighting
        services to be performed by the Contractor.

1.03    The Event shall be held on the _____ day of _____________, 201_____ and will
        commence at _________ a.m./p.m. [SPECIFY WHICH](the “Event Date”). The
        Contractor agrees that it shall arrive approximately _______ (___) hours prior to the
        commencement of the Event to allow for the proper set up of all of the necessary
        materials and equipment required to perform the sound and lighting services at the Event.

1.04    The Contractor shall provide the specific sound and lighting services at the Event as set
        out on Schedule “A” annexed hereto.

1.05    The Contractor agrees to perform the sound and lighting services to the satisfaction of the
        Client during the term of this Agreement. The Contractor warrants to the Client that all
        materials and equipment furnished under this Agreement will be in good working order
        unless otherwise specified, and that all sound and lighting services will be of good
        quality, free from faults and defects and in conformance with any Agreement exhibits
        attached hereto.

1.06    Any and all sound and lighting services which do not adhere and conform to the
        requirements contained in Section 1.05 hereof, including any substitutions or alterations
        not properly approved and authorized, may be considered unacceptable and the
        Contractor may be considered in breach of this Agreement.

1.07    The Client shall pay to the Contractor a fixed Fee of ________________ ($_______)
        Dollars (the “Fee”) for the Contractor to perform the sound and lighting services at the
        Event. Upon execution of this Agreement, the Client shall pay to the Contract a Deposit
        in the amount of ______________ ($______) Dollars (the “Deposit”) by way of cash,
        check, bank draft or money order. The Deposit received by the Contractor from the
        Client shall be applied to the total Fee due and owing to the Contractor. Upon completion
        of the sound and lighting services and upon receipt of a final invoice from the Contractor,

        the Client shall pay the balance of the Fee due and owing within _______ (___) days of
        receipt of same.

1.08    The Contractor acknowledges that the Client shall not deduct any taxes or statutory
        withholding that may be required under the laws of the governing jurisdiction. The
        Contractor shall be solely responsible for the remittance to the appropriate authority of
        any and all taxes which may become due and payable and the Contractor further
        acknowledges that it shall be solely responsible for the payment of any and all wages to
        any employees of the Contractor for the performance of any of the sound and lighting
        services at the Event.



1.09    The Contractor acknowledges that it is independent of the Client and that, by the
        Contractor performing the sound and lighting services at the Event for the Client, no
        relationship shall be established between the parties except for one of an independent
        contractor. The Contractor acknowledges that it shall have no right or interest in or to
        any employee benefits of the Client or the right to any other fringe benefit of the Client.

1.10    The Contractor agrees to indemnify and hold the Client harmless from and against any
        and all claims, liabilities or any assessments of taxes which may be imposed upon the
        Client by reasons of the Contractor’s failure to pay such taxes. This provision shall
        survive the termination of this Agreement.

1.11    The Contractor shall perform all of the sound and lighting services at the Event in a
        professional and workmanlike manner in accordance with all safety standards that may be
        in effect in the governing jurisdiction.

1.12    The Contractor agrees to indemnify and hold the Client harmless from and against and
        any and all claims, damages or liabilities which may arise out of any personal injury that
        is suffered by the Contractor or any of its employees. The Contractor further agrees to
        indemnify and hold the Client harmless from and against any and all claims for damages
        that may occur to any of the Contractor’s materials or equipment while performing the
        sound and lighting services at the Event, save and except for any loss which is due to any
        negligence or willful misconduct by the Client.        This provision shall survive the
        termination of this Agreement.

1.13    Prior to the Contractor commencing the sound and lighting services at the Event, the
        Contractor shall have in place and in good standing, suitable insurance coverage in
        respect to employers liability, workers compensation and comprehensive general liability
        in an amount not less than ______________ ($________) Dollars. Within ______ (___)
        days prior to the commencement of the Event, the Contractor shall furnish to the Client a
        copy of such insurance policy evidencing same.

1.14    All payments from the Client to the Contractor that are past due shall bear interest at the

        rate of _____ (___%) per month, calculated and payable monthly.

1.15    This Agreement shall enure to the benefit of and be binding upon the parties and their
        respective heirs, executors, administrators, successors and assigns.

1.16    Any notices given under this Agreement shall be in writing and shall be deemed given if
        delivered personally, by courier or by fax;

        A notice referred to above shall be deemed to have been given on the day on which it was
        personally delivered or faxed. Notice sent through the U.S. mail shall be deemed to have
        been received 5 business days following the mailing of such notice.

1.17    This Agreement constitutes the entire agreement between the parties and except as herein
        stated. This Agreement may not be amended or modified in any respect except by
        written instrument signed by both parties.

1.18    This Agreement shall be interpreted in accordance with the laws of the State of
        _______________ applicable therein and as amended from time-to-time.

1.19    This Agreement shall enure to the benefit of and be binding upon the parties hereto and
        their respective successors and assigns.

1.20    This Agreement may be executed in any number of counterparts, each of which shall be
        deemed to be an original and all of which taken together shall be deemed to constitute
        one and the same instrument. Counterparts may be executed either in original or faxed
        form and the parties adopt any signatures received by a receiving fax machine as original
        signatures of the parties; provided, however, that any party providing its signature in such

        manner shall promptly forward to the other parties an original of the signed copy of this
        Agreement which was so faxed.
