Script Nondisclosure Agreement

					This is an agreement entered into between the writer of a script and a producer
protecting the disclosure of confidential information. Under this agreement, the writer
submits a script to the producer for review and consideration and the producer agrees to
keep the content of the script confidential and will not disclose such content to any third
party. This agreement should be used by individuals that have written a script and want
to give it to a producer for consideration in order to prevent the dissemination of the
script’s content.
                  SCRIPT NONDISCLOSURE AGREEMENT

       THIS SCRIPT NONDISCLOSURE AGREEMENT (the “Agreement”), is made this
_____ day of ______________, 201_____, by and between _____________ (hereinafter, the
“Writer”) and ________________ (hereinafter, the “Producer”).

       WHEREAS, the Writer has written a Manuscript (hereinafter, the “Manuscript”) for the
purposes of reproduction of the Manuscript into a musical, motion picture, made for television
movie or television mini-series;

       AND WHEREAS, the Writer desires to submit the Manuscript to the Producer for review
and consideration for any of the purposes as set out above;

         AND WHEREAS, the Writer and the Producer have entered into this Agreement to
provide for the governing of the nondisclosure of the contents of the Manuscript to any third
parties.

        NOW, THEREAFTER, in consideration of the premises and mutual covenants contained
herein, the Writer and the Producer hereby acknowledge and agree as follows:

1.00    The Producer agrees that, upon submission by the Writer to the Producer of the
        Manuscript, the Producer shall not at any time or times, disclose any information or
        content contained in the Manuscript to any third parties without the prior written consent
        of the Writer.

2.00    Any and all information or material contained in the Manuscript shall be deemed to be
        Confidential Information and Material (“Confidential Information and Material”).
        Confidential Information and Material shall mean any and all information, material or
        documentation submitted by the Writer to the Producer whether written or oral.

3.00    The Writer acknowledges that the Confidential Information and Material shall not
        include any information or material that was previously made known to the Producer or
        any information or material that was of the public domain prior to the submission of the
        Manuscript to the Producer.

4.00    The Producer agrees that he/she will at all times use his/her reasonable best efforts to
        keep any and all Confidential Information and Material confidential and will not disclose
        same to any third party without the prior written consent of the Writer.

5.00    The Producer acknowledges that the submission of the Manuscript by the Writer to the
        Producer is solely for the purposes of determining whether the Manuscript can be made
        into a musical, motion picture, made for television movie or television mini-series.

6.00   The Producer acknowledges and agrees that any and all Confidential Information and
       Material shall at all time or times, remain the sole exclusive property of the Writer. The
       Producer further acknowledges that the Writer is sole owner and has copyright rights in
       and to the Manuscript.

7.00   The Writer acknowledges that the Writer may, from time-to-time, disclose some of or all
       of the Confidential Information and Material to parties who are employed by the
       Producer for the sole purposes of determining whether the Manuscript can be made into a
       musical, motion picture, made for television movie or television mini-series. Any
       employee of the Producer who has access to the Confidential Information and Material
       shall be bound to the terms and conditions of this Agreement by signing an Agreement to
       be bound in the form annexed hereto as Schedule “A”.

8.00   The Producer shall have _______ (___) weeks/months [SPECIFY WHICH PERIOD
       OF TIME](hereinafter, the “Reviewing Term”) to review the Manuscript to determine its
       eligibility to be reproduced into a musical, motion picture, made for television movie or
       television mini-series. Upon the expiry of the Reviewing Term, the Producer shall notify
       the Writer within _____ (__) days of the expiry of the Reviewing Term whether or not
       the Producer has determined if the Manuscript can be made into a musical, motion
       picture, made for television movie or television mini-series.

9.00   In the event the Producer desires to produce the Manuscript for the purposes of a musical,
       motion picture, made for television movie or television mini-series, the Producer and the
       Writer shall enter into a separate legal agreement to provide for the terms and conditions
       of same within ______ (____) days/weeks/month [SPECIFY WHICH PERIOD OF
       TIME] of the expiry of the Reviewing Term.

10.00 In the event the Producer determines that the Manuscript is not suitable for the purposes
      of a musical, motion picture, made for television movie or television mini-series, the
      Producer shall, within _____ (___) days of the expiry of the Reviewing Term, deliver to
      the Writer any and all copies of the Manuscript in the Producer’s possession and any and
      all Confidential Information and Material. The Producer agrees that he/she shall at no
      time or times, reproduce or copy the Manuscript without the prior written consent of the
      Writer.

11.00 The Producer agrees that he/she will not, any at time throughout the duration of this
      Agreement, or for a period ______ (___) years after the termination of this Agreement,
      use the any of the Confidential Information and Material or the contents of the
      Manuscript without the prior written consent of the Writer.

12.00 The Producer acknowledges and agrees that his/her obligations contained herein shall
      extend from the date of this Agreement and shall survive the expiration or termination of
      this Agreement.
13.00 The Writer hereby represents and warrants to the Producer that he/she has the full right
      and authority to enter into this Agreement, is the original owner and writer of the
      Manuscript and has the full right and authority to release the Confidential Information
      and Material to the Producer. The Writer further represents and warrants to the Producer
      that he/she has not submitted a copy of the Manuscript or the Confidential Information
      and Material to any other third party for consideration.

14.00 Nothing in this Agreement shall be deemed a sale or offer for sale of the Manuscript, and
      nothing contained herein shall in any way obligate the Writer to grant to the Producer, a
      license or any other rights, directly or by implication, estoppel or otherwise to the
      Confidential Information and Material or the Manuscript.

15.00 Except as otherwise set out herein, the Writer and the Producer shall be responsible for
      their own legal and other expenses incurred in connection with the negotiation,
      preparation, execution, delivery and performance of this Agreement.

16.00

(a)     Any notice, certificate, consent, determination or other communication required or
        permitted to be given or made under this Agreement shall be in writing and shall be
        effectively given and made if (i) delivered personally, (ii) sent by prepaid courier service
        or mail, or (iii) sent prepaid by fax or other similar means of electronic communication,
        in each case to the following addresses:

(b)    Any such communication so given or made shall be deemed to have been given or made
       and to have been received on the day of delivery if personally delivered, or on the day of
       faxing or sending by other means of recorded electronic communication, provided that
       such day in either event is a business day and the communication is so delivered, faxed or
       sent prior to 4:30 p.m. on such day. Otherwise, such communication shall be deemed to
       have been given and made and to have been received on the next following business day.
       Any such communication sent by mail shall be deemed to have been given and made and
       to have been received on the fifth Business Day following the mailing thereof; provided
       however that no such communication shall be mailed during any actual or apprehended
       disruption of postal services. Any such communication given or made in any other
       manner shall be deemed to have been given or made and to have been received only upon
       actual receipt.

(c)    Any Party may, from time-to-time, change its address under this Section 16.00 by notice
       to the other party given in the manner provided by this Section.


17.00 Time shall be of the essence of this Agreement in all respects.

18.00 This Agreement shall enure to the benefit of, and be binding on, the Writer and the
      Producer and their respective successors and permitted assigns. No party may assign or
      transfer, whether absolutely, by way of security or otherwise, all or any part of its
      respective rights or obligations under this Agreement without the prior written consent of
      all of the other party.

19.00 This Agreement (together with all other agreements or documents executed by the Writer
      and the Producer contemplated by this Agreement) constitutes the entire agreement
      between the Writer and the Producer pertaining to the subject matter of this Agreement
      and such other agreements and documents and supersedes all prior agreements,
      understandings, negotiations and discussions, whether oral or written including, without
      limitation, any confidentiality agreements which may have been entered into between the
      Writer and the Producer prior to the date hereof. There are no conditions, warranties,
      representations or other agreements between the Writer and the Producer in connection
      with the subject matter of this Agreement (whether oral or written, express or implied,
      statutory or otherwise) except as specifically set out in this Agreement or in such other
      agreements and documents.
20.00 Any provision of this Agreement which, as it may relate to a party, is prohibited or
      unenforceable in any jurisdiction shall, as to that jurisdiction, be ineffective to the extent
      of such prohibition or unenforceability and shall be severed from the balance of this
       Agreement, all without affecting the remaining provisions of this Agreement or affecting
       the validity or enforceability of such provision in any other jurisdiction.

21.00 This Agreement may be executed in any number of counterparts, each of which shall be
      deemed to be an original and all of which taken together shall be deemed to constitute
      one and the same instrument. Counterparts may be executed either in original or faxed
      form and the parties adopt any signatures received by a receiving fax machine as original
      signatures of the parties; provided, however, that any party providing its signature in such
      manner shall promptly forward to the other party an original of the signed copy of this
      Agreement which was so faxed.

22.00 This Agreement shall be governed by and construed in accordance with the laws of the
      State of ________________ applicable therein. Parties agree to submit to the jurisdiction
      of the courts of the county of ______________________. {Instruction: Provide an area

        THE UNDERSIGNED HEREBY AGREES to be bound to the terms and conditions of

_______________, 201_____ [PROVIDE DATE OF THE NONDISCLOSURE
