ALBERS SCHOOL OF BUSINESS AND ECONOMICS
NVC PARTICIPATION AGREEMENT
____________________________________(“Company”) is interested in participating in the New Ventures
Consulting (NVC) activity offered by the Entrepreneurship Center Program at Seattle University’s Albers School of
Business and Economics (“ASBE”). This NVC activity involves ASBE faculty and students in analyzing current
business problems and opportunities for local area companies. The exclusive purpose of the Entrepreneurship
Center Program is to provide ASBE students with educational experiences in a real-time business context dealing
with real-world business issues.
The Company is submitting a project herewith for consideration. A description of the nature, scope and timeline of
the project is attached as Exhibit A and incorporated by this reference (the “Project”). If this Project is approved and
selected for inclusion in the NVC activity, the Company agrees to the following terms and conditions:
1. To make a one-time minimum contribution of $____________ to the Entrepreneurship Center Program
upon notification that the Project has been accepted and upon receipt of an invoice for this amount.
2. To schedule a briefing with the student team involved in the Project promptly upon initiation of the Project
and to meet with the student team as frequently as may be required during the course of the Project to
discuss and address in a free and open manner any questions/issues that may arise.
3. To provide and make freely available to the student team any and all data, information and other materials
relevant to the Project that the Company may have already gathered or have in its possession, or that the
Company may acquire during the course of the project.
4. To establish a budget level for agreed costs directly related to the Project. Examples include online data
searches, data or publication purchases, copies, communications and printing. The Company will
reimburse the student team directly for these pre-approved expenses upon receipt of appropriate invoices.
5. To familiarize the students with the company and its activities and capabilities by providing product,
marketing, production, financial, and other relevant information to the extent that providing the information
is necessary or useful for completion of the project.
6. Seattle University reserves the right to use information from the project for academic purposes only.
7. To accept the Project Deliverables, as the outcome of a student learning experience, without
representations, warranties, or guarantees as to usefulness, professional quality, or otherwise and to release
and forever discharge Seattle University, its trustees, directors, officers, employees, agents and students
from any and all claims for damages or injury arising out of or connected to the Company’s participation in
The Company understands and agrees that: (i) submission of this Participation Agreement and Project neither
assures that the Project will be undertaken nor places the ASBE under any obligation to do so; (ii) the Project will be
undertaken subject to the confidentiality standards set forth in the Confidentiality Agreements signed by members of
the student team prior to commencement of the Project; (iii) the funds contributed will be used solely and
exclusively to support the educational activities and initiatives of the Entrepreneurship Center Program; and (iv)
Seattle University and ASBE are not liable for the negligent, willful, or other action or inaction of any faculty
member or student involved in the Project and the Company agrees not to seek to hold Seattle University liable for
any such action or inaction.
