INVITATION TO TENDER FOR HIRING OF MOTOR CARS (SELF DRIVEN)

SriLankan Airlines hereby invites tenders for Hiring of Sedan Type Motor cars (Self Driven) for
a period of four to five years.
The Tender document is attached herewith. Completed Tenders shall be submitted in sealed
envelopes with the Tender Number clearly marked on the top left hand corner of the
envelope addressed to Manager Commercial Procurement, Airline Centre, SriLankan
Airlines Limited, Bandaranaike International Airport, Katunayake, Sri Lanka by 1300
hours on 25.01.2011.

The Tender Acknowledgement form must be completed and returned by fax to +94 (0) 19733
5225 within three (03) days after receiving this document.
All Tenders shall require a minimum refundable bid bond of LKR 2,200,000 as described in
clause 3.4 of the “INSTRUCTIONS TO BIDDERS” section of this document. Tenderers shall
enclose this deposit with their bid in the form of an unconditional irrevocable bank guarantee
drawn at sight in favour of SriLankan Airlines Limited, valid for a period of 120 days from the
tender closing date according to the format set out in Annex V.
Tenders without a bid bond will not be considered. However manufacturers and their authorised
dealers/agents shall not normally be required to submit a bid bond.
Any inquiry/clarification about the Tender should be addressed in writing to the Commercial

International Airport, Katunayake, Sri Lanka.

Bids will be opened at 1400 hrs on 25.01.2011 at Commercial Procurement Conference Room,
Airline Centre, SriLankan Airlines, BIA, Katunayake, Sri Lanka. Bidders who choose to attend
are expected to be in the premises 15 minutes prior to opening of tender. Kindly note that only
one representative per bidding company is permitted to be present at the tender opening.

                                                                              ANNEX I

                      INSTRUCTIONS TO BIDDERS
1.0   INTRODUCTION

      1.1   Scope

            1.1.1   SriLankan Airlines Limited (herein after called and referred to as
                    SriLankan Airlines) wishes to receive bids for the hire of Twenty nine
                    (29) Sedan Type Motor Cars (vehicles).

            1.1.2   All bids are to be completed and returned to the SriLankan Airlines in
                    accordance with these Instructions to Bidders.

      1.2   Period of Hire

            1.2.1   The hire will be for a minimum period of four years starting from 01st
                    June 2011* for Twenty Four (24)** cars and starting from 01st October
                    2011* for Five (5)** cars.

            *The starting dates might change due to the Business Requirement of SriLankan
            Airlines
            ** Number might vary by + 25% depending on the Business requirement of
            SriLankan Airlines.
      1.3   Cost of bidding

            1.3.1   The bidders shall bear all costs associated with the preparation and
                    delivery of its bid and the SriLankan Airlines shall in no case be
                    responsible or liable for those costs.

2.0   THE BIDDING DOCUMENTS
      2.1  Bidding Documents

            2.1.1   The services required, bidding procedure and contract terms are
                    prescribed in the bidding documents. In addition to the invitation for
                    bids, the bidding documents include:

                    (a)    Tender application form
                    (b)    Instructions to Bidders            – Annex I
                    (c)    Specifications                     – Annex II
                    (d)    Terms & Conditions                 - Annex III
                    (e)    Draft agreement                    – Annex IV

      2.1.2   The bidder is expected to examine all instructions, forms and terms in the
              bidding documents. Failure to furnish all information required in the
              bidding documents or submission of a bid not substantially responsive to
              the bidding documents in every respect on the date and at the time of
              closing bids may result in the rejection of the bid.

      2.1.3   Bidders are expected to duly fill the Tender Acknowledgement Form and
              send the same to the address given in clause 2.2.1 by fax, e-mail or
              registered post.

2.2   Clarification of Bidding documents if required

      2.2.1   Any prospective bidder requiring any further information or clarification
              of the bidding documents may notify SriLankan Airlines by mail, fax, or
              e-mail as per the details below:

              The SriLankan Airlines shall respond in writing to any request for
              information or clarification of the bidding documents if received not later
              than ten (10) days prior to the deadline for submission of bids prescribed
              by SriLankan Airlines. Written copies of SriLankan Airlines’ response
              including an explanation of the query will be sent to all prospective
              bidders who have acknowledged the bidding documents, not later than
              five(5) days prior to closing of bids.
              All bidders are expected to check notices in the web address
              www.srilankan.aero/tendernotices, given in the paper advertisement, at
              least five (05) days prior to closing the bids to find out any changes have
              been made to the bid documents.


2.3   Amendment of Bidding Documents

      2.3.1   At any time prior to the deadline for submission of bids, SriLankan
              Airlines may, for any reason, whether on its own initiative or in response
              to a clarification requested by a prospective bidder, modify the bidding
              documents by amendment.

      2.3.2   The amendment shall be in the form of an Annex to the bidding
              documents, & will be notified by fax or e-mail to all prospective bidders
              who have acknowledged the bidding documents.

            2.3.3   In order to afford prospective bidders reasonable time in which to take the
                    amendment into account in preparing their bids, SriLankan Airlines may
                    at its discretion, extend the deadline for the submission of bids.

            2.3.4   Any amendment done or extension to the Bid closing date will be notified
                    in the web address www.srilankan.aero/tendernotices


      2.4   Language of Bid

            2.4.1   The bid prepared by the Bidder and all correspondence and documents
                    relating to the bid exchanged by the Bidder and SriLankan Airlines, shall
                    be written in the English language. Any printed literature furnished by
                    bidder may be written in another language, provided that this literature is
                    accompanied by an English translation. For the purpose of interpretation
                    of the bid, the English translation takes precedence.


3.0   PREPARATION OF BIDS

      3.1   Documents comprising the Bids

            3.1.1   The Bid prepared by the bidder shall comprise the following documents in
                    duplicate, duly completed (with supplementary sheets if necessary, to
                    furnish all particulars required). In the event of any discrepancy amongst
                    the copies of the bid, the original shall govern.

                           a)      Bid form and detailed breakdown of vehicles
                                   (Type/Make/Model/Year of Manufacture… etc) to be used.

                           b)      Offer should be in compliance with the specifications
                                   mentioned in the bid.

                           c)      Hiring cost per vehicle per month and in aggregate

            3.1.2   The bidder shall complete an original and one copy of the bid form and
                    the detailed breakdown of the vehicles to be used furnished in the bidding
                    documents.


      3.2   Bid Prices

            3.2.1   Prices quoted by the bidder shall remain fixed and valid until for the
                    duration of the contract period. Bids providing for annual price
                    escalations shall be considered as non responsive, unless such escalation
                    factors are clearly defined in absolute values and stated in the Offer
                    sheets.

      3.2.2   The bidders are required to submit offers that cover the total number of
              vehicles (cars) required and stated herein this document. Offers not
              meeting this condition shall be rejected.

3.3   The bidder shall also provide with the Bid

      (a)     Corporate documents of the bidder e.g.: Memorandum and Articles of
              Association, Partnership Agreement or such other relevant documents.

      (b)     Certificate of Incorporation and/or Business Registration Certificate or
              such other relevant documents of the bidder.

      (c)     The audited financial statements of the bidder for the last two financial
              years.

      (d)     Details regarding the Maintenance and Repair Centres that the Bidder
              owns or has an agreement to carry out repairs with the proof documents.



3.4   Bid Bond

      3.4.1   (a)    The bidder shall furnish as part of its bid, a bid bond
                     amounting to LKR 2,200,000.

              (b)    A bid not accompanied by a bid bond as required in 3.4.1 (a) shall
                     be disqualified by the SriLankan Airlines. However manufacturers
                     and their authorised dealers/agents shall not normally be required
                     to submit a bid bond.

      3.4.2   The bid bond shall be denominated in the currency of the bid and shall be
              valid for One hundred and twenty (120) days beyond the validity of the
              bid. It shall be in following form:

                     Irrevocable Bank guarantee issued by a reputable bank in Sri
                     Lanka with the ability to draw in Sri Lanka in accordance with the
                     form provided in Annex V or any other form acceptable to
                     SriLankan AirLines.

      3.4.3   In the event the validity period of the bid is extended pursuant to clause
              3.5 the validity period of the bid bond too shall be extended to be valid for
              a period of one hundred and twenty (120) days after the expiry of the
              validity period of the bid.

      3.4.4   In the event the total bid price is increased pursuant to clause 5.3.2 hereof,
              the bidder shall within 14 days of such correction, increase the value of
              the bid bond by 2% of the increase of the bid from the original bid by
              sending a separate bid bond.

            3.4.5   Any unsuccessful bidder’s bid bond will be discharged/returned as
                    promptly as possible upon award of contract, but in any event not later
                    than thirty five (35) days after the expiration of the period of bid validity.

            3.4.6   The successful bidder’s bid bond will be discharged/returned upon the
                    bidder’s executing the contract, pursuant to Clause 8 and furnishing the
                    performance Bond pursuant to Clause 9.

            3.4.7   The bid bond may be forfeited :

                    (a)    If a bidder withdraws its Bid during the period of bid validity
                           specified in the bid form.

                    (b)    In the case of a successful bidder, if the bidder fails,

                           (i)     unable to provide vehicles (cars) according to the
                                   specifications prescribed in this document, after the award
                                   to start the operation on time and/or
                           (ii)    to sign the contract in accordance with Clause 8 and/or
                           (iii)   to furnish the performance bond in accordance with Clause
                                   9.



      3.5   Period of Validity of Bids

            3.5.1   Bids shall remain valid for a period of hundred and twenty (120) days
                    after the date of bid closing prescribed by SriLankan Airlines, pursuant to
                    Clause 4.2.

            3.5.2   Notwithstanding Clause 3.5.1 above, SriLankan Airlines may solicit the
                    bidders’ consent to an extension of the period of validity. The request and
                    the responses thereto shall be made in writing or by fax.


4.0   SUBMISSION OF BIDS

      4.1   Sealing and Marking of Bids

            4.1.1   The bidder shall seal the original and copy of the bid in inner envelopes
                    duly marking the two inner envelopes as “original” and “copy”. The two
                    inner envelopes should then be sealed in an outer envelope.

            4.1.2   The inner and outer envelopes shall :

              (a)   be addressed to the SriLankan Airlines at the following address:

                     Manager Commercial Procurement

                     Airline Centre
                     BIA
                     Katunayake
                     Sri Lanka.

              (b)    bear the words “Tender No: 201032073 for HIRING OF MOTOR
                     CARS (SELF DRIVEN)”, and the words “DO NOT OPEN
                     BEFORE 25TH JANUARY 2011 ”.

                     In addition to the information required in sub clause (a) and (b)
                     above, the inner envelopes only shall indicate the name and
                     address of the bidder to enable the bid to be returned.

4.2   Deadline for submission of Bids

      4.2.1   The “original” bid, together with the required “copy” must be received by
              SriLankan Airlines at the address specified in Clause 4.1.2. not later than
              1300 Hours on 25th January 2011.

      4.2.2   SriLankan Airlines may, at its discretion, extend the deadline for the
              submission of bids by amending the bidding documents in accordance
              with Clause 2.3 in which case all rights and obligations of SriLankan
              Airlines and bidders previously subject to the deadline will thereafter be
              subject to the deadline as extended.

4.3   Late Bids

      4.3.1   Any bid received by SriLankan Airlines after the deadline for submission
              of bids prescribed by SriLankan Airlines pursuant to Clause 4.2 shall be
              rejected.

4.4   Modifications and withdrawal of Bids

      4.4.1   The bidder may modify or withdraw its bid after the bid submission,
              provided that written notice of the modification or withdrawal is received
              by SriLankan Airlines prior to the deadline prescribed for submission of
              bids.

      4.4.2   The bidder’s modification or withdrawal notice shall be prepared, sealed,
              marked and dispatched in accordance with the provisions of Clause 4.1.2
              a withdrawal notice may also be sent by fax but must be followed by a
              signed confirmation copy.

      4.4.3   Subject to Clause 5.3 and 11.0 no bid may be modified subsequent to the
              deadline for submission of bids.

            4.4.4   No bid may be withdrawn in the interval between the deadline for
                    submission of bids and the expiration of the period of bid validity,
                    specified by the bidder on the bid form.


5.0   BID OPENING AND EVALUATION

      5.1   Opening of Bids by SriLankan Airlines

            5.5.1   The bids will be opened by SriLankan Airlines.

      5.2   Clarification of Bids

            5.2.1   To assist in the examination, evaluation and comparison of bids,
                    SriLankan Airlines may, at its discretion, ask the bidder for clarifications
                    of its bid. All responses to requests for clarification shall be in writing,
                    and no change in the price or substance of the bid shall be sought, offered
                    or permitted under this section.

      5.3   Preliminary Examination

            5.3.1   SriLankan Airlines will examine the Bids to determine whether they are
                    complete, whether any computational errors have been made, whether the
                    documents have been properly signed, and whether the bids are generally
                    in order.

            5.3.2   Arithmetical errors will be rectified on the following basis.

                    If there is a discrepancy between the unit price and the total price that is
                    obtained by multiplying the unit price and quantity the unit price shall
                    prevail and the total price will be corrected.

            5.3.3. Prior to the detailed evaluation, SriLankan Airlines will determine the
                   substantial responsiveness of each Bid to the bidding documents. A
                   substantially responsive bid is one which conforms to all the terms and
                   conditions of the bidding documents without material deviation.
                   SriLankan Airlines’ determination of a bidder’s responsiveness shall be
                   based on the contents of the Bid itself without recourse to extrinsic
                   evidence.

            5.3.4. A bid determined as not substantially responsive will be rejected by the
                   SriLankan Airlines and may not subsequently be made responsive by the
                   bidder by correction of the nonconformity. The SriLankan Airlines may
                   however waive any minor non conformities or irregularities in a bid
                   which does not constitute a material deviation provided such waiver does
                   not prejudice or affect the relative conformity of the other bids.


            5.3.5. If a bidder deviates from the methods of payments stipulated by the
                   SriLankan Airlines the bid would not be considered responsive.

      5.4     Contacting SriLankan Airlines

              5.4.1   Subject to Clause 5.2 no bidder shall contact the SriLankan Airlines on
                      any matter relating to its bid, from the time of bid opening to the time the
                      contract is awarded.

              5.4.2   Any efforts by a bidder to influence the SriLankan Airlines in the
                      SriLankan Airlines’ decisions in respect of bid evaluation, bid comparison
                      or contract award will result in the rejection of the bidder’s bid.

      5.5     SriLankan Airlines’ Right to Accept any Bid and to Reject any or all Bids

              5.5.1   SriLankan Airlines reserves the right to accept or reject any bid and to
                      annul the bidding process and reject all bids at any time prior to award of
                      contract, without thereby incurring any liability to the affected bidder or
                      any obligation to inform the affected bidder or bidders of the ground for
                      SriLankan Airlines’ action.

              5.5.2   SriLankan Airlines is not bound to accept the lowest bid or any other bid
                      and reserves the right to accept the whole or part of the bid.

              5.5.3   SriLankan Airlines will not be bound to give reason for accepting or
                      rejecting any bid or part of it.

6.0   POST-QUALIFICATION OF BIDS

              6.1.1   SriLankan Airlines will determine to its satisfaction whether the bidder
                      selected as having submitted the acceptable responsive bid is qualified to
                      satisfactorily perform the contract.

              6.1.2   Determination will be based upon an examination of the documentary
                      evidence of the bidder’s qualifications, submitted by the bidder, as well as
                      such other information as SriLankan Airlines deems necessary and
                      appropriate.

              6.1.3   An affirmative determination will be a prerequisite for award of the
                      contract to the bidder. A negative determination will result in rejection of
                      the bidder’s bid.

              6.1.4   SriLankan Airlines will award the contract to the successful bidder whose
                      bid has been determined to be the acceptable responsive bid, provided
                      further that the bidder is determined to be qualified to satisfactorily
                      perform the contract.


7.0   NOTIFICATION OF AWARD

      7.1.1   SriLankan Airlines will notify the successful bidder in writing by registered letter
              or by facsimile, to be confirmed in writing by registered letter, that its bid has
              been accepted and on which basis the bid has been accepted.

       7.1.2   The bid read together with the notification of award will constitute the
               permeation of a contract, until the contract has been executed pursuant to clause
               8.


8.0    SIGNING OF CONTRACT

       8.1.1   Upon receipt of the performance bond, SriLankan Airlines will send the
               successful bidder the contract form provided in those bidding documents,
               incorporating all agreements between the parties.

       8.1.2   Within fifteen (15) days of receipt of such contract form, the successful bidder
               shall affix stamps (at his cost sign and date the contract and return it to SriLankan
               Airlines).

       8.1.3   Failure of the successful bidder to furnish the performance bond in terms of
               Clause 9 or in the contract shall constitute sufficient grounds for the annulment of
               the award of contract and for feature of the bid bond in which event SriLankan
               Airlines may make the award to the most responsive acceptable bid or call for
               new bids.


9.0    PERFORMANCE BOND

       9.1.1   Within thirty (30) days of the receipt of notification of award from SriLankan
               Airlines, the successful Bidder shall furnish the performance bond, in accordance
               with the conditions of contract in the performance bond form set out in Annex VI
               provided in the bidding documents or another form acceptable to SriLankan
               Airlines, in the amount of five percent (5%) of the total contracted price per
               annum and at the end of each year bidder should ensure the bank guarantee to be
               renewed annually and failing which no payment will be made for the services
               rendered until such time such bank guarantee is submitted.


10.0   MISCELLANEOUS

       10.1.1 Tender figures written in pencil or erasable ink shall render the tender invalid.

       10.1.2 Erasing or altering essential details unless initialled in the tender application shall
              invalidate the tender.


11.0 SPECIAL INSTRUCTIONS TO THE BIDDERS

       11.1.1 The tenderer shall sign and affix his official stamp on the tender     application
              form and in the summary of the tender. Failure to do           so shall invalidate the
              tender

11.1.2 Every notice to be given to a bidder shall be posted to the bidder’s address given
       in the tender application and such posting shall be deemed good service of such
       notice.

11.1.3 Each tender submission must be made together with the enclosed bid forms duly
       completed provided by SriLankan Airlines web site. Detailed description of each
       service specification and tender price is to be clearly stated on a separate sheet
       bearing the bidder’s official letterhead and stamped and endorsed by the bidder.

11.1.4 Application for tender by the bidder constitutes acceptance by the bidder of all
       terms and conditions printed on this form and all other attachments herewith.


11.1.5 SriLankan Airlines shall after notification in writing to the successful bidder is
       entitled to assign or transfer the whole or any part of the contract to a subsidiary
       or associate company of SriLankan Airlines.

11.1.6 SriLankan Airlines reserves the right to negotiate with the bidder with regard to
       the changes in scope and cost of the contract.

11.1.7 The award of the tender shall be subjected to such additional terms as may be
       agreed upon between SriLankan Airlines and the bidder.

                                                                                              ANNEX II

                         HIRING OF MOTOR CARS (SELF DRIVEN)

SriLankan Airlines intends to hire approximately 29* Brand New (Preferable)/ Re-Conditioned
unregistered sedan type motor cars for the use of the Managers. The period of hire for Brand
new cars shall be five (5) Years, and for Re-conditioned cars it shall be four (4) years. The cars
shall be hired without a driver (Self driven).

SPECIFICATIONS
1          The cars should preferably be, petrol powered with an engine capacity between1299
           and1499 cc. The cars should be unregistered and not be more than one (01) year old from
           the date of manufacture for Brand New cars and for Re-conditioned cars the age of the
           cars should not be more than three (03) years from the date of manufacture at the time of
           starting the operation.

2          The cars should
                  I      be of a globally reputed brand with the presence of a reputed Local
                         Agent. The cars should be Automatic Transmission, Right Hand driven &
                         power assisted. The cars shall be suitable for Tropical use and conform
                         with Motor traffic regulations presently in force in Sri Lanka.

                   II      be with a factory fitted air-conditioner, FM/ AM radio
                          (with local frequencies), and CD player.

                   III     have seat belts for the driver and for all the passengers, two front Air Bags
                           in working condition, power assisted ABS or advanced braking system &
                           parking brakes and all standard safety devices approved by the Motor
                           Traffic Department.

                   IV      have a remote locking system, spare wheel, jack, wheel brace, new battery
                           and brand new radial tubeless tyres.

                   V       have a Chassis & Cab consisting of

                                   Four door compartment with central-locking, safety glass
                                    windshields & power window shutters.
                                   One rear view mirror, with glare adjustment.
                                   Two external rear view mirrors.
                                   Windshield wipers with variable speeds with intermittent
                                    operation facility.
                                   Factory fitted seats with headrests covered with suitable material.
                                   Provision for towing at the front & the rear.

                   VI      be with an Engine having replaceable filter elements for air, oil and fuel

                     VII      have an Electrical System consisting of

                                    12V electrical system with an alternator.
                                    New 12V battery of the required capacity.
                                    Reflectors, Directional signals, Cab Light, Electric Horn,
                                     Windscreen Washer.

                     VII     preferably have an Instrument Panel consisting of

                                    Speedo meter, odometer with trip counter, Engine Tachometer,
                                     Fuel gauge/ Level Indicator, Coolant temperature gauge.
                                    Warning lamps for low oil pressure, Parking brakes on, Battery
                                     condition, open doors, Seat Belt not fastened and low fuel level.

                     VIII    be with Independent or double wishbone suspension with coil springs and
                             struts

                     IX      be with Brand New Radial Tyres for all wheels and spare wheel should be
                             same size with bracket

     3     Information / clarification with regard to the following should be forwarded with the offer in
           respect of each car:

              3.1 Brand new or Re-conditioned
              3.2 Make, Model and the country of manufacture
              3.3 Year of manufacture
              3.4 Engine capacity & Fuel type used
              3.5 Transmission – automatic
              3.6  Mandatory Options – Factory fitted Air-conditioner (Powered by the engine), Power
                  mirrors, Power shutters, Power steering and Central locking.
              3.7 Ground clearing height (preferably shall not be less than 150 mm)
              3.8 Other Options available with the cars offered such as Reverse camera, Reverse
                  censors, DVD players, Additional Airbags, Push Start, Retractable mirrors,
                  multifunction steering, TV, fog lamps etc.

4.       Following information shall be provided if available at the time of Tendering or within six
         weeks of the award (if difficult to produce the same within six weeks, then the written
         approval from SriLankan Airlines should be obtained):

              4.1    Chassis number and the engine number of the vehicles.
              4.2    Road worthiness certificate issued by the Motor Traffic Department or their
                     approved authority.

TERMS & CONDITIONS

1   The Service Provider shall offer cars either owned by them, or possess the legal
    entitlement for the use of the cars, throughout the period of the contract.

2   Service Provider should have at least three (03) years previous experience in providing a
    similar service and proof should be submitted with the bid. A list of past & current
    clients should be attached.

3   The service provider should preferably be a Company which has at least thirty (30)
    serviceable cars in its fleet, which match the conditions given under specifications points
    1 & 2.

4   The Service Provider should bear the costs of registration of the vehicles, all taxes and /
    or licensing obligations for the cars offered and ensure such requirements are fulfilled
    throughout the period of the contract.

5   The Service Provider should submit Audited Financial Statements of the last two
    financial years with notes.

6   Throughout the period of the contract the cars should be
      maintained fully with regard to mechanical soundness, interior cleanliness, & body
         appearance.

         from the date of commencement of hire.
      fitted with new battery and brand new radial tyres at the time of hiring at the sole
         expense of the Service Provider.


7   The Service Provider should satisfy SriLankan Airlines, of its ability to provide a
    replacement vehicle with minimum inconvenience to the user in the case of a breakdown,
    accident or any other emergency. For the avoidance of doubt, the replacement vehicle
    should be provided within two hours in Colombo and within four hours if in outstation.
    If Service Provider has a problem in providing a replacement car within the stipulated
    time due to the distance, then SriLankan Airlines P & E Section should be notified
    immediately, and written permission should be obtained regarding the time of providing
    the replacement vehicle.

8   The Service Provider should replace the cars with mechanically sound new cars of the
    same type if breakdowns occur frequently.

9   The bidder shall show proof of ownership and details of suitable garage and maintenance
    facilities for the vehicles or agreement to use a reputed garage during the entire duration
    of the contract at the time of Tendering. If necessary, such facilities shall make available
    to SriLankan Airlines for Physical inspection during the evaluation stage and/or after the
    award.

10   The Service Provider should appoint an exclusive contact point with a mobile phone,
     land phone, e-mail & facsimile facilities, with 24 hour Contactability on all 365 days of
     the year. The complaints regarding the vehicles should be maintained in a register by the
     Service Provider, and should submit a report every month end to P & E Section of
     SriLankan Airlines.

11   In instances where replacement vehicles have been provided, the Service Provider shall
     replace any car used in the Hire Contract upon reaching seven (7) years of age from the
     date of manufacture.

12   The Service Provider should be prepared to physically produce the vehicles offered, for
     inspection, prior to commencement of the contract, on a date and time specified by
     SriLankan Airlines. Once SriLankan Airlines has agreed on a particular vehicle after
     inspection, under no circumstances shall the Service Provider be allowed to remove or
     replace such a vehicle without the written approval of SriLankan Airlines, except in the
     event of a breakdown or accident.

13   The service provider should obtain a comprehensive insurance cover against death/
     injury to third parties including passengers. (Refer Clause 6 on insurance of the Draft
     Contract)

14   In the event of an accident, breakdown or a theft, the user of the car would lodge a
     complaint with the Police, and inform the P & E section of SriLankan Airlines. The P &
     E Section will inform the Service Provider and request for a replacement car if
     necessary. The Police report and all required details would be made available to the
     Service Provider for processing of the insurance claim.

15   In the case of a breakdown, the Service Provider should arrange towing facility at his
     own expense.

16   The P & E section of SriLankan Airlines would contact the service Provider when
     regular servicing of the cars is required. The user would get the servicing carried out at
     the garage/ s appointed by the Service Provider. The service shall include interior
     cleaning, polishing, cleaning of the lights of the car. Cost of such services must be borne
     by the Service Provider.

17   The Service Provider shall ensure that the cars are well maintained, and carry out all
     repairs & maintenance at its sole expense, using original/high-quality spare-parts
     including replacement of tyres every two years, or when needed, whichever occurs first,
     by using brand new tyres. If SriLankan Airlines becomes aware that any maintenance or
     repair work has been carried out by the Service Provider using parts which are
     substandard, then SriLankan Airlines has the authority to direct the Service Provider to
     carry out the same repair with the Local Agent of the cars. If the Service provider fails to
     carryout such repairs within two weeks of the notification, then SriLankan Airlines P &
     E Section shall ask the user of the vehicle to get the repairs done through the Local
     Agent of the car and deduct cost of the repairs form the next invoice due to the Service
     provider.

18   In the case of Brand new vehicles, minor deviations from the specifications/conditions
     would be considered.

                                        DRAFT AGREEMENT
This Agreement is made on this … day of … 2011 at Katunayake by and between SriLankan Airlines Limited a
company incorporated in the Democratic Socialist Republic of Sri Lanka bearing the Company Registration number
PB 67 and having its registered office at the Airline Centre, Bandaranaike International Airport, Katunayake,
Sri Lanka (hereinafter referred to as "SriLankan Airlines" which term or expression shall include where the context
so requires or admits mean and include the said SriLankan Airlines its successors in office and assigns) of the One
Part and:

…………….., Company incorporated in the Democratic Socialist Republic of Sri Lanka bearing the Company
Registration         number          …..         and having       its      registered    office        at

…………………………….. (hereinafter referred to as “the Service Provider" which term or expression as herein
used shall where the context so requires or admits mean and include the said Company and its liquidators,
successors in office and assigns) of the other part.

Whereas the Service Provider is a reputed transport provider in Sri Lanka in the business of Hiring of vehicles in Sri
Lanka capable of providing motor cars on hire to employees in commercial organizations.

And whereas SriLankan Airlines is desirous of hiring of vehicles (cars) for use by its Managers for a period of ------
--( ) years.

And whereas the Company has agreed to provide motor cars on hire for use by the Managers of SriLankan Airlines
as required hereunder subject to the terms and conditions set out herein.


IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES AS FOLLOWS:

1.   SERVICE PROVIDER’S OBLIGATIONS

     The Service Provider shall:

     1.1   Not later than …………….……………, provide …………………………. cars (as more fully described
           in Annex I, hereinafter referred to as “Specifications of Vehicles”) for the use of SriLankan Airline’s
           Managers. (hereinafter referred to as Vehicle/s which term as the context so requires refer to any one or
           more or all the Vehicles for the time being hired to SriLankan Airlines under this Agreement) for a
           period of 48 months in respect of each Vehicle.


     1.2   Ensure, that at all times the Vehicles hired under this Agreement:

           i)       are fully owned by the Service Provider & registered under it’s name.

           or

           ii)      the Service provider has the legal entitlement to use the vehicles to cover the period of hire
                    stated in this Agreement


     1.3   Ensure that all the Vehicles pursuant to this agreement comply with the specifications in Annex I hereof
           at the time of commencement of the hire of each vehicle and are serviceable, mechanically sound,
           roadworthy and in good condition both internally and externally.

     1.4    Ensure that the Vehicles are:
                         duly registered and comply with all applicable Government or local Government laws,
                             regulations pertaining to ownership of the said vehicles.
                         Eco Tested, licensed & insured annually

                          all applicable taxes and fees are duly paid
            at the Service Provider’s cost.

     1.5    At its own cost insure and keep all Vehicles insured as more clearly described in Clause 6 below.

     1.6    Ensure that all registration documents pertaining to each of the Vehicles are forwarded to SriLankan
             Airlines for retention during the period of hire.

     1.7 Provide a service desk with a designated officer who is stationed in Colombo and contactable throughout
          the term of this Agreement on a 24X7X365 basis.


     1.8    The Service Provider should ensure that the Vehicles are made available for inspection by SriLankan
            Airlines personnel at a location, time and date specified by SriLankan Airlines prior to commencement
            of this Agreement. Only the vehicles that are certified by the Technical team of the Sri Lankan Airlines
            will be permitted to operate during the term of this agreement.

     1.9    Carry out or cause to be carried out at its own expense all routine maintenance and servicing and
            cleaning of Vehicles in accordance with the Maintenance Schedule set out in Annex 2 hereto, to a
            service level acceptable to SriLankan Airlines.

     1.10 Carry out all minor/major repairs and maintenance of/on the Vehicles, at its own cost in a timely manner.

     1.11 In the event of any accidents, incidents, emergencies, breakdowns, theft and/or where Vehicle repair and
          maintenance work is being carried out on a Vehicle, or when the user has been deprived of the use of
          the Vehicles for a period of over 03 hours the Service Provider shall at its own cost :


                     Provide a replacement vehicle to SriLankan Airlines satisfaction within two (02) hours from
                     time of intimation of the incident / accident or other non availability if within Colombo and
                     within four (04) hours if out of Colombo. The Service Provider will however endeavour to
                     provide a replacement Vehicle immediately with minimum inconvenience to SriLankan
                     Airlines and/or its officers. To avoidance of doubt any place in between Katunayake and
                     Colombo along the main road is considered as Colombo for the purpose of this clause. The
                     replacement vehicles should be of the same standard as the Vehicle that is being replaced

     1.12 Acknowledge and agrees that the Vehicles hired by SriLankan Airlines under this Agreement will be
          used by officers (Managers) of SriLankan Airlines for their official and personal use.

     1.13   Operate on its own or provide evidence of arrangement with service stations and garages in both
            Colombo and Negombo which have the capacity and capability to discharge the service maintenance
            repair obligations of the Service Provider under this Agreement on a priority basis to the standards
            agreed to in this Agreement.


2.   SRILANKAN AIRLINES’ OBLIGATIONS

     SriLankan Airlines shall:


     2.1    Pay the Service Provider for the services at the rates set out in Annex 3 and in the manner set out in
            Clause 3 of the Agreement.

     2.2   Endeavour to ensure that the Vehicles are used only by its staff and persons authorised by them and are
           driven in a competent and reasonable manner.


     2.3   Ensure that the Vehicles are released for maintenance according to the maintenance Schedule in Annex 2
           and that the Service Provider will be contacted as and when servicing and cleaning of any Vehicles in
           required.

     2.4   Endeavour to inform the Service Provider forthwith in the event of an accident or theft of a Vehicle
           immediately to a representative stated in clause 1.6 and Annex …of this agreement.

     2.5   Ensure that in the event of any accident or incident involving any vehicle, all necessary statements are
           made and submitted together with ay reports and other documents and give all assistance that may be
           required by the Service Provider to process its insurance claims, repairs or litigations as the case may be.

     2.6   Maintain and/or ensure that records of usage, maintenance, repairs of/to each Vehicles in maintained.

     2.7   At the expiry of the lease term or the sooner determination of the lease term of each Vehicle, SriLankan
           Airlines shall return the Vehicles to the Service Provider in the same condition as at the commencement
           of the lease, fair wear and tear excepted, together with the originals of Registration Book, Insurance
           Certificate, Licence, and Eco Certificate.

           In the even any Vehicles s not returned to the Service Provider as above, SriLankan Airlines shall be
           liable to pay the Service Provider additional hire charges calculated at LKR 1000/= per day.



3.   PAYMENT

     3.1   The Service Provider shall invoice SriLankan Airlines on a monthly basis in respect of the Vehicles
           provided by the Service Provider pursuant to this Agreement at the rates specified in Annex 3 of this
           Agreement.

     3.2   The Service Provider shall invoice SriLankan Airlines for the excess usage if any after the completion of
           each 12 month period of hire of each vehicle, at the rate set out in Annex 3.

     3.3   SriLankan Airlines shall settle all invoices submitted by the Service Provider within forty five (45) days
           after the receipt thereof provided however, in the event an invoice is disputed SriLankan Airlines shall
           pay the undisputed amount as stated herein and the disputed amount shall be payable within forty five
           (45) days of the resolution of the dispute.

     3.4   SriLankan Airlines shall be entitled to withhold or deduct from any payments due to the Service Provider
           any sums of money required to be withheld by SriLankan Airlines and/or any law or regulation for the
           time being in force and/or pursuant to this Agreement. In the event the amounts to be withheld or
           deducted exceed the amount payable to SriLankan Airlines at the relevant time, the Service Provider
           shall pay such amount to SriLankan Airlines within 14 days of demand.

     3.5   All payments pursuant to this Agreement shall be in Sri                      Lanka    rupees   by cheque
           …………………………………………………… as stated in Annex 3.

     3.6   The agreed rates per vehicle specified in Annex3 hereto shall remain fixed for the term of this Agreement
           unless otherwise agreed to in writing by both Parties.

4.         PERFORMANCE BOND

     4.1    The Service Provider shall provide and keep renewed and valid a Performance Bond to SriLankan
            Airlines by way of a bank guarantee for ……….….. from a bank acceptable to SriLankan Airlines in
            terms and substance acceptable to SriLankan Airlines to secure the due and faithful performance of its
            obligations hereunder. Such bank guarantee shall be irrevocable and unconditional and shall remain
            valid for 90 days after the expiry of each annual contracted period. The bank guarantee shall be renewed
            annually.

     4.2    In the event the number of Vehicles provided under Clause 1.1 is increased, SriLankan Airlines may
            require the Service Provider to issue a fresh Bank Guarantee. Upon receipt of the new Bank Guarantee
            SriLankan Airlines shall return the existing Bank Guarantee.




5.   LIABILITY AND INDEMNITY

     5.1    The Service Provider shall be liable for and shall indemnify and hold harmless SriLankan Airlines, its
            Directors, officers, agents, employees, in respect of all losses, costs, expenses, claims and liabilities
            arising out of death or injury to any person including passengers or employees or agent of SriLankan
            Airlines or the Service Provider and for loss of or damage to any property including property belonging
            to SriLankan Airlines, any of its officers, agents, employees of any third party or the Service Provider
            whether arising in contract or in tort which arises out of or is related to the performance of the
            obligations of the Service Provider under this Agreement except where such death, injury, loss or
            damage arose out of the wilful misconduct of SriLankan Airlines, its directors, officers, agents or
            employees.

     5.2    The Service Provider shall indemnify SriLankan Airlines for cost losses expenses and damages incurred
            by SriLankan Airlines arising out of the breach or other inability of the Service Provider to discharge its
            obligations hereunder

     5.3    The protection of the indemnities to be provided under Clauses 5.1 and 5.2 above shall be deemed to
            survive the termination of this Agreement howsoever occasioned.


     5.4    Consequential Damages

            Neither party shall be liable in any action or claim for consequential or special damages, loss of profits
            or loss of use suffered by the other party in any way as a result of this Agreement.



6. INSURANCE

     6.1    Without prejudice to the generality of Clause 5, the Service Provider shall maintain and keep valid at all
            times at its own cost and expense comprehensive motor vehicle insurances in respect of the Vehicles
            provided under this Agreement including but not limited to cover the following.

            (i) Death/Injury Insurance Coverage

                (a) Unlimited Third Party Legal Liability insurance cover as required by any applicable law or
                    regulation in Sri Lanka covering the Service Provider’s legal liability for death of or bodily
                    injury to any person including the employees and agents of SriLankan Airlines Ltd.

                (b) Personal Accident Benefit Insurance Cover (inclusive of Strike, Riot & Civil Commotion and
                    Terrorism) for five passengers including the Driver for amount of Rs. 200,000 (Rupees Two
                    Hundred Thousand) each.

     (ii) Third Party Property Damage Liability Coverage

            Unlimited Third Party Legal Liability Cover against Loss of or Damage of any Property including
            the property belongs to SriLankan Airlines Ltd and/or its Employees and agents or any other third
            party

     (iii) Loss of/Damage to the vehicles coverage

            Cover against loss of or damage to the Vehicles and/or its accessories and spare         parts to the
            market value of the vehicle and/or its accessories whilst thereon by:

            -   accidental external means
            -   fire, external explosion, self-ignition, burglary or theft,
            -   flood
            -   malicious damage
            -   strike, riot and civil commotion
            -   terrorism



6.2 Insurance policies referred to in Clause 6.1 above shall be arranged with a reputable insurance company
    with the Island wide coverage that facilitates on the spot claims that is acceptable to SriLankan Airlines
    & shall name SriLankan Airlines as additional insured and incorporate the following provisions in a
    form acceptable to SriLankan Airlines :

     6.2.1      A severability of interest clause where the insurance (except with regard to the limits of
                liability) will operate in all respects as if there were a separate policy covering each insured.

     6.2.2      Confirm that such insurance shall be primary without right of contribution from any other
                insurance carried by SriLankan Airlines.

     6.2.3      Provide that the cover offered to SriLankan Airlines shall not be invalidated by act or omission
                by the Service Provider or any other person and shall remain valid regardless of any breach or
                violation by the Service Provider or any other person of any warranty declaration or condition
                contained in such insurances.

     6.2.4      Waive rights of subrogation or action against SriLankan Airlines or its employees, agents, or
                persons travelling in the vehicles provided by the Service Provider pursuant to this Agreement
                in connection with any losses or claim resulting from the performance of services by the
                Service Provider.

     6.2.5      Provide that the insurer shall give immediate notice to SriLankan Airlines of any material
                change or at least 07 days prior notice in the case of cancellation of the insurance effected
                pursuant to these claims.

      6.3       Without prejudice to the generality of Clause 5.2 above, the Service Provider shall maintain and
                keep valid at all times at its own cost and expense in the joint names of the Service Provider
                and SriLankan Airlines policies of insurance as one necessary to cover the liability of the
                Service Provider in respect of workmen employed by the Service Provider for the performance
                of this Agreement

     6.4        General

                     The Service Provider shall also within 15 days of the execution of this Agreement and at
                     each consequent renewal (or renewal of insurances whichever shall occur first) produce an
                     Insurance Policy/Certificate evidencing coverage as per the requirements of Clauses 6.1.

                     The insurance coverage required by Clause 6.1 shall at all times be valid and adequate to
                     meet all the obligations set out above and any other obligations required by law. Failure to

                             maintain insurance coverage to the required level will be considered by SriLankan Airlines
                             as a fundamental breach of this Agreement.

                6.5          Under no circumstances, SriLankan Airlines or its directors, officers, Agents and
                             employees shall be held responsible for any loss of or damage to the vehicles or its
                             accessories or spare unless such damage is caused due to the wilful misconduct of
                             SriLankan Airlines or its employees.



           7.         NON PERFORMANCE

                      In the event the Service Provider fails to discharge its obligations under this Agreement,
                      SriLankan Airlines may at its discretion and without prejudice to any other rights it has under this
                      Agreement, take any action and whatever steps necessary to use the Service Provider’s non
                      performance or otherwise and claim the cost of all remedial action from the Service Provider.
                      It shall be lawful to SriLankan Airlines to claim from the Service Provider any fines, penalties,
                      charges imposed on SriLankan Airlines as result of the Service Provider’s non-compliance.


8.   TERM AND TERMINATION

     8.1This Agreement shall be commence on………………………………..

     8.2 The hire of each Vehicle shall be for ……. months from the date of the commencement of the term of each
         Vehicle hire.

     8.3 Notwithstanding anything to the contrary stated herein, SriLankan Airlines may by giving the Service
         Provider 90 days written notice terminate this Agreement for the hire of any one or more Vehicles hired
         hereunder. Such termination shall take effect on the expiry of such notice period. In the event such
         termination notice is issued in respect of a limited number of Vehicles only this agreement shall continue
         in respect of the remaining Vehicles

     8.4 For the avoidance of doubt it is hereby agreed that the termination of the hire of any one or more Vehicle
         used hereunder effecting the reduction of the number of Vehicles hired hereunder shall not be deemed to
         be a termination of the entire Agreement, unless expressly stated to be so by SriLankan Airlines.

     8.5 Notwithstanding anything to the contrary stated herein either party may terminate this Agreement
         forthwith by written notice in the event of breach of the Agreement by the other party or in the event of the
         liquidation or appointment of a receiver in respect of the other party or if the other party shall cease
         substantially to carry on its trade or shall threaten to cease substantially to carry on its trade.

     8.6 The termination of this Agreement pursuant to the provisions of this clause shall be         without prejudice to
         the accrued rights and liabilities of either party.

     8.7 On the termination or premature termination of this Agreement or the hire of any one or more Vehicles
         hired hereunder howsoever occasioned, or on the non renewal of this Agreement no compensation
         whatsoever shall be payable by SriLankan Airlines to the Service Provider other than the hire rental
         applicable for the period of actual usage.




9.   ASSIGNMENT AND SUB-CONTRACTING

     9.1        Subject to the rights of SriLankan Airlines under Clause 2 of this Agreement the parties may not assign
                or sub contract rights or obligations under this Agreement without the prior written approval of the other.

     9.2         The party sub contracting its obligations shall not be relieved of responsibility under this
                Agreement for such portion of its obligations as are sub contracted.

10. FORCE MAJEURE

   10.1 The parties shall be exempt from liability in respect of any failure to perform their obligations under this
         Agreement due to or arising out of acts of God or public enemy, civil war, insurrection, riots, fire,
         floods, explosions, earthquakes, accidents, epidemic quarantine restrictions, any act of governmental
         priority allocation regulation or strike or labour dispute causing cessation, slowdown or interruption of
         work or any other like or similar cause to the extent that such cause is beyond the control whether
         abovementioned or not. Upon the occurrence or imminent occurrence of any such event the affected
         party shall give the other immediate notice thereof and take all measures to mitigate the effect of such
         event.


11. INDEPENDENT SERVICE PROVIDER


   11.1 At all times the Service Provider (together with its staff) be deemed to be an independent Service
        Provider and shall not under any circumstances be considered an employee, representative, partner or
        agent of SriLankan Airlines.



12. REPRESENTATION AND WARRANTIES

   12.1 Each of the parties hereto represents and warrants that it has the corporate power and       authority to
       enter into this Agreement and has obtained all necessary licences approvals and consents to enter into this
       Agreement and discharge the obligations set out herein in the manner set out herein.

   12.2 The Service Provider represents and warrants that it owns and/or has the Legal right to use each of the
       Vehicles and that the Vehicles are not subject to any liens whatsoever.



13. GOVERNING LAW

   13.1 This Agreement shall be governed by the laws of the Democratic Socialist Republic of Sri Lanka.

   13.2 All disputes arising in connection with this Agreement may be referred to Arbitration under Arbitration
        Act No. 11 of 1995 by one or more arbitrators appointed in accordance with the said Rules. The place of
        arbitration shall be Colombo, Sri Lanka.



14. GENERAL

   14.1 The rights and remedies of SriLankan Airlines against the Service Provider for the breach of any
        conditions and for any obligations undertaken by the Service Provider shall not be prejudiced or deemed
        to be waived by reason of any indulgence or forbearance of the former.

   14.2 Nothing in this Agreement shall prevent either party from availing itself of any remedies provided under
        the general law in addition to the remedies stipulated in this Agreement.

   14.3 If any provision of this agreement should become or be adjudged invalid or         unenforceable for any
        reason whatsoever, such invalidity or unenforceability shall not affect any other part of this Agreement
        and all other provisions shall remain valid and in full force and effect.

   14.4 This Agreement contains the entire agreement between the parties and shall not be     varied otherwise
        than by an instrument in writing of even date herewith or subsequent hereto executed by or on behalf of
        authorised representatives SriLankan Airlines and the Service Provider.

    14.5 Any notice or request required or permitted to be given pursuant to this Agreement shall be sent by
         registered mail addressed to the address stated in Annex 4 and will be deemed to have been duly
         delivered within five working days after posting.



15. NO PARTNERSHIP

In witness whereof the parties hereto have caused their authorized representatives to set their hands hereunto and to
one other of the same tenor on the date first written above.
