Enclosed is a Request for Proposal (RFP) for Lawn Mowing Services. The proposed
Agreement calls for an initial one-year award period, with two one-year renewal options.
The responsive Proposal will comply with all federal, state and local regulations.
Information regarding the services to be provided, information which must be submitted
as part of the Proposal, and related details are included in the accompanying RFP.

A mandatory pre-bid meeting will be held on Wednesday, February 10, 2010 at 8:30
a.m. All interested parties are to meet at the District Office, 220 Locust Street,
Washington, MO 63090.

All interested parties must submit Proposals by Wednesday, March 3, 2010, before
10:00 a.m., CST. No late submittals will be accepted. The Board of Education
reserves the right to accept or reject any or all Proposals, to waive any irregularities,
and to accept the Proposal that is in the best interest of the District. The District shall
be held harmless for any failure to solicit proposals from potential firms. The award for
Lawn Mowing Services will be considered by the Board at its regular meeting on March
24, 2010.

Companies are to submit four (4) originals of their response to the RFP. Proposals
shall be delivered in sealed envelopes clearly marked as indicated below.

INTRODUCTION AND GENERAL INFORMATION

The School District of Washington, Washington, Missouri, (hereinafter referred to as “District”) is
seeking bids from qualified vendors to provide lawn mowing services, as specified herein.

Although the District has made an attempt to provide accurate and up-to-date information, The
District does not warrant or represent that the background information provided herein reflects
all relationships or existing conditions related to this Request for Proposal.

OVERVIEW OF DISTRICT

The School District of Washington encompasses 257 square miles in Franklin, Warren, and St.
Charles Counties. The District has 16 buildings with lots that need to be maintained.

                         INSTRUCTIONS TO BIDDERS/BID CONDITIONS

The purpose of the attached specifications is to give detailed information of the services requested
by the School District of Washington. Bidders shall carefully check all requirements herein set forth
and shall offer services which fully comply with these requirements or shall plainly set forth all
points, features, conditions, specifications, etc., wherein the services offered do not meet these
specifications. Such exceptions as are made shall be explained in detail in a letter accompanying
your bid. Failure to outline such exceptions will result in assumption of compliance to said
specifications.

Please be advised that in connection with the submission of any proposal to furnish lawn mowing
services for the School District of Washington, the following shall apply:

   1. The Board of Education of the School District reserves the right to reject any or all proposals
      submitted. The District shall be held harmless for any failure to solicit proposals from any
      potential bidders. A contract resulting from this request for bids shall be awarded to the
      bidder submitting the lowest and best proposal for the School District of Washington. The
      District will evaluate the bids submitted and make an award to the bidder whose bid is most
      advantageous to the District, taking into account all relevant factors, including but not limited
      to: bid prices, bidder’s experience and reliability, expertise of bidder’s personnel.

   2. Any interested bidders must attend the pre-bid meeting at the District Office on Wednesday,
      February 10, 2010 at 8:30 AM. Any proposal to be considered by the Board must be filed at
      the School District of Washington District Office, 220 Locust Street, Washington, Missouri,
      63090 on or before 10:00 AM on March 3, 2010. No bid will be considered if received after
      the hour and date specified.

   3. Bids must be filled out as requested, including all required signatures and pertinent
      information. No bid shall be subject to correction or amendment for any error or
      miscalculation. Services must be furnished at the prices submitted. No increase in price will
      be permitted during the term of the contract and all subsequent option years.

   4. In connection with the performance of work under this contract, the bidder agrees to not
      unlawfully discriminate against or harass any employee or applicant for employment because
      of race, religion, color, national origin, sex, gender, age, disability, or any other protected
      status or activity.

   5. All bids shall be submitted on the forms contained herein. Copies of addenda, if any, shall
      be signed and attached to these bid documents. Failure to provide any requested
      information may result in the rejection of your bid.

   6. The successful bidder shall not be allowed any extra compensation by reason of any matter
      or thing concerning which the bidder might have fully informed themselves because of their
      failure to do so prior to the bidding. The successful contractor must employ, so far as
      possible, such methods and means in the carrying out of the work as will not cause any
      interruption or interference with any other contractors and/or School District operations.

   7. The contract period will be from date of award through the mowing season. The District
      will have the option of renewing this bid for up to two (2) additional one-year periods
      subject to agreement between both the District and the vendor after each year.
   8. Award of this bid is planned for the March 24, 2010 Board of Education meeting.

   9. The contractor assumes responsibility for all loss or damage caused by fire, windstorm,
      cyclone, tornado, flood or freezing, to the materials and equipment with which the work of
      this contract is to be done. The contractor is required to insure in full or in part against such
      loss or damage, responsibility for which is here assumed. The contractor will assume
      responsibility for all loss or damage to their own equipment.

   10. Bids of an incomplete nature, or subject to multiple interpretations may, at the option of the
       School District, be rejected as irregular.

   11. If anyone submitting a bid for this contract is in doubt as to the true meaning of any part of
       these specifications and other contract documents, they may submit to the Purchasing
       Agent a written request for an interpretation thereof. All questions pertaining to this
       Request For Proposal should be submitted in writing by mail to the Purchasing Agent at
       the above address, by fax (636-231-2009), or by email
       casey.zastrow@washington.k12.mo.us. All such requests for clarifications and/or
       additional information will be addressed to all prospective bidders by means of written
       addendum. Any other explanation or interpretation of the proposed documents shall not be
       considered valid nor a part of these terms, conditions, and specifications.

   12. Each bid shall be signed by the person making the bid, along with the firm name, mailing
       address, and telephone number. In case the bid is made by a corporation, the same shall
       be signed by a legally authorized agent of the corporation. The envelope containing the bid
       shall be sealed and plainly marked as a bid for this particular contract.

                        GENERAL CONTRACTUAL REQUIREMENTS

1.    Prices quoted shall include all costs for labor, equipment, supplies and material
      charges to complete the work at the locations indicated and as requested by the
      Director of Building and Grounds.

2.    Bidders must use the bid forms provided for that purpose in submitting bids, must
      return the bid documents, give pricing as indicated, and sign the bid. MARK
      RETURN ENVELOPE as follows:

3.    Faxed bids will not be accepted.

4.    Whenever products or materials of any particular producer or manufacturer are
      mentioned in our specifications, such product or material mentioned is intended to be
      descriptive of type or quality and not restrictive to those mentioned except as noted.

6.    Do not include Federal Excise Tax or Sales and Use Taxes in bid prices, as the District is
      exempt from them by law. Tax exemption certificate will be furnished upon request.

7.    In case of default by the Contractor, the School District of Washington will procure
      the services herein specified from other sources and hold the Contractor responsible
      for any excess cost occasioned thereby.

8.    Failure to perform as guaranteed, or any other default by the Contractor may result in
      disqualification of the Contractor from future bidding.

9.    Should bidder take exception to any terms, conditions, or specifications; stated herein, such
      exception must be so noted IN WRITING within your bid submittal and an alternative stated.
      Failure to do so will result in the assumption and requirement of compliance with said terms,
      conditions, and specifications as stated.

10.   Failure to provide any requested information may result in the rejection of your bid.

11.   According to section 171.181 of the Missouri State Statutes, no board member, officer or
      employee of the School District of Washington is permitted to sell or provide any of the
      commodities stated within this bid to the School District of Washington.

                                             INSURANCE

The successful bidder shall provide and maintain for the duration of the contract, insurance
acceptable to and approved by the School District of Washington. A Certificate of Insurance which
names the District as additional insured per the following requirements is to be furnished within
fifteen (15) calendar days following the notice of award, and prior to work proceeding under this
contract.

COMPENSATION INSURANCE

The Contractor shall take out and maintain during the life of this contract, Employee's Liability and
Worker's Compensation Insurance for all of their employees employed at the sites of the work, and
in case any work is sublet, the Contractor shall require the subcontractor similarly to provide
Worker's Compensation Insurance for all of the latter's employees unless such employees are
covered by the protection afforded by the Contractor. In case any class of employees engaged in
hazardous work under this contract at the site of the work is not protected under the Worker's
Compensation Statute, the Contractor shall provide and shall cause each subcontractor to provide
Employee's Liability Insurance for the protection of their employees not otherwise protected.

PUBLIC LIABILITY AND PROPERTY DAMAGE INSURANCE

The Contractor shall take out and maintain during the life of this contract such public liability and
property damage insurance as shall protect them and any subcontractor performing work covered
by this contract from claims for damages for personal injury including accidental death, as well as
from claims for property damages, which may arise from operations under this contract, whether
such operations be by themselves or by any subcontractor or by anyone directly or indirectly
employed by either of them and the amounts of insurance shall be as follows:

       PUBLIC LIABILITY INSURANCE in an amount not less than $2,000,000 single limit for any
       one occurrence covering both bodily injury and property damage, including accidental
       death.

       AUTOMOBILE PUBLIC LIABILITY AND PROPERTY DAMAGE: The Contractor shall
       maintain during the life of this contract, automobile public liability insurance in the amount of
       not less than $2,000,000 single limit for any one occurrence and not less than $350,000.00
       per individual, covering both bodily injury, including accidental death, and property damage,
       to protect themselves from any and all claims arising from the use of the Contractor's own
       automobiles, teams and trucks; hired automobiles, teams and trucks; and automobiles both
       on and off the site of the work.

       OWNER'S CONTINGENT OR PROTECTIVE LIABILITY AND PROPERTY DAMAGE: The
       Contractor shall provide the District with proof of Owner's Protective Liability and Property
       Damage Insurance, which shall protect the District against any and all claims which might
       arise as a result of the operations of the Contractor or his subcontractors in fulfilling the
       terms of this contract during the life of the contract. It is preferred that this policy includes a

       provision for alleged assault and battery. The minimum amounts of such insurance will be
       $2,000,000 per occurrence, $350,000.00 per individual. Should any work be subcontracted,
       these limits shall also apply.

PROOF OF INSURANCE

The Contractor shall furnish the School District of Washington with a Certificate of Insurance which
names the District as additional insured in amounts as required in this contract and requiring a
thirty (30) day mandatory cancellation notice. In addition, such insurance shall remain in effect
until such time as the District has determined that the contract is complete.

HOLD HARMLESS AGREEMENT

To the fullest extent not prohibited by law, the Contractor shall indemnify and hold harmless the
School District of Washington, its Board of Education, officers, agents, and employees from and
against all claims, damages, losses and expenses (including but not limited to attorney's fees)
arising by reason of any act or failure to act, negligent or otherwise, of Contractor, of any
subcontractor (meaning anyone, including but not limited to consultants having a contract with
Contractor or a subcontractor for a part of the services), or of anyone directly or indirectly
employed by Contractor or by any subcontractor, or of anyone for whose acts the Contractor or its
subcontractor may be liable, in connection with providing these services.

E-VERIFY

In compliance with Missouri Revised Statute 285.530, the successful contractor will also be
responsible for completing the E-verify affidavits located at the end of this document.

                                        BID RESPONSES

Bids submitted in response hereto shall be on the form provided herein, and shall include
completion of the Statement of Bidder's Qualifications, with references from at least three (3)
firms familiar with your company's work.


                                  EVALUATION AND AWARD

Evaluation of bids received will be based upon the costs provided and the ability to meet the
mowing requirements, the submittal of the required documents and the qualifications of the firm
submitting the bid. The District may award these services to one vendor or may split the
services between multiple companies.

Award of this bid is planned for the March 24, 2010 Board Meeting.

The School District of Washington is requesting prices to provide Lawn Mowing Services at the
following locations:

The successful contractor will provide all mowing, weed eating and lawn care for all the school
buildings listed above from date of award through the 2010 mowing season.

All bids shall include a listing of equipment, number of each and sizes to be used to fulfill the
requirements of this contact.

The successful contractor will assign a contact person as the individual that the District
representative is to communicate and deal with.

Any damage to District buildings or property must be reported immediately to the Director of
Building and Grounds or his Authorized Designee. Repairs to damaged property or buildings
will be at contractor’s expense.

The Director of Building and Grounds or his Authorized Designee reserves the right to request
additional mowing on the listed building sites for special occasions. Prices will be negotiated
between the District and the service provider. The Director of Building and Grounds or his
Authorized Designee shall coordinate and inspect the finished mowing at any/all school sites.

The successful contractor shall ensure that all school sites are mowed and the weed eating
completed for graduation and any other special events. No mowing can take place while these
events are in session. Dates of these events will be provided to the successful contractor.

The School District of Washington requires that all vendors working in the District have on file with
the District, two types of background checks for employees or subcontracted employees who will
be working unescorted on/in any district campus and/or buildings. The two checks are:

       Missouri Child Abuse or Neglect/Criminal Record Check
       Missouri State Highway Patrol Criminal Record Check

NOTE: The School District will provide the forms and process both the Missouri background
record checks. If a FBI Background Check is required, the District will provide the forms and
process it as well. All fees for these checks will be deducted from the monthly bill.

The contractor will be required to provide copies of all background checks for all employees who
will be working unescorted on/in any District campus and/or building. All background checks are
required to be on file prior to authorization to proceed. All background check documentation shall
be delivered to Casey Zastrow, Purchasing Agent for processing (approximate timeline is 2 to 5
days). Buildings and Grounds will notify the contractor of the background check results. It shall be
the responsibility of the contractor to ensure all their staff and their subs are in compliance with
District access security requirements.

It will be the responsibility of the successful contractor to communicate to the Director of
Building and Grounds or his Authorized Designee the names of all employees, changes in
employees and any changes in the employee’s Criminal background status.

All property owned by the School District of Washington per Board Policy is “Tobacco Free”.
All employees are expected to honor the smoking ban.

The following Dress Code must be adhered to:

       No head gear worn in the buildings while school is in session
       Shirts or T-shirts are to be worn at all times
       No torn or cut off T-Shirts or T-Shirts with large arm holes
       No logos or shirts or other clothing that are inappropriate for a school setting – such logos
       include, but are not limited to alcoholic beverages, tobacco, suggestive words or images,
       weapons, or violence
       Knee-length shorts will be allowed during extremely warm weather

The successful contractor’s employees are authorized to use building restrooms “Only”. They
are not authorized to be any other places in District buildings except by invitation.

Should the bid amounts exceed budget, the School District reserves the right to remove some
school sites from the total bid package.

Should your company perform snow removal services, it is the wish of the District to see
pricing on these services as well. Please use a copy of the pricing form in order to
submit pricing along with your lawn mowing bid.

                                MOWING REQUIREMENTS

1. The grass shall be cut to a height of 3”.
2. Each site shall be mowed when the grass reaches an average height of 5” and/or when the
    buckhorn and other growth reaches 6” to 7”.
3. Trimming is required around all buildings and all obstacles on each school site.
4. After each mowing, all grass clippings and debris shall be blown off of sidewalks.
5. Grass and debris must also be kept off driveways and streets located adjacent to the
    mowing areas.
6. Do not throw grass onto buildings and vehicles.
7. Provide a weekly mowing schedule. Assume start of mowing on March 29, 2010.
8. Each site shall be mowed at least every other week through November 12, 2010.
9. If you’re unable to mow due to inclement weather, this shall be denoted on your monthly
    invoice.
10. Invoicing will be on a monthly cycle, based on the number of cuts that month.

                                              PRICING

We are asking for pricing by site and for the total district. We will choose the pricing method that
is most advantageous to the District. Bidders must include in their pricing all costs associated with
completing the work as outlined in the scope of work. The District may award this contract to one
vendor or to multiple vendors.

                                          EQUIPMENT

On a separate document, provide a list of all equipment, number of each and sizes to be used to
fulfill the requirements of this contact.

                                          EXCEPTIONS

The bidder shall furnish a statement on company letterhead giving a complete description of all
exceptions to the terms, conditions, and specifications. Failure to furnish the statement will
mean that the bidder agrees to meet all requirements of the Request for Proposal.

                                        RESERVATIONS

The School District of Washington’s Board of Education reserves the right to reject any or all
bids or parts of bid, when in its judgment and at its sole discretion, the Board determines that
the public interest will be served thereby.

The School District of Washington’s Board of Education may waive formalities or technicalities
in bids, if in the judgment of the Board of Education, and at its sole discretion.

The School District of Washington’s Board of Education may waive minor differences in the bid,
if in the judgment of the Board of Education and at its sole discretion these differences do not
violate the bid’s intent.

                   PUBLIC INFORMATION/PROPRIETARY INFORMATION

The School District of Washington is governed by the Missouri Open Meetings Act and other
state and federal law, which permits access to most records and documents.

Bids will be available for public inspection after the award announcement, except to the extent
that a bidder designates trade secrets or other proprietary data to be confidential. Material
designated as confidential must be readily separable from the remainder of the bid to facilitate
public inspection of the non-confidential portion of the bid. A bidder’s designation of material as
confidential will not necessarily be conclusive, and the bidder may be required to provide
justification why such material should not be disclosed. Notwithstanding any provision of
this paragraph or any other part of this RFP, the District cannot guarantee that any
information submitted by the bidder, including but not limited to information designated
as trade secrets or other proprietary data, will not be subject to mandatory disclosure
under state or federal law.

All bidders must be primarily engaged in providing the services as outlined in these
specifications.

The School District of Washington reserves the right to check all references furnished and
consider the responses received in determining the award of this bid.

The bidder’s personnel and management to be utilized in this service requirement shall be
knowledgeable in their areas of expertise. The School District of Washington reserves the right
to perform investigations as may be deemed necessary to insure that competent persons will be
utilized in the performance of the contract.

        FEDERAL WORK AUTHORIZATION PROGRAM (“E-VERIFY”) ADDENDUM

         Pursuant to Missouri Revised Statute 285.530, all business entities awarded any contract in
excess of five thousand dollars ($5,000) with a Missouri public school district must, as a condition to the
award of any such contract, be enrolled and participate in a federal work authorization program with
respect to the employees working in connection with the contracted services being provided, or to be
provided, to the District (to the extent allowed by E-Verify). In addition, the business entity must affirm
the same through sworn affidavit and provision of documentation. In addition, the business entity must
sign an affidavit that it does not knowingly employ any person who is an unauthorized alien in connection
with the services being provided, or to be provided, to the District.

        Accordingly, your company:

       a)     agrees to have an authorized person execute the attached “Federal Work Authorization
Program Affidavit” attached hereto as Exhibit A and deliver the same to the District prior to or
contemporaneously with the execution of its contract with the District;

        b)       affirms it is enrolled in the “E-Verify” (formerly known as “Basic Pilot”) work
authorization program of the United States, and is participating in E-Verify with respect to your
employees working in connection with the services being provided (to the extent allowed by E-Verify), or
to be provided, by your company to the District;

        c)      affirms that it is not knowingly employing any person who is an unauthorized alien in
connection with the services being provided, or to be provided, by your company to the District;

        d)       affirms you will notify the District if you cease participation in E-Verify, or if there is
any action, claim or complaint made against you alleging any violation of Missouri Revised Statute
285.530, or any regulations issued thereto;

        e)      agrees to provide documentation of your participation in E-Verify to the District prior to
or contemporaneously with the execution of its contract with the District (or at any time thereafter upon
request by the District), by providing to the District an E-Verify screen print-out (or equivalent
documentation) confirming your participation in E-Verify;

       f)       agrees to comply with any state or federal regulations or rules that may be issued
subsequent to this addendum that relate to Missouri Revised Statute 285.530; and

         g)     agrees that any failure by your company to abide by the requirements a) through f) above
will be considered a material breach of your contract with the District.

FEDERAL WORK AUTHORIZATION PROGRAM AFFIDAVIT


          I, ________________________, being of legal age and having been duly sworn upon my oath, state the

following facts are true:

          1.      I am more than twenty-one years of age; and have first-hand knowledge of the matters set forth

herein.

          2.      I am employed by __________ (hereinafter “Company”) and have authority to issue this affidavit

on its behalf.

          3.      Company is enrolled in and participating in the United States E-Verify (formerly known as “Basic

Pilot”) federal work authorization program with respect to Company’s employees working in connection with the

services Company is providing to, or will provide to, the District, to the extent allowed by E-Verify.

          4.      Company does not knowingly employ any person who is an unauthorized alien in connection with

the services Company is providing to, or will provide to, the District.
