                                                              For:

Environmental Impact Study for a Combined Heat and Power Plant at S.C.Sicomed S.A., Bucuresti


Consulting and engineering companies and individual consultants, highly specialised in environmental
impact studies, with specific application in cogeneration plants/equipment – certified area 3.a, are invited
to send their technical and financial offer for the work entitled: Environmental Impact Study for a
Combined Heat and Power Plant at S.C.Sicomed S.A., Bucuresti.

The technical and financial offers will be drawn up in accordance with the Guidelines (below).

The content of the work is briefly described in the Terms of Reference (ToR) for the Environmental
Impact Study (below).

SUBMISSION OF OFFER:                   The offers will be submitted in sealed envelopes by mail or by
                                       hand. No other form of submission (fax, email) is permitted.


DEADLINE FOR ASKING                    Seven days from the date of publication of this Call for Offers
FOR CLARIFICATIONS:                    on Internet.


DEADLINE FOR                           Five days from the deadline for asking clarifications.
ANSWERING QUESTIONS                    UNDP/GEF will publish the answers to relevant questions only
SUBMITTED:                             at www.energie.undp.ro


DEADLINE FOR RECEIVING                 Tuesday 15thFebruary 2005, 16:00 hours. Offers received
OFFERS:                                after this date/hour will not be considered.


SIGNING OF THE CONTRACT:               Within ten working days from when a contract is offered.


CONTENT OF THE OFFERS:                 Two separate documents, as follows:

   1. The Technical Offer will include the following sections:

           -   The content of the Environmental Impact Study requested;
           -   Approach and methodology;
           -   Staff to be employed for this assignment (please include CV’s for staff with relevant
               experience in the field)
           -   List of references (the consultant will specify minimum three similar works relating to
               cogeneration/electric power plants carried on over the last four years; meaning
               environmental impact studies related to (re-)powering of a power plant/company using
               cogeneration equipment, transformation a heat station/boiler house into a combined heat
               and power station or electric power plants).

   2. The Financial Offer (both in Romanian and English - compulsory!) will include the following
      sections:
                          (1)
           -   Total price for the assignment for the entire work. The price will be expressed in US$
               and will not include VAT;
           -   Breakdown of the total price, using the table no.1 overleaf (costs expressed in US$,
               without VAT);
           -   Details about staff who will participate in the elaboration of the works, in Table No. 2;
           -   Validity period of the offer (minimum 2 months from the deadline of submiting the offer);
             -   Work duration, expressed in months from the date of signature of the contract;
             -   Written confirmation that the following payment terms are acceptable:
                       i. 40% upon presentations of the Interim Report containing a detailed Work Plan
                      ii. 60% upon satisfactory completion of the entire study

      (1) Please consider that the price is fixed and may not be changed, except in the case that
          supplementary tasks are agreed mutually by contractual side-letter.

HOW TO PRESENT THE                 The offers will be sent into two separate sealed envelopes.
OFFERS:
                                   The first one will contains technical offer and will bear the name of
                                   consultant, the title of the work and the specification ˝TECHNICAL
                                   OFFER”

                                   The second one will contain the financial offer and will bear the name of
                                   consultant, the title of the work and the specification ˝FINANCIAL
                                   OFFER”

                                   The Technical Offer as well as the Financial Offer (the latter drafted both
                                   in Romanian and English) will be also issued in one electronic copy on
                                   CD/diskette. The reason behind this requirement is to speed up contract
                                   preparing.

                                   Both envelopes and the CD/diskette will be introduced into a third
                                   envelope bearing the name of consultant and the title of work.
HOW THE OFFERS WILL                    The offers will be evaluated by a commission formed by minimum three

                                       UNDP/GEF, UNOPS, UNDP Romania, ARCE and representatives of the
                                       beneficiaries.

                                       The basic criterion used for selecting the winner is: Lowest cost
                                       technically acceptable offer (see Procedures for Selecting Consultants)

                                       Technically acceptable offer means an offer that fully meets the
                                       requirements specified in this document.


SPECIAL REMARKS:                                 UNOPS reserves the right not to enter into a contract based on
                                                 the results of this Call for Offers in the case that circumstances
                                                 change.

                                                 Expenditures for eleboration and presentation of the Offer will be
                                                 covered by the applicant and will not be reimbursed by
                                                 UNDP/GEF, UNOPS.

                                                 Appeals regarding the selection results may be sent by fax to the
                                                 fax number (+ 40 21) 231 1426.

                                                 Offers received after the deadline will be returned to the
                                                 applicants, without being opened. The other Offers will be
                                                 retained in UNDP/GEF/UNOPS archives.


INFORMATION CONCERNING                           A standard United Nation form of contract will be used.

                         ToR FOR THE ENVIRONMENTAL IMPACT STUDY

1. Client: UNDP/GEF Project*


2. Beneficiaries: S.C. SICOMED S.A. si SE-GES S.A. (Societatea pentru Energie-Generare si
   Servicii S.A.), Bucuresti


3. Project Theme: Environmental Impact Study for a Combined Heat and Power Plant at
   S.C.Sicomed S.A., Bucuresti


4. Necessity and Opportunity of Investment

   S.C. SE-GES S.A. intends to build a combined heat and power plant for S.C. SICOMED S.A.,
   Bucuresti. The plant will be powered by two thermal engines, of 600 kWe each, both equipped
   with heat recovery systems and fueled on natural gas. To achieve this, both SE-GES and
   SICOMED need an Environmental Impact Study.


5. Content of the Study

   The study will be carried out respecting the provisions of Romanian legislation in force regarding
   the elaboration of Environmental Impact Studies.


6. Working and reporting conditions

   The study will be carried out respecting the provisions of Romanian legislation in force regarding
   the elaboration of Environmental Impact Studies.

   The final report will be issued in four hard copies and two electronic copies on CD.


7. Working relationship between the consultant and the beneficiaries

   SE-GES will provide in maximum five days from signature of the contract, the data required by the
   project Consultant and will facilitate the Consultant’s access to the project site and data gathering.

   SE-GES will support the Consultant by making available the last version of the technical
   documentation in relation to the cogeneration equipment (Feasibility Study, engineering projects
   and drawings), as well as the technical characteristics/parameters of the equipment, and shall
   facilitate its contact with the equipment suppliers, should it be necessary to clarify the pending
   issues.

   Requests for data and the response to such requests will be made in writing and registered by
   both the Consultant and the Beneficiaries.


8. Schedule

   The study must be completed within maximum 30 calendar days from the date of contract
   signature.
9. Special remarks

   At the beginning of the contract, the Consultant will visit Sicomed’s premises, accompanied by a
   representative of SE-GES, in order to establish first contacts and discuss on the study.

   The Consultant will calculate the GHG emissions both in actual situation and after implementing
   the measure(s) proposed in the Feasibility Study.

   The final report will also include an Executive Summary, which highlights the main results of the
   study. The Executive Summary will be drafted both in Romanian and in English.
