CONDITIONS OF CONTRACT FOR ANNUAL MAINTENANCE AND
OPERATION OF COMPLETE FIRE FIGHTING SYSTEM AT UCO BANK
BUILDING, 5 PARLIAMENT STREET, NEW DELHI-110001
(I)     GENERAL
        (1) This contract is with a view to keep the entire fire fighting equipments, wet
            riser, diesel engine pump set, fire pumps and fire panels in healthy
            serviceable condition to ensure their proper and effective functioning. The
            Contract includes manning of installation round the clock, so that the
            personnel on duty keep a constant watch on fire panels etc.
        (2)   We propose to have a contract of fire safety personnel to operate fire fighting
              appliances installed in the above building.
        (3)   The fire safety contractor should be qualified in fire safety and fire fighting
              equipments from Fire Engineering College or he should have the past
              experience to handle fire appliances.

        (4)   They will have liaison with the concerned Fire Station officials as also
              immediately report to Fire Station in case of fire.
(II)    CONTRACT PERIOD
        (1) The contract period shall be ONE YEAR and Bank reserves the right to
            renew the contract for a further period of two years at the rates quoted by the
            tenderer.
        (2)   Bank reserves the right to terminate the contract by giving one month’s clear
              notice.
        (3)   In case the contractor desires to terminate the contract, it will have to give
              three months clear notice to the Bank.
(III)   EXTENSION OF CONTRACT
        The contract shall be valid for a period of one year at initial instance. It can be
        extended further for a period of two year at the sole discretion of the Bank.
(IV)    MAINTENANCE REGULATIONS
        (1) The contractor shall ensure the operation of the installation and their
             maintenance as per the Rules and Regulations of the Chief Fire Officer, Delhi
             Fire Service. The Contractor shall also abide by the requirements of The
             Delhi Fire Prevention and Fire Safety Act, 1986 and Rules 1987 and shall
             strictly follow their instructions from time to time for operation of fire fighting
             systems in the above building.
        (2)   The contractor should be available as and where required to take instructions
              on fire matters regarding maintenance and operation services.
(V)     SCOPE OF WORK
        (1) Providing trained and qualified staff for operation and maintenance of fire
            fighting systems round the clock.
        (2)   Maintenance and operation of :
              (a) Wet riser
              (b) Sprinkler system
              (c) Hose pipes and hose reel drums
              (d) Fire pumps
              (e) Fire alarm panels
              (f) Oiling of valves and metal polishing
              (g) Providing gland packing and washers

               (h)      Fire boxes. The fire fighting system at the initial stage of fire i.e.
                        operation of hose reels, hose pipes, portable fire extinguishers till the
                        arrival of fire brigade will be operated by the Contractor’s workers.
               (i)      Diesel engine pump set- (Payment for procurement of diesel shall be
                        made by the Bank as per requirement).
               (j)      Testing of installation including pump motor, diesel engine etc to keep
                        them in healthy working condition on routine basis as set by the
                        designated officer of the Bank.
(VI)     DUTIES
         The following duties are also to be performed as required apart from the other jobs
         detailed in the SCOPE OF WORK-
         (1)   Training of personnel in fire fighting and maintenance of fire fighting systems
               which includes Security personnel of the building.
         (2)   The duty personnel will operate the portable fire extinguishers to provide the
               first aid in case of fire.
         (3)   To look after the security of the fire fighting equipments.
(VII)    FIRE PERSONNEL
         The number of fire personnel to be employed by the contractor are as under-
         (1) Supervisor- 1 person (from 0930 Hours to 1730 Hours)
         (2)   Firemen including pump operator- 3 Nos (one in each shift). They are
               required to be deployed round the clock on shift basis.
         (3)   Reliever has to be provided by the contractor at their quoted rates and
               nothing extra shall be paid in this regard.
         (4)   Each person on duty should be provided with mobile phones whose Nos. will
               be displayed on the Board in each building.
(VIII)   EARNEST MONEY
         Tenders not accompanied by earnest money will be summarily rejected
(IX)     SECURITY DEPOSIT
         The successful tenderer will have to deposit security deposit as per the terms
         mentioned in the tender document.
(X)      TAXES, OCTROI AND OTHER DUTIES
         The rates quoted shall be deemed to be inclusive of all taxes and duties and
         nothing extra shall be paid on this account.
(XI)     ACQUAINTANCE WITH INSTALLATIONS
         The tenderer is advised to visit the building and get themselves acquainted with
         the installations. However, even if the tenderer do not visit the site, it will be
         presumed that they have quoted the rates after visiting the site and having
         acquainted themselves with various equipments.
(XII)    THEFT OF PARTS
         The contractor shall be fully responsible for the theft/ burglary or any other
         mischief.
(XIII)   LOCAL REGULATIONS
         The contractor shall ensure that the operation of the installation and their
         maintenance is done as per the rules and regulations of the Chief Fire Officer,
         Delhi Fire Service and other Fire Safety Acts/Rules. The Contractor shall also
         abide by the requirements of the Bank and shall follow the instructions issued by
         Bank’s Security Officer and/or Bank’s Engineer or any other officer duly authorized
         by the Bank for this purpose.

(XIV)     LOG BOOK
          The Contractor shall maintain a log book & staff register at the site wherein entries
          like general conditions, daily, weekly & periodical duties and maintenance carried
          out and results achieved should be noted. The drill shall apply for all equipments
          and all entries in the registers shall be got scrutinized & signed every alternate day
          by Bank’s Security Officer & in his absence by any other Officer of the Bank.
          In case of actuation of fire detectors for testing the Contractor shall inform the
          designated officer(s) of the Bank. The Contractor shall inform the designated
          officer of the Bank regarding any abnormality, malfunctioning in any system &
          make necessary entries in the log book.
(XV)      TOOLS AND PLANTS
          The Contractor shall provide necessary tools required for carrying out the
          maintenance/operation.
(XVII)    OTHER TERMS AND CONDITIONS
          Bank’s General Terms and Conditions incorporated in the tender document shall
          be applicable.
(XVIII)   RATES QUOTED
              Rates quoted shall include
                  (i)       Deploying Supervisor, skilled workers round the clock and
                            carry out servicing as detailed in this Contract.
                    (ii)            To provide all tools and plants required for carrying out
                                    maintenance/servicing as detailed in the contract.
                    (iii)           To provide materials required for day to day maintenance and
                                    operation like grease, gland packing and small pieces of wire
                                    etc.
                    (iv)            The charges for replacement of parts and equipments like
                                    detectors, sprinklers, hooters, hydrant valves, parts in electric
                                    panel or any other material shall be paid extra. The charges for
                                    these items shall be paid on the actual cost of the parts (cash
                                    memo to be submitted) over which suitable installation charges
                                    and 15% for profit and overheads shall be allowed. The
                                    decision of the Competent Authority of the Bank shall be final in
                                    case of dispute in identification of replacement parts.
                    (v)             One mobile phone for each building and one phone for the
                                    Supervisor.
(XIX)     PENALTIES AND LIQUIDATED DAMAGES
             For rendering improper services or causing delays in carrying out repairs, the
             liquidity damages may be recovered at the following rates-
             FIRE ALARM SYSTEM/PA SYSTEM
             1     If the entire main control panel is not set right within Rs 200/- per day
                   24 hours
              2        If any zone in the panel remains out of order for                                Rs 100/- per day
                       more than 24 hours
              3        If PA System is out of order for more than 24 hours                              Rs 100/- per day
              4        If the circuitry of any floor is out of order for more                           Rs 100/- per day
                       than 24 hours                                                                    per floor
              5        If battery charging is out of order for more than 24                             Rs 100/- per day
                       hours
NOTE      WHILE IMPOSING THE LIQUIDATED DAMAGES AS INDICATED ABOVE. DUE
          CONSIDERATION SHALL BE GIVEN TO THE TIME FACTOR NEEDED FOR CARRYING
          OUT THE REQUIRED REPAIRS

(xx)      LOWEST TENDER
          The Bank reserves the right to reject the lowest or any other tender without
          assigning any reason whatsoever.
(XXI)     VLIDITY
          The tender shall be valid for acceptance for a period of 90 days from the last date
          of receipt of tender.
(XXII)    PAYMENT TERMS
          The payment will be made on monthly basis. The monthly bill of AMC should be
          submitted by 7th of the next month by the Contractor and the same will be settled
          within seven working days after necessary checking.
(XXIII)   Deductions towards Income Tax at source shall be made from all payments made
          to the Agency; necessary certificates of such deductions shall be given to the
          Agency.
(XXIV)    Neither party shall take any advantage of any clerical error or mistake which may
          creep in or occur in the instructions or any other papers supplied to or by the
          Contractor in connection with the work, but such clerical error or mistake shall be
          brought to the notice by the one to the other without any loss of time and same
          shall be rectified.

ANNEXURE - B
1   GENERAL INFORMATION ABOUT INSTALLATION
    a) The building is having basement, ground and four upper floors.
    b)   The main control panel and PA system are installed at ground floor of the
         building having heat and smoke detectors on all floors.
    c)   The building is having wet riser running from basement to top floor with
         sprinkler system in the basement.
    d)   Each floor is provided with exit sinages.
    e)   The Contractor will be required to check the entire system and submit their
         report for rectification of the defects if any, alongwith their estimate for carrying
         out such repairs. Bank is not bound to get the work undertaken by the
         Contractor and may invite tenders for carrying out that job.
2   MAINTENANCE AND OPERATION OF WET RISER, SPRINKLER
    a) Daily physical checking of all floor hydrants, hose pipes, nozzles, pumps and
        various valves etc.
    b)   To note down daily pressure gauge readings.
    c)   To operate pumps and test automatic system once a week by reducing the
         pressure in risers (by discharging the water)
    d)   The oiling and greasing of pump(s) shall be done once in three months. The
         gland packing shall be replaced as and when required.
    e)   To check and clean all the electrical contacts in electrical panel once every 15
         days to ensure their proper working.
    f)   Checking, operating, oiling and greasing of all hydrants, sluice valves, nozzles,
         checking/replacing washers etc once every three months. This will also include
         testing with actual discharge test. These tests may be done by rotation so that
         all these tests are covered once in three months.
3   FIRE ALARM AND PUBLIC ADDRESS SYSTEM
        A) DAILY SERVICES
        1 To watch constantly the main panel round the clock and take suitable
            action when signals are received there upon.
         2     To attend immediately the defects arising in the installation of fire alarm
               and PA system.
         B) SERVICES TO BE CARRIED OUT FORTNIGHTLY
         1 To clean the fire control panel (with vacuum cleaner), check and carry out
             necessary adjustment and repairs in the main panel.
         2     Every zone in the panel shall be manually tested for fire and fault
               indications through the test push buttons provided in the panel.
         3     Every zone in the panel to be tested for its automatic operation for faults
               (open and short circuit) fire signals etc from the end of line of every circuit
               on respective floors to ensure audio and visual signal is received on
               central control panel.

4     To check entire equipment for public address system and check its working
      by manually operating the same.
5     To check, test and charge batteries and to check the specific gravity of the
      acid in batteries. The replacement of batteries shall be done by the Bank.
6     To check, clean and carry out necessary adjustments/ repairs to battery
      charging unit to ensure its efficient functioning.
7     To check and ensure receiving of signals on the main panel for fire
      detection and sprinkler system by actually activating the system.
C) SERVICES TO BE CARRIED OUT EVERY THREE MONTHS
1 The electrical parameters like voltage and current flowing through the
    conductors at various points shall be checked to ensure that they match
    with the required values.
2     The electrical parameters shall also be checked (in a manner as indicated
      in para above) when the fire, fault and hooter indicators are automatically
      given.
3     The PA System shall be checked for its manual and automatic operation
      for alert/evacuate tone and also for speech tone at every hooter.

4     Testing of manual call points by actually activating them by removing
      glass. The contacts and other parts of call boxes shall be cleaned, checked
      and necessary oiling and greasing carried out.
5     Mock fire testing of each zone by energizing smoke detectors through
      smoke.
D) BREAK DOWN MAINTENANCE
1 On intimation of complaint by the Bank, the Contractor shall attend to the
    fault within two hours time along with all possible spares, tools and
    manpower. After attending the fault, confirmation may be sent to the Bank.
2     For rectification of faults, good quality spares shall be used. After
      rectification, quality & performance of the system should be up to the
      satisfaction of the bank.
3     Apart from the mentioned equipments if fault arises in the cabling it is
      Contractor’s responsibility to replace the same.

                                                  ANNEXURE – E
                                        ARTICLE OF AGREEMENT
AN AGREEMENT made this ____________________ day of _________ 2009 between UCO
BANK, a body corporate constituted under Banking Companies (Acquisition and Transfer of
Undertakings) Act, 1970 having its Zonal Office at UCO Bank Building Parliament New Delhi 110
001 (hereinafter referred to as the "Bank") of the one part and __________________________
of __________________________hereinafter referred to as the "Contractor") of the other part.

WHEREAS IT IS AGREED:
    1. The Contractor shall carry out the Operation and Maintenance of the Fire Safety System
       installed at UCO Bank Building, 5 Parliament Street, New Delhi- 110001 on the terms and
       conditions herein contained and according to the General Conditions of Tender and
       Schedule of rates attached, and instructions to be given by and under the supervision of
       and to the entire satisfaction of the Bank's authorized representative at New Delhi.
    2. The Contractor has satisfied himself as to the nature of the work to be executed on the
       site. Any difficulties which the Contractor may come across in the course of the work shall
       neither in any way relieve him from fulfilling the terms of this agreement nor entitle him to
       claim or receive extra payment, unless the Bank’s authorized representative is of the
       opinion that such difficulties could not have been foreseen.
    3. Supply of Material/Labour: The Contractor shall deploy trained and qualified persons to
       maintain and operate the Fire Safety System round the clock.
    4. All materials supplied by the Contractor shall be of the best quality, conforming to the
       required specifications and will be subject to the approval of the Bank's authorized
       representative. All such materials as shall not be approved shall be removed at once by
       the Contractor at his own expense. The Contractor shall furnish in favour of the Bank, a
       security deposit equal to 10% of the value of the contract for one year in the form of
       DD/Bank guarantee from a nationalized bank as performance guarantee. This amount of
       security deposit will not earn any interest. This amount will be refunded to the contractor
       within three months of completion/termination of the contract.
    5. Termination of Contract: In the event of the Contractor failing to keep to the agreed
       scheduled of work, or in the event of the Contractor failing to undertake the work
       satisfactorily, the Bank may terminate this agreement by giving one month notice in
       writing. In case the contractor desires to terminate the contract, he will have to give three
       months notice to the bank.
    6. Defective work/materials: If any part of the work done by the Contractor shall be found
        defective in workmanship or if bad or inferior materials have been used. The Contractor
        shall at his own risk and costs demolish all such defective work and replace the bad or
        inferior materials used, to the satisfaction of the Bank’s authorized representative. The

    decision of the Bank's authorized representative in this regard shall be final and binding on
    the Contractor. In case of default of the Contractor to remove the defective work or
    replace the bad or inferior materials as aforesaid, as directed by the Bank's authorized
    representative, the Bank shall be entitled to employ anyone else to carry out the same and
    recover all expenses incurred in this regard from the Contractor.
7. On termination of the agreement as aforesaid, the Contractor shall at his own risk and
   cost remove from the work-site within the time prescribed by the Bank all materials, tools,
   equipment which the Bank considers are not useful for its requirements.
8. Inspection of work: Representative of the Bank shall be entitled at all times to have access
   to and inspect the work.
9. Supervision: The Contractor shall provide one competent and technical supervisors
   duly and fully authorised to act on his behalf in all matters relating to the works to be
   carried out under or any other matter concerning this agreement and who shall at all times
   be present at the building on all days. Such supervisor shall be persons of known
   experience and be approved by the Bank authorized representative before they are
   permitted in any way to take charge of, or superintend the operation maintenance works.
   Any directions, explanation, instructions or notices in connection with the work given by the
   Bank’s authorized representative to the supervisor or any one of the operators shall be
   deemed to have been given to the Contractor.
10. Payment for work done: Payments of all bills will be made after deducting income tax at
    source as per rules and a certificate to this effect will be issued to the contractor.

11. The Contractor must submit his monthly bills in duplicate by the 7 of the succeeding
    month and the Bill(s) will be paid within seven working days from the date of receipt of the
    Bill(s). All payment against the bill will be made by Cheque.
12. The Bank in consideration of the Contractor carrying out the work shall pay the Contractor
    at the rates quoted by him in the tender documents, subject to deduction of income tax at
    source.
13. Subletting Contract: The Contractor shall not without the prior written consent of the Bank
    sublet or assign this Agreement or any part there of PROVIDED ALWAYS that any
    consent given by the Bank for signing or subletting will not relieve the Contractor from the
    full and entire responsibility of his obligations under this Agreement and/or instructions
    issued to him.
14. The terms and conditions mentioned in the Tender documents and in the work order shall
    form part and parcel of this agreement.
15. The Contractor, his heirs, executors and administrator shall hold the Bank harmless and
    indemnified from and against all claims, costs and charge for which the Bank shall be
    liable under the Workmen's Compensation Act, and any enactment for the time being in
    force in that behalf and any amendments thereof and the expenses to which it shall be
    put there under, both in respect of personal injuries (within the meaning of the said Act) to
    the employees and servants of the Contractor sub-contractors, if any, and/or permitted
    assigns, arising out of or occasioned during the currency of this Agreement, through the
    acts, or omissions whether due to negligence or otherwise of the Contractor, sub-
    Contractor(s), permitted assigns and also in respect of the personal injuries (as
    understood under the said Act,) to the servants and employees of the Bank arising out of
    or occasioned through, the acts and commissions whether due to negligence or otherwise,
    of the Contractor, sub- Contractor(s) permitted assigns and/or his servants and employees
    in carrying out any of the provisions of this Agreement. The Contractor shall further
    indemnify the Bank against such claims from third parties in respect of injuries arising
    out of or occasioned through the acts and omissions, whether due to negligence or
    otherwise, of the Contractor, Sub-Contractors, permitted assigns and/or his servants and
    employees in carrying out any of the provisions of this Agreement.
16. Whenever the Bank is required to pay contributions in respect of the workmen or
    employees engaged or employed by or through the Contractor, his Sub-Contractor or
    permitted assigns, under the Employees State Insurance Act or the Rules and
    Regulations, made thereunder either as the Principal Employer or otherwise howsoever,
    the Bank shall be entitled to recover from the Contractor such contributions which the Bank
    may pay. The Contractor will discharge his responsibilities under the Employee's State

        Insurance Act,1948 as an immediate employees engaged or employed by him for the
        execution of work or as the next immediate employer in case he has sublet or assigned
        the Agreement or the instructions as provided herein above. The Contractor
        acknowledges the rights of the Bank to recover the amount of the contributions paid by it
        in the first instance in respect of the employees employed by or through him (the
        Contractor) or by his Sub-Contractor or permitted assigns, as well as the employees'
        contributions if any either by deduction from any amount payable to him by the Bank
        under any contract or as a debt payable by him to the Bank.
    17. Statutory Requirements: The Contractor shall conform to provisions of Acts of Parliament
        or State Legislatures and to any bye-laws, rules, orders or notifications of any
        Government, Municipal or Local authority for the time being in force affecting the work
        undertaken by him and will give all necessary notices to and obtain requisite sanction and
        permits of and from the Municipal and any other authority in respect of the said work of
        the materials to be used thereat and generally will comply with building and other
        regulations of such authorities and will keep the Bank indemnified against all claims,
        penalties and losses that may be incurred by it by reason of any breach by the
        Contractor of any statutes bye-laws, rules, regulations, notifications etc.
    18. "The Contractor undertakes to ensure due and complete compliance with all laws,
        regulations, rules etc. whether of the Central Government or the State Government or
        of any other competent authority applicable to the workmen employed or whose services
        are otherwise availed of by the Contractor whether in connection with the construction
        work at the site or otherwise.
    19. The Authorised Officer of the Bank shall have the right to inspect the records maintained
        by the Contractor concerning such workmen from time to time and the Contractor shall
        whenever require by the Bank produce such records for inspection in order to ascertain
        whether or not the requirements of all such laws, regulations, rules etc. have been
        complied with by the Contractor. In event of any contravention of such laws, regulations,
        rules etc. coming to light whether as a result of such inspection or otherwise to effect
        such compliance within such time as the Bank may prescribe in that behalf and in the
        event of the Contractor failing to effect such compliance within the time prescribed by
        the Bank then the Bank shall without prejudice to his rights be entitled to withhold from
        the amount payable to the Contractor any amount payable to the workmen under any
        such laws, regulations or rules to make payment thereof to the workmen. The Bank shall
        also have in that event the right to terminate the contract with immediate effect."
    20. Clerical errors to be rectified: Neither party shall take any advantage of any clerical error or
        mistake which may creep in or occur in the schedule of rates or any other papers supplied
        to or by the Contractor in connection with the work, but such clerical error or mistake shall
        be brought to the notice by the one to the other without any loss of time and same shall be
        rectified.
    21. "The parties to this agreement shall not be responsible for any failure of performance or
        delay in performance of their obligations hereunder if such failure or delay shall be a result
        of any Government directive relevant to this agreement or due to war, hostility, act of
        public enemy riots or civil commotion, strikes, fire, floods, epidemic or acts of God, import
        restrictions, compliance with orders of any governmental/local authority or any other
        cause or causes beyond their control."
    22. Jurisdiction: This agreement shall be deemed to have been made in Delhi and shall be
        construed according to the laws of India and the performance by the Contractor of and
        act on his part herein contained shall be considered due in Delhi for the purpose of
        Jurisdiction.
