           Participating Contractor and Design Consultant List

Please complete this application if you are interested in being featured on National
Grid’s list of qualified contractors and designers for Deep Energy Retrofit projects for
2010. This listing will be posted on National Grid’s Deep Energy Retrofit website,
www.powerofaction.com/der.

To apply for listing consideration, you MUST meet the following eligibility requirements*
     At least two years of experience as a building or remodeling contractor or
      designer
     Contracting party must have MA Home Improvement Contractor (HIC) license
     Contractor or design professional must have prior DER related experience which
      may include:
                  ENERGY STAR® Certified homes with Home Energy Rating score
                     (“HERs”) scores approaching or below 60, and or remodeling with
                     HERs below 70
                  Net Zero Energy or Passive House built or under contract. PHI
                     certification
                  Remodeling projects involving super insulation and extensive blower
                     door verified air sealing

Massachusetts Electric Company, d/b/a National Grid (“National Grid”), seeks to assist
customers willing to participate in our Deep Energy Retrofit pilot in forming project teams
with qualified contractors and designers. To do so, National Grid will provide a list of
contractors and designers with DER-related experience. All participating teams are
subject to an application and selection process described in the Deep Energy Retrofit
Pilot Description and Guidelines. Guidance on project applications and DER training, to
the extent it is needed, may be provided for qualified teams.

National Grid is seeking these applications for listing to share with interested customers
as early on in the pilot process as possible. This application is required before your
project team applications will be accepted.

Please review the Terms and Conditions on page two, and complete the
application on page three.

Indicate specific experience with multifamily buildings of 5 units in the Other
Related Credentials section on page 3.

     *Note: Contractors and design consultants without selected projects and/or with
insufficient DER experience may be provided Deep Energy Retrofit training. If interested,

                                    Terms and Conditions
 for Inclusion on National Grid’s List of Participating Contractors and Design Consultants

Project Selection Process and Project Team Requirements —
See DER Pilot Description and Guidelines.

Proof of Credentials —
Credentials must be provided with the first stage project proposal. Forms of proof include:
   (1) copy of Home Improvement Contractor (HIC) license, required
                                                      ®
   (2) certificate and/or email from ENERGY STAR Homes program
   (3) website or reports with specification of work, location, contact information and photos
       illustrating completed DER projects

Insurance Eligibility Requirements —
Once a project is selected, but prior to executing an agreement with National Grid, all general
contractors participating in projects shall procure, maintain in effect and produce evidence to
National Grid of the following insurance coverage, listing Massachusetts Electric Company d/b/a
National Grid as an “additional insured” on the policies:
        —        Comprehensive liability insurance policy, either primary or excess, with limits of
                 not less than $1,000,000 per occurrence/aggregate bodily injury and $1,000,000
                 per occurrence/aggregate property damage;
        —        Liability policies shall name National Grid as additional insured, shall be in
                 occurrence form, shall contain no products or completed operations exclusions
                 and shall contain contractual liability extension coverage;
        —        Workmen's compensation insurance with statutory limits covering Contractor’s
                 employees, agents and;
        —        Employer's liability insurance in the amount of $500,000 disease policy limit and
                 $100,000 each accident;
        —        Automobile liability insurance for any liability arising from operating vehicles by
                 the Contractor, its employees or agents. Such policy shall cover all vehicles and
                 shall carry combined single limits of not less than $1,000,000 -- bodily injury and
                 property damage.

Background Verification —
Contractor must agree to allow National Grid (the Company) or affiliates of the Company to
conduct appropriate background checks, such as but not limited to the State Attorney’s General
Office, State Board of Building Regulations and Standards, and the Better Business Bureau.

Indemnification Requirements —
Contractor or design consultant agrees to indemnify and hold harmless National Grid and its
affiliates, and its and their employees, officers, directors and agents from and against all claims,
damages, losses and expenses including attorneys' fees arising out of, resulting from, or related
to the performance of any services or other work in connection with the DER pilot and/or any
DER projects, caused or alleged to be caused in whole or in part by any actual or alleged act or
omission of the contractor or design consultant, any subcontractor, anyone directly or indirectly
employed by any of them or anyone for whose acts any of them may be liable, regardless of
whether it is caused or is alleged to be caused in part by National Grid.

Performance Requirements
If and to the extent a Contractor fails to complete a project on time or for fails to complete a
project in compliance with program guidelines and requirements, the Contractor may be removed
from the list and may not be consideration for a group of projects

                        Deep Energy Retrofit (DER)

(This is a representation of what will be sent to interested customers and will be posted
on DER pilot web page www.powerofaction.com/der)

The contractors and designers listed here have expressed interest in offering services to
customers in order to help them apply and then potentially participate in National Grid’s
Massachusetts Deep Energy Retrofit Pilot. They have self-reported the credentials listed
here. They have further agreed that proof of credentials must be provided and
acknowledge that proof of insurance indemnifying Massachusetts Electric Company,
d/b/a National Grid, must be provided prior to final acceptance of the project proposal.

Interested customers are encouraged to obtain proof of credentials early in any
discussions with a contractor. Potential projects will be scored and accepted based upon
desired characteristics for projects which include sufficient experience of the project
team. General contractor on project must meet National Grid Insurance requirements
and have HIC license. We are listing credentials of other project team members such as
designer, engineer or architect to assist customers in pulling together a project team.
National Grid does not endorse or promote any of the contractors listed here.

To be listed, contractor or design professional has indicated they have prior DER related

           Interest Form in Deep Energy Retrofit (DER) Training
Contractors and design consultants without selected projects and/or with insufficient
DER experience may be provided DER training if interested, provided they are licensed
in Massachusetts and have at least two years experience in business.
