Mergers have long been a key growth strategy for many hospitals and health systems throughout the US. For the first time in 18 years, the rules of the game have changed. In August, the Department of Justice and the Federal Trade Commission issued revised Horizontal Merger Guidelines that outline the types of evidence federal antitrust agencies use to evaluate whether horizontal mergers substantially lessen competition. First adopted in 1968, the 2010 guidelines include a new section on evidence that the agencies have found informative in predicting the likely competitive effect of mergers.
