Interagency Contracts Coordinating Team (ICCT)

General Update: Please welcome Shauna Kearns (SAO) as a new member to the
Team. She will be replacing Michelle Wieburg who has accepted a position with the
State Investment Board.
Draft Interagency Agreement Template – Laura Wood, OFM
Laura updated the group on the current status of the interagency agreement template
and the optional terms and conditions. An email from Bonnie Lindstrom stated that
the sub-committee has accepted most of Ro Marcus’ changes, although they were
looking for more guidance with some of the optional terms and conditions.
After discussing the “Confidentiality” and the “Safeguarding of Confidential
Information” sections, the group came to the consensus that the “Confidentiality”
clause should be removed from the template. In addition, the group felt it was
necessary for the agency providing the information to specifically assert within the
Statement of Work what is termed confidential; this could be part or all of the data.
Language should be added to the Safeguarding of Confidential Information clause
that states the agency who owns the data is responsible for telling the other agency
what is considered confidential.
The group also mentioned that the sub-committee may want to look at the
confidentiality language used in the DIS DSA template. To accompany the
confidentiality section, public disclosure information should be added to the optional
terms and conditions.
An emphasis was made to call out the importance of the optional use of the terms
and conditions in the template itself, making sure that it is clear that not all clauses
need to be used. For example, in the Human Research Review Process clause and the
Billing Detail (taxes), the sub-committee should add a note stating that these clauses
should only be used if applicable. Also, a statement should be added at the beginning
of the Optional Terms and Conditions document that these are not all inclusive and
that there may be other terms and conditions to consider also (not be listed in this
The group also discussed the language in the Billing Procedure section of the contract
that currently uses the phrase “duplicate invoicing”. It was suggested to use the

same language regarding duplicate payments contained in the model client service
Additional suggestions were as follows:
Date Warranty section- possibly use the section from the DIS Master
Contract model and see if Becci Riley has updated language.
Debarment clause- can refer the parties to the CFR.
Changes to the template - state that agencies must get approval from their

The last topic the group covered was how/if to plain talk the document. Most agreed
that “plain talking” the document might change the current interpretation. Susan
DeBlasio mentioned that sections of the document have already been through the
courts and are used routinely within the agencies, so agencies understand what is
meant. Debbie Dunn suggested starting with the definitions, if someone does plain
talk the document.
At this point, the committee feels it is not necessary to complete a separate template
for interlocal agreements (counties, etc.). This endeavor will be a task for a future sub-
committee, if there is interest among those agencies that feel they need a separate
template for interlocal agreements.
Training for State Auditors – Laura Wood, OFM
Laura presented the feedback that was received from the State Auditors Contract
Training class that took place on September 25, 2007. Overall the class was well
received and most thought it was extremely helpful. As a result, the OFM Contracts
Office will be offering the class again in the Spring of 2007.
To improve the class, Laura will be speaking with Wendy Jarrett from OFM Statewide
Accounting to discuss adding a section on account coding. The auditors felt this
would be important information to include in the class.
Also, the state auditors were open to inviting state agency internal auditors to the
class. If the spring class is not full, an invitation will be extended to the ICCT
agencies, which can send either audit staff or contract staff as they wish.

The December meeting will be cancelled. We will meet in January, if there are agenda
items. The January ICCT meeting will be January 8, 2008, on the ground floor of the
General Administration building in conference room G4, from 1:30 p.m. until 3:30
p.m. Laura will cancel the meeting if there are no agenda items received by
