                     TIME AND MATERIAL (T&M) PRICING FORM

Prior to Contractor attaining the Full Control Date, Contractor shall be paid by CRRA on a
T&M basis for each Program CRRA has issued a Program Election Notice to Contractor. T&M
Prices shall include only those costs associated with the items delineated in Section 3.1 of the
Agreement for Waste Processing Facility Operation, Management, and Maintenance Services
(refer to Attachment 13 of this Request for Proposals).


Proposer shall use the electronic Excel pricing forms provided by CRRA to submit its T&M
Prices for each Program. Proposer shall use Excel spreadsheet format provided by CRRA.

Proposer shall incorporate into its proposal a hardcopy printout of the Proposer’s Excel T&M
Pricing information. Proposer shall also submit with its proposal an electronic disc containing
the Proposer’s completed Excel spreadsheet(s).

the spaces provided below Proposer’s estimated monthly T&M Price for each Program.
Mobilization Cost Reimbursement total are to be listed separately from Contractor’s estimated
monthly O&M costs.

Please note that while each Program has been assigned a numeric identifier of 1, 2, or 3, CRRA
reserves the right, at its sole and absolute discretion, to assign Programs to Contractor in any
order CRRA deems appropriate and necessary.

                                   FULL CONTROL SERVICES

Upon issuance by CRRA of the Notice of Election for Full Control Services, compensation to
Contractor shall be changed from the Program-by-Program T&M Prices to a Fixed Price,
escalated each Operating Year during the term of the Agreement. The Fixed Price is comprised
of two components: 1) Fixed Price for Operation, Management, and Maintenance Services and
2) Additional Waste Processing Fee. The Additional Waste Processing Fee is the rate CRRA will
pay to Contractor for each Ton of Acceptable Waste Processed in excess of 800,000 Tons each
Operating Year.


       I.        Fixed Price

                 Proposer shall designate below its Fixed Price for the first Operating Year of the
                 Agreement of July 1, 2005 – June 30, 2006.

       II.       Additional Waste Processing Fee

                 Effective July 1, 2006, Proposer shall be entitled to an Additional Waste
                 Processing Fee for each Ton of Acceptable Waste Processed in excess of
                 800,000 Tons each Operating Year.

       III.       Escalators

              A. Commencing on July 1, 2006 and on each subsequent anniversary thereof, the
                 applicable Service Fee for the immediately preceding Operating Year shall be
                 adjusted to reflect the annual change in the Average Hourly Earnings of
                 Production Workers for the Waste Treatment and Disposal Industry, NAICS
                 Code 5622, Series ID: ceu6056220006 as published monthly on the U.S.
                 Department of Labor, Bureau of Labor Statistics web site www.bls.gov from
                 those in effect on July 1st of such immediately preceding Operating Year.
                 This adjustment will be applied to the Service Fee for the Program(s) in place
                 as of June 30th.

                   FULL CONTROL SERVICES

B. Commencing on July 1, 2006 and on each subsequent anniversary thereof, the
   annual per Ton service fee for Additional Waste Processing Fee (“SF”) shall be
   adjusted in accordance with the following formula:

    where SFn-1 is the service fee for the immediately preceding Operating Year;
    CPIn is, for any Operating Year, CPI for the month of June immedi-ately
    preceding such Operating Year; and “CPIn-1” is, for any Operating Year, CPI
    for the month of June immediately preceding the Operating Year that
    immediately precedes such Operating Year. For purposes of this Agreement,
    the term “CPI” shall mean the Consumer Price Index for All Urban Consumers
    (Cross Classification of Region and Population Size Class, Northeast/Size Class
    C Index, All Items) (1982-84 = 100) as published by the U.S. Department of
    Labor, Bureau of Labor Statistics (the “Index”). In the event that the United
    States Department of Labor changes the base reference period for determining
    the Index, the adjustments as set forth above shall continue to be calculated with
    1982-84 as the base reference period using figures or conversion formulas that
    the United States Department of Labor may publish at the time such base
    reference period is changed. In the event the Index is modified by the U.S.
    Congress or the U.S. Department of Labor or is no longer published or
    applicable, any appropriate conversion formulas published by the United States
    Department of Labor shall be used by the parties hereto in order to translate
    calculations hereunder from the Index to a mutually agreeable substitute index.
