Wincor Nixdorf at a glance
Wincor Nixdorf is one of the world’s leading
providers of IT solutions for banks (retail
customer business) and retail enterprises. Its
                                                   broad portfolio, consisting of hardware
                                                   products, software, consulting and after-sales
services, is geared to optimizing branch
                                                   business processes, reducing costs and
complexity and, at the same time, improving
                                                   customer service.
The company employs around 7,800 people (as

Wincor Nixdorf has a presence in over 90 countries, with subsidiaries in 34 of them.
Based on the figures for automated teller machines (own estimate) and programmable
electronic point-of-sale systems (EPOS) it has shipped (source: Clarendon Report April
2004), Wincor Nixdorf is among the three leading vendors in both segments. In Europe,
Wincor Nixdorf is the No. 1 supplier of electronic programmable point-of-sale systems,
again based on the number of systems shipped. Its chief production facilities are located

          The best of two worlds
Many German companies are inseparably linked with the names and achievements of
their founders. For some of these companies, the founder’s name lives on: it is both part
of the company’s name and a symbol and pledge in its own right. This is precisely the
case at Wincor Nixdorf. The company’s story began with computer pioneer Heinz Nixdorf,
and in addition, the reputation Wincor Nixdorf enjoys today can also be attributed to its
many years as a member of the Siemens Group.

Computer pioneer Heinz Nixdorf laid the foundation stone
Heinz Nixdorf demonstrated his visionary thinking as early as 1952, when he laid the
foundation stone for Nixdorf Computer AG. This was not simply because he foresaw the
role that computers would play in the future but also because he was adept at turning this
realization into useful practical applications. Creativity and innovation were not just
theoretical concepts for Nixdorf; they were values borne out by his daily life. By the mid
1980s, he had expanded his company into Europe’s fourth biggest computer enterprise,
assuming a pioneering role in many areas of computing in the process.

          Integration in the Siemens organization
In 1990 – four years after Nixdorf’s death – Nixdorf Computer AG was taken over by
Siemens AG, and Siemens Nixdorf Informationssysteme AG came into being. The ‘Retail
Systems’ and ‘Self-Service Products’ lines of business were integrated in the Siemens
organization, creating the basis for future growth. With the name of a well-known,
successful corporate group behind it, the company was able to win numerous new
          customers and projects.

         Expansion following restructuring and rationalization

Following the restructuring and rationalization measures within Siemens Nixdorf
Informationssysteme AG, which produced positive operating results between 1992 and
1994, a first major wave of expansion came in 1995. The product and services portfolios
were extended, internationalization given an additional push.
This proved successful: in 1996 and 1997, the company experienced huge growth.
Business units such as those for central retail solutions (Enterprise Solutions) and product
solutions for lottery companies were set up.

Retail and banking profile further enhanced
An independent company – Siemens Nixdorf Retail and Banking Systems GmbH – was
founded in 1998 and, as a fully-owned subsidiary of Siemens, was able to enhance its
profile once again in the retail and banking businesses. Along with the production of
devices and systems, software solution development for the two lines of business steadily
         gained importance.

Wincor Nixdorf presence in over 90 countries
Following its carve-out from Siemens and acquisition by equity investors Kohlberg Kravis
Roberts and Goldman Sachs Capital Partners in October 1999, Wincor Nixdorf operated
as an independent global enterprise. Today, Wincor Nixdorf has subsidiaries in 30
countries and is represented by partners in over 60.

         Expanded IT services offering
Since then, the banking and retailing portfolios have been extended to include IT services.
This allows Wincor Nixdorf to act as full-service provider for its customers. Along with
devices and systems (hardware), its offering includes software, consulting and a complete
array of services – from device installation and maintenance to operation of entire ATM
         networks on a bank’s behalf.

         Successful IPO
With the transformation of its parent company, Wincor Nixdorf Holding GmbH, into a
public limited company, Wincor Nixdorf launched its initial public offering. Its stock has
been traded in the Prime Standard on the Frankfurt stock exchange since May 19, 2004.

Company policies

Corporate strategy
Since demerger from Siemens of the operations that now belong to Wincor Nixdorf and
the founding of an autonomous company, Wincor Nixdorf has advanced to become one of
the world’s leading providers of hardware and software solutions and related services for
the banking and retail sectors. Wincor Nixdorf has expanded its global presence and
therefore reduced its dependence on the German market. In doing so, it has raised its
market share above all in the European countries outside Germany. The company plans
to go on pursuing this strategy and has set itself the goal of becoming No. 1 in the
European banking sector and improving its already successful presence in international
banking and retail. Another goal is to further improve the company’s sales revenue and
profit lines, which it will achieve by the following steps:

− Expanding its core business through innovation and enlarging its product portfolio,

− Intensifying its core business by specifically enhancing its software solutions and
           services portfolios,

         − Continued international expansion and

− Expanding its activities into new areas of business.
Company Profile Company policies

Environmental policy
"As a business enterprise, we are fully aware of our co-responsibility for protecting our
         natural living conditions."
         Karl-Heinz Stiller, President and CEO

For Wincor Nixdorf, this statement expresses far more than just the intention to use
resources sparingly. It is also a task, an incentive, a belief and a commitment, since it
defines the company’s entire ecological responsibility.

Over the past years, Wincor Nixdorf has fought its way to the top of its chosen lines of
business in an exemplary manner. This success can be attributed to the company's clear
strategy, namely not to confine itself to high-end products but always to provide its
         customers with end-to-end solutions.

This attitude is also reflected in the company’s position on the protection of the
environment, which incorporates more than just environmentally friendly products and
manufacturing processes. Our customers are always at the focus of our considerations:
we want them to enjoy high-quality, reliable products with a long service life and to profit
from their environmentally-friendly features, such as materials that are not harmful to the
environment, low energy consumption and recycling capability.

With its business locations in Germany and production facility in Singapore, Wincor
Nixdorf is certified compliant with the international management standards ISO 9001:2000
         and ISO 14001.

Gone are the days when corporate environmental protection was limited to downstream
activities involving the environmentally compatible disposal of solid waste from
manufacturing. Wincor Nixdorf now pursues an integrated environmental protection
policy. Integrating environmental protection into company processes ensures that the
entire product lifecycle maximizes environmental aspects. This, in turn, means that
environmental protection starts well before the manufacturing phase. For Wincor Nixdorf,
environmental protection is not a state a company achieves; it is a continuing
improvement process aimed at protecting our natural environment.

These days, it is not necessary to emphasize that Wincor Nixdorf uses natural resources
sparingly and avoids emissions and waste, because this approach has also become vital
         from an economic viewpoint.
Company Profile Company policies

Quality policy
Maximum system availability is a major concern, in particular for banks. The key to it is
quality. We have made the high quality of our products one of our primary unique selling
points, and have also applied it to the services we provide.

Efficient quality management is the prerequisite for reaching our high quality targets,
adjusting flexibly to technology developments and adapting to changing market

Workflows, interaction, planning and control of individual processes have all been defined
at Wincor Nixdorf. We have specified criteria for measuring, analyzing and improving
process performance and the necessary flow of information between all the parties

All activities and processes that affect quality are collected and documented in our quality
management system, which has been certified according to quality standard DIN ISO
9001 by DQS, a neutral, internationally recognized organization for the certification of
quality management systems. Ongoing development of the quality management system
and continuous quality improvements in our products, services and processes are an
integral part of our approach to value creation.

In service management, we have established infrastructures that set new standards for
product and service quality in the industry. We monitor the performance of our products
installed in the field and use these findings to define tailored service concepts. This has
involved defining values and metrics for the quality of products and services throughout
our product lifecycles, and steps have been taken to ensure compliance with them. The
result is maximum availability of the systems that are deployed.

The Wincor Nixdorf portfolio

Banks: End-to-end offering for branch automation
Wincor Nixdorf offers products, software and services for banks. The portfolio contains an
entire range of automation and self-service solutions, and focuses on optimizing business
processes and costs for the bank branch. The main areas of product activity cover
automated teller machines, information/transaction terminals and statement printers and,
in solutions, applications that electronically emulate and optimize key transactions in the
         branch business.

Self-service systems support all branch functions
Self-service systems support all the functions offered by the bank branch: from basic cash
dispensing, statement printing, cash and check deposits, ticket dispensing, credit transfer
transactions, loading prepaid phone cards, or dispensing rolled coins for business
customers, all the way to cash recycling. Operating cash recycling systems means that
cash can be made available again for withdrawal transactions once it has passed an
authentication check. This keeps the need for costly, time-consuming replenishment
processes at the self-service system to a minimum.

Software platform geared to international market
In the software sector, Wincor Nixdorf has developed a software platform that addresses
the international market (ProClassic/Enterprise). It integrates and supports a bank’s
different delivery channels, making it possible to incorporate Internet and telephone
banking, for instance, in addition to the self-service channel. For example, the ‘Account
information’ function only need be developed once and is then available to bank
customers through all delivery channels – self-service, mobile or Internet banking. This
technology helps avoid redundant developments and, at the same time, cuts costs for the
Company Profile The Wincor Nixdorf portfolio

In addition, Wincor Nixdorf also provides software solutions for transactions on ATMs that
make it possible to operate not only proprietary machines, but also third-party ATMs.

Wincor Nixdorf offers a broad array of solution concepts to cover all security aspects in
the banking sector. These range from biometric workstation access to installation of
         mechanisms that prevent ATM manipulation.

         Services that guarantee availability
Wincor Nixdorf provides end-to-end IT support services all over the world, and thus
guarantees the availability of the installed systems over their entire product lifecycles. The
services portfolio extends from first-level support on the telephone and management of
on-site services to international spare parts logistics. Wincor Nixdorf also offers to
assume responsibility for operating IT processes in banks’ branch business within the
framework of an outsourcing project. Coupled with the cost benefits, this also allows
banks to focus their resources on their core business operations.

According to its own estimates, Wincor Nixdorf is currently No. 1 in Germany, No. 2 in
Europe and No. 3 worldwide, with all figures based on the volume of ATM shipments.

Retail: One-stop shop for retail store solutions
Wincor Nixdorf's business with retailing companies relies on a portfolio developed over
more than 30 years with a focus on solutions for retail outlets. It comprises hardware and
software products, consulting and other services, and is designed to lower process costs
         and improve customer service.

From single POS to self-checkout terminal
The hardware portfolio is based on the BEETLE POS system. The modular, scalable
systems in this POS system line meet the requirements of different retailing segments.
The offering ranges from a single POS terminal and systems for a complex POS network
to a self-checkout terminal that allows customers to scan their own purchases and handle
         payment on their own.

Kiosk systems from Wincor Nixdorf give employees and customers access to information
or shift complete sales processes to a self-service platform. Other examples of store
automation products are reverse vending machines, electronic shelf labeling and display

         Software for sales
On the software side, the company offers sales applications that are suitable for
         deployment in the international market.

Wincor Nixdorf’s software activities include a focus on integrating store IT in enterprise IT
infrastructures. They highlight software solutions and consulting services for building the
logistics chain (supply & demand) and improving collaboration between retailing and
consumer goods industries (efficient consumer response, ECR). With its category
management software, Wincor Nixdorf offers a tool that optimizes assortments and
prices, enabling retailers and vendors to react swiftly to prevailing trends and to plan their
         logistics processes more efficiently.

In the area of logistics (supply chain) management, Wincor Nixdorf offers SAP-focused IT
and business consulting services in specific countries. Its offer ranges from potential
analysis, process and IT consulting to implementation and operation of the ultimate

         Services guarantee system availability
Wincor Nixdorf provides industry-specific, tailor-made service concepts that guarantee
system availability throughout product lifecycles, thus allowing retailing enterprises to
concentrate completely on their business operations. The services portfolio extends from
first-level support on the telephone and management of on-site services to international
         spare parts logistics.

New and related business areas
Wincor Nixdorf taps the know-how it gains in its core business with banks and retail
enterprises to expand into related industries, adding lottery companies, service station
operators, postal service providers and companies in hospitality and the hotel industry to
         its customer base.

         Lottery terminals
For its lottery business, which typically involves numerous outlets linked to a central
company site, Wincor Nixdorf offers a modular product family of terminals and software
components that need to provide the utmost in reliability. Its download server concept also
simplifies software administration and distribution to the terminals located in the lottery

         Tailor-made systems for service stations
Wincor Nixdorf offers point-of-sale systems and tried and tested sales software for service
station operators, who usually run major international station networks. The product
assortments sold by service stations have expanded over time. These must be integrated
in the sales systems along with typical industry services such as gasoline sales and car
washes. The systems from Wincor Nixdorf have all the interfaces that are required to
connect service station peripherals such as pumps and car wash systems.

Migrating post office processes to self-service systems
Some of the services that postal operators offer in their national branch networks
correspond to those offered by bank branches and retail stores; at the same time, they
are under high pressure to rationalize different branch types. Wincor Nixdorf offers to
automate self-service-capable customer processes for postal providers and to migrate
them from the current counter service onto self-service machines. It bases this offer on
automated teller machines and postage stamp dispensers, while POS systems and
peripherals such as scanners and scales are used to equip the counter terminal.

Compact systems for canteens and restaurant chains
For its business with the fastest growing market for electronic point-of-sale systems –
restaurant chains and canteens (hospitality sector) – Wincor Nixdorf bases its offer on a
compact POS system with touchscreen interface, suitable peripheral devices, kiosk
         solutions and partner software solutions.

         Self-service terminals for employee information
In scenarios where information needs to be accessible to every employee in the company,
Wincor Nixdorf provides seamless communications via self-service systems. Employee
self-service terminals (ESS), which staff use to retrieve both generally available and
access-protected information, make it possible to provide seamless integration in
company information processes to employees who do not have PCs.

machines/cash dispensers, document printers, information terminals and statement

related sectors. This site also acts as the logistics center for the Asia/Pacific region.
