					MICROSOFT EVALUATION AND SUBSCRIPTION SOFTWARE LICENSE TERMS

MICROSOFT FOREFRONT PROTECTION 2010 FOR EXCHANGE SERVER

These license terms are an agreement between Microsoft Corporation (or based on where you live, one
of its affiliates) and you. Please read them. They apply to the software named above, which includes the
media on which you received it, if any. The terms also apply to any Microsoft

   updates,

   supplements,

   Internet-based services, and

   support services

for this software, unless other terms accompany those items. If so, those terms apply.

By using the software, you accept these terms. If you do not accept them, do not use the
software. See www.microsoft.com/worldwide. In the United States and Canada, call (800) MICROSOFT
or see www.microsoft.com/info/nareturns.htm.

As described below, using the software also operates as your consent to the transmission of
certain computer information for Internet-based services.

If you comply with these license terms, you have the rights below for each appropriately
licensed user and device as further explained in sections 3 and 4. If you acquired the
evaluation software license, provided you comply with these license terms you have the
limited evaluation rights as further explained in section 2.

1. OVERVIEW.

     a. Software. The software includes

            server software; and

            online updates to the server software.

     b. License Model. The software is licensed based on

            the number of copies of server software that you install ; or

            the number of devices and users that access the server software .

2. EVALUATION USE RIGHTS AND LIMITATIONS. If you obtained an evaluation license for the
   software, then

     a. you may install and use any number of copies of the software on your devices;

     b. you may use the software only to demonstrate and internally evaluate it; and

     c. you may not use the software in a live operating environment unless Microsoft permits you to do
       so under another agreement.

  d. Evaluation License Term. Your evaluation license to the software and access to the online
     subscription service is for a period of 120 days following installation of the software.

  e. NO WARRANTY FOR EVALUATION LICENSE. EVALUATION USE OF THE SOFTWARE AND ONLINE
     SERVICE ARE PROVIDED “AS-IS.” YOU BEAR THE RISK OF USING THEM. MICROSOFT GIVES
     NO EXPRESS WARRANTIES, GUARANTEES OR CONDITIONS. YOU MAY HAVE ADDITIONAL
     CONSUMER RIGHTS UNDER YOUR LOCAL LAWS WHICH THIS AGREEMENT CANNOT CHANGE.
     TO THE EXTENT PERMITTED UNDER YOUR LOCAL LAWS, MICROSOFT EXCLUDES THE IMPLIED
     WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND
     NON-INFRINGEMENT.

  f.   Sections 1(b), 3(a), 3(b), 3(d), 6, 10, 11, 12, 15 and the limited warranty below are not
       applicable to the evaluation license. Because the evaluation software and online service are
       provided “as is,” Microsoft may not provide support services for them.

3. SUBSCRIPTION SOFTWARE LICENSE INSTALLATION AND USE RIGHTS.

  a. Server Software. Once you receive your activation code and acquire the appropriate
     subscription license, you may install server software on any number of servers. If you acquire
     an external connector license for the server software, you may install a single copy of the server
     software on one server.

  b. Subscription Licenses.

       i.   You must acquire and assign a User Subscriptions License (User SL) to each user whose
            email is processed by the server software, a Device Subscription License (Device SL) to each
            device that accesses email processed by the server software, or acquire an external
            connector license. A hardware partition or blade is considered to be a separate device.

       ii. Reassignment of User and Device SLs. You may

               permanently reassign a User SL from one user to another or your Device SL from one
                 device to another; or

               temporarily reassign a User SL to a temporary worker while the first user is absent or
                 your Device SL to a loaner device while the first device is out of service.

       iii. Use in a Dedicated Training Facility. You must acquire User SLs, Device SLs and Add-on
            SLs to use the online service and software that comes with the online service in a dedicated
            training facility.

  c. Online Service.        Your use of the online service is conditioned on the following:

       i.   License Terms Updates. For 12 months after your online service subscription began, the
            license terms in effect when you obtained your right to use the online service applies to
            licenses you acquire during that period. If Microsoft is required by law to change the license
            terms, those new terms will apply immediately. You agree to the new terms by using the
            online service after Microsoft publishes them or sends you an email about the updates.

       ii. Online Service Updates. Microsoft may modify the online service from time to time.
           After an update, some functionality or features may not be available. If Microsoft updates the
    online service and you do not use the updated service, some features may not be available to
    you and your use of the online service may be interrupted.

iii. Online Service Suspension or Cancellation.               Microsoft may suspend the online service:

              if Microsoft believes that your use of the online service represents a threat to
                Microsoft’s network function or integrity;

              for online service maintenance; or

              if Microsoft is otherwise required by law to do so.

    Microsoft may cancel the online service:

              if Microsoft believes that your use of the online service violates the scope of use terms;
                or

              if Microsoft is otherwise required by law to do so.

    If Microsoft does suspend or cancel it, your right to use the online service stops right away.

iv. Use of Software with the Online Service. You may use only Microsoft software
    or authorized third party software to sign into and use the online service.

            Microsoft Software License Terms. You may install and use Microsoft software for
              the online service on your devices only with the online service. Your right to use the
              software ends when your right to use the online service terminates or expires, or
              when Microsoft updates the online service and it no longer supports the software,
              whichever comes first. You must uninstall the software when your right to use it ends.
              Microsoft may also disable it at that time.

v. Use of Other Web Sites and Services. You may only use Microsoft or authorized third
   party web sites and services to access and use the online service. The terms of use that
   come with those sites and services apply to your use of them.

vi. Your Subscriber Data. Some subscriber data for use in connection with the online service
    may be provided to Microsoft through use of the online service. “Subscriber data” includes
    data and information that are processed or accessed by the online service which is further
    outlined in the privacy statement at go.microsoft.com/fwlink/?LinkID=128267. Except for
    materials Microsoft licenses to you Microsoft does not claim ownership of subscriber data you
    submit for use with the online service. By submitting subscriber data for use with any online
    service that enables communication or collaboration with third parties, you agree that certain
    third parties may have access to the subscriber data and may:

            Use, copy, distribute, display, publish, and modify your content;

            Grant these permissions to other persons.

    For all subscriber data you submit for use with the online service, you must have all rights
    necessary to submit the subscriber data and grant the permissions in this section.

vii. Scope of Use (Code of Conduct). You may not:
             use the online service in a way that is against the law;

             use the online service in a way that could harm it or impair anyone else’s use of it;

             use the online service to try to gain unauthorized access to any service, data, account or
               network by any means;

             authorize any third party to access or use the online service on your behalf;

             use any automated process or service to access or use the online service such as a BOT,
               a spider or periodic caching of information stored by Microsoft;

             remove, modify, or tamper with any regulatory or legal notice or link that is incorporated
               into the online service.

     viii.Use of Subscriber Data. Microsoft will not monitor your use of the online service, nor will
          Microsoft track, view, censor, edit, remove or disclose your subscriber data that are
          processed or accessed by the online service except, and only to the extent permitted by law,
          to

             protect the rights or property of Microsoft or its customers, including the enforcement of
               Microsoft agreements or policies governing use of the online services;

           satisfy legal requirements, comply with law or respond to lawful requests or legal process;
              protect Microsoft rights or the rights of others;

             provide the online service; or

             improve Microsoft products or online services.

          Handling of Subscriber Data. Microsoft will use commercial best efforts to use the
          measures described in the security overview applicable to the online service to help secure
          your subscriber data processed or accessed by the online service. You agree that these
          measures are:

           Microsoft’s only responsibility with respect to the security and handling of subscriber data;
             and

             in place of any confidentiality obligation contained in any non-disclosure or confidentiality
               agreement with Microsoft.

4. ADDITIONAL LICENSING REQUIREMENTS AND/OR USE RIGHTS.

  a. Substitution of Scan Engines.          Microsoft may substitute comparable software and files for
     the online service’s

     i.   anti-malware and anti-spam software; and

     ii. signature files and content filtering data files.

  b. Separation of Components. The components of the software are licensed as a single unit. You
     may not separate the components and install them on different devices.
    c. Multiplexing. Hardware or software you use to

            pool connections,

            reroute information, and

            reduce the number of devices or users that directly access or use the software

         (sometimes referred to as “multiplexing” or “pooling”), does not reduce the number of licenses of
         any type that you need.

   d. Additional Functionality. Microsoft may provide additional functionality for the software. Other
      license terms and fees may apply.

5. MANDATORY ACTIVATION. Your right to use this software is limited to evaluation as
   described during installation, unless you activate it. This is to prevent its unlicensed use.
   You will not be able to continue using the software if you do not activate it. The software
   may remind you to activate until you do.

6. TERM OF LICENSE. You may not access or use the online service after your online service
   subscription license terminates or expires, or when Microsoft updates the service and it no longer
   supports the software, whichever comes first. The term of online services subscription licenses
   varies. The term in some cases is based on the term of your volume license agreement. In other
   cases, the term is for a fixed period (e.g., one year).

       To prevent its unlicensed use, certain features of the online service may be disabled upon the
         third anniversary of the date on which you first use the online service. If you renew your right
         to use the online service, Microsoft will provide you with the means to extend that date.

7. INTERNET-BASED SERVICES. Microsoft provides Internet-based services with the software. It
   may change or cancel them at any time.

   a. Online Service Subscription.

         i.   Automatic Updates for Microsoft Software. From time to time, Microsoft may check your
              version of the software and recommend or download updates to your devices. You may not
              receive notice when Microsoft downloads the update.

         ii. License Terms Updates. For 12 months after your online service subscription began, the
             license terms in effect when you obtained your right to use the online service applies to
             licenses you acquire during that period. If Microsoft is required by law to change the license
             terms, those new terms will apply immediately. You agree to the new terms by using the
             online service after Microsoft publishes them or sends you an email about the updates.

         iii. Online Service Updates. Microsoft may modify the online service from time to time.
              After an update, some functionality or features may not be available. If Microsoft updates the
              online service and you do not use the updated service, some features may not be available to
              you and your use of the online service may be interrupted.

   b. Consent for Internet-Based Services. The software features described below connect to
      Microsoft or service provider computer systems over the Internet. In some cases, you will not
      receive a separate notice when they connect. You may switch off these features or not use them.

         using these features, you consent to the transmission of this information. Microsoft
         does not use the information to identify or contact you.

         Computer Information. The following features use Internet protocols, which send to the
         appropriate systems computer information, such as your Internet protocol address, the type of
         operating system, browser and name and version of the software you are using, and the
         language code of the device where you installed the software. Microsoft uses this information to
         make the Internet-based services available to you

            Microsoft Update Feature. You may connect new hardware to your device. Your device may
              not have the drivers needed to communicate with that hardware. If so, the update feature of
              the software can obtain the correct driver from Microsoft and install it on your device. You
              can switch off this update feature.

             Customer Experience Improvement Program (CEIP) and Error Reports. This software uses
              CEIP, which automatically sends to Microsoft anonymous information about your hardware
              and how you use this software. This software also automatically sends error reports to
              Microsoft that describe which software components had errors. No files or memory dumps
              will be sent unless you choose to send them. From time-to-time, we will also download a
              small file to your computer that permits us to collect information about specific errors you
              have while using the software. For more information about CEIP, see

8. BENCHMARK TESTING. You must obtain Microsoft's prior written approval to disclose to a third
   party the results of any benchmark test of the software.

9. SCOPE OF LICENSE. The software is licensed, not sold. This agreement only gives you some rights
   to use the software. Microsoft reserves all other rights. Unless applicable law gives you more rights
   despite this limitation, you may use the software only as expressly permitted in this agreement. In
   doing so, you must comply with any technical limitations in the software that only allow you to use it
   in certain ways. For more information, see www.microsoft.com/licensing/userights. You may not

       work around any technical limitations in the software;

       reverse engineer, decompile or disassemble the software, except and only to the extent that
         applicable law expressly permits, despite this limitation;

       make more copies of the software than specified in this agreement or allowed by applicable law,
         despite this limitation;

       publish the software for others to copy;

       rent, lease or lend the software; or

       use the software for commercial software hosting services.

    Rights to access the software on any device do not give you any right to implement Microsoft patents
    or other Microsoft intellectual property in software or devices that access that device.

10. BACKUP COPY. You may make one backup copy of the software. You may use it only to reinstall
    the software.
11. DOCUMENTATION. Any person that has valid access to your computer or internal network may
    copy and use the documentation for your internal, reference purposes.

12. DOWNGRADE. Instead of installing the software, you may install and use an earlier version. This
    agreement applies to your use of the earlier version. If the earlier version includes different
    components, any terms for those components in the agreement that comes with the earlier version
    apply to your use of them. Microsoft is not obligated to supply earlier versions to you. At any time,
    you may replace an earlier version with this version of the software.

13. ASSIGN TO ANOTHER DEVICE. You may uninstall the software and install it on another device for
    your use. You may not do so to share this license between devices.

14. EXPORT RESTRICTIONS. The software is subject to United States export laws and regulations.
    You must comply with all domestic and international export laws and regulations that apply to the
    software. These laws include restrictions on destinations, end users and end use. For additional

15. SUPPORT SERVICES. Microsoft provides support services for the software and online service as
    described at www.support.microsoft.com/common/international.aspx.

16. ENTIRE AGREEMENT. This agreement (including the warranty below), and the terms for
    supplements, updates, Internet-based services and support services that you use, are the entire
    agreement for the software, online service and support services.

17. APPLICABLE LAW.

    a. United States. If you acquired the software in the United States, Washington state law governs
       the interpretation of this agreement and applies to claims for breach of it, regardless of conflict of
       laws principles. The laws of the state where you live govern all other claims, including claims
       under state consumer protection laws, unfair competition laws, and in tort.

    b. Outside the United States. If you acquired the software in any other country, the laws of that
       country apply.

18. LEGAL EFFECT. This agreement describes certain legal rights. You may have other rights under the
    laws of your state or country. You may also have rights with respect to the party from whom you
    acquired the software. This agreement does not change your rights under the laws of your state or
    country if the laws of your state or country do not permit it to do so.

19. LIMITATION ON AND EXCLUSION OF DAMAGES. You can recover from Microsoft and its
    suppliers only direct damages up to the amount you paid for the software. You cannot
    recover any other damages, including consequential, lost profits, special, indirect or
    incidental damages.

    This limitation applies to

       anything related to the software, services, content (including code) on third party Internet sites,
         or third party programs; and

       claims for breach of contract, breach of warranty, guarantee or condition, strict liability,
         negligence, or other tort to the extent permitted by applicable law.

    It also applies even if
   repair, replacement or a refund for the software does not fully compensate you for any losses; or

   Microsoft knew or should have known about the possibility of the damages.

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the
above limitation or exclusion may not apply to you. They also may not apply to you because your
country may not allow the exclusion or limitation of incidental, consequential or other damages.

                                        LIMITED WARRANTY

A. LIMITED WARRANTY. If you follow the instructions, the software will perform substantially as
   described in the Microsoft materials that you receive in or with the software.

B. TERM OF WARRANTY; WARRANTY RECIPIENT; LENGTH OF ANY IMPLIED WARRANTIES.
   The limited warranty covers the software for one year after acquired by the first user. If
   you receive supplements, updates, or replacement software during that year, they will be
   covered for the remainder of the warranty or 30 days, whichever is longer. If the first user
   transfers the software, the remainder of the warranty will apply to the recipient.

   To the extent permitted by law, any implied warranties, guarantees or conditions last
   only during the term of the limited warranty. Some states do not allow limitations on how long
   an implied warranty lasts, so these limitations may not apply to you. They also might not apply to
   you because some countries may not allow limitations on how long an implied warranty, guarantee or
   condition lasts.

C. EXCLUSIONS FROM WARRANTY. This warranty does not cover problems caused by your acts (or
   failures to act), the acts of others, or events beyond Microsoft’s reasonable control.

D. REMEDY FOR BREACH OF WARRANTY. Microsoft will repair or replace the software at no
   charge. If Microsoft cannot repair or replace it, Microsoft will refund the amount shown
   on your receipt for the software. It will also repair or replace supplements, updates and
   replacement software at no charge. If Microsoft cannot repair or replace them, it will
   refund the amount you paid for them, if any. You must uninstall the software and return
   any media and other associated materials to Microsoft with proof of purchase to obtain a
   refund. These are your only remedies for breach of the limited warranty.

E. CONSUMER RIGHTS NOT AFFECTED. You may have additional consumer rights under
   your local laws, which this agreement cannot change.

F. WARRANTY PROCEDURES. You need proof of purchase for warranty service.

   1. United States and Canada. For warranty service or information about how to obtain a refund
      for software acquired in the United States and Canada, contact Microsoft at

          (800) MICROSOFT;

          Microsoft Customer Service and Support, One Microsoft Way, Redmond, WA 98052-6399; or

          visit www.microsoft.com/info/nareturns.htm.

   2. Europe, Middle East and Africa. If you acquired the software in Europe, the Middle East or
      Africa, Microsoft Ireland Operations Limited makes this limited warranty. To make a claim under
      this warranty, you should contact either

          Microsoft Ireland Operations Limited, Customer Care Centre, Atrium Building Block B,
            Carmanhall Road, Sandyford Industrial Estate, Dublin 18, Ireland; or

          the Microsoft affiliate serving your country (see www.microsoft.com/worldwide).
   3. Outside United States, Canada, Europe, Middle East and Africa. If you acquired the
      software outside the United States, Canada, Europe, the Middle East and Africa, contact the
      Microsoft affiliate serving your country (see www.microsoft.com/worldwide).

G. NO OTHER WARRANTIES. The limited warranty is the only direct warranty from Microsoft.
   Microsoft gives no other express warranties, guarantees or conditions. Where allowed by
   your local laws, Microsoft excludes implied warranties of merchantability, fitness for a
   particular purpose and non-infringement. If your local laws give you any implied warranties,
   guarantees or conditions, despite this exclusion, your remedies are described in the Remedy for
   Breach of Warranty clause above, to the extent permitted by your local laws.

H. LIMITATION ON AND EXCLUSION OF DAMAGES FOR BREACH OF WARRANTY. The
   Limitation on and Exclusion of Damages clause above applies to breaches of this limited
   warranty.

This warranty gives you specific legal rights, and you may also have other rights which vary
from state to state. You may also have other rights which vary from country to country.
