          THE NATIONAL INSTITUTE OF ADVANCED INDUSTRIAL
                     SCIENCE AND TECHNOLOGY
         FOR COOPERATION IN THE FIELDS OF METROLOGY AND
                     MEASUREMENT STANDARDS

     The National Institute of Standardsand Technology and the National Institute of
     Advanced Industrial Science and Technology (hereinafter referred to as the "Parties"),

     In view of the continuingneedfor cooperation,

     Have agreedasfollow:

              The Cooperation  Agreementsignedby the Partieson July 17,2001,will continue
                                   from the U.S. -Japan Scienceand TechnologyAgreement
              to function separately
              renewedon July 19,2004,

                                                               Agreement
              The period of validity of the existing Cooperation       shall be extended
              for five yearsfrom the dateof lastsignature,

         3. The existing Cooperation        maybe modified or extendedfurther by
                                    Agreement
                              of
              written agreement the Parties.
