                                   TERMS AND CONDITIONS


     (A) AUCTION PROCEEDING – at the date of the auction sale, all bidders shall
         register their names and addresses at the logbook and drop the sealed bid containing
         the quotation for the amount offered and the bidders bond equivalent to ten percent
         (10%) of the amount of bid in cash, cashier’s or manager’s check, in the box made
         for the purpose prior to the date set for the opening of bids. No bids shall be
         accepted after the designated time for the opening of the bid whereupon submission
         of the bids shall be declared closed by the Committee. Bid tenders will be opened
         and read one after the other by the Chairman, Bidding committee, at the exact time
         set and shall be signed by all members of the Committee and the representative.

     (B) DETERMINING WINNING BID - After opening of all bids the member
         secretary prepare the Abstract of Bids in three (3) copies to determine the winning
         bidder. The highest price offered shall be the winning bid provided that the amount
         shall be higher or equal to the pre-determined minimum bid. In case of a tie the
         Committee shall exercise reasonable discretion in determining the winning bid.

     (C) BIDDERS’ BOND – Immediately after the winning bidder has been determine by
         the committee, the winning bidder’s bond shall be considered as partial payment and
         the difference in the amount between the bid and the bid bond shall be paid in the
         form of cash, cashier’s or manager’s check of respectable bank in Dumaguete city
         within five (5) working days from the date of receipt of the Notice of Award.

     (D) AWARD TO THE WINNING BIDDER – the award shall be made to the winning
         bidder as soon as the Notice of award is approved/signed by the Chairman of the
         Disposal Committee. The balance of the bid amount shall be paid in full within five
         (5) working days from receipt of the Notice of award and the articles/materials shall
         be immediately withdrawn from the government premises within one hundred
         twenty (120) days. A daily storage fee of one-half percent (1/2 %) of the selling
         price shall be imposed on items not claimed within one hundred twenty (120) days,
         a grace period of sixty days shall be given, after which ownership of the awarded
         property shall automatically revert to the Authority. The Authority shall then have
         the right to dispose the property through whatever manner the Disposal Committee
         deems advantageous to the Authority.

TO REJECT ANY OR ALL BIDS, TO WAIVE ANY DEFECT THEREIN, OR TO
ACCEPT SUCH BID OR A PART THEREOF AS MAY BE CONSIDERED MOST
ADVANTAGEOUS TO THE GOVERNMENT.

Pursuant to PPA S.O. No. 430-2010 dated 04 August 2010 Amending the
Composition of the PDO’s and PMO’s Disposal Committee, Port Managers are
now the Chairperson of the PMO’s Disposal Committee.

In view of this development and in order to finally dispose the PMO’s
unserviceable equipment and properties, a meeting is scheduled on August 20,
2010 at 2:00 P.M. at the Office of the Port Manager.

In the exigency of the service and pursuant to the pertinent provision of A.O. 12-81, the
PMO-Dumaguete Auction Committee is hereby created to be composed of the following:


1).   Port Manager                    Chairman
2).   RMD Manager                     Member
3).   Corporate Finance Officer       Member
4).   Administrative Officer          Member
5).   Executive Assistant             Secretariat

As such, the Auction Committee shall have the following duties/responsibilities:

         1. To conduct auction and/or private sale
         2. Provide the necessary information to interested bidders
         3. Assess/evaluate data and determine qualification of participants
         4. Appreciate value of pre-determined charges and expenses
         5. If amount involved is less than P100,000.00, award sale to winning bidder
         6. If amount exceeds P100,000.00 recommend to GM the awarding to winning
            bidder
         7. Render reports to HO or perfected sale
         8. Keep records of its own proceedings
         9. Perform such other duties as maybe necessary in the discharge of their
            duties/responsibilities.

This Order takes effect immediately shall remain in force until revoked or amended.

WHEREAS, on November 28, December 5 and 12, 2004, the PMO has caused the
publication of Notice of Abandoned of Unknown Owner/s in the Negros News to satisfy
the provision of pertinent provision of Administrative Order No. 12-81 otherwise
known as the Guidelines in the Proper Disposition of Overstaying and or Abandoned
Domestic Cargoes within the Port providing among others the owner, shipper the
option to reclaim the abandoned cargo, a week before the actual auction takes place
upon presentation and authentication of the following documents which shall be
considered as proof of ownership, to wit:

   1)   Bill of Lading
   2)   Invoices
   3)   Official Receipts and
   4)   Other Documents of Probative Value

WHEREAS, on May 23-27 2005, the PMO has caused the posting of Notices of Public
Auction/Bidding at the Provincial Capitol, City Hall and in strategic locations in the
locality for the sale of two (2) units Emersible Transformers, 50 KV;

WHEREAS, the scheduled Public/Auction Bidding is to be conducted at the PMO
Conference Room on May 30 at 10:00 A.M. by the duly constituted PMO-Dumaguete
Auction Committee per S.O. 33-05 dated 18 May 2005.

WHEREAS, on May 27, 2005, the Commission on Audit through MS. GUDELIA C.
FONTELO, State Auditor II, was formally informed by the Admin. Services Chief of
the scheduled auction date but waived and verbally instructed to go ahead with the
activity;

WHEREAS, three of the local buyers were given due notices in order to ensure the
facilitation of the sale of the units and in order to clear the stacking areas where the
abandoned cargoes are being kept;

WHEREAS, on May 30, 2003, the Public Auction/Bidding was conducted at 11:00 A.M.
with the Port Manager presiding as the Committee Chairperson;

WHEREAS, forming part of this resolution is the Abstract of Bids which contain the
bids tendered by the two (2) participating local suppliers/buyer;

WHEREAS, on September 1, 2005 Notices for Public Auction were posted in the strategic
locations in the locality, the PMO, Terminal and PPD, City Hall and the Capitol Bulletin
Boards for the sale of 1 Lot unserviceable equipment;

WHEREAS, to give ample time to prospective bidders, the Auction Committee had
scheduled the ocular inspection of the unserviceable equipment at the PMO stocking area
from September 15 to 26, 2005 during office hours from 8:00 A.M. to 5:00 P.M.;

WHEREAS, after the lapse of the prescribed period for the ocular inspection, the Auction
Committee agreed to extend the inspection period for another two weeks, from November 2
to November 15, 2005;

WHEREAS, after the second notices were extended, still no interested party signified to
participate in the Auction Sale;

WHEREAS, the Auction Committee cognizant of the need to dispose the unserviceable
equipment which have been occupying a huge space at the office stocking area decided to
invite possible bidders from the scrap buyers and computer repair shops;

WHEREAS, on November 14th 2005, two scrap buyers had signified to buy the
unserviceable equipment on condition that only the scrap value of only the steel products
excluding the plastic covering at P3.00/Kg. (NAP ENTERPRISES) and at P8.50/Kg.
(E.R & D.R. Junk Shop);

WHEREAS, on November 15th 2005, MR. RANDY BANDIOLA, proprietor of the
Algorithm Computer Shop after inspection, signified to buy the entire l lot at ONE
THOUSAND FIVE HUNDRED PESOS (P1,500.00);

WHEREAS, the Administrative Services Chief, a member of the Auction Committee made
representations with the COA through MS. GUDELIA .C. FONTELO regarding the
scarcity of prospective buyers;

WHEREAS, PPA-COA through MS. GUDELIA C. FONTELO, gave her approval to the
nature or manner of disposition of the unserviceable equipment/property provided there are
no other prospective bidders for the one (1) lot unserviceable equipment;

WHEREAS, the Auction Committee decided to recommend awarding of the unserviceable
equipment to MR. RANDY BANDIOLA of Algorithm Computer Shop.

NOW, THEREFORE, the Committee finding no other advantageous alternative method of
disposing the unserviceable equipment, RESOLVED to recommend the awarding of the
sale of the unserviceable equipment to MR. BANDIOLA, to effect the issuance of Notice of
Award and to cause the immediate withdrawal of the equipment immediately upon the
payment of the amount of ONE THOUSAND FIVE HUNDRED (P1,500.00) Pesos.
