d/Arch Llc (Architect) is pleased to provide this proposal for taking over as Architect-of-Record on this
project and accepting the assignment of the Agreements/Authorizations between Driscoll Architects,
PS and VIP Condominiums LLC/Ilia Kertsman (Owner), subject to this proposal, the terms of which
take precedent over the assigned agreements.

Upon written acceptance of this agreement, the Owner will have Driscoll Architects, PS transfer all of
their work product to d/Arch Llc. Owner will provide d/Arch LLC with a copy of the assignment signed
by both parties.

SCOPE

It is our understanding that the scope of the project and the Architect’s work is as noted below:

Scope:
• Assume responsibilities per City of Redmond as Architect-of-Record. Owner to provide letter to
   City indicating change. d/Arch Llc to provide project review of previous work as part of this
   proposal.
• Acceptance based on Driscoll Architects, PS’s work through end of 2009, including most recent
   Designs and drawings, and submittals and correction responses to City of Redmond
• Project is designed as rental apartments
• Owner to execute appropriate recorded covenant per Washington State EHB 1848 restricting sale
   of units as condominium for five years; or, provide d/Arch Llc with a limitation of liability to the
   amount of their fee.

Scope of services as indicated on assigned agreements/authorizations except as noted below:

0.3/1/2/3. Conceptual Design 3/ DRB Pre-Application Conf./Schematic Design/Design
Development/ Design & Technical Committee Review/ Site Plan Review
    • Review previously prepared drawings and other project documents
    • Prepare Architectural response, including presentations and revised SEPA checklist, and
        assist Owner in coordinating response to City of Redmond
    • Attend meetings and presentations with City of Redmond Coordinate, and meet, with City,
        Owner, consultants and designated Owner contractors and subcontractors
    • Coordinate with, and review, consultant drawings and direct correction of consultant drawings,
        as necessary

4.1 Architectural Building Permit Submittal
    • Review previously prepared drawings and other project documents
    • Owner’s consultant to provide energy analysisl
    • Coordinate, and meet, with City, Owner, consultants and designated Owner contractors and
       subcontractors
    • Coordinate with, and review, consultant drawings and direct correction of consultant drawings,
       as necessary

4.2 Construction Documents/Building Permit Corrections
    • Review previously prepared drawings and other project documents
    • Architectural Drawings for Construction and Building Permit Corrections
    • Coordinate with, and review structural, landscape and civil consultant and other consultant
       drawings; correct architectural drawings to match consultant drawings, and direct correction of
       consultant drawings, as necessary
    • Coordinate with Owner/General Contractor (OGC); modify, add to, architectural drawings
       based on OGC input/comments; OGC to provide up to two complete ‘redlined’ architectural
       sets prior to final Building Permit correction submittal; review with Owner, prior to
       incorporation into Construction drawings (codes/construct-ability/cost?)
    • Prepare/edit/update, with consultant and owner input, Project Manual/Specification

5. Construction Contract Administration
    • Attend meetings with Contractor and Owner, as required
    • Provide clarifications/modifications to previously permitted construction Drawings
    • Review contractor submittals
    • Provide Services consistent with AIA B181-1994 Owner Architect agreement

6. Bidding and Negotiation/Value-Engineering/Additional Services
    • Assist Owner in ‘bidding’ project; provide Bid Addenda and clarifications: coordinate/route
        consultants/subcontractors response to clarification during bidding
    • Modify previously ‘approved/reviewed’ or submitted work to accommodate
        Contractor/Owner/subcontractor V-E or changes substantially out of sequence per Phases 3.1
        - 4.2 or after final Building Permit submittal; see ‘Owner Review’ paragraph, p. 5.
    • Provide marketing drawings, perspectives other then those required for Design Review
    • Provide perspectives/exhibits related to city approval, other then those required for normal
        Building Permit submittal, or for normal Design Review,
    • Provide services related to appeals or extraordinary hearings
    • Providing model making services; coordinating with Owner’s model maker other then those
        required for Design Review
    • Providing services related to sales center design/permitting
    • Provide services related to commercial space tenant improvements
    • Drafting related to Owner subcontractor work, other then as indicated above
    • Other services, as authorized beyond the scope indicated above and/or the standard AIA
        Agreement


FEE PROPOSAL

BASIC SERVICES
Our fee for Architectural Services is per the assigned agreements/authorizations, except as noted
below:

5. Construction Contract Administration

6. Bidding & Negotiation/Value Engineering/ Additional Services

(1)     Fee is deferred until construction financing obtained, or one of the following occurs, at which point, the
        Owner will pay d/Arch Llc the full fixed fee for this Phase ($35,000.00), irrespective of work completed to
        date:
        - project proceeds beyond Phase 4.1/4.2 work described above
        - project is sold, or assigned by current Owner to another
        - project proceeds and d/Arch Llc does not continue as the Architect
        - project proceeds, but as a condominium
(2)     Fee is deferred until construction financing obtained, or one of the following occurs, at which point, the
        Owner will pay d/Arch LLC the amount due to date, including unbilled work, for this Phase, based on the
        % complete:
        - project proceeds beyond Phase 4.1/4.2 work described above
        - project is sold, or assigned by current Owner to another
        - project proceeds and d/Arch Llc does not continue as the Architect
        - project proceeds, but as a condominium

TERMS

CONSULTANT SERVICES
The Owner will pay and contract separately with the consultants. The Architect will consult with, and
coordinate work of, consultants as part of the Architect's work.

Consultants to be retained by Owner may include Structural, Shoring, Geotechnical, Civil,
‘Envelope/Waterproofing’, Landscape, Mechanical, Electrical, Communications, Fire Protection,
Hardware, Energy and Interior Design Consultants, and others as required for the work, and not part
of the normal scope of the Architect’s work and as noted herein.

HOURLY/ADDITIONAL SERVICES
Architectural hourly and additional Services, as authorized, beyond the scope of work would be billed
hourly at the following rates:

      Principal Architect (MD)                   @ $120/hr
      Principal Architect (BS)                   @ $100/hr
      Architect (KK)                             @ $ 80/hr
      Architectural Designer (NS)                @ $ 70/hr
      Draftsperson                               @ $ 60/hr
      Clerical                                   @ $ 25/hr

REIMBURSABLE EXPENSES
Printing and courier expenses to be charged to Client's accounts at courier and reproduction
companies. Plotting and printing for d/Arch Llc’s in-house use is not a reimbursable expense.

PAYMENTS
Payments on account of services and reimbursable expenses to be made to d/Arch Llc as indicated in
notes (1) and (2) of Fee Proposal, above. d/Arch Llc has the right to suspend work without notice for
untimely payments..

SCHEDULE
To be determined.

MISCELLANEOUS
The Owner agrees to the fullest extent permitted by law, to indemnify, and defend d/Arch Llc against
any and all claims by third parties, and costs related thereto, resulting from the Owner, Owner’s
employees, Owner’s consultants, and the contractor and subcontractors, except those resulting from

the negligence of the Architect. The Owner shall not require d/Arch Llc to provide any certifications
not expressly noted herein.

INSURANCE
Architect will maintain at their expense normally required insurance within the State of Washington. In
addition, Architect shall maintain at their expense Professional Liability Insurance (E & O) with limits of
Liability of $1,000,000 each occurrence, $2,000,000 aggregate.. Such insurance is on a ‘claims
made’ basis and shall be maintained, if reasonably available, for a period of five years from the date of
this agreement. Owner shall be named as a ‘certificate holder’ and will receive notifications of the
status of this policy

OWNER REVIEW
The Owner, and the Owner’s consultants, shall review and provide written comments and corrections
of the Architectural Drawings and Project Manual/Specifications for the Project (reviewing for
conformance with the requirements indicated herein and as agreed to in the Architect-Owner
agreements and subsequent modifications) prior to completion of what the Architect and the Owner,
believe to be the final Building Permit correction submittal.

Prior to that final Building Permit correction submittal, the Owner, upon completion of the Owner’s
review comments and corrections by the Architect, will accept in writing, or by the re-submittal itself,
the Architectural Drawings/Construction Documents as ‘complete’ through Phase 4.2 of this
agreement. All subsequent work by the Architect, except for additional Building Permit Corrections
which are included in Phase 4.2 Basic Services, prior to issuance of the Building Permit, will be hourly
under Phase 6 of the this proposal.

MISCELLANEOUS
This Agreement represents the entire and integrated agreement between the Owner, the Owner’s
Partner(s), and or, their assigns and supersedes all other documents, representations, or agreements,
either written or oral. This agreement may be modified only by a written agreement signed by both the
Owner and Architect. In the event of any conflicts between this and the assigned agreements, this
agreement shall govern.

ACCEPTANCE/AGREEMENT
A signature below accepts this agreement and authorizes d/Arch Llc to proceed with the work of
Phase 3.1, subject to receiving the signed assignment agreement between Driscoll Architects, PS and
the Owner and Driscoll Architect, PS’s work product.

A separate written authorization from the Owner required prior to starting Phase 4.1/4.2. A mutually
acceptable AIA B181-1994 Standard Form of Agreement Between Owner and Architect for Housing
Services to be executed prior to the completion of Phase 4.1/4.2
