AACR List License Agreement
WHEREAS, the American Association for Cancer Research (AACR) wishes to grant, and
______________________________ [hereafter, LICENSEE] wishes to obtain, a one-time license to use
the AACR membership mailing list labels (the list order) to be provided by the AACR for the purpose and under the conditions specified herein; and WHEREAS LICENSEE agrees to the conditions of use specified herein; NOW, THEREFORE, LICENSEE agrees as follows: LICENSEE understands and agrees that this list order is for a one-time use only and may be used solely to send the material appended herewith, on the date to be specified by the AACR, and by traditional (non-electronic) mailing methods only. A separate order form must be submitted and approved, and a separate license agreement must be executed, before LICENSEE may use the AACR names again. LICENSEE agrees that the license granted hereby is non-exclusive and that it does not preclude the AACR from granting a future use license for the list order to a party other than LICENSEE. LICENSEE understands that the list order is seeded with decoy names to detect unauthorized use. If unauthorized use is detected, LICENSEE will pay ten (10) times the value of the list order and may be subject to other available disciplinary measures. LICENSEE understands that the list order which is the subject of this license is a trade secret of, and is owned exclusively by, the AACR. LICENSEE will obtain no proprietary or other rights in the list order through the grant of this license beyond the limited right of use specified herein. LICENSEE agrees not to disclose the list order, or any information contained therein, to any third parties or use such list order or information for any use other than that authorized herein. LICENSEE has read and understands the AACR Privacy Policy, a copy of which is available upon request from the AACR, and agrees to adhere to all of its relevant provisions. This license is governed by Pennsylvania law. LICENSEE expressly consents to the entry of an injunction or judgment against it in the event of its breach of this license and agrees to the exclusive jurisdiction of the federal and state courts in Philadelphia, Pennsylvania, over any dispute concerning this license. LICENSEE further agrees to pay reasonable attorneys fees incurred by the AACR as a result of any breach of this license.
