ARTICLES OF INCORPORATION
Amended on_________ as approved by the Board of Directors and
by ASA’s General Membership at the Annual Membership Business Meeting
1. Name: The name of the Corporation is and shall be: American Society on Aging
2. Purpose: The purpose for which the corporation is organized is: charitable and educational.
3. Character of Affairs: The objects and purposes of this corporation are: The Corporation
conducts programs and activities to promote the welfare of older persons.
4. This corporation is organized and operated exclusively for charitable purposes within the
meaning of Internal Revenue Code section 501(c)(3). No substantial part of the activities of this
corporation shall consist of carrying on propaganda, or otherwise attempting to influence
legislation, and the corporation shall not participate or intervene in any political campaign
(including the publishing or distribution of statements) on behalf of any candidate for public
office.
5. The property of this corporation is irrevocably dedicated to charitable purposes and no part of
the net income or assets of this corporation shall ever inure to the benefit of any director, officer
or member thereof or to the benefit of any private person. Upon the dissolution or winding up of
the corporation, its assets remaining after payment, or provision for payment, of all debts and
liabilities of this corporation shall be distributed to a nonprofit fund, foundation or corporation
which is organized and operated exclusively for charitable purposes and which has established
its tax exempt status under Internal Revenue Code section 501(c)(3).
6. The power of indemnification under the Arizona Revised Statutes shall not be denied or
limited by the bylaws.
7. Board of Directors: At an election in Los Angeles, California on the 1st day of May, 1973,
the following individuals were elected as directors of this corporation: Theodore H. Koff,
President, Mel Spear, President-Elect, Gloria Haerther, Secretary-Treasurer, Albert Feldman,
Leonard Hayflick, Ruth Weg, Leon Epstein, Al Leonard, James Birren, Arthur Schwartz,
Anthony Lenter, Mary Low Clark, David Shirely, Marian Lupu, J. Guilfork and Nancy Garrison.
8. Known Place of Business: (In Arizona) Same as statutory agent
9. Statutory Agent: (in Arizona): The name and address of the statutory agent of the
Corporation is: Capitol Corporate Services, Inc., P.O. Box 134561, Phoenix, AZ 85002
10. The names and addresses of the incorporators are: Theodore H. Koff, 6026 E. Seneca,
Tucson Arizona 85712; Marian Lupu, 6411 E. Brian Kent, Tucson, Arizona.
11. Discrimination: The Corporation will not practice or permit discrimination on the basis of
sex, race, national origin, religion, physical handicap or disability.
12. Members: The Corporation will have members.
