 Additional Terms and Conditions
   1. PROPERTY RIGHTS: Energy Trust of Oregon, Inc. (Energy Trust) requires that, in order for the residential solar electric system (System)
      to be eligible for incentives, the System Owner (as listed in this Form 220R: Solar Electric Incentive Application-Residential) must
      own the property where the System will be installed. System Owner represents and warrants that he/she owns the property listed as the
      Site Address.
   2. SYSTEM OPERATION: Energy Trust has calculated the incentive amount that your System will be eligible to receive based upon the
      assumption that the System will operate continuously for a period of twenty (20) years from the date the System is inspected and
      approved. System Owner agrees that it will operate and maintain the System in good working order and will not remove it from service or
      the Site Address property during this time period without the prior consent of Energy Trust, and such consent shall not be unreasonably
      withheld. In addition, if System Owner determines to sell the property where the System is located during this time period, System Owner
      will notify Energy Trust prior to the sale so that Energy Trust and System Owner can work together to inform the new property owner
      about the System.

   3. INCENTIVE RESERVATION: Funding for Energy Trust incentives is limited and available on a first-come first-served basis. Energy Trust
      will reserve the estimated incentive amount set forth in this Form 220R for a period of one (1) year from the date Energy Trust notifies
      the Trade Ally Contractor that this application has been approved by Energy Trust (the Reservation Period). Once a Form 220R is
      approved by Energy Trust and the Reservation Period is in effect, if Trade Ally Contractor and System Owner decide to make a material
      change to the System, then they must submit a new Form 220R application to Energy Trust for review and approval in order to remain
      eligible for incentives.

   4. INCENTIVE PAYMENT: Energy Trust incentives provided for the System may vary from the amounts listed in this Form 220R depending
      on the final System installed. Energy Trust will pay incentive amounts directly to the Trade Ally Contractor within thirty (30) days after the
      installation is approved by Energy Trust. System Owner is advised to retain a copy of this application and any accompanying
      documentation submitted to Energy Trust. Energy Trust will not be responsible for any lost documentation related to this application.

   5. ENERGY INFORMATION RELEASE: System Owner authorizes Energy Trust to access energy usage data for the project’s specified
      electric and natural gas accounts at the physical address of the project. System Owner agrees to provide other reasonable assistance to
      Energy Trust to obtain such information.
   6. INFORMATION RELEASE: System Owner agrees that Energy Trust may report the Energy Trust services or incentives provided for the
      System and any resulting energy savings or generation to the Energy Trust Board of Directors, the Oregon Public Utility Commission, the
      Oregon Department of Energy, Oregon Housing and Community Services, or the Oregon Legislature. Energy Trust will treat all other
      information gathered as confidential and will report it only in aggregate.

   7. ASSIGNMENT: Any incentives to be paid by Energy Trust hereunder will be paid directly to the Trade Ally Contractor and may not be
      assigned to anyone else without the prior written agreement of the Energy Trust. This agreement may not be assigned by Trade Ally
      Contractor or System Owner without Energy Trust's written consent. Energy Trust may assign its right under this agreement to a third
      party if requested by the Oregon Public Utility Commission under its grant agreement with Energy Trust. This agreement will be binding
      on the parties' permitted assigns and successors in interest.

   8. TAX LIABILITY: Energy Trust is not responsible for any tax liability which may be imposed as a result of payment of any incentives.
      Energy Trust is not providing tax advice, and any communication by Energy Trust is not intended or written to be used, and cannot be
      used, for the purpose of avoiding penalties under the Internal Revenue Code.
   9. ACCESS AND EVALUATION: Energy Trust may request access to the property where the System is installed in order to: (i) read or
      check on the operation of the meter(s), (ii) inspect and review the project during and after completion, and/or (iii) evaluate the operation of
      the System. System Owner agrees to provide reasonable access to the property for the purposes as described herein. In addition,
      Energy Trust may contact System Owner from time to time via a telephone call, mail or email to request meter information directly from
      System Owner and System Owner agrees to provide Energy Trust meter information to Energy Trust.

  10. DISCLAIMER OF WARRANTIES: System Owner hereby acknowledges that Energy Trust has not made any representations and has
      specifically DISCLAIMED any and all warranties, express or implied, with respect to the System to be installed or the Trade Ally
      Contractor, including but not limited to those concerning Trade Ally Contractor's experience, qualification, or background, the amount of
      any energy savings, if any, to be realized by System Owner from use of the System, the quality of specific materials, components, or
      workmanship utilized in the installation, or the nature of or whether building permit(s) or governmental approval(s) may be required.

  11. LIMITATION OF LIABILITY: Energy Trust's liability to Trade Ally Contractor or System Owner is limited to recovery of amounts due for
      the incentive payment described and under no circumstances will Energy Trust be liable to Trade Ally Contractor or System Owner for
      any further amount whatsoever.
  12. WAIVER OF CONSTRUCTION LIEN AGAINST SYSTEM OWNER: Trade Ally Contractor hereby waives its right to perfect or foreclose
      any lien or encumbrance against System Owner's property (including without limitation claims of construction lien under Oregon's
      Construction Lien Law) for the amount of the incentive payment due or alleged to be due to Trade Ally Contractor by Energy Trust.

  13. FACSIMILE/SCANNED SIGNATURES: Signed original documents transmitted via facsimile or as a scanned electronic mail attachment
      shall be the same as delivery of the original signed document. At the request of Energy Trust, Trade Ally Contractor or System Owner
      shall confirm documents with a facsimile or a scanned signature by providing an original document.
  14. ENVIRONMENTAL ATTRIBUTES: Environmental Attributes (as defined herein) may also be referred to as "green tags", "renewable
      energy certificates", "tradable renewable certificates" or otherwise. Environmental Attributes do not include any energy, capacity, reliability
      or other power attributes associated with the generation of electricity, or any liabilities associated with such generation, and do not include
      any tax credits which may accrue as a result of implementing the System.
      "Environmental Attributes" means the non-energy environmental and/or social characteristics, credits, benefits, reductions, offsets, and/or
      allowances, howsoever entitled, attributable to the System, including without limitation any avoided emissions of substances to air, soil, or
      water, such as nitrous oxide (NOx), carbon monoxide (CO), mercury (Hg), carbon dioxide (CO2), methane (CH4),or other greenhouse
      gases (GHGs) designated by the United Nations Intergovernmental Panel on Climate Change, and any other pollutant that is now or may
      be in the future regulated and tradable, whether or not such legislation, regulation or trading program is ever implemented.


  15. OWNERSHIP OF ENVIRONMENTAL ATTRIBUTES: For the purpose of this agreement, System Owner's ownership rights of the
      Environmental Attributes associated with the System shall be calculated as beginning on the date Energy Trust approves the System (the
      Start Date) and will run for a time period ending at 11:59:59pm PT on the day before the fifth anniversary of the Start Date (the System
      Owner Ownership Period). Energy Trust's ownership rights of the Environmental Attributes associated with the System shall begin at
      12:00:00am PT on the fifth anniversary of the Start Date and will run for a time period ending at 11:59:59pm PT on the day before the
      twentieth anniversary of the Start Date (the Energy Trust Ownership Period). System Owner understands and agrees to the
      Environmental Attributes ownership arrangement as set forth herein and will fully
      comply with such ownership arrangement in consideration of the incentive funding provided for the System. System Owner agrees that,
      during the Energy Trust Ownership Period, System Owner will cooperate fully with Energy Trust to (i) register or otherwise perfect Energy
      Trust's rights in the Environmental Attributes, and (ii) report such rights. If System Owner determines to sell the Environmental Attributes
      to a third party during the System Owner Ownership Period, System Owner will ensure that any third party purchaser of System Owner's
      Environmental Attributes acknowledges the date when ownership of the Environmental Attributes transfers to Energy Trust in accordance
      with this agreement.
