    A CENTRALLY HELD, OPEN END CONTRACT TO ACQUIRE
  PROFESSIONAL ARCHITECTURAL AND ENGINEERING SERVICES



1. DEVELOPMENT OF CONTRACT MANUAL
   This manual has been developed as an Instructions Manual for the utilization of
   Contract Form PASSHE-PROF-2005, a Centrally Held, Open End Contract To
   Acquire Professional Architectural And Engineering Services.
   This manual has been developed by:
               The Office Of The Chancellor
               Office Of Administration and Finance
               Facilities Management Office
               Construction Support Office


2. CATEGORIES OF SERVICE
   The Contract Form includes the following Categories Of Service:
               Category A      Full-Service Architectural & Engineering Services
               Category B      Miscellaneous Architectural Services
               Category C      Miscellaneous Engineering Services
               Category D      Specialty Services


3. LEGAL APPROVAL OF CONTRACT FORM
   The Contract Form PASSHE-PROF-2005 was approved as follows:
       Office Of General Counsel (OGC) – Form Approval. The System’s Office Of
       Chief Counsel was able to receive form approval from the OGC.
       Office Of Attorney General (OAG) – Individual Approval. At the time this
       Contract Form was completed, the OAG was not accepting any contracts for
       form approval. Therefore, all contracts for these services have been individually
       presented to the OAG for review and approval.


4. RELEASE & DISTRIBUTION
   This manual was completed and released in February 2006. Hard copies will
   be distributed at the Facilities Director’s Meeting and the Purchasing
   Conference in April 2006. The manual will also be posted on the web page
   maintained by the Construction Support Office

                                     SECTION I-B
                                   SCOPE OF WORK

The Scope Of Work for Contract Form PASSHE-PROF-2005 was developed to include almost
any Professional Architectural and Engineering Service that the System and its 14 State-Owned
Universities would encounter, with a few exceptions.

1. INCLUDED SERVICES
   The Scope of Services included in Contract Form PASSHE-PROF-2005 as stated in the
   RFP are as follows:
   The Universities and the Office of the Chancellor will be able to issue Individual Work Orders
   under the Open End Contracts on an as-needed basis. A scope of potential Professional
   Services could include, but is not limited to, any of the following:
          Architectural And Engineering Services
          Design, Bidding, And Construction Phase Services
          Services For Renovation, Alteration, Maintenance, & Repair Of Existing Facilities
          Facilities Planning & Maintenance Programs (Master Plans & Maintenance Plans)
          Feasibility Studies
          Preliminary Design Services
          Final Design Services
          Bid Phase Services
          Construction Phase Services (Not formal Construction Management or PAQA)
          Preparation And Review Of Design, Specifications, And Drawings
          Preparation And Review Of Construction Cost Estimates
          Preparation And Review Of Construction Schedules
          Various Investigations, Inspections, Studies, Surveys, Testing, and Reporting
          Geologic Investigations, Safety Inspections, Condition Inspections, Manual
           Preparation, Facilities Studies, Hydraulic Studies, Traffic Studies, Environmental
           Investigations, Master Planning, Water and Wastewater Treatment, Energy Studies,
           Photographic Mapping, Aerial Photography, Land Surveying, Construction
           Surveying, and any other services related to this RFP.
          Value Engineering
          Various Services within the Disciplines of Architecture, Civil, Structural,
           Geotechnical, Mechanical, Piping, Electrical, and other disciplines related to the
           design, construction, renovation, and maintenance of facilities.
          Other Professional Services, similar or related to this Scope of Work.

2. EXCLUDED SERVICES
   Services that are not included in Contract Form PASSHE-PROF-2005 are as follows:
   a. PA&QA Services                                          Contract Form SSHE-PAQA-2001
      PA&QA Services are Project Management and Quality Assurance Services that parallel
      work that is performed by University Project Managers and Quality Assurance staff.
      PA&QA Services are administrative in nature and do not require professional licensing.
      Administrative work is conducted under the PA&QA Contract. Professional Services are
      passed through to a Professional assigned to the project.
      At the time Contract Form SSHE-PAQA-2001 was developed, the administrative
      services were considered to be “Non-Professional” as defined by Act 57. Therefore,
      price was required to be a part of the selections process. Act 142 amended Act 57 and
      eliminated the definition of “Professional”, thus eliminating the requirement to have price
      as a part of the selections process for these services. Therefore, in the future, PAQA
      Services will not necessarily be treated as “Non-Professional” requiring the use of a
      price component in selection.
      At the writing of this Contract Manual, the Construction Support Office expects to
      develop a new form of Contract that will include Construction Management Services and
      PAQA Services. Current PAQA contracts expire in 2006. (***)
   b. QA Reviews                                               Contract Form SSHE-QAR-2005
      Services that are not covered under Contract Form PASSHE-PROF-2005 but are
      covered under Contract Form SSHE-QAR-2005 include the following:
            1. Interdisciplinary Review
            2. Constructability Reviews
            3. Forensic Reviews
            4. As-Built Reviews
            5. Other Reviews Related To Scope Of Work & Developed By Contracted Firms
            6. Workshops To Train System Staff In The Performance Of QA Reviews
      At the writing of this Contract Manual, RFP SSHE-QAR-2005-1 has been issued,
      Proposals have been received, the Selections Committee has evaluated Proposals and
      recommended selections, negotiations should be completed in March 2006, and
      Contracts could be executed in April 2006.
   c. Commissioning                                   No Current “Up-To-Date” Contract Form
      Commissioning Services are offered by a limited number of firms under Contract Form
      PASSHE-PROF-2005. However, since a scope of work was not developed for
      Commissioning under that contract, these services should be used on a limited basis.
      If the System requires extensive use of Commissioning Services, the System could
      consider a Centrally Held Open End Contract For Commissioning Services, depending
      on expressed needs of Universities. Universities may solicit Commissioning Services
      individually, as East Stroudsburg University has done. The System cannot access
      DGS’s prequalified Commissioning Agents, even though that was done for ESCO firms.
   d. Construction Management                         No Current “Up-To-Date” Contract Form
      Construction Management Services are offered by a limited number of firms under
      Contract Form PASSHE-PROF-2005. However, since a scope of work was not
      developed for Construction Management under that contract, these services should be
      used on a limited basis. The System could consider a Centrally Held Open End
      Contract For Construction Management Services. This will depend on the expressed
      needs of the Universities. The System cannot access DGS’s list of prequalified
      Construction Management Agents, even though that was done for ESCO firms. (***)

                                         SECTION I-C
                                        THRESHOLDS

1. PREVIOUS OPEN END CONTRACTS
   Contract Form PASSHE-PROF-2005 replaces previous Open End Contracts that have expired and
   were quite limited in scope and value. Under the previous Centrally Held Open End Contracts, if the
   University desired to acquire services that were beyond the limited scope and values, then a
   procurement of Professional Services by an RFP Process was required for each project, thereby
   necessitating more time and investment to procure needed services.


2. PREVIOUS LIMITATIONS OF SCOPE AND VALUE
   Previous limitations of scope and value were once needed in a developing environment within the
   Pennsylvania State System of Higher Education that was established in 1988. Since then, the
   System and its individual Universities have developed contracting practices and staff that are very
   capable of working within the newly defined thresholds.


3. UNIVERSITIES’ OPEN END CONTRACTS
   Centrally Held Contracts For Open End Professional Services are not intended to replace
   Universities’ Open End Contracts that are acquired locally for University needs. UNIVERSITIES MAY
   ACQUIRE THEIR OWN OPEN END CONTRACTS FOR PROFESSIONAL SERVICES AND ESTABLISH
   THEIR OWN REASONABLE THRESHOLDS FOR THOSE CONTRACTS. This is a departure from
   practice that strictly controlled thresholds for Universities’ Open End Contracts.


4. CONTRACT FORM PASSHE-PROF-2005
   Contract Form PASSHE-PROF-2005 offers a broader Scope Of Work and higher thresholds than
   what Universities’ Open End Contracts offer as currently established.


5. APPROVAL PROCESS FOR EXCEEDING THRESHOLDS
   Thresholds may be exceeded for individual circumstances and adjusted on a yearly basis with
   approval of the Contracting Officer and when deemed justifiable, ethical, in accordance with
   legislative mandates and System policies, and in the best interest of the System. (As stated in the RFP.)
   Approval To Exceed Thresholds. Universities may request approval to exceed a threshold by
   providing written (e-mail is acceptable) request expressing justifications for the need to exceed the
   threshold to the Construction Support Office (Director of Construction Management and/or Facilities
   Contracts Manager). The Director/Manager will make a recommendation to the Contracting Officer
   for approval or denial of the request, and subsequently notify the University of the decision.
   Annual Adjustments. The Construction Support Office will review the thresholds annually and
   recommend to the Contracting as to the need for any adjustments to the thresholds. Since the CCI
   stipulated in Act 57 is no longer accessible, CSO will use an acceptable escalator published by ENR,
   another source, or determine its own. Note that this is simply a threshold for volume of services and
   does not directly impact payment to a Professional, therefore, the amount of yearly threshold
   escalation can be a reasonable amount as determined by the Contracting Officer.

6. CSO’s WEB SITE
    This manual will be distributed to the Universities as a hard copy and portions are expected to be
    posted on CSO’s web site. As time permits, CSO will develop access to information contained in this
    manual on the web site.

7. DEFINED THRESHOLDS
   The System’s Construction Support Office developed Contract Form PASSHE-PROF-2005 so that
   the Universities and the Office Of The Chancellor could readily procure a vast, nearly unlimited
   array of Professional Services within reasonable limitations for Project Size and Individual Work
   Order amounts.
   There are 4 Thresholds defined in Contract Form PASSHE-PROF-2005:
   (1) Threshold For Individual Projects ................................. $5,000,000 Est. Construction Cost
       Category A Services
   (2) Threshold For Individual Studies & Services............... $200,000 Negotiated Fee Threshold
       Category B, C, & D Services
   (3) Threshold For Active Work ........................................... $1,000,000
   (4) Threshold For Seeking Additional Work ..................... $1,250,000


   (1) Category A Services .......................Threshold for Estimated Construction Costs - $5,000,000
       For new construction or renovation projects that require the various architectural and engineering
       services of a Professional and will require a multi-prime construction project.
       Competitive Selections: Firms should be selected based on Letters Of Interest or Competitive
       Technical Proposals for larger projects. LOIs and RFPs should be issued to all firms qualified at
       the University.
       Non-Competitive Selections: Firms can be selected non-competitively for smaller projects
       (IWOs not to exceed $200,000), repetitive-type work, or specialized work.
       Negotiations: IWOs are negotiated after a Competitive Technical Selection or Non-Competitive
       Selection. Negotiations are based on standard practices and need not use Overhead Rates and
       Hourly Rates as stated in the Contract.


   (2) Categories of Services B, C, and D .............. Threshold for Individual Work Orders - $200,000
       Firms are either:
       (1) chosen for performance of specific services having been technically qualified by RFP Process
           or
       (2) selected based on Letters Of Interest or Competitive Technical Proposals for Projects that
           warrant competitive evaluation because of technical requirements. The University should
           solicit at least 3 firms qualified at the University.
       Negotiations: IWOs are negotiated using the Overhead Rates and Hourly Rates established by
       an executed Agreement.


   (3) Active Work .................................................................. Threshold For Active Work - $1,000,000
       The amount of a firm’s active work throughout the System that is
       (i) awarded under this Contract
       (ii) open at any one time,
       being the sum of total fees for all open Individual Work Orders, shall be governed by the
       $1,000,000 Active Work Threshold.


   (4) Additional Work ....................................... Threshold For Seeking Additional Work - $1,250,000
       When a firm is being considered for additional work that will cause the $1,000,000 Active Work
       Threshold to be exceeded, the amount of active work that a firm has open at any one time plus
       additional work being sought, whether one or more Individual Work Orders, shall be governed by
       the $1,250,000 Accumulated, Active Work Threshold.

             CENTRALLY HELD CONTRACTS
  UNIVERSITY ADMINISTERED INDIVIDUAL WORK ORDERS

1. CENTRALLY HELD CONTRACTS
   The Construction Support Office administered the RFP Process to acquire firms that are
   listed in this manual. Universities provided a great deal of assistance on the Selections
   Board and the Negotiations Board.
   The Construction Support Office will administer the Centrally Held Contracts.
   THE CONSTRUCTION SUPPORT OFFICE WILL MONITOR THE NUMBER AND
   PRICES/FEES OF INDIVIDUAL WORK ORDERS ISSUED BY THE UNIVERSITIES,
   THEREBY, MONITORING THE DISTRIBUTION OF WORK PROVIDED TO CONTRACTED
   FIRMS.


2. UNIVERSITY ADMINISTERED INDIVIDUAL WORK ORDERS
   All Universities and the Office Of The Chancellor are eligible to utilize the executed contracts
   that have been executed under Contract Form PASSHE-PROF-2005
   EACH UNIVERSITY WILL ADMINISTER ALL INDIVIDUAL WORK ORDERS THAT ARE ISSUED BY
   THE UNIVERSITY, INCLUDING PAYMENTS.
   EACH UNIVERSITY WILL PROVIDE THE CONSTRUCTION SUPPORT OFFICE WITH THE
   FOLLOWING NOTIFICATIONS:


      FOR PROJECTS UNDER CATEGORY A SERVICES (See Form, next page)
       Each University will provide the CSO with the following notifications:
       (1) Notification of ....... INTENT TO ISSUE a Request For Proposal to 1 or more
                                   contracted firms, or a Letter Of Interest to 1 or more contracted
                                   firms for a specific project.
       (2) Notification of ....... INTENT TO AWARD an Individual Work Order to a contracted firm
                                   that has been selected for a specific project based on a
                                   Competitive Technical Process or Non-Competitive Process.
       (3) Copy of ................ AWARDED Individual Work Order (if requested by CSO).
       (4) Notification of ....... COMPLETION of Individual Work Order, including date and cost.


      FOR PROJECTS UNDER CATEGORY B, C, & D SERVICE (See Form, next page)
       Each University will provide the CSO with the following notifications:
       (1) Notification of ....... INTENT TO ISSUE a Request For Proposal to 1 or more
                                   contracted firms for a specific project.
       (2) Notification of ....... INTENT TO AWARD an Individual Work Order to a firm.

     FIRM SELECTION & REQUEST FOR INDIVIDUAL WORK ORDER NUMBER


This form shall be used by the University to request approval to use a particular firm and to request an
Individual Work Order Number. The form shall be completed and submitted to the Construction Support
Office. See Contract Manual for instructions on when to submit this form.
If contract thresholds are not exceeded and/or distribution of work amongst firms is deemed reasonable
by CSO, then an IWO Number will be assigned for the selected firm.
If contract thresholds are exceeded and/or distribution of work is unbalanced, the firm is not approved by
the Construction Support Office, the University will be requested to select another firm and resubmit a
Request for IWO Number.

       1) Previously used Rider A was reviewed and modified as appropriate.
          Modifications included the incorporation of concepts for Best Value
          Contracting.
       2) The Commonwealth of Pennsylvania’s Standard Contract Terms And
          Conditions For Services, (STD-274 Rev. 05/07/04) were provided by the
          Office Of Chief Counsel, reviewed by CSO, modified as appropriate, and
          made part of Rider B.
       3) Previously used Riders B, C, D, E, & F were reviewed, compared to STD-274,
          and incorporated into Rider B of Contract Form PASSHE-PROF-2005.
       CSO did the above to come up with a Contract that is current and simplified over
       what has been established in other contracts.

                                          SECTION I-F
            NEGOTIATIONS FOR PARTICLUAR PROJECTS

1. WHAT’S DIFFERENT ABOUT NEGOTIATIONS FOR CONRACT FORM PASSHE-PROF-2005?
    a. Reimbursable Expenses. When negotiating costs with Professional firms for work under
       Contract Form PASSHE-PROF-2005, there is one major and important difference. Certain
       reimbursable costs are included in overhead and shall not be separately charged unless
       negotiated in an Individual Work Order to be required only for a specific project. See
       REIMBURSABLES below.
    b. Maximum Overhead Rates. When the Negotiations Board for Contract Form PASSHE-PROF-
       2005 negotiated overhead and hourly rates for the 42 Professional firms, the Board did a
       comparative analysis of the rates of all firms and also did individual analysis for each firm. For
       this Contract Form PASSHE-PROF-2005, the Board determined a maximum allowable
       Total Labor Multiplier (TLM) of 2.65 to be acceptable for the System. This maximum TLM
       includes the Labor Overhead and General/Administrative Overhead Rates plus a maximum
       allowable Profit of 10%.
        THIS MAXIMUM ALLOWABLE TLM OF 2.65 IS ONLY TO BE CONSIDERED IN THE CONTEXT OF THIS
        CONTRACT FORM PASSHE-PROF-2005 AND SHOULD NOT BE SEEN AS A SYSTEM WIDE
        STANDARD SET FOR ALL PROFESSIONAL CONTRACTS.
    c. Direct Hourly Rates. When the Negotiations Board for Contract Form PASSHE-PROF-2005
       negotiated overhead and hourly rates for the 42 Professional firms, the Board did a comparative
       analysis of the rates of all firms and also did individual analysis of rates for each firm. This
       analyses resulted in rates that were acceptable to the System for this Contract Form PASSHE-
       PROF-2005
        Fair & Just Price (Not Low Hourly Rates). The total cost of a project consists of a firm’s
        composite of Direct Labor Rates, Overhead Rates, and Profit. A comparatively low Overhead
        Rate may not be acceptable if the Direct Labor Rates are comparatively high for the same firm.
        Comparatively low Direct Labor Rates may not be acceptable if Overhead Rates are
        comparatively high for the same firm. Therefore, when negotiating an Individual Work Order for
        this Contract Form PASSHE-PROF-2005, a Negotiator need not be concerned if the Hourly
        Rates appear high in comparison to other firms holding this same contract. The Negotiator
        should be concerned with determining a fair and just price for the project, including a fair and just
        number of hours to successfully complete a project.
        Negotiations Procedures. These are only brief comments concerning negotiations. The
        Construction Support Office can more fully discuss suitable negotiations procedures under a
        different format than this Contract Manual.


2. REIMBURSABLES
    Examples of Reimbursables considered to be included in overhead for this Contract Form PASSHE-
    PROF-2005 are:
     Costs associated with routine trips to the project (auto expenses, mileage, tolls, etc.)
     Routine printing & photocopying
     Routine mail, express mail, telephone
     Routine permits and fees
    Examples of Reimbursables allowed beyond the overhead allowance are:
     Costs associated with extraordinary trips to the project (auto expenses, mileage, tolls, etc.).
     Air travel, rental cars, and overnight lodging that are pre-approved by the University.
     Special permits and fees
     Printing/copying of the Bid Package (as appropriate)

3. NEGOTIATIONS FOR CATEGORY OF SERVICE A – MULTI-PRIME PROJECTS
   Prior to this Contract Form PASSHE-PROF-2005, individual Universities solicited for Open End
   Professional Services using a Contract Form (Standard Form of Agreement for Open-Ended
   Professional Design Services - Contract Form 71K140) that included full A/E Services for a
   construction limit of $600,000, Miscellaneous Architectural Services, and Miscellaneous Engineering
   Services. All services under that Contract Form were paid for in accordance with the Overhead
   Rates and Hourly Rates negotiated for that Contract.
   To develop this Contract Form PASSHE-PROF-2005, the Construction Support Office started with
   Contract Form 71K140, and increased the limits in all Categories Of Service. The increase in
   Category A Services to allow for construction costs to a maximum of $5,000,000 was a very
   significant increase to allow for multi-prime projects that are normally negotiated based on fair and
   just fees and costs, sometimes a percentage of construction cost. Therefore, the Construction
   Support Office determined negotiations for projects under Category A Services should be in
   accordance with usual practices that result in a fair and just negotiated price and not have the price
   limited to the Overhead Rates and Hourly Rates as stated in Rider C of the contract.


4. NEGOTIATIONS FOR CATEGORY OF SERVICE B, C, & D – MISCELLANEOUS WORK
   For this Contract Form PASSHE-PROF-2005, projects under Categories of Service B, C, & D are
   negotiated for the number of hours to complete the project, then the Overhead Rates and Hourly
   Rates, as stated in Rider C of the Contract, are used to determine the labor cost.
   Reimbursable Expenses are as permitted in the previous paragraph, REIMBURSABLES.


5. SELECTIONS BASED ON TECHNICAL CAPABILITIES (“NOT PRICE”)
   As supported by the following legislative mandates, the selection of a Professional for design services
   is based on technical capabilities. Selection is not based on “price”, unless a fair and just
   negotiated price cannot be agreed to.
      Act 57, Commonwealth Procurement Code, states the following:
       § 905. Procurement of design professional services.
       (a) Policy
           It is the policy of this Commonwealth
               - to publicly announce all requirements for design professional services , and
               - to award contracts for design professional services on the basis of demonstrated competence
                  and qualification for the types of services required.
           There shall be a committee to review the qualifications, experience, and work of design professionals
           seeking contracts with purchasing agencies.
      Act 188, Enabling Legislation for the State System Of Higher Education, states the following:
       Section 20 - 2003-A.l - Project Contracts
       (b) The System shall
             - review the work, experience, and qualifications of architects and engineers seeking contracts from
               the System under this section, and
             - on the basis of merit, select and appoint architects and engineers for the design, contract
               administration, and at the System's discretion, inspection of a project authorized by this section.


6. NO “PRICE SHOPPING”
   A UNIVERSITY SHALL NOT SOLICIT PRICE PROPOSALS FROM MORE THAN ONE FIRM AND
   SELECT BASED ON LOWEST COST.
   SELECTION SHALL BE BASED ON TECHNICAL ABILITY. NEGOTIATIONS ARE CONDUCTED
   AFTER SELECTION. IF A NEGOTIATED FEE CANNOT BE AGREED TO, THEN THE NEXT
   BEST SELECTION IS APPROACHED FOR NEGOTIATIONS.
