Subject:                   DCMDA Policy for Utilizing Approved Training Consultants and
                           Consultant Approval Process

Purpose:                   To explain the DCMDA Policy and implementation of:
                           1. Annual Training Consulting Budget
                           2. Funds Distribution
                           3. Process/ Re-imbursement
                           4. Training Consultant List
                           5. Approving Potential Consultants Process
                           6. Re-imbursement Request & Consulting Evaluation Forms
Objective:
The DCMDA charter includes providing quality training, development and support for its membership.
Utilizing industry leading consulting companies has been re-instated to support the membership in
need of assistance.

1) An Annual Training / Consulting budget of $410,000 has been established. The budget is a
   cooperative contribution from:
              DCMDA
              Minority Retail Dealer Development (MRDD)

2) Each DCMDA dealer (enrolled dealer code) gets up to $10,000 ($5,000 from DCMDA and $5,000
   from the Minority Retail Dealer Development Dept) annually for consulting/training,advertising and
   the $500.00 DCMDA web Discount Coupon. The Minority Retail Dealer Development Dept.
   $5,000 only covers consulting/training...No Advertising or the $500 DCMDA Web Discount
   Coupon.

3) MRDD only reimburse for expenses that are associated with consulting and /or training.

4) Software, hardware, marketing, and advertising expenses are not reimbursable under the
   consulting/training program.

Reimbursement Examples
     Example A: If a member spends $6,000, total reimbursement is $4,000
                 ($2,000 from DCMDA and $2,000 from MRDD…)

      Example B: If a member spends $15,000 or more, total reimbursement is $10,000 ($5,000
                 from DCMDA and $5,000 from MRDD…)

    If an association member has exhausted their $5,000 allocation of DCMDA funds via training or
    advertising, a reimbursement request to MRDD may still be made on a 1/3 to 2/3 member basis up
    to the annual limit of $5,000 per dealership.

    Example A: Member spends $3,000 with approved consultant, MRDD will reimburse $1,000.

    Example B: Member spends $15,000 or more with approved consultant, MRDD will reimburse
    $5,000 maximum.

3) Process
   A. Refer to the Approved Consultant List in this bulletin, DCMDA website, current DCMDA Dealer
      Directory and /or contact Randy Henderson, Jerry Dillard or Fred Davis to confirm if the
      prospective consultant is an approved DCMDA Consultant. If the consultant is not an approved
      DCMDA consultant, they must complete an application package (refer to page 4 of this bulletin).

   B. The Dealer submits a Funds & Proposal Request Form to the DCMDA Training & Consulting
      Committee. The form is required for the approval to use consulting training funds along with the
      consultant’s services. The dealer must include a copy of the consultant’s proposal with the
      Funds & Proposal Form. This form is required for each proposal.

   C. The Training & Consulting Committee will review the dealer’s request (Funds & Proposal
      Request Form) along with the consultant’s proposal. The committee will notify the dealer when
      the request is approved via telephone and fax. If the proposal is approved and the DCMDA
      member has not exhausted his/her available funds, they may sign a contract with the consultant.

   D. After the consultant has completed their assignment/project and billed the DCMDA dealer, the
      dealer pays the entire invoice and submits the following: DCMDA Training & Consulting Funds
      Request Form, DCMDA Training & Consulting Evaluation Form and all applicable paid
      invoices/receipts to Anna Morris within 10 business days for a 2/3 reimbursement.

   Reimbursement Claim Request Process
            Complete the DCMDA Training & Consulting Funds Request Form
            Complete the Evaluation Form
            Attached paid invoices/receipts to the forms
            Mail forms and receipts to Anna Morris, DaimlerChrysler Minority Dealers Association
             P.O. Box 58278, Louisville, KY 40268-0278.

Submit within 10 business days of receiving the consultant’s invoice(s). Reimbursement claims must pertain to

expenses for the current calendar year. Reimbursement claims must be submitted to DCMDA by December 10
of the current calendar year.
    Reimbursement will only be considered for consulting and /or training provided by DCMDA
    Approved Training Consultants.


4) DCMDA has approved the following Training & Consulting organizations. The following
organizations provide many more services than those listed below, therefore, please refer to the
DCMDA Training Consultants section, pages 9 – 37 for more information or the DCMDA website
www.dcmda.org.

5) DCMDA Consultant Approval Process
   The following is a brief overview of the training and consultant approval process:

         The consulting company submits the following to the Training & Consulting Committee (Jerry
          Dillard, Randy Henderson and Fred Davis):

                  The DCMDA Approved Consultant Application Request form (refer to page 5 of
                   this bulletin)

                  A proposal which must include an itemized list of the services and prices the
                   company would like to offer to DCMDA members

         The Training & Consulting Committee will review the proposal, check references and
          interview the consultant to ascertain if the company is a benefit to DCMDA members.

         The Training & Consulting Committee will notify the consultant company via telephone and
          letter of their decision.
