1. Company Overview

1.1 Business Overview
Sistema JSFC is a Moscow-based diversified Consumer Services Group. Its business
operations are divided into two segments: Core business operations and High potential
business operations. The Core business operation includes services for telecommunications,
technology, insurance, banking, real estate, retail, media, healthcare and other sectors.
„Sistema Telecom‟, the telecom arm of Sistema JSFC, contributes to the major part of the
Group's revenue. It offers services in two main lines – Wireless and fixed line
communication, for the retail and corporate customers. Sistema Telecom‟s subsidiaries
include Mobile Telesystems (MTS), Comstar United Telesystems, Multiregional Transit
Telecom (MTT), Skyline and Shyam Telelinks. Its other industry subsidiaries are Sitronics
(for technology), ROSNO Insurance (for insurance), Moscow Bank of Reconstruction and
Development (for retail banking), Sistema-Hals (for real estate and constructions), Detsky
Mir Group (for Retail sector), Sistema Mass Media (for media industry) and Medsi Company
Group Holding (for healthcare). The company also operates in fields of Pharmaceuticals,
Entertainment, and Petro Chemicals.


1.2 Key Figures
Sistema JSFC recorded revenues of $13,701 million during the fiscal year 2007 (ended 31st
December), up from $10,266.6 million recorded during the fiscal year 2006. In terms of US
dollars, this translated to an increase of 33.4 percent, which was mainly attributed to
exchange rate fluctuations.

The net income of the company was $1,571.9 million in the fiscal year 2007, up from $813
million recorded in the fiscal year 2006. This translated to an increase of 93.3 percent in
