GUIDING
PRINCIPLES
                     EnCoNet, Inc., has been in business since 1992. Originally started as a
                     Controls and Electrical Power Service organization, we have added
                     many related Energy Resource and Management services to further
                     assist our clients growing needs. The range of services offered includes:
                     Engineering, Construction, Energy Management and Procurement.
                     This allows our current and future clients the advantage of having a
                     variety of electrical and mechanical services coordinated by single
                     source. The main benefit our clients see from a single source contractor
                     is increased continuity and responsibility from one company.
                     EnCoNet, Inc. with our associates subscribes to a set of philosophies
                     when conducting business. We call these philosophies our three
                     “Guiding Principles” and they are the driving force that has shaped our
                     growth over the past 14 years. They are: Intelligent Interaction,
                     Innovation Initiative and Integrity. These “Guiding Principles” are the
                     reason that EnCoNet Inc. has grown at a steady pace to become one
                     of the Premier Energy Providers and Energy Consulting firms when it
                     comes to diversified energy strategies in Southern California and
                     Internationally. These “Guiding Principles”, which represent our
                     company philosophy, have formed the basis of our business
                     methodology.

CAPABILITIES


               ORGANIZATION

               Our organization structure follows a progressive management thinking,
               whereby the services, equipment and energy agents that EnCoNet,
               Inc. provides is originated at different points of our Network.
               This Network includes wide spectrum of unified energy solutions that
               easily compete with the best and the biggest in the industry, since the
               capabilities are limited to the final entity providing the goods and
               services which is usually a large company like GE Energy, Cummins etc.
               and the overhead still remains of the small specialized energy group
               that the Network is representing.


               RANGE OF SERVICES

               Founded with the objective of offering a wide range of Distributed
               Power Systems, Automation and Controls services, EnCoNet, Inc. can
               also provide Energy Audit and develop Energy Management Strategy
               for any power facility. EnCoNet, Inc. will provide purchase and sale
               agreements for Energy Agents, be that crude oil, derivatives or any
               other fuels including natural gas for long term energy supply.

               Our three main service categories are

               -DEVELOPMENT AND DESIGN OF POWER GENERATION PROJECTS, USING
               POWER AND FINANCIAL PROFORMA MODELING SOFTWARE,

               -CONSTRUCTION MANAGEMENT AND START-UP USING VARIETY OF

               VAIRETY OF READY SUBCONTRACTORS THAT MAINTAIN LONG TIME
               WORKING RELATIONSHIPS WITH ENCONET,

               - ENERGY MARKETING, THAT INCLUDES PROCUREMENT USING CONTROLS
               THAT INTEGRATE MARKET FLUCTUATIONS WITH REAL TIME METERING AND
               LONG TERM ENERGY PURCHASE AGREEMENTS.

                 EPA      Section 608 Certification, Universal Classification
                          for any HVAC equipment and refrigerant handling

                        1. South Coast Air Quality Management District (SCAQMD)
                           Rule 1415 Auditing, Repairs, Record Management,
                           Refrigerant Recovery, Recycling, and Reclamation. EPA

                         The Pumping Unit mounts over the wellhead and can be tracked back to
                         accommodate a workover rig.
                         Main components:
                         Hydraulic Cylinder
                         Provides the lifting force. 1800 psi is the maximum designed pressure.
                         Pulley System
                         Transmits the lifting force to the rod string by wire line hanger.
                         Gas Reservoir
                         Acts as a counterweight and has no inertia.

                         Units can be supplied in a range of sizes to match the well's maximum rod
                         load; this is equal to the sum of the rod string weight and fluid column
                         load.
