BOARD OF DIRECTORS' RESOLUTION AUTHORIZING PURCHASE OF COUNTRY CLUB MEMBERSHIP
Upon a duly made, seconded and unanimously adopted motion, the Board of Directors of this Corporation adopted the following resolution: WHEREAS, this Board of Directors has before it a report from the President of the Corporation, dated [DATE], concerning the benefits that would flow to this Corporation if the Corporation’s [N] could entertain at a private club potential and existing customers as well as influential members of the community whose good will may prove of assistance to the Corporation, and WHEREAS, membership in such private clubs is limited to individuals and is not open to businesses, it is hereby: RESOLVED, that the recommendation of the President in his or her report dated [DATE], a copy of which the Secretary of the Corporation is directed to attach to the minutes of this meeting, be and hereby is adopted, and [N], the [N] of this Corporation, is hereby authorized to apply for membership in the Club, in his or her own name, and it is FURTHER RESOLVED, that the Treasurer of this Corporation is hereby directed to reimburse the aforesaid [N] for any and all expenses he or she has incurred and will incur at the [COUNTRY CLUB NAME] Club on behalf of this Corporation, including but not limited to membership and initiation fees.
