AGREEMENT FOR SALE THIS DEED OF AGREEMENT OF SALE entered at Chennai on this the Day of January 2008, BETWEEN ----------------------, son of ------------, Hindu, aged about --- years, residing at -------------------------------------------------------------------------, hereinafter called the “VENDOR” which expression shall mean and include the said VENDOR his legal representatives, executors, administrators and assigns of the ONE PART; AND …………………………son of -----------------, Hindu aged about --- years, residing ……………………………………………………hereinafter called the “PURCHASER”, which expression shall include his heirs, executors, administrators, legal representatives and assigns of the OTHER PART; WHEREAS the VENDOR is the sole and absolute owner of the land and building bearing ………………………………………………………………. more fully described in the Schedule hereunder. WHEREAS the schedule mentioned property was purchased by the VENDOR herein for valuable Noon the file of the SRO, ……….. consideration in from Document …………………………………………………………………………… WHEREAS the VENDOR offered to sell the schedule mentioned property to the PURCHASER and the PURCHASER herein agreed to purchase the schedule mentioned property for a sale consideration of ……………………….Rs. (Rupees only) free from all encumbrances and claims subject to terms and conditions herein contained. WHEREAS the PURCHASER relying on the representations and assurances of the VENDOR made herein have agreed to purchase the schedule mentioned property at the said price free of all encumbrances and on the terms and conditions hereinafter set out. NOW THIS AGREEMENT WITNESSES AND IT IS HEREBY AGREED BETWEEN THE PARTIES HERETO AS FOLLOWS: 1. The VENDOR shall sell and the PURCHASER shall purchase the schedule mentioned property more fully and particularly described in the schedule hereunder free from all encumbrances and claims and with all rights and appurtenances for the sale consideration of Rs. (Rupees only) 2. The PURCHASER has paid this day to the VENDOR a sum of Rs. (Rupees only) by cash towards advance, the receipt of which the VENDOR do hereby acknowledge. 3. The VENDOR shall produce to the PURCHASER or his Advocate all the title deeds relating to the said property and also furnish all other particulars and encumbrances certificate, which may be required for obtaining necessary loan from the Bank. 4. The sale shall be completed within 180 days from the date of this Agreement. 5. The PURCHASER shall pay the balance of the sale consideration on the date of registration of the sale deed before the Registering Officer at the time of Registration of the Sale Deed. 6. The VENDOR and all other necessary persons shall execute and register a sale deed in favour of the PURCHASER conveying the schedule mentioned property to the PURCHASER with usual covenants, for title peaceful possession and enjoyment. 7. The VENDOR shall deliver to the PURCHASER vacant possession of the said premises mentioned in the Schedule hereunder on the date of registration of the Sale Deed. 8. The VENDOR shall obtain and produce at their cost any certificate or permits required under any statute or any authorities for effectual completion of the sale. 9. The VENDOR has assured the PURCHASER that the schedule mentioned property is in their absolute possession and enjoyment and as absolute owner and that the same is not subject to any charge, lien, will, settlement, pending litigation, attachments and agreements for sale with any other parties and that the same is not subject to any acquisition, proceedings under any statute or other rights, claims and demands whatsoever. 10. Till the date of completion of sale and delivery of possession to the PURCHASER, the VENDOR shall pay all the taxes, rates and other outgoings payable in respect of the said lands and after completion of sale the purchaser shall be liable to bear all such rates and outgoings. 11. The VENDOR shall pay the maintenance, property tax, water tax and charges up to the date of executing the sale deed. 12. The PURCHASER shall bear the stamp duty, registration fee and other expenses for registration of the sale deed. 13. If the VENDOR or any of them commits any breach of this agreement and fail to complete the sale as agreed herein the PURCHASER shall at his option be entitled to the Specific Performance of this agreement or claim return of the amount paid as advance together with damages. 14. If the PURCHASER commits any breach of this agreement and fails to complete the sale as agreed herein the VENDOR shall return the advance amount after deducting a sum of Rs. (Rupees only) from the aforementioned amount paid as advance and the purchaser shall cease to have any right under this agreement in respect of the schedule mentioned property agreed to be sold herein.
