A TED ORDER FOR PER1ANEN.1NJUNCTJON AJ'D FlNAL JUDGMENT AGAINST DEFENDANT CATREENA MARCHEWKA Plaintiff, the Federal Trade Commission ("FTC" or "the Commission ), commenced this action by filing its Complaint , followed by a First Amended Complaint , for injunc6ve and other equitable relief pursuant to Sections 13(b) and 19 of the FedeTal Trade Commission Act ("FTC Act ), 15 U.S. c. g 53(b) and 57b , the Telemarke6ng and Conswner Fraud and Abuse 6101 et seq_ Prevention Act ("Telemarketing Acf' ), 15 U.S. C. charging that the defendants engaged in deceptive acts or practices in vio1ation of Section 5(a) of the FTC Act , 15 U. 45(a), aod the FTC's Trade Regulation Rule entit1ed " Telemarketing Sales Rule " Part 310. 16 CFR The FTC and Defendant Catreena Marchewka , having been represented by counsel and acting by and through such counsel , have consented to the entry of this Stipulated Order for PemJanent Injunction and Final Judgment (" Stipulated Order " adjudication of any issue of Jaw OT or u Order ) without a trial or fact herein- Page 1 of 18 Case 1 :05-cv- 05442 Document 164 Filed 10/22/2007 Page 2 of 18 NOW , THEREFORE , the Commission aDd Defendant Catreena Marchewka, having requested the Court to enter this Stipulated Order , and the Court , having consider the Stipulated Ordcr reached among the parties and for other cause appearng, it is ORDERED ADJUDGED, AND DECREED as follows: FINDINGS This is an action by the Connission instituted under Sections 13(b) and J 9 of the FTC Act , 15 U. c. ** 53(b) and 57b , the Telemarketing Act , J 5 U. c. 6101 et seq. and the FTC's Telemarketing Sales Rule , 16 C. R. Part 3)0. Pursuant to these statutes and regulations, the Commission has the authority to seek the relief contained herein. The Commission s First Amended Complaint states a cJaim upon which relief may be granted against Defendant Catreena Marchewka under Sections 5 , 13(b), and 19 of the FTC Act , 15 U. c. , 53(b) and 57b , the Telemarketing Act , 15 u.S. C gg 6101~ Par 310. et seq. and the FTC's TeJemarketing Sales RuJe , 16 C.F. R. This Court has jurisdiction over the subject matter of this case and a.1I paries hereto. Venue jn the United States Distrct Court for the Northern District of I1inois is proper under 15 U. C. ~ 53(b) and 28 U.S. c. * I391(b), (c), and (d). The al1eged activities of Defendant Catreena Marchewka are in or affecting commerce , as defined in Section 4 of the FTC Act , ) 5 U. c. 44. Defendant Catrecna Marchewka , without admjtting the aHegations set forth in Plaintiffs First Amended Complaint or any liabiJjty jn connection therewith , agrees to entry of this Stipulated Order. Paec 2 of 18 Case 1 :05-cv- 05442 Document 164 Filed 10/22/2007 Page 3 of 18 The paries shall each bear their own costs and attorneys ' fees incun-ed in this action and have waived all claims undcr the Equal Access to Justice Act , 28 U.s. c. 2412 , and all rights to seek judicial review , or otherwise to challenge the validity of this Stipulated Order. This Order is in addit10n to and not in Heu of any other civil or criminal remedies that may be provided by law. Entry of this Stipulated Order is in the public interest. DEFINITIONS For purposes of this Order , the following definitions sha1l apply: Defendant " means the Defendant Carreena Marchewka. AsseC or " assets" means any legal or equitable interest in , right to, or claim to) any real and personal propery, including, but not limited to , chattels , goods , instruments equipment , fixtures , general intangibles, effects , leaseholds , mail or other deliveres , inventory, checks . notes, accounts , credits , receivables (as those tens are defined in the Unifonn Commercial Code), and all cash , wherever located. Assisting others " means providing any of the following goods or services to any person or entity engaged in telemarketing: (a) preparing, printing, or transmitting invoices; (b) recording or verifying sales solicita6ons; (c) pcrforming customer service functions , including, but not limited to , receiving or resp011ding to consumer complaints , obtaining or receiving identjfyng and financial information from consumers , and commlUicating with consumers on behalf of the seller or telemarkctcr; (d) providiJlg for or aranging for the provision of mail or telephone lists; (e) preparing or providing, or causing to be prepared or provided , telephone sales scripts or other materals for use in connection with the promolion of products or servjces lo Page 3 of 18 Case 1 :05-cv- 05442 Document 164 Filed 10/22/2007 Page 4 of 18 consumers; (f) providing, mailing or shipping, or aITanging for the provision , mailing, or shipping, of fulfillment products or I' ervices; (g) providing or aranging for the provision of from telemarketing services; (h) providing or facilitating the means of obtaining pa)Tent consumers , by provjding or facilitatjng access to the credit card or bank account payment and conection system; (i) developing, providing, or aITangjJJg for the provision of names ofpotential customers (j) providing or ammging for the provision of post offce boxes or the services of commercial receiving agencies; and (k) pcrfonuing or providing marketing services of any kind. Consumer" means any individual , group, unincorporated association , limited o general partnership, corporation , or other business entity. Credjt- related products , programs, or services " means any product , program , or service which is advertised , offered for sale , or sold to cons)JJ1ers as a method by which consumers may establish or obtain any extension of credit or credit device . including, but not limited to, credit cards , loans , or financing, or as a method to consolidate or liquidate debts. Customer" means any person who has paid , or may be required to pay, for goods or services offered for sale or sold by Defendant. Document " is synonymous in meanjng and equa1 in scope to the usage of the tenn in Federa1 Rule ofCjvil Procedure 34(a), and includes writings , drawings , graphs , chars photographs , audjo and video recordings , computer records , and other data compilations from which infonnation can be obtained and tran lated , if necessary, through detection devices into Teasonably usable fonn. Person " means a natural person , organization , or other legal entity, including, but not limited to , a corporation , partership, sole, proprietorship, Jjmited 1iability companYt association , cooperative , or any other group or combination acting as an entity. 10. Telemarketing " means a plan, program , or campaign (whether or not covered by the Telemarketing Sales Rule , 16 C.F. R. Par 310) which is conducted to induce the purhase goods or services or a charitable contribution , by use of one or mOTe telephones. ORDER PROHIBITED BUSINESS ACTIVITIES IT IS FURTHER ORDERED that , in connection with the advertising, marketing, promoting, offering for sale , or saJe of any product , program , or service , Defendant Catra Marchewka , and her officers , agents , directors , servants , employees , salespersons , independent contractors , attorneys , cOJporations , subsidiaries , affiiates , successors , and assigns, and all other persons or entities in active concer or participation with heT Ordcr by personal service or otherwise , whether actiTJg who rcceive actual notj.e of this directly or through any trust, cotporation, subsidiary, division , or other device , are hereby permanently restrained and enjoined from: Making, or assisting others in making, any express or implied representation or omission of material fact that is false or misleading, in any maImer , induding, but not limited to any false or misleading statement: That Defendant will provide consumcrs with , or arrange for conswners to receive , a major credit card , such as a Visa or MasterCard; Page 5 ofl8 Case 1 :05-cv- 05442 Document 164 Filed 10/22/2007 Page 6 of 18 Concerning the Defendant s , abjlity to provide consumers with any credit­ re)ated product , program , or service and Concerning any fact material to a consumer s decision to purchase any product~ program or serce; Violating or assisting others to violate any provision of the Telemarketing Sales Rule , 16 C. F . R. Par 310 et seq. as cUlTently promulgated or as it may hereafter be am ended including, but not limited to: Violating Section 310.3(a)(2) of the Telemarketing Sales Rule, 16 C.F. 9310.3(a)(2), by misrepresenting, directly Or by implication , any material aspect of the perfonnance , effcacy, nature , or central characteristics of goods or serices that are the subject ofa sales offer , 16 C. R. 31O. 3(a)(2)(iii); Violating Section 31 0.4 (a)(4) ofthe Telemarketing Sales Rule , 16 C.F. g 31O.4(a)( 4), by requesting or receiving payment of any fee or consideration in advance of obtaining or aIanging an extension of credit when the Defendant has guaranteed or represented a high likeljhood of success in obtaining or arranging an extension of credit; Violating Section 310.4(b)(1)(iii)(B) of the TSR , 16 C.F. 9 31 O. 4(b)( 1)(iii)(B) by engaging in or causing others to engage in initiating an outbound telephone call to a person s telephonc number on the National Do Not Call Registry; and Violating Section 310. 8 of the TSR, 16 C.P. R. 9 310. , by initiating, or causing others to initiate ) an outbound teJep)loDe call to a telephone number within a given area code without Dcfendant first p yjng the requjred annual fce for access to the telephOlle numbers withjn tnat area code that are incJuded 1)1 tIle National Do Not Call Registry; and Page 6 of 18 Case 1 :05-cv- 05442 Document 164 Filed 10/22/2007 Page 7 of 18 Assisting others who violate any provision of Substjctions A and B of ths Section. II. MONET ARY RELIEF IT IS FURTHER ORDERED that: Judgment in the amount of$9, 894 514 (USD) is hereby entered in favor of the Commission against Defendant Catreena Marchewka, jointly and severally, as equitale monetary resti"ttion for COJlsumer injury relief; provided, however that this judgment shall be of thjs suspended until further Order of the Court pursuant to Section II Order (Right to Reopen), and provided further that this judgment shall be subject to the conditions se fOrth in Section V. All funds paid pursuant to Section II and/or Section II shall be deposited into a fid administered by the Commission or its agent to be used for equitable relief, including, but not limited to , consumer redress and any attcndant expenses for the administration of such equitable relief. Defendant Catreena Marchewka shall cooperate fuIJy to assist the Conuission in identifying consumers who may be entitled to redress pursuant to tbis Order. In the event that direct redress is wholly or partially impracticable or funds remain after redress is completed , the Commission may app1y any remaining funds for such other equitable relief (including consumer infonTI.a6on remedies) as it detennines to be reasonably related to Defcndant Catreena Marchewka s practices alleged i the First Amended Complaint. Any funds not used for such equitabJe rehef shall be deposited to the United States Treasury as disgorgcmcnt. Defendant Catreena Marchewka shaH have no right to challenge the Commission 5 choice ofremedies under this Section; Page 7 of) 8 Case 1 :05-cv- 05442 Document 164 Filed 10/22/2007 Page 8 of 18 The judgment cntered pursuant to P ragraph A of ths Section for equitable monetar relicf is solely remedial in nature and is not a fine , penalty, punitive assessment . or foreiture; In the event of any default on any obligation to make payment under this Section interest ) computed pursuant to 28 U.S. c. 1961 (a), shall accrue from the date of default to the date of payment, and shall immediately become due and payable; For purposes of any subsequent pTOceedings to enforce payments required by this Section , including, but not limited to , a non dischargeabiljty complajnt fied in a banptcy proceeding, Defendant Catrccna Marchewka waives any right to contest aDY allegations in Plaintiffs First Amended Complaint; and Nothing herein shall be deemed or constnIed, to prevent the Commission frm initiating any appropriate proceedjngs to enf(uce the provisions of this Order. III. RJGHT TO REOPEN: ACC;URACY OF FINANCIAL STATEMENT IT IS FURTHER ORDERED that within five (5) business days after the date of entry of this Stipulated Order , Dcfendant Catreena Marchewka shall submit to the Commission a truthful swom statemen1that shall rcaffrm and attest to the truthfulness , accuracy, and comp1eteness of the Financial Statement ofIndividual Defendant executed by Defendant Catreena Marchewka on July 13 2007. The Comrissjon s agreement to this Stipulated Ordcr is cxpresslypremised upon the financ1al condjtion of Defendanl Catreena Marchewka , as represented in hcr financial statement , which contains material information upon which the Commission rehed 1n negotiiJting and agrecing upon this Stipulated Order. Page R of 18 Case 1 :05-cv- 05442 Document 164 Filed 10/22/2007 Page 9 of 18 ) upon motion of the Commission , the Court finds that Defendant Catreena Marhewka faj)ed to submit the sworn statement required by this Scction , or that Defendant failed to disclose any materal asset , matc:rially misrepresentcd t,c va1uc of any asset , or made any other material misrepresentation in or omissjon from the financial statement , the Court shall enter judgrent against her , in favor of the Commission ) in the amount of$9 894 514 (USD) (the approximate tota) amount of consumer injury in this matter drning the time that Defendant Catr Marchewka was actively involved in the alleged activities set forth in Plaintiffs First Amended Complaint), and the entire amount of the judgment shaH become immediately due and payable less any amount already paid. Prmiided, however that in all other respects , this judgment shaH remain hI futI force and effect , unless otherwise ordered by the Court; and provided further that proceedings instituted under this Section are in addition to , and not in lieu of, any othcr civil or criminal remedies that may be provided by law ) including) but not limited to , contempt proceedings , or any othr proceedings that the Commission or the United States might initiatc to enforce this Stipulated Ord er. IV. COOPERATJON WITH FTC COUNSEL IT IS FURTHER ORDERED that Defendant Catreena MaTchewka shall , in connection with this ac60n or any subsequent investigations related to or associated with the transactions or the OCCUITences tha1 are the subject of the FTC's First Amended CompJajnt , cooperate in good faith with the FTC and appear , or cause her offcers , employees , representatives , or agents to appear, at such places and times as the FTC shall reasonably request , after written notice , for Page 10 oflS Case 1 :05-cv- 05442 Document 164 Filed 10/22/2007 Page 11 of 18 interviews , conferences , pretrial discovery, review of documents) and for such other matter as may be reasonably requested by the FTC. If requested in writing by the FTC Defendant Catreena Marchewka shall appear , or cause har officers , employees, representatives , or agents to appear , and provide truthful testimony in any trial , deposition or other proceeding relate to or associated with the transactions or the occunences that are the subject of the First Amended Complaint , without the service of a subpoena. COMPLIANCE REPORTING BY DEFENDANT IT IS FURTHER ORDERED that) in order that compliance with the provisions of this Order may be monjtored: For a period of five (5) years ITom the date of entr of1h1S Order Defendant Catreena Marchewka shall notify the Commjssion of the foHowing: Any changes in her residence , mai1ing addresses , and telephone numbers , within ten (l0) days of the date of such change; Any changes in her employment status (including selfemployment), and any change in the ownership of the Defendant in any business entity within ten (10) days of the date of the such change. SALES PERSONNEL IF IS FURTHER ORDERED that Defendant Catreena Marchewka , in connection with any business where she.is the majority owner of the husiness or directly or indirectJy manages or controls the business , and where the business is engaged in tc1cmarketing, OT assisting others engaged jn telemarketing, is hereby pellanently restrained and eDjoined from: Failing to take reasonable steps suffcient to monitor and ensure that all employees and independent contractors engaged in sales or other customer service functions Page 14 of 18 Case 1 :05-cv- 05442 Document 164 Filed 10/22/2007 Page 15 of 18 comply with Sectio I of this Stipulated Order- Su\h steps shall include adequate monitoring of sales presentations or other calls with customers , and shall also include , at a minimum , the fonowing: (1) listening to the oral representations made by persons engaged in sa1es or other customer service functions; (2) establishing a procedure for recejving and responding to consumer complaints; and (3) ascertaining the number and nature of consumer complaints regarding transactions in which each employee or independent contractor is involved; Failing promptly to investigate fully any consumer complaint received by any business to which this Sec60n applies; and Failing to take con-ectivc action with respect to any sales person whom Defendant Catrccna Marchewka determines is not complying with this Order, which may include training, disciplining, andlor tenninating such sales person. IX. RECORD KEEPING PROVISIONS IT IS FURTHER ORDERED that , for a period of eight (8) years from the date of entr ofthjs Order , in connection with any business where (1) Defendant Catreena Marchewka is the majority owner, or directly or indirectly manages or controls the business , and (2) the busjness is engaged in , or assists others in engaging in , te1emarkcting, Defendant Catreena Marchewka and her agents , employees , officers , corporations , successOTS , and assigns , and those persons in active concert or participation with her who receive actual notice of this Order by personal service or otherise , is hereby restrained and enjoined from failing 10 create and retain the following records: Accounting records that re:tect the cost of goods or services soJd , revenues Page 15 of J Case 1 :05-cv- 05442 Document 164 Filed 10/22/2007 Page 16 of 18 gcncr ted , and the disbursement of such revenues; Personnel records accurately reflecting: the name , address , and telephone number of each pcrson employed in any capacity by such business , inc1uding as an independent contractor; that person s job tjtJe or posjtjon; the date upon w hich the person commenced ork; and the date and reason for the person s tennination , if applicable; Customer files containing the names , addresses , telephone numbers. dollar amounts paid, quantity ofitcms or services purchased , and description of items or serces purchased , to the extent such information is obtained in the ordinar course of business; Complaint and refund requests (whether recejved directJy indirectly or tlough any third party) and any responses to those complaints or requests; Copies of all sales scripts trairung materials , advertjsements or other marketing materals; and All records and documents necessar to demonstrate full compliance with each provision of this Order , including, but not limited to , copies of acknowledgments of receipt of this Order , requjred by Section X , and a1l reports submittcd to the FTC pursuant to Section VII.
