CONTEST CONTEST RULES Dragons’ Den and Johnnie Walker present the “Enter the Den” Contest from October 4, 2010 to November 17, 2010 These are the official rules and regulations (the “Rules”) applicable to persons (“you” or an “entrant”) who enter the “Enter the Den” Contest (the “Contest”). By entering the Contest, You accept these Rules and agree to be bound by them and by the interpretation of these Rules by Canadian Broadcasting Corporation’s (“CBC”), Dragons’ Den (“DD”) and Diageo Canada Inc. (the “Prize Provider”). 1. TO ENTER 1.1 To participate in the Contest, sponsored by the CBC, DD, and the Prize Provider, visit www.cbc.ca/entertheden to view the instructions on how to participate and enter the Contest. 1.2 To enter this Contest, entrants must register online and submit an explanation telling us why, as an aspiring entrepreneur, they deserve to meet with one (1) of the five (5) Dragons from Dragons’ Den (maximum 250 characters). All texts must be composed by and be the original work of the entrant. Any and all texts and photos used in the entry must not give rise to any claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party, or give rise to any claims for payment whatsoever. If you wish to include a photo as part of your entry, you must include one electronic photo (as standard image file formats, no more than 5MB file size), (collectively “the entry(ies)”). All entrants must send their entries to CBC via the online Contest page on www.cbc.ca/entertheden. 1.3 Entries will be accepted from October 4, 2010 at 10:00am (the “Contest Entry Start Date”) until the Contest’s close date of November 17, 2010 at 11:59pm (ET). To be valid, an entry must be received by November 17, 2010 at 11:59pm (ET), it must explain why the entrant deserve to meet with one (1) of the (5) Dragons from Dragon’s Den, and all required fields on the entry form must be completed (full name, address, daytime telephone number with area code, age, email address). 1.4 There is a limit of one online entry per person for the whole Contest period. Entries generated by script, macro, robotic, programming, or any other automated means are prohibited and will be disqualified. Multiple entries will result in the disqualification of all entries from said entrant. 1.5 All entries become the property of CBC. Any and all data included an entry may be used by CBC for research, promotion and marketing purposes related to this Contest in any manner whatsoever, including but not limited to reproduction of such data on television, in print, or online, without any further compensation to the entrant, unless such compensation is deemed payable by the CBC, in its sole discretion. 1.6 The odds of winning the Prize are directly related to the number of eligible entries received 1.7 NO PURCHASE NECESSARY. 2 . ELIGIBILITY 2.1 This Contest is open to all legal Canadian residents who meet the entry criteria. Entrants must be the legal drinking age in the province or territory where they reside prior to the Contest’s Entry Start Date and time. Directors, officers and employees of the CBC, Diageo Canada Inc., and of each of their respective subsidiaries, affiliates, parent companies, partners, licensors, distributors, divisions, agencies, and their immediate families (parents, children, siblings, spouse), and persons with whom they are domiciled (whether related or not) are not eligible to participate in this Contest. 2.2 Any employee of the liquor boards, commissions, agencies and branches throughout Canada (collectively, the “Liquor Authorities”), liquor licensees, or liquor retailers, any member of their immediate family, and persons with whom they are domiciled are not eligible to participate in this Contest. 2.3 The Liquor Authorities are not connected to this Contest in any manner whatsoever and are not liable in any way for any matter related to this Contest. 3 PROCEDURE FOR AWARDING PRIZES 3.1 Five (5) Prizes (as defined below) are to be won. 3.2 Starting Thursday November 18, 2010 at 12:00pm (noon) ET, CBC, DD and Prize Provider will judge all of the entries on the relevance of the entry and quality of the write up. One (1) winner (“Winner”) per Dragon will be chosen. The selection will be made from among all eligible online entries received as of the dates and times indicated in the list below. The entrant named in the selected entry will win one (1) of the Prize(s), subject to meeting all the conditions described in these Rules. 3.3 Each Winner will be notified by November 22, 2010 of their selection by telephone at the phone number provided in their entry. Entrants must therefore ensure that the contact details provided in their entry form are correct. 3.4 CBC will use reasonable efforts to contact each Winner, but in the event the CBC cannot contact a Winner within Forty-Eight (48) hours of the initial contact attempt, the selection of that Winner shall be deemed void. 3.5 In the event that the selection of a Winner is deemed void, invalid or disqualified, or if the entrant refuses the selection as the Winner, CBC will award that Prize to the reserve with first priority. Reserves will not be notified unless they become eligible to be awarded. 3.6 The Winner(s) and the Winner’s guest (who must be of legal drinking age in his/her province or territory of residence at the date of the selection by which each of the Winners are selected) (the “Winner’s Guest” or the “Guest”) must sign all documents required under these Rules within seven (7) days after the Winner(s) receive(s) such documents from CBC. If sent by email, the documents will be deemed received on the day they were sent by CBC to the email address provided by the Winner. If the documents are not returned to CBC within the prescribed time period, the individual selected as the Winner will be disqualified and its entry selection will be void. Reserve with the first priority will be notified and the same time constraints shall be imposed. 4 DESCRIPTION OF PRIZE (S) Prize (s): 4.1 Each Winner will win one (1) of five (5) Prizes, which includes: • Meeting with one (1) of the five (5) Dragons from CBC’s Dragons’ Den in Toronto, ON, at a date between March 1, 2011 and June 30, 2011, to be confirmed by DD and CBC. • Return airfare (economy) for two (2) to Toronto, ON. Departure will be from the Canadian international airport closest to the Winner’s and Guest’s respective residence from which the designated airline flies (the “Canadian International Airport”). Return shall be to the same Canadian International Airport. Should the Winner or the Guest reside at less than 200km from Toronto, the transportation shall be provided at CBC’s discretion. • Three (3) nights hotel accommodation in standard double occupancy room at a hotel which shall be determined by CBC and Prize Provider. • $500 CDN spending money. (collectively, the “Prize”) 4.2 Each Prize has an estimated value of $5,000. This value is based on an assumption that airfare will be that of two flying across the country (Canada). 4.3 The Prize includes only what is specifically described above and no other allowance will be granted. Each Winner and his/her Guest will have to pay all additional expenses including, but not limited to: • meals and beverages; • transportation costs, including round-trip transfers between the Winner’s and his/her Guest’s residence and the airport and/or the airport and hotel; • travel insurance (cancellation, medical, etc.); • gratuities, tips, taxes of any kind; • personal expenses. 4.4 Each Winner and his/her Guest must be available to travel between March 1, 2011 and June 30, 2011, on the specific date that will be confirmed by DD and CBC. If the Winner and his/her Guest are unable to travel because they lack proper documentation or for any other reason, the Prize will be forfeited without compensation, and a new draw may be held. 4.5 Total aggregate approximate retail value of all Prizes available to be won is $25,000 5 GENERAL RULES 5.1 To be eligible to collect the Prize, each Winner will be required to answer correctly, unassisted, a time limited mathematical skill testing question by telephone. 5.2 By entering the Contest, the entrants agree to the publication, reproduction and/or other use of his/her name, address, voice, statements about the Contest and/or photograph or other likeness without further compensation, in any publicity or advertisement carried out by the CBC and/or the Prize Provider in any manner whatsoever, including but not limited to print, broadcast or the Internet. 5.3 Each Winner shall, at the CBC’s or Prize Provider’s request, take part in worldwide publicity without further compensation. This may include photographs, participation in press conferences, interviews and written and spoken material, all of which may be used by CBC and Prize Providers as they deem fit. 5.4 The Prize must be accepted as awarded. The Prize is not transferable; there is no cash alternative, in whole or in part, and otherwise than as set out herein there are no substitutions. The Prize will be awarded only if the potential Winner fully complies with these Rules. All details and other restrictions of the Prize not specified in these Rules will be determined by the CBC in its sole discretion. 5.5 CBC reserves the right to substitute the Prize or a component of the Prize with a Prize or component, as the case may be, of equal or greater value. 5.6 Refusal to accept the Prize releases the CBC, and the Prize Provider of any and all responsibility and obligation toward the Winner(s). 5.7 Should any entrant make a false statement, he/she shall be automatically disqualified from the Contest. 5.8 Subject to the extent permitted by applicable law, all entrants including but not limited to each Winner shall indemnify and save harmless CBC and the Prize Provider, their respective affiliates, parent companies, agents and their employees, directors and shareholders from any and all claims, actions, causes of action, suits, demands, losses, damages (including consequential loss or damages), liabilities, deficiencies, costs and expenses (including all legal and other professional fees and disbursements, interest, penalties and amounts paid in settlement) suffered or incurred by CBC and/or by the Prize Provider or their respective affiliates or parent companies or agents and their employees, directors and shareholders as a result of or arising directly or indirectly out of or in connection with the entrant’s and each Winner's participation in a Prize or the Contest. All entrants voluntarily accept this legal risk, thereby expressly giving up any right of action that may arise from participation in the Prize or this Contest. 5.9 Each entrant agrees that CBC and Prize Provider, and their respective affiliates, parent companies, agents and their employees, directors and shareholders: (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, due in whole or in part, directly or indirectly, to participation in the Contest or any Contest-related activity, or from entrants’ or Winner’s acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose. 5.10 Each Winner and his/her Guest will be required to sign a declaration, waiver, release or order in similar terms to those set out hereinabove prior to their participation in the Prize. 5.11 CBC and the Prize Provider shall assume no liability resulting from losses, delays, mistaken addresses on mail or e-mail received, typographical errors, technical, computer or telephone malfunctions, loss or theft of computer or telephone data, damage to software or computer equipment, fraudulent calls or any other mistake. 5.12 CBC and the Prize Provider shall assume no liability whatsoever for any situation in which their inability to act results from an event or situation unforeseeable or beyond their control, including a strike, lockout or any other labour dispute at their location or the locations of the organizations and businesses whose services are used to hold this Contest and/or in connection with any prize awarded. 5.13 All personal information, such as name, address, telephone number, e-mail address and age is collected solely for the purposes of administering this Contest and shall not, subject to these Rules, be used for any other purpose without your consent. By providing this information, all entrants consent to it being used for the stated purposes. 5.14 CBC reserves the right, to withdraw or amend this Contest in any way, without prior notice or obligation, in the event of any cause beyond the reasonable control of the CBC, or the Prize Provider that interferes with the proper conduct of this Contest as contemplated by these Rules. 5.15 If any term within these Rules is deemed to be illegal, invalid or otherwise unenforceable by a court of law for any reason, the affected term shall be deleted from these Rules and the remaining terms shall continue in full force and effect. 5.16 The Winner is obliged to inform CBC as soon as practicable if they are unable to claim their Prize for any reason. 5.17 If for any reason a person not originally selected as a Winner is awarded the Prize (for example a reserve), that person will be considered the Winner for the purpose of these Rules. 5.18 In the event of any dispute regarding the conduct or results of the Contest, these Rules or any other matters relating to the Contest, the decision of CBC shall be final and no correspondence or discussion shall be entered into. 5.19 The Contest, these Rules and any other matters relating to the Contest shall be governed and construed in accordance with the applicable Canadian federal, provincial and municipal laws.. Any dispute will be subject to the exclusive jurisdiction of the courts of the province of Ontario. 5.20 By entering the Contest, entrants agree to abide by the Contest Rules. 5.21 Contest rules can be found at www.cbc.ca/entertheden.
