Silpada business. Please let me know if you have additional questions and

What is the profit on sales?
Your profit is 30% on jewelry and 15% on belts and watches.

How Will I Sell Silpada Designs Sterling Silver Jewelry?
         Hostess sponsored Home Show
         Your Hostess invites her friends, relatives, neighbors and associates to her
         home or office. You simply display the jewelry and take orders! All orders are
         individually packaged and sent directly to the customer. Your personal service
         makes the whole experience fun and rewarding for your Hostess who can earn
         up to 30% of retail sales in FREE jewelry.
         Sell to Individuals
        Seeing how great you look in Silpada Jewelry will no doubt have your bank
        teller, dry cleaner and grocery clerk asking, "Where did you get that great
        jewelry?" It's often as easy as that! Ladies love jewelry, and they'll love ordering
        more from you! This is a great way to supplement your Home Show sales

How much should I expect to make at each party?
Silpada has the highest party average in the business according to the DSA (Direct
Selling Association). The national average for Silpada parties is $750 retail. That
means you can earn $225 or more for every party!

How much money can I make each month and per year?
You can earn $225 to $4,000 or more per month selling jewelry. If you build a team,
your income potential is unlimited. You make 4% to 17% on your team member’s sales.
Silpada has Reps that earn from $225 a month to over $100,000 per year. This is your
business so you decide how much you make! See the attached flyer for more details.
When am I paid on my sales?
You are paid at every party. Customers write a check to you or they can use
MasterCard or Visa. Silpada even pays for the credit card processing fees!

How am I paid on my team’s sales?
Silpada has the BEST compensation plan in the business! You are extremely well
paid for building and training your team. You are paid up to 3 levels deep. Silpada
sends you a check or deposits the money directly into your account. This is paid by the
middle of the month following the sales month. So you are paid mid-October for
September sales. If you want more information on this I’ll send you the Career and
Compensation Plan.

Are there monthly quotas?
There are no monthly quotas unless you choose to build a team and earn overrides
commissions from their sales. This is optional.

How many Representatives does Silpada have?
We only have 20,000 Reps across the country. This means the market is wide open!
Many home-based companies have Reps numbering in the hundreds of thousands. A
few even have over a million consultants! No matter where you live, the market is wide
open for people who want to build a successful Silpada business.

What are the Hostess Benefits and who pays for them?
We have the BEST Hostess benefits in the industry and Silpada pays for everything!
     30% in FREE jewelry with ten or more orders totaling $500 retail.
     20% in FREE jewelry with six orders totaling $300 retail.
     $25 in FREE jewelry with three orders totaling $150 retail.
     In addition, the hostess receives an additional $50 FREE jewelry bonus if you book
     2 parties at her show that close with 90 days.

Is there training available?
Absolutely! I offer one on one weekly coaching. I have regular office hours to help you.
We have monthly team meetings, regular recruiting calls. Also, Silpada offers FREE
training on a daily basis that covers all aspects of running your business. There are
regional seminars, leadership training and the annual National Conference. Bottom
line, if you want to learn, we have the time and classes to help you reach your goals.

How do I order?
Everything is done online via the Internet. It’s FAST and EASY!!! However, you can
use regular mail and fax if you don’t have a computer.

How soon do customers receive the jewelry?
It takes from 7 to 10 business days from the time you close the order.
How does the jewelry ship?
Each customer pays $4 shipping and handling and the jewelry is individually packed
and sent directly to them. Your Hostess does not have to deliver the jewelry which
makes it easier for them and easier for you to book a show!

What about sales tax?
You simply look up the local sales tax rate on the Silpada website and collect that
amount with each order. Silpada does all of the rest of the work! So you don’t have to
worry about that! There isn’t any paperwork involved.

How often does the catalog change?
The catalog changes every July when about 150 pieces are introduced to the collection.
There are almost 500 pieces available. All Reps may buy the new jewelry at a 50%
discount when the new catalog is introduced. We also introduce over 40 pieces of new
jewelry each spring in Bonnie & Teresa’s Supplement Catalog.

What is the price range of the jewelry?
Prices range from $12 to $269 and the average price in the catalog is about $60. There
are 173 items under $40, so we have something for every price range.

Are back orders an issue?
No. Although we do occasionally have back orders, it’s rare and the jewelry usually
ships within a week or two.

Are returns and exchanges a problem?
Exchanges, refunds and defective product are a part of any business. Silpada has an
extremely low return rate and also offers a lifetime warranty on its jewelry. Silpada also
pays for the return postage so the customer has an easy, cost free return.

What are the tax benefits?
They are excellent! You write off all of your expenses like mileage, office space,
utilities, business meals, plus much more! We have home-based expert CPA’s teach
this at our meetings.

Are there any other expenses that I should expect?
There are expenses in running any business. The primary expenses are catalogs and
postage for the party invitations you send out. Remember, this is a business, not a job.

Is there a dress code?
There isn’t a dress code. We do suggest that you “dress for success” since people like
to associate with successful individuals.
Can I sell for another home-based business at the same time?
Yes, as long as it’s not another jewelry company. If you achieve a Manager level with
Silpada then you will have to choose one business.

Do I need a business license or seller permit?
No, you are an Independent Representative and no license is necessary.

Where is the company headquartered?
Lenexa, Kansas.

Do I need to invest in Jewelry?
When it comes to jewelry, the more you have, the more you sell! You will see higher
show averages when you display jewelry, but you can choose to start slow and build
your jewelry kit as your business grows. Using the Fast Start Jewelry Reward Program,
you can earn up to $3000 in FREE JEWELRY during your first 100 days. See the

Is there a recertification fee every year?
Yes, each year you pay $199 to continue as a Representative. With the fee comes
catalogs when the new jewelry is released, free training, free newsletters, free Downline
commission tracking, unlimited toll-free customer service and support and a free
personalized web page.

How do I start? There are three options:

     Pay just $199 for the initial Certification Fee including all of your training materials
     and supplies for up to six parties. You can purchase as many jewelry pieces as
     you want at a 50% discount.

     Buy $750 or more in jewelry (worth $1500 retail because you are buying at a 50%
     discount) and the initial fee is reduced to only $100 for a $99 savings.

      Buy $1750 or more in jewelry (worth $3500 retail because you are buying at a 50%
      discount) and the initial fee is reduced to $0 for a $199 savings.
Please note: We don’t earn a commission on your kit! Let me help you choose the kit
that is right for you. It does help to have jewelry for your guests to try however, we have
a GREAT plan for you to earn up to $3,000 in FREE jewelry in your first 100 days.

                 Fast Start Free Jewelry Reward Details
New Representatives will have one Fast Start Period of 100 days, beginning the day
their application is entered, to qualify for up to $3,000 in FREE jewelry! All Free Jewelry
Certificates are based on the cumulative Personal Commissionable Volume (PCV)
during the Fast Start Period. As new Representatives' sales accrue and they reach
specific PCV levels, they will be rewarded with free jewelry.

For every Recruit new Representatives sponsor during their Fast Start Period, they may
qualify for a $500 Free Jewelry Bonus. There's no limit to the Free Jewelry Recruiting
Bonuses they may qualify for! The more qualified Recruits, the more Free Jewelry

           Tax Benefits of a Home Based Business
      Owning a home business will entitle you to deduct

Attached are the four documents you will need to get started today. Simply complete the following:

  1. Application-Agreement.
  2. Representative Information Form.
     o This includes the ACH Authorization Form that allows for Silpada to directly deposit
        money into your checking account. You never have to wait to receive a check from
        Silpada. This greatly simplifies your business.
            Follow the instructions on the form to ensure you use the correct information.
  3. Sign-up Kit Order Form with the pieces you have selected.
  4. W-9 Request for Taxpayer Identification Number form.
     o Use your Social Security number. You do not need to get an
        Employer Identification Number to start your Business.

            Your application is not complete without all four forms listed above.
        Please review the accuracy of your information before you submit your forms.

Once completed, you have several methods of submitting the information to Silpada.

Upon acceptance of this Application by Silpada Designs, Inc. (Silpada or Company), as evidenced and acknowledged by Silpada’s issuance of an authorized Silpada Designs Representative Number (SDR #) and business
Sign-up Kit to the Applicant, this application becomes a binding legal agreement and the applicant will become an authorized Silpada Representative (hereafter SDR or Representative.)
Independent Contractor Relationship. Silpada pursuant to the terms of this Independent Retail Sales Agreement (Agreement) hereby retains the Independent Silpada Representative’s (hereafter referred to as ‘Representative’)
services to market and sell Company’s products to the public subject to Company’s approval and Representative’s adherence to Company’s operational guidelines. Representative shall not be treated as an employee for federal and state tax
purposes. Representative shall be solely responsible for control of her/his activities, manner and methods of performance of work, conduct and control of work, Representative’s own employees and/or subcontractors, if any, all equipment
necessary to perform her/his sales function and any investment in her/his own business. The parties intend that their relationship shall be as independent contractor and not as employer/employee. Representative is responsible for abiding
by all federal, state, county, municipal and other local laws, rules and regulations pertaining to this Agreement and/or to the acquisition, receipt, holding, selling, distributing or advertising of Company’s products. Representative shall, at
er/his own expense, make, execute or file all such reports and obtain such licenses as are required by law or public authority with respect to this Agreement and/or the receipt, holding, selling, distributing or advertising of Company
products. Unless otherwise specifically agreed, Representative will be solely responsible for application, registration and payment of all local, state, federal, sales and use taxes as may accrue because of the Representative’s activities in
connection with this Agreement. The Representative hereby certifies to the Company that she/he is duly authorized to work in the United States, U.S. Territories, or U.S. Military Bases and that if she/he has any employees performing work
under this Agreement, such employees are duly authorized to work in the United States, U.S. Territories, or U.S. Military Bases. In limited circumstances, the Company may allow a SDR to form a single member limited liability company or
single shareholder corporation in which to conduct her/his Silpada business. In the event a SDR wishes to conduct business in the form of a limited liability company or corporation, special permission must be granted in writing by the
Company. Permission will only be extended to those entities which are wholly owned by the applying SDR. Additionally, any approved limited liability company or corporation must (1) be owned and managed only by the applicant, (2)
be limited in scope to the purpose of carrying out the business of a SDR, (3) not allow the addition of any new members or shareholders, (4) be non-transferable and (5) terminate upon the death or withdrawal of the applicant.
Limited Restrictions & Duties. Representative is free to sell Silpada products and recruit independent Representatives anywhere in, but only in, the United States, U.S. Territories, and U.S. Military Bases. Representative shall use her/his best
effort to sell Company’s products in accordance with the Company’s Statement of Policies and Procedures (Procedures) and Business Reference Guide (BRG) which are incorporated herein by this reference and made a part of this Agreement.
The BRG and Policies and Procedures, which may be unilaterally modified or amended from time to time by the Company, form the operational guidelines of the Company. Representative further agrees that without the express written
consent of the Company, it shall be a violation and breach of this Agreement for Representative to (a) represent, sell or promote, directly or indirectly, any other line(s) of jewelry, Watches or Belts, or (b) sell, promote or display, directly or
indirectly, any jewelry, Watches or Belts not purchased directly from the Company, or (c) represent, sell, promote or display, directly or indirectly, any jewelry, Watches, or Belts as a Company product if they are not a Company product, or
(d) be employed by, directly or indirectly, consult with or be an advisor to, whether paid or unpaid, any other direct sales company or entity or direct sales personnel or (e) sell Company products to or through retail stores or other fixed
commercial outlets or (f) fail to follow or breach in any significant manner any provision of the BRG and Procedures. Further, Representative shall not directly, or indirectly whether through spouses or other affiliated third parties or entities,
solicit, show, promote, market or sell any non-Silpada products and/or services to other Silpada Representatives, or solicit or recruit prospective Representatives and/or Customers on behalf of any other company at a Silpada Home Show,
demonstration, or book party or at any Silpada Designs company event or conference; nor shall Silpada products be shown or sold at a non-Silpada Home Show or demonstration. Further, a Representative shall not use the E-Mail Center,
any Silpada products, printed or Web-based photographs, marketing materials or forms, or its registered name, prestige or drawing power in conjunction with or in support of her/his other non-Silpada activities to solicit, show, promote,
market or sell any non-Silpada products and/or services. Further, Representatives at the Sterling Manager’s rank (or above) of the Silpada Career & Compensation Plan may not directly or indirectly or on behalf of any other person(s) or entity sell
or recruit for or manage or own any other direct sales company(s).
World Wide Web Restrictions. With prior written approval of Silpada Designs, Representative shall have the opportunity to maintain a personalized page(s) on the Silpada Corporate Web Site: and/or My, the only
authorized and permitted Silpada World Wide Web site(s). Representative further agrees that without the express written consent of the Company, it shall be a violation and breach of this Agreement for Representative to directly or indirectly
a) post or maintain any other Silpada Designs public Web site, including but not limited to any public Web site that reproduces, in whole or part, any printed, Web-based, audio, video or photographic content from any Silpada Catalog,
marketing, promotional, training or Silpada Learning System materials, whether the registered trademark name “Silpada” or “Silpada Designs” is used or not; b) cause or permit the registered Company names of “Silpada” and/or “Silpada
Designs” or any other Silpada Designs’ trademarks, to be used on, imbedded in or linked to any Web site, Web site banner advertisement, Web site sponsor advertisement or as part of any Web site address, e-mail address, message/bulletin
board listing, business directory, or as a meta-tag and/or keyword heading or description; c) cause or permit any personal “MySilpada”Web sites or page(s) and/or corporate “”Web sites or page(s) to link to any Web site other
than the corporate “”Web site; d) cause or permit any Web site, banner advertising, sponsor advertising, meta-tag or keyword to link to or be imbedded in any personalized “MySilpada”Web sites or pages and/or “”
Web sites or pages (including the “Silpada Jewelry” catalog pages); e) cause or permit any personal “MySilpada”Web sites or page(s) and/or corporate “”Web sites or page(s) to be submitted to or indexed by any
World Wide Web search engines, auction sites, message/bulletin boards or business directories; f) cause or permit any Silpada Products to be sold, marketed or promoted through any Web site, auction site or message/bulletin boards;
g) cause or permit Silpada Products to be photographed or otherwise reproduced on any Web site; auction site or message/bulletin boards; h) cause or permit Silpada’s industry affiliations and/or associations to be posted on any Web site.
The complete Silpada Web site Policy will be included in your business Sign-up Kit.
Certification Fees. A new Representative hereby agrees to pay a non-refundable initial certification fee, as designated by the Sign-up Kit of Representative’s choice, to the Company in order to qualify as a Company Representative.
Representative may apply to renew her/his certification on an annual basis by paying the annual recertification fee as published in the Business Reference Guide, which may be altered from time to time. The applicable initial certification fee
or annual renewable recertification fee is non-refundable and will offset in part the cost of the products and services available to the Representative. In addition, a Silpada Representative Sign-up Kit of Supplies and Materials will be provided
to each new Representative upon the payment of the initial fee and will be updated as deemed necessary by the Company, in accordance with the Business Reference Guide.
Compensation. As compensation for services provided hereunder, Representative shall be paid in accordance with Company’s Career & Compensation Plan (Compensation Plan) which is included in the Business Reference Guide. Company
may unilaterally, upon 30-day written notice to Representative, modify or amend such Compensation Plan.
Customer Disputes. Representative is responsible for resolving disputed charges, insufficient funds checks, and stop-payment checks from customers. All disputed charges will be the responsibility of the Representative.
Term. This Agreement shall run for a period of one (1) year from the effective date hereof whereupon it may be renewed only with the mutual agreement of both parties for successive periods of one (1) year each upon the payment of
the applicable recertification fee and the execution of an Independent Retail Sales Representative Application-Agreement. For purposes of this Agreement, the “effective date” shall be that date on which this Agreement is accepted by the
Company, as evidenced by its issuance of an authorized Silpada Representative Number and business Sign-up Kit to the applicant. Company will only consider for acceptance those applications which are properly executed and for which
applicable certification/recertification fees have been received. In the case of recertification, Representative who is renewing agrees to abide by the then current Application-Agreement, BRG and Statement of Policies and Procedures.
Company retains the right to reject the initial certification application or the re-certification application of any Representative for any reason. No spouse of an SDR may become a Representative.
Termination. This Agreement may be terminated: (a) at the end of its term without notice; (b) by the Representative for any reason upon written notice to the Company; (c) by the Company for any reason upon 30 days written notice in
which case, if such termination is not for cause, Representative is entitled to a pro-rated refund of the current year’s certification fee (which is defined as the “non-jewelry” portion of the certification). The pro-ration will be calculated on the
basis of a 365-day year; (d) by the Company for cause with written notice whereupon the current year’s certification fee will not be refunded to the Representative. For purposes of this Agreement, “cause” shall mean but not be limited to
any actions by the Representative which, in the Company’s sole discretion, the Company believes (i) discredits the Company’s name, goodwill or products, (ii) violates in any material way any provision contained in this Agreement, BRG or
any of the Policies and Procedures; (iii) in any way misrepresents Company’s products or business opportunity by any claims made by the Representative which are contrary to the Company’s product literature and labels; (iv) fraudulently
manipulates Silpada’s 1) Career and Compensation Plan; 2) Fast Start Free Jewelry and Hostess Rewards Programs 3) all other sales programs and contests; (e) by the death or retirement of the individual Representative whether the
Representative is doing business individually or as an approved single member corporation or limited liability company; (f) by the Company immediately for cause upon relocation and change of the Representative’s permanent residence to
one outside of the United States. Termination of this Agreement will be assumed should the Representative not make recertification within 30 days of the recertification date. In this event, any downline Representative(s) in your group will
be permanently moved to your upline sponsor. Should reinstatement be allowed after 30 days of the recertification date, no pro-ration of the recertification fee or altering of the original renewal month will be allowed. If recertification is not
made within one full calendar year of the renewal date, the individual will need to reapply to become a new Representative at which time the purchase of a new business Sign up-Kit is required.
Confidential Information. The Company deems all Company printed, Web-based, audio and video marketing materials, training manuals, training tapes and/or CD Roms, newsletters, agreements, business forms, names and address
lists of other Silpada Representatives, customer lists, trade secrets, pricing information, knowledge as to sources, and customer purchasing histories, to be confidential and/or proprietary to the Company whether these items are specifically
marked “confidential” or not. Representative may not use the names and address lists of other Silpada Representatives or Customers to solicit, promote, market, or sell non-Silpada products and services. The parties acknowledge and
agree that Company has legally protectable interests in, among other things, maintaining confidential its business and commercial information, including but not limited to all confidential and proprietary information itemized above.
Representative covenants and agrees that at no time will Representative directly or indirectly divulge, disclose or communicate to any person, firm or corporation in any manner whatsoever any information of any kind, nature or type
concerning any matters affecting or relating to the business of Company including, without limitation, Company marketing and training materials, manuals and guides, agreements or business forms, the names and addresses of its
other Silpada Representatives, customers, the prices it obtains or has obtained or for which it sells or has sold its services or products, cost information, knowledge as to sources of business, the purchasing history of its other Silpada
Representatives or customers, computer data with respect to its Representatives, customers and suppliers, goods and services purchased by Company, goods and services sold by Company to its customers, including the type and value
thereof and quantity of items, credit history of its Representatives or customers or any other information of, about or concerning the business of Company, its manner of operation, its plans, processes or other data of any kind, nature or
description without regard to whether any or all of the foregoing matters would be deemed confidential material or important. Representative acknowledges and agrees that all such information is confidential and gravely affects the
successful conduct of Company’s business, its goodwill and that any breach of the terms of this Agreement shall be deemed a material breach hereof. Representative will not use or describe such confidential information except as authorized
by Silpada. The Representative agrees that while under contract with the Company and for a period of twenty-four (24) months thereafter, whether termination of Agreement is occasioned by Company, Representative or by mutual
agreement, or whether Agreement is terminated with or without cause, to directly or indirectly, for herself/himself or in or on behalf of any other party or entity, solicit or recruit or cause any other person or entity to solicit or recruit any employee of
Company or any Independent Silpada Sales Representative either under contract with Company (or who has been under contract with the Company in the six (6) months prior to termination of this Agreement) to any such business.
Remedies. Representative acknowledges that any breach, violation or evasion by Representative of the terms of this Agreement will result in immediate and irreparable injury and harm to Company and will cause damages to Company
in amounts difficult to ascertain and for which remedies at law may be inadequate. In such event Company shall be entitled to pursue any lawful remedies whether at law or equity including, but not limited to, the remedies of injunction,
and specific performance or either or both of such remedies. In the event of any breach, violation or evasion of this Agreement by Representative, Representative agrees to pay all costs of Company to enforce or protect its rights including all
reasonable attorney fees and court costs.
No Waiver. Failure by Company or Representative to insist upon or enforce any of their rights shall not constitute a waiver thereof, and nothing shall constitute a waiver of Company’s or Representative’s right to insist upon strict compliance
with the provisions hereof. No express or implied consent to or waiver of any breach or default in the performance of any obligation hereunder shall constitute a consent to or waiver of any other breach or default in the performance of the
same or any other obligation hereunder.
Kansas Law. This Application-Agreement shall be governed, construed and enforced under the laws of the State of Kansas. The parties agree to jurisdiction in any court of competent jurisdiction, and in addition thereto, the District Court
of Johnson County, Kansas. In addition to venue provided by law, the parties agree to venue in Johnson County, Kansas. References to Representative in the masculine gender shall apply to the feminine where applicable. This Agreement is
the joint work produce of the parties, and in the event of any ambiguity herein, no inference or construction shall be drawn against a party by reason of document preparation. If a dispute arises out of the Representative’s violation of U.S.
Immigration Law, such dispute, to the extent of applicable law, is governed by U.S. Immigration Law.
Bankruptcy. In the event Representative plans to file a personal bankruptcy, Representative agrees to notify Company prior to the filing of a bankruptcy petition. Under no circumstances should Representative use the name Silpada,
Silpada Designs, d/b/a Silpada Designs, or any other reference to the Company anywhere in her/his personal bankruptcy petition.
Entire Agreement. The terms and conditions of this Application-Agreement represent the entire agreement between the Representative and Silpada and include no others and shall supercede any other representations, discussions, prior
understandings or agreements between the parties. No oral modification hereof shall be binding upon the parties, and any modification shall be in writing and signed by the parties. Representative may not assign this Agreement without
the express written consent of the Company.
Representative Understanding. Representative has read and understands all the terms and conditions of this Agreement, is eighteen (18) years old or older, executes this Agreement of her/his own free will intending to be bound by this
Agreement, agrees that she/he is not relying on any representations or promises not written in this Agreement and agrees this Agreement has been knowingly negotiated as to all terms and conditions.
Severability. Should any term of this Agreement be determined to be invalid or unenforceable, the remaining provisions hereof will be unaffected.
Conflict. In the event of any conflict between a provision of this Agreement and the BRG or Policies and Procedures, the provision of the BRG or Policies and Procedures most recent in time will govern.
