 1           Pursuant to Rule 201 of the Federal Rules of Evidence, Nominal Defendant Legato

 2   Systems, Inc. and defendants Eric A. Benhamou, H. Raymond Bingham, Kevin A. Fong, David

 3   N. Strohm, and Phillip E. White (the “Outside directors”) respectfully request that the Court take

 4   judicial notice of the following documents referenced their respective motions to dismiss the

 5   first amended derivative complaint, filed herewith. All of these documents are attached as

 6   exhibits to the Declaration of Rebecca Mitchells (“Mitchells Declaration”), also filed herewith.

                     Legato’ April 3, 2000 & May 17, 2000 press releases (Mitchells Decl., Exs. D,

10   E). Judicial notice of these documents is proper because these documents are specifically

11   referenced in paragraphs 5, 108, and 111 of the Complaint. See Branch v. Tunnell, 14 F.3d 449,

12   453 (9th Cir. 1994) (taking judicial notice of documents referenced in the complaint upon ruling

13   on a motion to dismiss).

15           B.      Documents Not Specifically Referenced in the Complaint

16           Defendants also request judicial notice of the following documents:

                     Excerpts from Legato’ Proxy Statements filed in 1999 and 2000 (Mitchells

18   Decl., Exs. A and B, respectively). Judicial notice of these documents, which are not specifically

19   cited in the complaint, is proper because they are documents filed with the SEC and their

20   authenticity is not questioned. See Kramer v. Time Warner, Inc., 937 F.2d 767, 774 (2d Cir.

21   1991) (court may take judicial notice of SEC filings not referenced in the complaint); Cortec

22   Indus., Inc. v. Sum Holding, L.P., 949 F.2d 42, 47 (2d Cir. 1991) (court may consider public

23   disclosure documents required by law to be filed with the SEC).

24           3.      Legato’ Restated Articles of Incorporation (Mitchells Decl., Ex. C). Judicial

     notice of a company’ Articles of Incorporation is proper. See In re Teledyne Defense

26   Contracting Deriv. Litig., 849 F. Supp. 1369, 1383 (C.D. Cal. 1993) (court may take judicial

27   notice of articles of incorporation). A certified copy from the Secretary of State for the State of

28   Delaware of these Articles is already on file with this Court.
