                This Request for Bids (RFB) is not a commitment or contract of any kind.

Once a vendor is selected, the vendor’s Bid will be an appendix to the signed contract.

This is a prevailing wage project. They are administered by the Ohio Dept of Commerce.

Miami County reserves the right to pursue any and/or all ideas generated by this request. Costs
for developing the bids are entirely the responsibility of the applicants and shall not be
reimbursed. The County reserves the right to reject any and all bids and /or terminate the RFB
process if deemed in the best interest of the County. The County reserves the right to waive any
requirements of this RFB when it determines that waiving a requirement is in the best interest of
the County.

Miami County cannot represent or guarantee that any information submitted in response to this
RFB will be kept confidential. If the County receives a request for any document submitted in
response to this request, it will not assert any privileges that may exist on behalf of the person or
business entity submitting the bid. It is the responsibility of the person or business entity
submitting the bid to assert any applicable privileges or reasons why the document should not be
produced.

Communication with Staff

From the issue date of this RFB until a Contractor is selected and the selection is announced,
responding Vendors may not communicate, either orally or in writing regarding this RFB with

any staff except as noted herein. To ensure equal treatment for each responding Vendor, all
questions regarding this RFB must be submitted in writing to Ms. Barbara Temple; Email
requests will be accepted as written requests, and are preferred. Ms. Temple’s email is
btemple@miamicounty911.com.

All written requests/questions must be submitted by 5:00 P.M., Monday, January 4, 2010.
All such questions will be answered officially by the County on the website by January 11,
2010. All such questions and answers will become addenda to this RFB, and they will be posted
to the Miami County web site, http://www.co.miami.oh.us. Vendors failing to comply with this
requirement will be subject to disqualification.

Miami County Communication Center Background
Miami County is located in western Ohio, immediately north of I-70, forming the northern extents of the
Miami Valley/Dayton region and encompassing 407 square miles.

The county population is over 100,000 in a mixture of small city, suburban and rural areas. Three cities
along the I-75 corridor, Troy (county seat), Piqua and Tipp City, form the core population centers of the
county. However there are many townships and smaller incorporated entities throughout the county.

The Miami County Communication Center (MCCC) opened in December 1989, became operational in
1990, thus providing continuous consolidated emergency dispatch services for all Police, Fire, and EMS
agencies in Miami County. Miami County has the only completely consolidated communicated/dispatch
center in the State of Ohio.

MCCC is a county agency under the Miami County Board of Commissioners. There is a Board of
Directors for the center, consisting of representatives of the customer agencies relying on the center for
dispatch services. MCCC dispatches for 7 law enforcement agencies and 18 Fire/EMS agencies in the
county. All 911 calls, both wire-line and wireless, are handled by MCCC.

Miami County plans to upgrade from a single tower system to a 5 site simulcast system. Miami County
plans to build in redundancy, better coverage, and more robust service to these first responders with the
installation of this 5 site simulcast system.

The main tower is adjacent the Miami County Communication Center. It feeds the communications to
the other four (4) towers. Each of these new simulcast sites will require new Harris Corporation
(EDACS) radio equipment and new microwave equipment compatible with today’s standards aiming
toward interoperability. There is no radio transmission without the microwave equipment.

Additionally, this is a system that looks forward and backward. This system will work with the existing
radios that the first responders presently use, thereby saving taxpayer dollars. Furthermore, it is
positioned to be adaptable to the next generation of P25 radios, a position that Miami County and its
responding agencies plan to implement for optimum interoperability with other first responders within
Ohio at a later date.

ARTICLE 1 - BID RECIPIENT

1.01 This Bid is submitted to:

1.02 The undersigned BIDDER proposes, and agrees, if this Bid is accepted, to enter into a
Contract with OWNER in the form included in the bidding documents and to perform all of the
work as specified, or indicated in the bidding documents for the bid price submitted by BIDDER,
within the times contemplated by the Contract, and in accord with the other terms, and
conditions of the Bidding Documents.

ARTICLE 2 - BIDDER’S ACKNOWLEDGEMENT

2.01 BIDDER accepts all of the terms, and conditions of the Instructions to Bidders, including
without limitation those dealing with the disposition of the bid bond. This bid will remain
subject to acceptance for sixty (60) days after the close of bidding, or for such longer period of
time that BIDDER may agree to in writing upon the request of the Owner.

3.02 BIDDER has visited the site and has become familiar with, and is satisfied as to the
general, local, and site conditions which may affect the cost, progress, and performance of the
work;

3.03 BIDDER is familiar with, and is satisfied as to all Federal, State, and local laws and
regulations which may affect the cost, progress, and performance of the work;

3.04 BIDDER has obtained and carefully studied, or assumes the consequences for not having
done so, all additional or supplementary examinations, investigations, explorations, tests, studies,
and date concerning the conditions at, or contiguous to the site which may affect the cost,
progress, and performance of the work, or which relate to any aspect of the means, methods,
techniques, sequences, and procedures required by the bidding documents to be employed by
Bidder, and safety precautions and programs incident thereto;

3.05 Bidder does not consider that any further examination, investigation, exploration, test,
study, or data is necessary for the determination of this bid for the performance of the work at the
price(s) bid, within the times set forth in the bidding documents, and in accord with the other
terms and conditions set forth in the bidding documents;

3.06 Bidder is aware of the general nature of the work performed by the Owner, and others at
the site, and how that work relates to the work to be performed as indicated in the bidding
documents;

3.07 Bidder has compared information known to Bidder, information and observations obtained
by visits to the work site, and information from all additional examinations, investigations, tests
or reports with all information contained in the bidding document;

3.08 Bidder has given the Owner written notice of all conflicts, errors, ambiguities, or
discrepancies that Bidder has discovered in the bidding documents, and confirms that the
Owner’s written resolution of the same is acceptable to Bidder;

3.09 Bidder finds that the bidding documents are sufficient to indicate generally, and to convey
an adequate understanding of all terms and conditions for the performance of the work for which
this bid is submitted;

3.10 Bidder will submit written evidence of its authority to do business in the State of Ohio not
later than the date of its execution of the Agreement.

ARTICLE 4 - ADDITIONAL REPRESENTATIONS

Bidder represents that:

4.01 This bid is genuine, and not made in the interest of, or on behalf of any undisclosed
individual or entity; and, that it is not submitted in conformity with any agreement or rules of any
group, association, organization, or corporation;

4.02 Bidder has not, directly or indirectly, induced or solicited any other bidder to submit a false
or sham bid;

4.03 Bidder has not solicited or induced any individual, or entity to refrain from bidding, and,

4.04 Bidder has not sought by collusion to obtain for itself any advantage over any other bidder,
or over the Owner.


ARTICLE 5 - BASIS OF BID


5.01 Bidder will complete the work in accord with Contract documents for the following prices:

1. Bid may be for all towers, which includes the connection to the utility building and other
items as detailed in the tower specifications;

2. Bid may be for all utility buildings, which include the HVAC, generator(s), UPS, transfer
switches and other items detailed in the modular equipment shelter specifications;

3. Bid may be for all towers and utility buildings.


BIDS WILL NOT BE ACCEPTED FOR INDIVIDUAL BUILDINGS OR PARTS. Only
the above ‘units’ are acceptable manners in which to bid.


Bidder acknowledges that estimated quantities are not guaranteed, and are solely for the purpose
of comparison of bids, and final payment for all Unit Price bid items will be based on actual
quantities, determined as provided in the Contract documents.

ARTICLE 6 - STATEMENT OF BIDDER’S QUALIFICATIONS

The Bidder is required to state in detail, in the space provided below, what work of a character
similar to that described in the proposed contract the bidder has previously performed, to give
references, and to detail other information as will enable Owner to assess and to judge the
experience, skill, responsibility, and financial standing of the Bidder. Among other things, this
statement shall include evidence to the effect that the bidder maintains a permanent place of
business; has adequate facilities, and equipment available to perform the work contemplated by
the Contract; evidence to the effect that the Bidder has a suitable financial condition to meet the
obligations incidental to the performance of the work contemplated by the Contract; and
evidence to the effect that the Bidder has appropriate technical experience, and has in its employ
a sufficient number of skilled and trained workmen to carry to completion , within the contract
time, the work to be performed under the Contract. In order to satisfy the above, additional
sheets or materials may be attached to this Bid Form so long as those materials are sufficiently
identified and made reference to below.

ARTICLE 7 - TIME OF COMPLETION

7.01 Bidder agrees that the work contemplated by the Contract documents will be complete, and
will be completed and ready for final payment in accord with Article XII of the General
Conditions of Contract on or before the dates, and/or within the number of calendar days
indicated in the Contract.

7.02 Bidder accepts the provisions of the Contract as to liquidated damages in the event of a
failure to complete the work within the times set forth in the Contract Documents.

                                          INSTRUCTIONS TO BIDDERS


ARTICLE 10 - RECEIPT AND OPENING OF BIDS

10.01 The Miami County Board of Commissioners, Miami County, Ohio (the “Owner”), invites
bids on the form attached hereto, all blanks of which must be filled in appropriately. Bids (1
original and 2 copies) will be received by the Owner at the office of the Miami County Board of
Commissioners, 201 West Main Street, Troy, Ohio until 1:45 P.M., January 14, 2010, and then
at 1:45 P.M., at said office, bids will be publicly opened, and read aloud.

10.02 Owner may consider as informal any bid not prepared and submitted in accordance with
the provisions hereof, and may waive any informalities, or reject any and all bids. Any bid may
be withdrawn prior to the above scheduled time for the opening of the bids, or authorized
postponement thereof. Any bid received after the date, and time specified above shall not be
considered. No bidder may withdraw a bid within sixty (60) days after the actual date of the
opening thereof.

ARTICLE 11 - PREPARATION OF BID

11.01 Complete sets of the bidding documents may be obtained as stated in the Advertisement,
or Invitation to Bid. Each prospective Bidder will be furnished one copy of the bidding
documents. The cost for obtaining bidding documents is nonrefundable.

11.02 Each bid must be submitted on the prescribed forms, and accompanied by a Bid Bond, a
certified check or letter of credit, a Non-Collusion Affidavit, and an Affidavit Regarding
Delinquent Personal Property Taxes. All blank spaces for bid prices must be filled in, printed in
ink or typewritten, in both words and figures, and the foregoing accompanying documents must
be fully completed and executed when submitted. In the case of discrepancies between words
and figures, the prices written words shall control.

11.03 A complete set of bidding documents must be used in preparing Bids. The Owner does
not assume any responsibility, or liability for errors, or misinterpretations which result from the
use of incomplete sets of bidding documents.

11.04 Each bid must be submitted in a sealed envelope, bearing on the outside the name of the
Bidder, the Bidder’s address, and the name of the project for which the bid is submitted. If the
bid is forwarded by mail, the sealed envelope containing the bid as described above must be
enclosed within another envelope plainly marked with the notation “BID ENCLOSED”.

11.05 The firm, corporation, or individual name of the Bidder must be signed in ink in the
spaces provided in the bid documents. In the case of a corporation, the title of the corporate
officer signing on behalf of the corporation must be stated. Said officer must be duly authorized
to bind the corporation, and must affix the corporate seal thereon. In the case of a partnership,

the signature of a least one partner must follow the firm name, and indicate that said partner is a
member of the firm. In the case of an individual, the use of the terms “sole proprietor,” or
“doing business as” shall be sufficient.

ARTICLE 12 - MODIFICATION AND WITHDRAWAL OF BIDS

12.01 Any bidder may modify his or her bid by submitting modifications telephonically prior to
the close of bidding as described in Article 1. A telephonic modification will be accepted only if
the Owner is satisfied that a written confirmation of the telephonic modification must be mailed
prior to the close of bidding. The telephonic modification should not reveal the bid price, but
should indicate what additions, subtractions, or modifications to the original bid have been made
so that the final bid cannot be known to the Owner until the original sealed bid is opened. If
written confirmation of the telephonic modification is not received within two days of the close
of bidding, no consideration will be given to the telephonic modification.

12.02 Any bidder may withdraw his or her bid by providing the Owner with a written notice of
the Bidder’s intent to withdraw his or her bid. The notice of bid withdrawal must be delivered to
the place where the bids are to be submitted at any time prior to the close of bidding.

ARTICLE 13 - QUALIFICATIONS OF THE BIDDER

13.01 The Owner may make such investigations of bidders as the owner deems necessary to
satisfy the Owner that a bidder possesses the appropriate experience, skill, and financial
resources to perform the work contemplated by the Contract. To demonstrate a bidder’s
qualifications to perform the work, within five (5) days of the Owner’s request, Bidder shall
submit written evidence of the Bidder’s financial condition, present commitments, previous
experience, subcontractors, and other such information as may be requested.

13.02 The Owner reserves the right to reject any bid if the evidence submitted by, or
investigation carried out by the Owner reveals that the Bidder fails to satisfy the Owner that the
Bidder is properly qualified to perform the work contemplated by the Contract.

ARTICLE 14 - BID BOND

14.01 Each bid must be accompanied by a bid bond made payable to the Owner on the form
provided with the bidding documents.

14.02 The bid bond of a successful Bidder will be retained until that Bidder has executed the
Contract documents, furnished a Performance Bond, and has met the conditions of the Notice of
Award. If the successful Bidder fails to execute and deliver the Contract documents, furnish the
required performance bond, or meet the conditions of the Notice of Award within fifteen (15)
days of the Notice of Award, the Owner may annul the Notice of Award, and the bid bond of that
Bidder will be forfeited as indicated in the Bid Bond.

14.03 The bid bonds of the other Bidders whom the Owner believes to have a reasonable chance
of receiving the award of the contract may be retained by Owner until the earlier of the seventh
day after the effective date of the Contract, or sixty (60) days after the close of the bidding.

ARTICLE 15 - BIDDER’S RESPONSIBILITIES

15.01 It is the responsibility of each Bidder, before submitting a bid, to examine and carefully
study the bidding documents, including any addenda.

15.02 It is the responsibility of each Bidder, before submitting a bid, to visit the site at which the
work is to be performed, and to become familiar with the general, local, and site conditions that
may affect cost, progress, and performance of the work.

15.03 It is the responsibility of each Bidder, before submitting a bid, to become familiar with all
of Federal, state, and local laws and regulations that may affect cost, progress, and performance
of the work.

15.04 It is the responsibility of each Bidder, before submitting a bid, to agree at the time of
submitting its bid that no further examinations, investigations, explorations, tests, studies, or data
are necessary for the determination of its bid for the performance of the work at the prices bid,
within the time frame contemplated by the bid documents, and in accord with the other terms and
conditions of the bidding documents.

15.05 It is the responsibility of each Bidder, before submitting a bid, to become aware of the
general nature of the work performed by the Owner, and others at the site, and how that work
relates to the work to be performed as indicated in the bidding documents.

15.06 It is the responsibility of each Bidder, before submitting a bid, to compare information
known to Bidder, information and observations obtained by visits to the work site, and
information form all additional examinations, investigations, tests, or reports with all information
contained in the bidding documents.

15.07 It is the responsibility of each Bidder, before submitting a bid, promptly to give the Owner
written notice of all conflicts, errors, ambiguities, or discrepancies that Bidder discovers in the
bidding documents, and confirm that the Owner’s written resolution of the same is acceptable to
Bidder.

15.08 It is the responsibility of each Bidder, before submitting a bid, to determine that the
bidding documents are generally sufficient to indicate, and to convey an understanding of all
terms and conditions for the performance of the work.

15.09 The submission of a bid will constitute an incontrovertible representation by Bidder that
the Bidder has complied with every requirement set forth above in Article 6 of these instructions;
that, without exception, the bid submitted is premised upon performing and furnishing the work

required by the bidding documents, and applying any specific means, methods, techniques,
sequences, or procedures that may be shown or indicated or expressly required by the bidding
documents; that Bidder has given the Owner written notice of all conflicts, errors, ambiguities,
or discrepancies that Bidder has discovered in the bidding documents and that the written
resolution thereof by Owner are acceptable to Bidder; and, that the bidding documents are
generally sufficient to indicate and to convey understanding of all terms and conditions for
performing and furnishing the work.

ARTICLE 16 – MANDATORY PRE-BID CONFERENCE

16.01 A mandatory pre-bid conference has been scheduled for 10:00 A.M. on Tuesday,
January 5, 2010, at the Miami County Communication Center, 210 Marybill Drive, Troy,
Ohio 45373.

ARTICLE 17 - ADDENDA AND INTERPRETATIONS

17.01 No official interpretation of the meaning of the plans, specifications or other pre-bid
documents will be made to a Bidder orally.

17.02 Every request for such interpretation must be in writing, preferably email, addressed to
Barbara L. Temple, Director, (Btemple@MiamiCounty911.com) and, to be given consideration,
must be received at or before the Pre-Bid Conference.

17.03 Any and all such interpretations, and any supplemental instructions will be in form of
written addenda to the specifications which, if issued, will be mailed be Certified Mail, return
receipt requested to all Bidders at their respective addresses furnished for such purposes at least
three (3) days prior to the close of bidding. Failure of any Bidder to receive any such addenda or
interpretation shall not relieve such Bidder from any obligation under his or her bid as submitted.
All addenda so issued shall become part of the Contract documents. Any such interpretation or
addenda shall be issued at the sole discretion of the Owner.

ARTICLE 18 - SALES AND USE TAX

18.01 The Owner is exempt from Sales and Use Taxes on materials and equipment to be
incorporated in to the project (Exemption No. 31-6000055). Such taxes shall not be included in
the bid.

ARTICLE 19 - NOTICE OF SPECIAL CONDITIONS

19.01 Attention of the Bidder is particularly called to those parts of the Contract conditions, and
other contract documents and specifications which deal with the following:

          Insurance requirements;
          Federal Labor Standards Provisions;

          Requirement for bid bond, and performance bond for 100% of the contract price;
          Requirement that the Owner approve of all subcontractors;
          Time for completion, and liquidated damages terms;
          Safety standards;
          Contractor’s responsibility to obtain permits;
          Affirmative Actions, and Equal Opportunity provisions;
          Prevailing wage standards, as the same may be applicable as indicated herein.

ARTICLE 20 - ADDITIONAL OBLIGATIONS UPON AWARD OF CONTRACT

20.01 Upon the award of the Contract, but prior to the execution of the Contract and the
issuance of Notice to Proceed, the successful Bidder must submit all of the following documents,
completed as required:

          Acceptance of Award;
          Contract;
          Insurance certificate(s), and/or policies;
          Performance Bond;

ARTICLE 21 - FOREIGN CORPORATIONS AND CONTRACTORS

21.01 A “foreign corporation” is a corporation which has been incorporated under the laws of a
state other than the State of Ohio. A “foreign contractor” is a person, or partnership whose
primary place of business is located outside the State of Ohio.

21.02 No Contract shall be entered into with a foreign corporation until the Ohio Secretary of
State has certified that such corporation is authorized to do business in the State of Ohio.

21.03 No Contract shall be entered into with a foreign contractor, until the foreign contractor has
filed with Ohio Secretary of State a power of attorney designating the Ohio Secretary of State as
its agent for the purpose of accepting service of summons in any action brought under Section
153.05, or Chapter 4123 of the Ohio Revised Code.


ARTICLE 22 - EVALUATION OF BIDS AND AWARD OF CONTRACT

22.01 Owner reserves the right to reject any and all bids, including without limitation,
nonconforming, non-responsive, or conditional bids. Owner further reserves the right to reject
the bid of any Bidder whom it finds, after reasonable inquiry and evaluation, to be non-
responsible. Owner may also reject the bid of any Bidder if owner believes that it would not be
in the best interest of the project to make an award to that Bidder. Owner also reserves the right
to waive all informalities not involving price, time, or changes to the Work, and to negotiate
contract terms with the successful Bidder.

22.02 Multiple bids for the same work from a single entity or person under the same or different
names will not be considered. If reasonable grounds exist to believe that any Bidder has an
interest in more than one bid for the Work, the Owner may disqualify the Bidder, and reject all
bids in which that Bidder has an interest.

22.03 In evaluating bids, the owner will consider, in addition to other criteria set forth herein,
whether or not the bids comply with the prescribed requirements set forth in the specifications,
plans, other Contract documents, and other data requested in the bid Form.

22.04 The Owner will award the Contract to the Bidder who submits the lowest and best bid
pursuant to Ohio Revised Code Section 307.90, and not to the lowest responsive and responsible
bid pursuant to Ohio Revised Code Section 9.312. Consideration of substitutions or alternates to
the specifications and/or contract drawings may be considered by the OWNER to determine the
lowest and best bid if substitutions and alternatives are submitted in accordance with Article 23.

ARTICLE 23 - SUBSTITUTIONS AND ALTERNATES PROPOSED BY THE BIDDER

23.01 BIDDERS may submit substitutions or alternatives to the bid IN ADDITION to their unit
price bid for work items performed per the specifications and contract drawings. Consideration
for any substitution or alternative proposed by the BIDDER may be considered by the OWNER
only if the substitution or alternative is determined by the OWNER to be equal to the specified
work or materials, or provides a savings to the OWNER without sacrificing the integrity or
performance of the system as specified.

23.02 If the BIDDER chooses to provide a substitution or alternative to the specifications and/or
contract drawings, he/she shall submit a bid for the work as specified, and also a bid price for the
substitution or alternative for the appropriate bid item. A complete description of the proposed
substitution and alternative shall be provided and the subsequent bid cost for the proposal shall
be included.

23.03 In submitting a substitution or alternate to the bid, the BIDDER acknowledges that the is
certifying that the substitution or alternative does not diminish the integrity of the entire system
and that the proposed substitution or alternative does not nor shall not affect the unit price bid for
any other item in his entire bid proposal. All costs to the entire bid package that are related to
the proposed substitution or alternative shall be included in the Unit Price Bid for said
substitution or alternative. It shall be the responsibility of the BIDDER to coordinate all and any
additional work that results from the OWNER’S acceptance of a proposed substitution or
alternative, at no additional cost to the price bid for the substitution or alternative.

23.04 The OWNER reserves the right to accept or reject any or all proposed substitutions or
alternatives based on the determination by the OWNER as to the suitability of the substitution or
alternative to the entire system.

       KNOW ALL MEN BY THESE PRESENTS, that we the undersigned
                               as Principal (Bidder), and
as Sureties, are hereby held and firmly bound to the Board of Miami County Commissioners
(Owner) as Obligee in the penal sum of the dollar amount of the bid submitted by the Principal to
the Obligee on the      day of                , 20    to undertake the project known as Radio
Tower Infrastructure & Buildings – MCCC.

The penal sum referred to herein shall be the dollar amount of the Principal’s bid to the Obligee,
incorporating any additive or deductive alternate bids made by the Principal on the date referred
to above to the Obligee, which are accepted by the Obligee. In no case shall the penal sum
exceed the amount of                   dollars. (If the foregoing blank is not filled in, the penal
sum will be the full amount of the Principal’s bid, including alternates. Alternatively, if the
blank is filled in, the amount stated must not be less than the full amount of the bid including
alternates, in dollars and cents. A percentage is not acceptable.) For the payment of the penal
sum well and truly to be made, we hereby jointly and severally bind ourselves, our heirs,
executors, administrators, successors, and assigns.

THE CONDITION OF THE ABOVE OBLIGATION IS SUCH, that whereas the above named
Principal has submitted a bid for the above referenced project.

Now, therefore, if the Obligee accepts the bid of the Principal and the Principal fails to enter into
a proper contract in accordance with the bid, plans, details, specifications, and bills of material,
and in the event that the Principal pays to the Obligee the difference not to exceed ten percent of
the penalty hereof between the amount specified in the Principal’s bid, and such larger amount
for which the Obligee may in good faith contract with the next lowest bidder to perform the work
covered by the bid; or in the event that the Obligee does not award the contract to the next lowest
bidder and resubmits that project for bidding, the Principal pays to the Obligee the difference not
to exceed ten percent of the penalty hereof between the amount specified in the Principal’s bid,
or the costs, in connection with the resubmission of printing new contract documents, required
advertising, and printing and mailing notices to prospective bidders, which ever is less, then this
obligation shall be null and void, otherwise to remain in full force and effect; if the Obligee
accepts the bid of the Principal within fifteen days after the awarding of the contract enters into a
proper contract in accordance with the bid, plans, details, specifications, and bills of material,
which said contract is made a part of this bond the same as though set forth herein;

Now also, if the said Principal shall well and faithfully do and perform the things agreed to be
done and performed according to the terms of said contract; and shall pay all lawful claims of
subcontractors, materialmen, and laborers, for labor performed and materials furnished in the
carrying forward, performing, or completing of said contract; we agreeing and assenting that this
undertaking shall be for the benefit of any materialman or laborer having a just claim, as well as
for the Obligee herein; then this obligation shall be void; otherwise the same shall remain in full
force and effect; it being expressly understood and agreed that the liability of the Surety for any

          This Contract is made by and between the Board of Miami County Commissioners,

whose mailing address is Miami County Safety Building, 201 West Main Street, Troy, Ohio

                                     GENERAL CONTRACT CONDITIONS


ARTICLE 1 - CONTRACT AND CONTRACT DOCUMENTS

ARTICLE 2 - PERFORMANCE AND PAYMENT BONDS

Simultaneously with the delivery of the executed Contract, the Contractor shall furnish a surety
bond or bonds as security for the faithful performance of the Contract, and for the payment of all
persons performing labor on the project under the Contract and furnishing materials in
connection with the Contract. The Surety on such bond or bonds shall be a duly authorized
surety company satisfactory to the Owner. The bond shall be for one hundred percent of the
Contract price. Attorneys-in-fact who sign bid bonds, or performance bonds must file with each
bond a certified and effectively dated copy of their power of attorney.

ARTICLE 3 - INSURANCE

3.01 The Contractor shall not commence work under the Contract until the Contractor has
obtained all the insurance required hereunder and said insurance has been approved by the
Owner, nor shall the Contractor allow any subcontractor to commence work on his subcontract
until the subcontractor has obtained the same insurance required of the Contractor, and has also
received the Owner’s approval.

3.02 The Contractor shall file with the Owner all certificate(s)of insurance as are necessary to
document the compliance with the insurance required hereunder, and any additional insurance
documentation requested by the Owner, prior to the execution of the Contract, and issuance of
the Notice to Proceed.

3.03 Workers’ Compensation Insurance. The Contractor and all subcontractors shall acquire
and maintain, during the term of the Contract, Workers’ Compensation insurance in full
compliance with the laws of the state of Ohio.

3.04 Contractor’s Liability Insurance.

          A.         The Contractor shall acquire and maintain during the term of the Contract, Bodily
                     Injury and Property Damage Liability Insurance under a standard Comprehensive
                     General/Automobile Liability Policy which shall provide, and include coverage
                     on all Contractor’s Operations, Contractor’s Protective (Shield) Liability,
                     Contractual Liability, Completed Operations Liability, owned Automobiles and
                     Non-owned and Hired Automobiles.

          B.         Property Damage Liability Insurance shall be provided on any demolition,
                     blasting, excavating, shoring, or similar operation on an “if any” basis.

          C.         Bodily Injury Liability limits shall be for an amount of no less than Two Hundred
                     Fifty Thousand Dollars ($250,000.00) for injuries, including wrongful death to
                     any one person, and subject to the same limit for each person, in an amount not
                     less than Five Hundred Thousand Dollars ($500,000.00) on the account of any
                     one occurrence.

          D.         Property Damage Liability insurance shall be in an amount of not less than One
                     Hundred Thousand Dollars ($100,000.00) per occurrence. General Liability shall
                     be extended to provide “Broad Form Property Damage Liability,” and in an
                     amount of not less than One Million Dollars ($1,000,000.00) aggregate for
                     damage on account of all occurrences.

          E.         Any combination of underlying Comprehensive General/Automobile Liability
                     coverage with Umbrella/Excess Liability coverage that provides no less than One
                     Million Dollars ($1,000,000.00) Single Limit Bodily Injury and Property Damage
                     Liability Insurance for the Contractor will also be acceptable.

          F.         The Owner may adjust the liability limits to coincide with local government
                     procurement policies and practice within the limits of state and local law.

3.05 Builder’s Risk Insurance. The Contractor shall maintain insurance to protect Contractor
and the Owner, jointly, from loss incurred by fire, lightning, extended coverage hazards,
vandalism, theft, explosion, and malicious mischief in the full amount of the Contract price, and
such insurance shall cover all labor and material connected with the work, including materials
delivered to the site, but not yet installed.

3.06 Installation Floater Insurance. When Contractor is involved solely in the installation of
materials and not in the construction of a building, an Installation Floater with the same general
conditions set forth above in Paragraph 5.05 is required in lieu of a Builders’ Risk Policy.

3.07 The Policies listed above shall all contain all of the following special provisions:

          A.         “The Contractor agrees that thirty (30) days prior to the cancellation or reduction
                     of the insurance afforded by this policy with respect to the Contract involved,
                     written notice will be mailed to the Board of Miami County Commissioners.”

          B.         “The maintaining of such insurance as outlined herein shall in no way constitute a
                     waiver of legal liability for damage to any adjoining buildings or their contents or
                     the work and property of others on the site beyond the limits of insurance thus
                     maintained. The Contractor shall hold the Owner free and harmless from any
                     injury and damage resulting from the negligent or faulty performance of the
                     Contract by the Contractor, or by the contractor’s subcontractors.”

          C.         “The Contractor shall hold the Owner harmless from all payments for patents,
                     either as royalty or otherwise, in the use of materials, methods, appliances, et
                     cetera, that the Contractor may be in any way involved in or connected with any
                     part of the Contractor’s work, or the work of the Contractor’s subcontractors.”

          D.         “Prior to the commencement of any work under the Contract, the Contractor shall
                     furnish one (1) copy of the Declaration of Insurance as evidence of coverage.”

ARTICLE 4 - SAFETY

4.01 The Contractor will be responsible for initiating, maintaining, and supervising all safety
precautions, and programs in connection with the work. The Contractor will take all necessary
precautions for the safety of, and will provide the necessary protection to prevent damage, injury,
or loss to all employees engaged in the work and other persons who may be affected thereby, and
all the work and all materials or equipment to be incorporated therein, whether in storage on or
off of the site, and other property at the site or adjacent thereto.

4.02 The Contractor will erect and maintain, as required by the conditions and the progress of the
work, all necessary safeguards and safety protection. The Contractor will notify owners of
adjacent utilities when pursuit of the work may affect them.

4.03 The Contractor shall comply with the safety standards provisions of all applicable laws,
building and construction codes.

ARTICLE 5 - SUPERVISION

5.01 The Contractor will supervise and direct the work. The Contractor will be solely
responsible for the means, methods, techniques, sequences, and procedures of the work. The
Contractor will employ and maintain on the work a qualified supervisor or superintendent who
shall have been designated in writing by the Contractor as the Contractor’s representative at the
site. The Supervisor shall have full authority to act on behalf of the Contractor and
communications given to the Supervisor shall be as binding as if given to the Contractor. The
Supervisor shall be present and on site at all times as required to perform adequate supervisions,
and coordination of the work.

5.02 The Owner and its representatives will, at all times, have access to the work. In addition,
authorized representatives and agents of any participating Federal or state agency shall be
permitted to inspect all work, materials, payrolls, records of personnel, invoices of materials, and
other relevant data and records. The Contractor will provide proper facilities for such access and
observation of the work, and also for any inspection or testing thereof.

5.03 The Contractor shall submit a proposed program of operation, showing clearly how the
Contractor proposes to conduct the work as to bring about the completion of the Contractor’s
work within the time limit specified. This program shall outline the proposed sequence of

operations, the rates of progress, and the dates when the Contractor’s work will be sufficiently
advanced to permit the installation of the work under other contracts, and the estimated progress
payments due under the Contract. The work under the Contract shall be so scheduled that, as
structures are completed, they can be placed into useful operation with a minimum of delay.
This program shall be subject to the approval of the Owner.

ARTICLE 6 - CLAIMS AGAINST CONTRACTOR

The Contractor shall indemnify and hold the Owner and the Owner’s agents harmless from all
claims arising out of the lawful demands f the subcontractors’ laborers, workmen, mechanics,
materialmen, and furnishers of machinery or parts thereof, equipment, tools, and all supplies,
incurred in the furtherance of the performance of the work. The Contractor shall, at the Owner’s
request, furnish satisfactory evidence that all obligations of the nature designated above have
been paid, discharged, or waived. If the Contractor fails to do so, the Owner may, after having
notified the Contractor, either pay the bills or withhold from the Contractor’s unpaid
compensation a sum of money deemed reasonably sufficient to pay any and all such lawful
claims until satisfactory evidence is furnished that all liabilities have been fully discharged
whereupon payment to the contractor shall be resumed, in accordance with the terms of the
Contract Documents, but in no event shall the provisions of this sentence be construed to impose
any obligations upon the Owner to either the Contractor, his or her Surety, or any third party. In
paying any unpaid bills of the contractor, any payment so made by the Owner shall be
considered as payment made under the Contract Documents by the Owner to the contractor and
the Owner shall not be liable to the Contractor for any such payments in good faith.

ARTICLE 7 - SUBCONTRACTING

7.01 Neither the Contractor nor the Owner shall sell, transfer, assign, or otherwise dispose of his
right, title, or interest in the Contract Documents, or any obligations there under.

7.02 The Contractor shall not sublet, sell, transfer, or assign any portion of the Contract
Documents, or the work under the Contract Documents without the written consent of the Owner
or the Owner’s designated agent. When such consent is given, the Contractor will be permitted
to sublet a portion thereof, but shall perform with his or her own organization, work amounting
to no less than fifty percent of the total contract cost, excluding any item designated in the
Contract Documents as being required to be performed by a subcontractor. No subcontract, or
transfer of the Contract, shall in way release the Contractor of his or her liability under the
contract bonds.

7.03 The Contractor shall be fully responsible to the Owner for the acts and omissions of the
subcontractor(s), and other persons either directly or indirectly employed by them, as the
Contractor is for the acts and omissions of person directly employed by the Contractor.

8.01 The Owner reserves the right to make, at any time during the progress of the work, such
increases or decreases in quantities and such alterations in details of the work as may be deemed
necessary or desirable. Such increases, decreases, or alterations shall not invalidate the Contract
nor release the Surety, and the Contractor agrees to perform the work as altered, the same as if it
had been a part of the original Contract Documents.

8.02 Authorized alterations in the plans or quantities of work involving work not covered by
unit prices in the bid shall be paid for as stipulated in the Change Order authorizing such work.

8.03 No changes in work covered by the approved Contract shall be made without having prior
written approval of the Owner.

ARTICLE 9 - TIME

9.01 That Date of beginning, and the time for completion of the work are essential conditions of
the Contract Documents and the work embraced shall be commenced on date specified in the
Notice to Proceed.

9.02 The Contractor will proceed with the work at such rate of progress as will ensure full
completion within the Contract Time. It is expressly understood and agreed, by and between the
Owner and the Contractor, that the Contract Time for the completion of the work described
herein is a reasonable time, taking into consideration the average climatic and economic
condition and other factors prevailing in the locality of the work.

9.03 The Contract Time to fully complete the work shall be 180 consecutive calendar days
following the date of commencement of work as set forth in the Notice to Proceed. The parties
hereto expressly agree that time is of the essence hereto.

9.04 If the Contractor shall fail to complete the work within the Contract Time, or any written
extension of time granted by the Owner, the Contractor shall pay to the Owner $500.00 as
liquidated damages for each calendar day that the Contractor shall be in default after the time
stipulated in the Contract Documents. In no case shall the Owner be liable for payments for any
work completed or costs incurred after August 1, 2010, unless otherwise agreed to in writing by
the Owner.

ARTICLE 10 - COMPLETION OF THE WORK

10.01 The Contractor shall guarantee all materials and equipment furnished and work performed
for a period of one year from the date of completion of the work. The Contractor warrants and
guarantees for a period of one year from the date of completion of the work that it is free from all
defects due to faulty materials or workmanship, and the Contractor shall promptly make
corrections as may be necessary by reasons of such defects. The Owner will give notice to the
Contractor of observed defects with reasonable promptness. In the event that the Contractor

should fail to make repairs, adjustments, or other work that may be made necessary by such
defects, the Owner may do so, and charge the Contractor the cost incurred thereby. The
Performance Bond shall remain in full force and effect through the guarantee period.

10.02 The Contractor shall conduct any work performed hereunder in full compliance with all
applicable standards, codes, rules, and regulations. Any changes, modifications, or adjustments
in buildings, structures or other improvements of the Owner which are necessarily incident to the
completion of the contractual obligations of the Contractor hereunder shall be effected in a
manner consistent with all said standards, codes, rules and regulations, and so as to maintain and
to protect the structural integrity and existent condition of the premises at issue. When the work,
including that performed by subcontractors, is completed, any and all such changes,
modifications, and adjustments shall be addressed by the Contractor so as to return the areas at
issue to the prior existent condition of the same which consistent with applicable standards,
codes, rules, and regulations.

10.03 When the work, including that performed by subcontractors, is completed, the site shall be
cleaned of all rubbish and debris caused by the work. All sheds or other temporary structures,
surplus materials, and equipment shall also be removed and the work site left in a neat and
presentable condition.

ARTICLE 11 - TERMINATION

After ten (10) days from delivery of written notice to the Contractor, the Owner may, without
cause and without prejudice to any other right or remedy, elect to terminate the Contract. In such
case, the contractor shall be paid for all work executed, and any expense sustained plus
reasonable profit, unless such termination was due to the act or conduct of the Contractor.

ARTICLE 12 - PAYMENT

Payment to the Contractor shall be made by the Owner in the following manner:

          Payment at the rate of ninety-two percent (92%) of the estimate, until fifty (50%) of the
          original contract amount is eligible for billing, will be paid the Contractor within 45 days
          of presentation to the Owner of the Application for Payment with the Architect’s
          recommendation. After the work is fifty per cent (50%) completed, further completed
          work under the contract shall be paid for at the rate of one hundred per cent (100%).
          Inventory of materials or equipment delivered but not incorporated in the finished work
          may be paid for at not more than ninety-two per cent (92%) of the invoice value until
          incorporated in the finished work.
