ANTIQUE AUTOMOBILE CLUB OF AMERICA By-Laws Article I- Name & Purpose Section 1. This Region shall be known as the Golden Triangle Southeast Texas Region of the Antique Automobile Club of America. The principal office for the trans- action of the business of the Golden Triangle South- east Texas Region of the A.A.C.A. is hereby fixed and located in the Beaumont, Port Arthur, Orange area, State of Texas. This shall be known as the governing club of the Golden Triangle Southeast Texas Region of A.A.C.A. Section 2. The purpose of this Region shall be to supplement the activities of the Antique Automobile Club of America and to provide mutual enjoyment for members. Article II-Executive Board Section 1. The Executive Board shall consist of President, Vice President, Secretary, Treasurer, and elected Editor And 2 Directors. There shall be one additional Directors for every ten members over fifty. Section 2. Any activity or club function involving or pertaining to the club must be approved by the Board of Directors or through membership vote. Article III Officers Section 1. The elected officers of the Region shall be a Region President, Vice-President, Secretary, Treasurer (which may be one or two officers as desired). Said Officers shall hold office for one year from the date of election or until their successors are duly elected and qualified. Article IIII- Duties of Officers Section 1. President- The Region President shall preside at all meetings of the Region members and of the Executive Board. In his absence the Vice President shall preside. If both President and Vice President shall be absent, the Board may appoint a temporary President to officiate. The President shall appoint all committee chairmen, one of Whom shall be a news correspondent to Regional and National publications. He shall have power to decide all questions of equal division and have all powers and duties usually vested the President of an organization. Section 2. The Vice- President shall perform the duties of the President in his absence. Section 3. Secretary The Secretary shall handle all official correspon- dence of the Region and shall keep minutes of all meetings of the members and Executive Board. He shall perform such other duties as may be prescribed by the Executive Board and those that pertain to the office. Section 4. Treasurer shall keep an accurate record of all money collected and all expenditures. He shall furnish a financial statement of the club at each meeting. All bills pertaining to the club shall be paid only by the approval of the Board of Directors. Section 5. Vacancies for any cause shall be filled by a vote of the members present at the next regular meeting of the club and said officer shall serve the un-expired term. Section 6. An Editor of the club’s newsletter shall be appointed by the Board of Directors from time to time as shall be required. he shall publish a monthly newsletter which shall include notice of meetings. Section 7. An elected officer may succeed oneself for the same office For one term if no replacement is available for that position. Article V- Members Section 1. Members in good standing of the Antique Automobile Club of America may become members of this Region. Section 2. Application for membership must be in writing, filed with the secretary with evidence of membership in National A.A.C.A. Section 3. Membership in this club becomes effective upon majority approval of the Board of Directors. Section 4. The Board of Directors shall have summary power to suspend or expel and terminate the membership of any member for conduct which is in its opinion disturbing to the order, dignity, business or harmony, or impairs the good name, popularity, good will or is likely to en- danger the welfare, interest or character of the organiza- tion or for any conduct in violation of these By-Laws or the rules amended from time to time. Such action by the Board of Directors through membership. Section 5. Upon the resignation or expulsion of a member, his rights and privileges as a member of the club shall cease. Section 6. To qualify for voting privileges at the annual election of Officers, a voter must have been a member in good standing for a period of three months prior to such an election. Each eligible voter shall be entitled to one vote. (A) The Secretary shall publish and publicly announce a list of those members eligible to vote prior to election proceedings. (B) Any challenge by a member concerning his eligibility or the ineligibility of another member must be presented immediately following the announcement of those qualified and the Board of Directors shall have the summary power to settle all dispute immediately. (C) The use of proxies at any membership meeting or Board of Directors meeting is prohibited and the voting at any such meeting shall be only by those present. Article VI By-Laws Section 1 (A) The By-Laws will be opened for reviewing during the September meeting. (B) A change or addition in the By-Laws other than at the September meeting may be made by petition of one-third of the membership, said petition to be presented to the secretary of the club. If said petition is in order, it will be voted on at the following regular meeting. Approval of the petition will be by a simple majority vote of those members present and voting. If the petition is not approved, the petition may not be resubmitted for the remainder of the calendar year. (C) Any amendment to the By-Laws approved by the membership shall become effective immediately. (C) Any elected or appointed officer may be removed, and any decision or ruling made by the officers of this club may be reversed, by a majority vote of the membership present and voting at a regularly scheduled meeting. Section 8. All persons or corporations extending credit to or having any claim against the Golden Triangle Southeast Texas Region A.A.C.A. shall look only to the funds of the club for any contract claim or debt, judgment, damage, decree or of any money that may become due or payable to them from this club. Neither members, Board of Directors nor officers shall be personally liable for any debt incurred by the Golden Triangle Southeast Texas Region of the Antique Automobile Club of America. Section 9. A) The annual dues will be payable on or before the first of January. Names of persons whose dues are received after January 1, will not be listed in the membership roster. B) The amount of dues payable to the Regional Treasurer shall be fixed by the Executive Board from time to time at its discretion. All payments of dues shall be made to the Regional Treasurer either in person or by mail. C) Any member whose Regional dues are more than 60 Days in arrears shall be dropped from the Regional roll. E) The annual dues of the club shall be $16.00 for a single person and $20.00 for a married couple and children up to age 18. Children then have to apply for their own membership in the club. Section 10 (A) A regular meeting of this club shall be at 7:30 p.m. on the fourth Tuesday of each month. (B) The Board of Directors shall meet at least once a calendar quarter. Section 11. Where in these By-Laws the masculine gender is used it Shall be deemed to include the feminine gender. Article VII Amendments or Additions to By-Laws Section 1. No amendments shall be made that nullify or alter any Part of the National Constitution or By-Laws. Section 2. Other amendments may be made from time to time by a Majority vote of the Region members in good standing upon at least two weeks written notice to all Region members stating the proposed changes. Article VIII- Region Requirements By AACA Section 1. The members of any Region shall not, as a group, use the name Of the Antique Automobile Club of America in connection with a commercial or charitable project. Section 2. A Region or its Chapters shall not hold any activity in conflict with a National Event of the Antique Auto- mobile Club. Section 3. Announcements of Region activities must be sent to the National Vice President in charge of Activities. Section 4. The names and addresses of all Region officers and Members must be sent to the National Secretary- Treasurer each year immediately after local elections. Section 5. The Antique Automobile Club of America is a non-profit organization; the members thereof shall not be entitled to any individual or collective interest, participation, share right and/ or property right in and to the assets of the club or Region; but such assets pecuniary profits, stock dividends or payments of like manner shall ever be declared or paid to the members of this Club or Regions thereof.
