BACKGROUND
Overview
CHOCOPOLOGIE, a European style Bistro and Chocolate cafe, is a full serve light-fare
restaurant incorporating chocolate into every aspect of the experience. Customers
enjoy a light fare menu along with a selection of pastries, coffees/teas and, of course,
chocolates. The Chocolate/European Bistro encourages customers to linger either
enjoying their meal, purchasing pastries or hand made chocolates from the counter or
viewing the full time pastry chef/baker creating on-site confections for both sale and
as part of the restaurant. Chocolate is featured through out the menu as well as in the
merchandise on display. To complete the chocolate experience, customers can
purchase a variety of hand made, award wining artisanal products from truffles,
sauces, bars and the classic signature chocolate box.

Chocopologie is a unique franchise opportunity allowing the franchisee a distinctive
and unique offering that is currently not available today. There are three franchise
options available. Option 1, a chocolate merchandise and beverage offering, Option 2,
a offering merchandise, individual pastry/desert servings and Option 3, the full service
light fare bistro. Each is described in detail in the franchise offering section.

Products
Leveraging classic bistro fare and today’s modern sophisticated tastes, Chocopologie’s
menu features sweet and savory selections. Customers can order breakfast all day or
sample items such as crepes with a vanilla ice cream and spicy chocolate sauce, crab
cakes with chipotle lime mayonnaise, a sandwich on pain rustique with roast beef, red
onion marmalade, baby spinach and horseradish sauce or chocolate truffle beignets.
Chocopologie offers a wide range of teas, specialty coffees, frozen drinks as well as hot
chocolate. Chocopologie offers three dining experiences – breakfast, lunch and dinner.

Pastries are made daily by an onsite pastry chef/baker allowing customers to either
pick up or sample at the restaurant the handmade confections. Pastries include
tortes, tarts and cakes such as coconut lemon pyramid, pistachio chocolate cake or
carrot cake with sour cream icing. One of the unique aspects of Chocopologie is the
ability for patrons to see works in process. The pastry chef/baker designs, creates and
decorates the confections in front of the customers. This allows customers to linger
and see the beautiful handmade quality of the cakes.

Chocopologie offers for purchase a wide array of high quality, artisanal hand made
chocolates by Knipschildt Chocolatier. Products include dessert sauces – Chocolate
dulce de leche, Spiced chocolate, and the classic butterscotch, classic truffle boxes,
handmade truffles, cornflake clusters in dark, milk and white chocolate to name a few.
Merchandise is displayed through out the store as well as at the counter. Seasonal
items are also available (Valentines, Easter) when appropriate. Truffles and
chocolates can be sold separately and used to create custom boxes for customers.

History
In 1999 Knipschildt Chocolatier was created by Fritz Knipschildt, Maitre Chocolatier.
Recognizing a demand for quality hand made chocolates, Fritz created his signature
collection of truffles. He developed a line of chocolates that were sophisticated and
unique; all the truffles are based on women in his life. Using flavor pairings not
normally associated with chocolates as well as high quality chocolate, he created
chocolate combinations such as lavender ganache topped with lavender petals (Lola),
passion fruit/ginger ganache topped with crystallized ginger (Elizabeth) and classic
Grand Manier ganache (Jacqueline). Fritz has continued to build his brand as well as
his product line to now include a full service retail bistro - Chocopologie.

Fritz Knipschildt, a native of Denmark, is a formally trained chef and has worked all
over the world. Fritz uses his international experiences to create unique chocolate
flavors as well as a diverse menu. Knipschildt Chocolatier has won many awards and
has been featured in publications - Wall Street Journal, Chocolatier Magazine to

MANAGING A CHOCOPOLOGIE
Time Commitment
Owning a Chocopologie is similar to any business; it requires substantial work and
commitment to make it success. Be prepared to work long hours especially in the
beginning as you are learning your customers needs and demographics. Chocopologie
is an on-going experience as new products are introduced and services augmented.
The most successful businesses are those that have dedicated owners who have a high
level of attention to detail and service. Chocopologie is not different from any
restaurant or retail experience.

Merchandise
All stores are required to purchase their chocolate counter inventory from Knipschildt
Chocolatier. A catalog is available to each franchisee and the selection of the
merchandise is up to the discretion of the owners. All shops are required to carry only
Knipschildt products and must have at least 75% of the catalog represented in their
stores at all times. The Chocopologie Field team can assist in the selection of the
initial product set as well in the planning of your franchise.

Knipschildt Chocolatier encourages franchises to work with on unique products for
their locations. If a franchisee recognizes a unique opportunity in their marketplace,
they can work with Fritz to develop a product for their location. This product could
also be added to the catalog offering the franchisee potential revenue sharing
opportunities.

All the pastry and restaurant recipes will be provided by the Chocopologie Field
office. All pastries will be made on site by a local pastry chef/baker. All recipes,
presentation and display design will be provided by the corporate office. The
Chocopologie Field team will provide product support and training for both the
pastry and restaurant staff to ensure a quality delivery of the bistro fare. A
comprehensive and ongoing training program is available and required.

The Chocopologie Field team will provide continuous ongoing support, training and
onsite start up help to ensure your success. This is especially critical during the start-
up phase of your first Chocopologie.

Record Keeping
You are required to purchase the designated POS system. An efficient POS system
allows you to track and measure your stores profitability as well as communicate with
the corporate office. Some standard reports include tracking sold items by category,
sales by menu item, sales by server and other important metrics. The system tracks
inventory, time clock management and also allows you to track table sales as well as
per counter sales. The employee time clock is a separate module that needs to be
added to the overall system. The software system is made by Authoretc Systems and
can be purchased directly through them. This comprehensive system ensures
efficiency and effective monitoring of your business.

Staffing
The number of support staff will vary due to your location and size. The field team
will work with you to put together a comprehensive staffing plan. The number of
FTE should include a full time/part time pastry chef/baker and the field team will
assist you in locating and interviewing potential candidates.


FRANCHISING

Types of Franchises Available
Single unit franchises are available to owner operators or if intended, and appropriate
to owners, intending to have a manager operate the café. Chocopologie offers the
opportunity to pursue three types of franchises:

Option 1 – Good for smaller locations, malls, the kiosk model/small store combines the
merchandise along with specialty coffees and chocolate drinks. Also available for sale
are cakes, cookies and bars that will be shipped from the corporate office. This can
be a standalone operation or will fit in a small location store. This franchise type is
good for franchisees who want to offer the specialty chocolates and a limited beverage
menu with a smaller staff. The confection goods offered are simple and easy to

prepare. The overall focus of this franchise is the distribution of the merchandise with
the added benefit of the beverage/snack menu.

Option 2 – This franchise offers Knipschildt Chocolatier merchandise, individual
pastry/desert servings and the pastry chef/baker on site. This model is an excellent
choice for franchisees who want to offer chocolates/merchandise, beverages and desert
fare as well as a specialty cake service.

Option 3 – This level is the full service light fare bistro which combines all the
elements of Chocopologie in one location – sweet and savory café fare, Knipschildt
merchandise, beverages and the homemade confections made on site by the resident
pastry chef/baker. This level requires a full time staff as well as a baker on-site.

Franchise Fee
The franchise fee is $25,000 for option 1 and $35,000 for options 2 and 3 which is due
and payable upon receipt of the signed Franchise Agreement. The initial term is 5
years with an option to renew for an additional terms. The Franchise fee includes
support from the field team as well as access to all manuals – operation,
marketing/advertising, training, and support.

Total Investment
This depends on location, size and setup required as well as which option is chosen.
The field team will work with you to estimate the total costs to own and operate as
well startup a Chocopologie.

Financing
Chocopologie does not provide any financing, but we will assist you in any
supplemental information you need for putting together your financial packages for
your bank. We will also assist you with any information that you may require for
your permit process. All permits are will require research on your part to comply with
your local standards.

Royalties/Marketing/Promotion Fees
Each store must pay monthly 6% royalty for the bistro fare. There is no royalty
charged for any inventory purchases from Knipschildt Chocolatier. That is built into
the inventory unit price. There is no marketing and promotion fee. At the end of
each quarter an adjustment is made based on the actual sales and product mix from
the previous quarter. Post the quarterly adjustment, a location may receive a credit
or an additional charge to its account. All fees are paid prior to the end of the
previous quarter. This is outlined in the contract.

Training
Chocopologie offers a comprehensive one week training program for all initial
franchisees. This is required and is onsite at the Norwalk, CT facility. This training

allows the new owner hands on experience at a Chocopologie location as well as the
critical training required to successfully run a Chocopologie. Areas that will be
covered – operations, pastry creation, inventory, quality standards, counter
operations, wait staff/service, the POS system and food preparation. All costs
associate with the training are covered in the franchise fee. All expenses and travel
are not included in the franchise fee. The franchisee is responsible for them. We
encourage you to bring your staff to the training as well. There is no extra training
charge for additional members.

Post launch training is available with the field team if needed. The Field team
supports you at all times and will guide you in your store opening and continued
success. The team helps you to ensure a smooth operation and is contact if issues
arise. The team is available to assist at all times. As new products and offerings are
launched, the field team will provide training and support to the existing franchises.
They will provide onsite visits and can be also reached via phone. Monthly conference
calls are encouraged after your initial launch to provide support and answer any
questions. Specialized seminars and workshops can be developed to meet your needs.
There will be an additional cost for the development of these modules.

Earnings
Once a determination of your interest and qualification has been made you will
receive the UFOC which contains a list of references which you can contact. We do
not supply earnings information but can provide you with some tools to calculate the
potential. All sales data is provided in the UFOC.

Chocopologie can not guarantee earnings, however, your success depends on your
commitment and your ability to manage and monitor all aspects of the business
including expenses.

Store Locations
Chocopologie is well suited for high traffic retail and restaurant areas, malls,
neighborhood centers, ski resorts, tourist oriented locations as well as college areas.
The restaurant is suited to people who want to enjoy a European style bistro
experience as well as becoming a destination location. Light fare makes it an easy
destination for breakfast, lunch and dinner.

Construction
Chocopologie can vary in size and the layout can depend on the location and
restaurant type. Depending on franchise level selected, the construction and its
elements will vary. The pastry viewing area should be integrated in the store front if
possible.

The kiosk franchise requires an area for merchandise sales as well as an area to make
beverages. Merchandise is displayed at the store as well as in the windows/kiosks.

A construction manual along with a supplier list will be provided to you by the
corporate office.

A.     Key elements to the Chocopologie franchises are the merchandise, desserts and
       the bistro fare. Depending on the level of franchise you choose, Chocopologie
       offers a variety of products for sale. Most customers purchase merchandise if
       they have been dining at the bistro and Many customers also come in just for
       merchandise and cakes. The average sale depends on the level of franchise.

Q.     How much traffic comes to purchase merchandise?
A.     The selection of merchandise is key component to the Chocopologie experience.
       As truffles/chocolates are an important offering, many customers purchase the
       chocolates as well as the sweet and savory sauces, kits and other seasonal as

Q.   How do I find a pastry/baker chef?
A.   One of the key components is the ability to view deserts and other confections
     being made. This brings in repeat business as well as adds to the overall
     atmosphere of the café. The recipes are easy to understand and a good baker
     can make them. A good source of talent is at local vocational schools and
     cooking schools which can be found on the web.

Q.   What is your advice on permits?
A.   After you decide on your level of franchise, you should review with your
     building contractor and your local town government your plans. This will help
     you understand the level of permits required. The construction manual will
     provide you with the actual items need – ovens, refrigeration cases etc. This
     will help you understand the levels and number of permits required.

Q.   What is the optimal location?
A.   In picking a location you should review the franchise level that you will be
     doing. All franchises require foot traffic and a street/area presence. Each
     location should also be considered on those merits.

A.   As part of the application review and discussion, we will discuss your potential
     location choices and, if needed, arrange an onsite review.

Q.   What does it cost to train?
A.   Training is part of the franchise fee. All travel and fee costs associated with

A.   A website as well as a marketing handbook will be provided by the
     Chocopologie corporate office. The website will contain materials for you to
     use in the various marketing channels. Ads, announcements as well as updates
     will be provided online via a secure website. You can simply download them,
     customize them with your information and then place them in the various
     mediums you wish. The team can also work with you on the various signage
