                                  Contractor's Provisions
1. Vehicles

    The Contractor shall provide the vehicles specified below for the performance of service under
    the Contract. The minimum vehicle specification for the vehicles to be rented by the Company
    is set out in Annex 1 to Attachment 1 of Exhibit B.

   1.1. List of Rental Vehicles

       1.1.1. Vehicles Group-A with the minimum specification as set out in Annex 1 to
              Attachment 1 of Exhibit B and as approved by the Company during Mobilization.

   1.2. List of Casual Vehicles

        Casual Hire Vehicles with the minimum specification as set out in Annex 1 to Attachment 1
        of Exhibit B and as approved by the Company during Mobilization.

2. Personnel

    The Contractor shall at his own cost provide all necessary Personnel for the performance of
    service, including, but not limited to the minimum number and qualification of Personnel
    specified herein below.

   2.1. Qualification and minimum number of Personnel under each category

        The under mentioned minimum number of Personnel under each category shall be based
        in Al-Khafji at all times {twenty-four (24) hours per day and seven (7) days per week):

       2.1.1. The Contractor’s Representative should be a National and shall have good
              knowledge and experience in transportation business and must be able to read,
              write and speak Arabic and English fluently.

       2.1.2. The Contractor's Project Manager shall be present in the garage complex during
              normal working hours, but be available in Al-Khafji at all other times. Contractor's
              Project Manager shall have a minimum of five (5) year's experience in
              transportations business and must be able to read, write and speak English fluently.

       2.1.3. One (1) competent Master Mechanic who shall be the supervisor of the garage and
              its facilities. This Master Mechanic shall have a minimum of ten (10) years’
              experience as Vehicles Mechanic in a reputable garage and he should produce
              certificates to that effect.

       2.1.4. One (1) Mechanic who shall have a minimum of five (5) years experience as
              vehicles mechanic in reputable garage and he should produce certificates to that
              effect.

       2.1.5. One (1) Head Auto Electrician who shall be the in charge of vehicles electrical side.
              This head electrician shall have a minimum of ten (10) years’ experience as
              vehicles electrician.

       2.1.6. One (1) Auto electrician who shall have a minimum of five (5) years’ experience as
              vehicles electrician.

       2.1.7. One (1) wheel balancing technician who shall have a minimum of five (5) years
              experience as technician for alignment and wheel balance.

       2.1.8. Washers and cleaners for vehicles (number as required).

       2.1.9. The Contractor shall provide helpers for the above referenced tradesmen as
              necessary.

       2.1.10. The Contractor shall provide other Personnel as necessary for the smooth
               operation of the Service.

   2.2. Drivers

       2.2.1. Number of Drivers

               The Contractor shall furnish at his own cost qualified drivers, in such number as
               shall be required vehicles for the Service as set out in Attachment 2 to Exhibit C and
               Article 4.5, 4.6 and 4.7 of Exhibit B in accordance with the Company's transportation
               requirements and schedules and also in accordance with the requirement of the
               local laws and regulation as well as the terms and condition of this Contract.

       2.2.2. Qualification of Drivers

           2.2.2.1. Each driver to be employed by the Contractor for the performance under this
                    Contract shall possess a valid driving license issued by the Government of the
                    Kingdom of Saudi Arabia and/or the Government of the State Kuwait
                    appropriate for the vehicle he is to drive.

           2.2.2.2. All bus drivers shall possess valid heavy duty driving license issued by the
                    Government of the Kingdom of Saudi Arabia and/or the Government of the
                    State Kuwait

           2.2.2.3. Drivers of the vehicles must be polite, punctual and healthy. The Company
                    shall have the right to require the Contractor to remove from the Service any
                    driver or any other employee of the Contractor who is careless, not qualified to
                    carry out his assigned duties, who is insubordinate or otherwise guilty of
                    improper conduct. The Company shall be the sole judge in such cases. When
                    the Company request removal of any of the Contractor's drivers or other
                    employees pursuant to the foregoing the Contractor shall comply without
                    question.

           2.2.2.4. The Contractor shall immediately and without cost to the Company replace
                    such driver or other employee with another driver or employee who shall be
                    acceptable to the Company.

                     If the Contractor fails to replace such driver or other employee within fifteen
                     (15) days from the Company's request, the Contractor shall pay the Company
                     the amount set out in Sub-Article 5.16 of Exhibit B.

           2.2.2.5. Ambulance Drivers

                     a. Ambulance drivers shall be care assistants/drivers and shall usually work
                         under the supervision of the KJO’s Hospital Emergency Department,

                          where they will drive disabled, elderly, vulnerable and critical Patients to
                          and from KJO’s Hospital. They will be a part of a team using a specially
                          designed ambulance, As well as driving, shall they also lift and move
                          some patients in and out of the vehicle. They shall make sure that the
                          patients they are transporting are safe and comfortable during the trip.

                          Drivers may also be required to transport patients outside the Al-Khafji
                          area.

                     b. Other duties include making sure that the vehicle is clean and tidy and
                          keeping an accurate record of preventative maintenance and trips
                          undertaken.

                     c. Qualifications

                             A good general education is required to work as a Basic Ambulance
                              driver and relevant work experience.
                             Ambulance driving license.
                             Good level of written and spoken English communication.
                             Minimum of 2 years’ experience
                             Medically fit and aged less than 40 years
                          
                       d. Training
                          Basic Ambulance Drivers must be trained prior to employment on
                          handling techniques, first aid, basic patient skills and safe driving
                          techniques. (Certificates of obtaining such training is required).

   2.3. Caretaker for Kindergarten Bus

       2.3.1. The Caretaker for the Kindergarten Bus shall be a lady and the wife of the driver of
              the bus.

       2.3.2. The Caretaker for the Kindergarten Bus are required to assist school children on
              and off the schools buses and generally supervise the children during the bus
              journeys to and from schools such that all aspects of the trip are safe and pleasant
              for the children.

       2.3.3. The Caretaker for Kindergarten Bus shall:

               a. Have a good secondary education.
               b. Have a pleasant personality.
               c. Have undergone a course that includes the safely aspects of transportation of
                  children on buses.
               d. Knowledge of Arabic language.

3. Garage Facilities

   3.1. Company shall provide the Contractor with a Garage Facility and the Company
        shall not charge any rental for the Garage Facility. The Contractor shall equip the
        garage facility with all equipment and tools required for effective maintenance,
        overhaul and repair of vehicles rented to the Company under the Contract. The
        Contractor shall ensure that his equipment includes a wheel balancing machine in
        order to balance the wheels after every change of tires and whenever deemed
        necessary by the Company.

   3.2. The Contractor shall provide all consumables required for operation of the garage
        facility at his own costs and responsibilities.

   3.3. The Contractor shall be responsible for the repair and maintenance of the garage
        facility.

   3.4. The Contractor shall have included all costs associated with this garage facility in
        his unit rates.

4. Other Requirements

   4.1. Mobile Phone

        The Contractor shall provide as a minimum the following key personnel with mobile
        phones:

            Contractor’s Representative
            Project Manager

   4.2. Medical Treatment for personnel

        The Contractor shall be solely responsible for all medical expenses of what so ever nature
        for any of his Personnel and other persons employed or assigned by him to the
        performance of the Service.

   4.3. Personnel Uniform and I.D. Tag

        The Contractor’s Personnel shall have coverall uniforms bearing an insignia by which the
        Contractor personnel may be identified

        Uniforms shall be approved by the Company representative with respect to color/materials
        and stitching standard.

        The Contractor shall provide to all his personnel identification tags with their names
        written in English.

   4.4. Personnel Iqama certificate responsibilities

        The Contractor shall be responsible, at his own cost and expenses of issuing and/or
        renewal of his Personnel’s Iqama certificate and any other certificate or documentation
        needed from any Governments Authorities or other legal authority that may be required by
        his Personnel, directly or indirectly for the Service.

        In case of any Contractor’s violation in respect of the preceding paragraph, the Company
        reserves the right to withhold payment due the Contractor until the Contractor complies
        therewith.

   4.5. Accommodation Facility

       4.5.1. The Contractor shall provide suitable accommodation facility in Al-Khafji, Saudi
              Arabia, for his Personnel and for other persons for whom the Contractor may be
              responsible.

       4.5.2. The Contractor should accommodate not more than 3 persons in a room.

       4.5.3. Suitable air conditioners shall be installed in every room.

       4.5.4. Sufficient toilets, showers, washing facilities, kitchens, and the like shall be provided
              in the accommodation facilities.

       4.5.5. Contractor shall provide his Personnel and for other persons for whom the
              Contractor may be responsible with daily meals.

       4.5.6. The Company reserves the right to inspect the accommodation facility at any time
              during the Contract period and may require the Contractor to repair or maintain such
              accommodation facility as deemed necessary to which the Contractor shall comply
              without question.

       4.5.7. The accommodation facility shall be ready for Company’s first inspection at least
              one (1) month prior to the Service Commencement Date of the Contract.

   4.6. Transportation

        The Contractor shall provide transportation for all the Contractor's Personnel between the
        accommodation facility and site of Service and between a site and other sites of Service.

   4.7. Salaries

        The Contractor must pay his personnel their salaries timely and regularly and no later than
        fifth (5th) day of the following month as set out in Sub-Article 5.1.7 of Exhibit A.

   4.8. Nationals

        The Contractor shall conform to the requirements of the employment of Nationals as
        required by Saudi Arabian laws, rules and regulations and that set out in Attachment 3 to
        Exhibit A.
