                               Wendy S. Giffin
                               President/Broker


  Wendy Giffin has over 26 years of experience as a licensed Florida Real Estate Broker
  in the Tampa Bay region. Wendy oversees the Osprey Real Estate owned commercial
  leasing portfolio containing one million square feet of office space in Tampa and St.
  Petersburg and actively supervises the commercial associates within the ORES bro-
  kerage office.


  Wendy Giffin has been appointed to the City of St. Petersburg Development Review
  Commission by mayoral selection and is a founding Director of Freedom Bank of
  America.


  Ms. Giffin holds a degree in Marketing and Finance from the University of Tennessee.
  Wendy has worked as a broker representative for a significant number of area building
  ownership groups and has been very active with the renaissance of downtown Saint
  Petersburg over the last 17 years. She has been an active officer or board member of
  the following: Freedom Bank of America, The Canterbury School Board of Trustees,
  City of Saint Petersburg Development Review Commission, Tampa Bay Sports Foun-
  dation, The Arts Center, St. Pete Kiwanis Club, The Suncoasters and the Beach Drive

                              Lori Hellstrom, CCIM
                              Sarasota Director of Leasing

  Lori Hellstrom, CCIM, has joined the Sarasota office as the Director of Leasing for their
  Sarasota portfolio. Lori brings a strong background in marketing and 10 years experi-
  ence in the Sarasota real estate market to the Osprey team. She holds the Certified
  Commercial Investment Member (CCIM) designation from the CCIM Institute, one of the
  most coveted and respected designations in the industry.

  Lori is a graduate of the University of South Florida, College of Business Administration.
  She currently serves on the Board of Directors for the Commercial Investment Division
  of the Sarasota Association of Realtors, and is a member of the Sarasota Chamber of
  Commerce and the Sarasota Economic Development Council. As a resident of Sara-
  sota since 1985, Lori’s knowledge of the local market and brokerage community is a
  valuable asset to the Osprey family of companies.

                             Cathy L. Sterrett
                             Commercial Associate

 Cathy Sterrett is a licensed Real Estate Associate in Florida experience in the commer-
 cial real estate industry since 1997. Cathy represents Osprey in their St. Petersburg/
 Tampa office leasing portfolio. She began her current career with Watt Commercial
 Properties, Inc., in Santa Monica, California, with eventual responsibility as Assistant
 Property Manager for over two million square feet of retail and office properties.


 Prior to her experience in real estate, Cathy worked in the entertainment industry for
 Spelling Entertainment; and in other high-profile companies such as Koo Koo Roo,
 California Kitchen and California Yacht Club, in the areas of marketing, operations and
 new store openings.


 Cathy joined Osprey Real Estate North Bay as a Commercial Leasing Associate upon
 her relocation to St. Petersburg in 2006.    Cathy assists in leasing the North Bay Os-
 prey owned portfolio containing one million square feet.


 Cathy holds a degree in Business Administration from Kennesaw State College.

                           Paula Clair Smith, CCIM
                           Broker Associate


 A resident of Pinellas County since 1984, Paula Clair Smith has been serving in the
 commercial real estate market since 1998. While specializing in the St. Petersburg of-
 fice and industrial markets, Paula’s expertise also stretches into land assemblage and
 redevelopment.


 A graduate of Miami University in Oxford, Ohio, Paula achieved the CCIM (Certified
 Commercial Investment Member) designation in 2006. She is also an active member
 of the Florida Gulfcoast Commercial Association of Realtors (FGCAR) and St. Peters-
 burg’s Downtown Partnership, where she serves on the Office Recruitment Committee.
 She has been an annual recipient of FGCAR’s Pinnacle Award since 2001.


 Clients who have benefited from Paula’s experience include All Children’s Hospital,
 Praxeis, Inc., Miles Development Partners, Pediatric Health Alliance, Priority One Fi-

                              Kevin R. Yeager
                              Broker Associate
 Broker Associate Kevin Yeager joined the Osprey family in 2004. Kevin specializes in
 commercial real estate sales and leasing of office, retail, and industrial properties in
 South Pinellas County. His experience and knowledge in the real estate industry since
 2002 have proven successful in both tenant and landlord representation, facilitating
 transactions and closings efficiently and effectively to meet his clients’ needs.


 As a Florida licensed real estate broker and a member of the Florida Gulf Coast Asso-
 ciation of Realtors (FGCAR), Kevin’s knowledge of industrial, office and retail proper-
 ties as well as land values has made him a immense asset to Osprey and his clients.


 Prior to joining Osprey Kevin worked for a commercial real estate company as Director
 of Marketing. Kevin began his real estate career while in college working with a local
 private real estate developer on retail developments and site selection around the state
 of Florida.


 Graduating from Eckerd College in 2001, Kevin earned his degree in International
 business. He brings to Osprey a tremendous wealth of International knowledge, real
 estate experience, combined with 21st Century technology skills to serve his clients’
 commercial real estate needs. Kevin is a member of the Northeast Exchange Club
 and strives to give back to the localommunity through service and volunteering.

                              Ann Walters
                              Broker Associate
 Ann Walters has been serving in the commercial real estate market for over 30 years.
 Ann’s experience includes the Tampa Bay office and industrial markets, as well as the
 Houston and San Antonio, Texas, markets.

 A graduate of the University of Alberta, Ann has also earned an M.S. from Cal State
 and an MBA from University of Houston. She has been particularly active as a mem-
 ber of the Florida Gulfcoast Commercial Association of Realtors (FGCAR) and recently
 served six years as a Director of that organization.

 Additionally, Ann has served as a director of the Northeast Racquet Club of St. Peters-
 burg, a director of the Children’s Home, and a member of the Ambassador’s Commit-

  Osprey Real Estate Services (ORES) specializes in commercial sale and lease negotiations.
  As such, we can act as a Transaction Broker or represent either side of a sale or lease trans-
  action. Below are details about fiduciary responsibilities and the responsibilities of the broker
  with regard to each type of listing.

  Seller Representation
  This is the standard type of sales exclusive listing where the broker exclusively represents the
  seller and has full fiduciary responsibilities to the seller. The broker and the seller agree to terms
  and conditions of the sale of the property and the brokerage fees, which are paid to the broker by
  the seller.

  The broker has the following duties: (1) dealing honestly and fairly, (2) loyalty, (3) confidentiality,
  (4) obedience, (5) full disclosure, (6) accounting for all funds, (7) skill, care and diligence in the
  transaction, (8) presenting all offers and counter offers in a timely manner, unless a party has
  previously directed the licensee otherwise in writing, and (9) disclosing all known facts that materi-
  ally affect the value of real property and are not readily observable.

  Osprey Real Estate Services will make every effort to market the property for sale to all potential
  buyers, solicit the cooperation of other real estate brokers and enlist their best efforts to secure sale
  terms which are satisfactory to the seller.


  Buyer Representation
  ORES often works in a Buyer’s broker capacity searching for properties that meet the investment or
  purchasing criteria of a potential buyer. Whether the purchase be for a straight investment, a 1031
  exchange or for the buyer to occupy the property, Osprey can map out the process of meeting the
  criteria of the buyer to fine tune the options of what is available that meet the buyer’s needs. ORES
  will make every effort to obtain all pertinent information on potential sites and properties which meet
  the principal’s requirements and to cooperate with other real estate brokers, if necessary, and to
  enlist their best efforts to secure purchase terms which are satisfactory to the Principal.

  Industry standards dictate that the broker be compensated by the seller/owner of the property. And
  this is typically what transpires in a purchase and sale transaction. However, should any potential
  property that the principal is considering not include compensation of a commission to Broker by
  the seller, Broker immediately informs of principal of such so that the buyer can make adjustments
  in any offer price to ensure payment of the appropriate commission to the Broker.

  Tenant Representation
  Tenants often require the help of a broker to navigate the process of looking for appropriate space
  for their new or relocating office, industrial or retail space needs. In this instance, Osprey solely
  represents the tenant with regard to all negotiations.

  ORES acquires complete information on all available locations, which meet the preset criteria of the
  tenant and solicit the cooperation of other real estate brokers and building owners and enlist their
  best efforts to secure lease terms, which are satisfactory to the Tenant. Osprey collects and coordi-
  nates the terms and conditions of all proposals for lease but all negotiations are subject to final
  approval of the tenant and no approval of any document or negotiations shall be assumed until a
  legal and binding lease agreement has been fully executed. The broker is generally fully compen-
  sated for its efforts by the building owner (landlord) upon execution of a mutually acceptable lease.


  Landlord Representation
  Osprey has represented many Landlords in the leasing of office, retail and industrial buildings. This
  work encompasses marketing, lease negotiations, advertising, drafting proposals, review of lease
  language and assistance with initial space planning. Exclusive representation insures a building
  landlord that his product is getting out into the community and in front of brokers and potential
  tenants, and that he has current information with regard to lease content, typical lease standards,
  market rates, rents, terms and conditions as well as rent, incentives, etc. This information allows
  the landlord to be sure that he is obtaining the best credit worthy tenants at the highest and best
  rental rates in the competitive marketplace.

  The broker has the following duties: (1) dealing honestly and fairly, (2) loyalty, (3) confidentiality,
  (4) obedience, (5) full disclosure, (6) accounting for all funds, (7) skill, care and diligence in the
  transaction, (8) presenting all offers and counter offers in a timely manner, unless a party has
  previously directed the licensee otherwise in writing, and (9) disclosing all known facts that materi-
  ally affect the value of real property and are not readily observable.

  ORES makes every effort to acquire complete information on all available buildings, solicit the
  cooperation of other real estate brokers, determine the availability of space that meets the tenant’s
  requirements and put forth its best efforts to secure lease terms which are satisfactory to the
  principal.

  Transaction Broker
  In the ever changing commercial real estate marketplace many brokers are limiting their responsi-
  bility and liability by acting as transaction brokers only.

  It is Osprey’s preference to represent clients exclusively with full fiduciary duties and to provide ex-
  pertise to benefit our clients needs.

  However, in rare circumstances, ORES has elected to act as a transaction broker due to client re-
  quirements and or conflicts of interest. As a transaction broker, ORES and its associates provide a
  limited form of representation that includes the following duties: (1) dealing honestly and fairly;
  (2) accounting for all funds; (3) the use of skill, care and diligence in the transaction; (4) disclosure
  of all known facts that materially affect the value of real property and are not readily observable to
  the buyer; (5) presenting all offers and counter offers in a timely manner, unless a party has previ-
  ously directed the licensee otherwise in writing; (6) limited confidentiality, unless waived in writing
  by a party.


  Property Management
  ORES specializes in commercial real estate lease and sale negotiations and does not currently
  offer services of property management to third party ownership. Should a landlord require the
  services of a property management company, ORES has several to recommend.


  Consulting Services
  Osprey is often called upon to perform consulting services for an opinion of value, negotiations on
  existing leases and other real estate issues. Osprey and its employees are not lawyers and
  cannot give legal advice, but can provide valuable consulting services for an hourly rate depending
  on the services required.


  Nondiscrimination Disclosure
  ORES will work with and offer any property to any person without regard to race, color, religion,
  sex, handicap, familial status, national origin or any other factor protected by Federal, state or local
  law.
