					            MARYLAND STATE ATHLETIC COMMISSION

                MINUTES - THURSDAY, JULY 23, 2009

The Thursday, July 23, 2009 meeting of the Maryland State Athletic Commission was
called to order at 2:35 p.m.. Present were: Chairman David J. Norman;
Commissioner Ben Alperstein; Commissioner Arnold “Arnie” Dansicker;
Commissioner William R. “Bill” McCaffrey; Commissioner Lenny Moore; Patrick
Pannella, Executive Director; and Bruce C. Spizler, Senior Assistant Attorney General.

APPROVAL OF COMMISSION MINUTES

The April 30, 2009 Minutes of the Maryland State Athletic Commission, which were
previously distributed to all Commission members for review, were discussed.
Upon a motion by Chairman Norman, seconded by Commissioner McCaffrey, the
Commission voted unanimously (5-0) to approve the April 30, 2009 Minutes of the
Commission.

The May 28, 2009 Minutes of the Maryland State Athletic Commission, which were
previously distributed to all Commission members for review, were discussed.
Upon a motion by Commissioner Alperstein, seconded by Commissioner McCaffrey,
the Commission voted unanimously (5-0) to approve the May 28, 2009 Minutes of the
Commission.

The June 25, 2009 Minutes of the Maryland State Athletic Commission, which were
previously distributed to all Commission members for review, were discussed.
Upon a motion by Chairman Norman, seconded by Commissioner McCaffrey, the
Commission voted unanimously (5-0) to approve the June 25, 2009 Minutes of the
Commission.

The June 25, 2009 Executive Session Minutes of the Maryland State Athletic
Commission, which were previously distributed to all Commission members for
review, were discussed. Upon a motion by Chairman Norman, seconded by
Commissioner McCaffrey, the Commission voted unanimously (5-0) to approve the
June 25, 2009 Executive Session Minutes of the Commission.

REAPPOINTMENT OF

COMMISSIONER WILLIAM R. “BILL” McCAFFREY

Executive Director Pannella announced that Commissioner McCaffrey was recently
re-appointed by Governor Martin O’Malley to serve as a member of the Commission.

The Commission congratulated Commissioner McCaffrey on his re-appointment to the
Commission, and recognized Commissioner McCaffrey for his noteworthy efforts in
helping the Commission maintain high safety and regulatory standards.

CANCELLATION PROFESSIONAL BOXING EVENTS
AND PRO-AM BOXING EVENTS

Executive Director Pannella led a Commission discussion in regard to the following
professional boxing and pro-am boxing events which have been cancelled at the
request of the respective promoters and replaced with other boxing events on different
dates:

      1.     Cancelled Professional Boxing Event
             Friday, September 18, 2009 - 8:00 p.m.
             Carroll County Agriculture Center - Westminster, Maryland

Executive Director Pannella led a Commission discussion in regard to the professional
boxing and pro-am boxing events currently scheduled to be held in the State of

Upon a motion by Commissioner Dansicker, seconded by Commissioner McCaffrey,
the Commission voted unanimously (5-0) to approve the following boxing events:

Executive Director Pannella led a Commission discussion in regard to a professional
mixed martial arts (MMA) event currently scheduled to be held in the State of
Maryland

Upon a motion by Commissioner Dansicker, seconded by Commissioner McCaffrey,
the Commission voted unanimously (5-0) to approve the first professional MMA event
to be held in the State of Maryland:

APPROVAL OF PROFESSIONAL WRESTLING EVENTS

Executive Director Pannella led a Commission discussion in regard to the professional
wrestling events currently scheduled to be held in the State of Maryland.

Upon a motion by Commissioner McCaffrey, seconded by Commissioner Dansicker,
the Commission voted unanimously (5-0) to approve the following professional

PASSING OF PAUL ROSNER

Senior Assistant Attorney General Spizler informed the Commission of the recent
passing of Paul Rosner, President of USKBA Action Sports. Mr. Spizler noted that
Mr. Rosner, whose organization sanctioned amateur MMA contests and amateur
kickboxing contests in several states, maintained close professional ties with the
Commission and testified before the Maryland Legislature in support of MMA
legislation. Mr. Spizler stated that Mr. Rosner was “totally dedicated to fighters’
safety” and championed high regulatory standards for the sport of amateur MMA.

Executive Director Pannella noted that the USKA sanctioned several championship
bouts as a part of a Commission-santcioned pro-am kickboxing event held in
Frederick, Maryland on June 4, 2005. Mr. Pannella recalled that he and Mr.
Rosner worked very closely together to resolve certain unforeseen licensing issues
involving the competing kickboxers. Mr. Pannella further opined that Mr. Rosner

was one of the most professional, knowledgeable and dedicated officials
representing a sanctioning organization that Mr. Pannella had ever encountered.

PROMOTER’S FINANCIAL STATEMENT /
PROMOTER’S FINANCIAL INFORMATION

Senior Assistant Attorney General Spizler and Executive Director Pannella led a
Commission discussion in regard to certain regulatory language pertaining to the
financial statement which a promoter is required by the Commission to provide
when applying for, or renewing, a promoter’s license (COMAR 09.14.02.05 [A]).
Specifically, the Commission discussed the wording pertaining to whether the
financial statement submitted by the applicant “has been notarized or certified by a
certified public accountant”.

Mr. Spizler, noting the ambiguous nature of the language, advised that such language
is subject to one of two differing interpretations: (1) a promoter may provide a self-
prepared financial statement and have it notarized; or (2) a promoter must provide a
financial statement that is notarized by a CPA or certified by a CPA.

The Commission elected to make no changes to the regulatory language pertaining to
the financial statement which a promoter is required by the Commission to provide
when applying for, or renewing, a promoter’s license. In effect, the Commission
determined that either a notarized, self-prepared financial statement or a financial
statement certified by a CPA would be acceptable.

The Commission discussed the specific financial documents the Commission
should be seeking when requesting additional information from a promoter
applicant to determine whether the promoter applicant has the financial ability to
pay all costs related to a Commission-sanctioned boxing, kickboxing, MMA or
wrestling event. A decision was made by the Commission to consider this issue
upon further study.

COMMISSION POLICY: NO TWO EVENTS ON THE SAME NIGHT

Commissioner McCaffrey led a Commission discussion in regard to the Commission’s
current policy of not sanctioning or permitting two boxing, kickboxing and MMA
events to be held on the same night, and whether an administrator and officials from
another state would be allowed to regulate a Commission-sanctioned event held in the

State of Maryland.

Senior Assistant Attorney General Spizler opined that allowing an administrator
and officials from another state to regulate a Commission-sanctioned event held in
the State would not be plausible because of issues pertaining to sovereign immunity
and liability.

The Commission determined that, due to staff limitations and the need to maintain its
high safety standards, the Commission’s current policy of not sanctioning or permitting
two boxing, kickboxing and MMA events to be held on the same night is appropriate
and necessary.

REVIEW OF JULY 17, 2009
PROFESSIONAL BOXING EVENT

Executive Director Pannella led a review of the July 17, 2009 professional boxing
event which was promoted by the Maryland Boxing Club, Inc. and held at the Carroll
County Agriculture Center’s Shipley Arena in Westminster, Maryland. Mr. Pannella
noted that the boxing show included five professional boxing bouts encompassing 28
scheduled rounds of professional boxing.

NEXT COMMISSION MEETING

Executive Director Pannella announced that the next Commission meeting will be held
on Thursday, August 20, 2009 at 2:00 p.m. in the Third Floor Conference Room, 500
North Calvert Street in Baltimore.

ADJOURNMENT

Upon a motion by Commissioner McCaffrey, and seconded by Commissioner
Alperstein, the Commission voted unanimously (5-0) to adjourn the meeting at 4:39
p.m..
