CONFIDENTIALITY & NON-CIRCUMVENTION AGREEMENT In connection with the discussions between _______________________________ and _______________________________, collectively referred to as _________, regarding certain prospective property purchases which _________ has introduced _________ Investments to, _________ agrees information concerning the specific properties introduced by _________ for potential purchase (“Information”) is proprietary and confidential in nature. As a condition to being furnished such Information, _________ agrees to treat the Information in accordance with the provisions of this letter and to take or abstain from taking certain other actions herein set forth. _________ hereby agrees that the Information will be used solely for the purpose for which it was intended, namely the investigation and consummation of a purchase or purchases of the property subject to this agreement and such Information will be kept confidential by _________; provided, however, that (i) any of such Information may be disclosed to _________’ directors, officers and employees and representatives who need to know such Information for the purpose of evaluating any such possible transaction(s), it being understood that such directors, officers, employees and representatives shall be informed by _________ of the confidential nature of such information and shall be directed to treat such information confidentially, and (ii) any disclosure of such information may be made to which _________ consents in writing. It is expressly understood by _________ and _________ that _________ will be paid a commission by _________, as designated below in such purchase transaction for the property subject to this Confidentiality Agreement and that _________ will not circumvent _________ in any way to purchase a property or the properties without _________’s involvement. This shall remain in force for one (1) year from the time of any cessation of negotiations by _________ with the seller(s). In the event that _________ no longer wishes to pursue any particular transaction introduced by _________, _________ shall promptly destroy or redeliver to _________ all written Information and any other written material containing or reflecting any of the Information (whether prepared by _________ or otherwise) and will not retain any copies, extracts or other reproductions in whole or in part of such written material except as agreed by _________.
