                      JOINT DRIVEWAY EASEMENT AND
                        MAINTENANCE AGREEMENT

       THIS AGREEMENT, entered into this ___ day of __________, 20__, by, between and
among JER and LAR, husband and wife, referred to herein as Rs, and Company, Inc., referred
to herein as Company, and GLL and JML, husband and wife, referred to herein as Ls, and
