2:00 – 3:00 THE 2006 FUNDRAISING APPROACH
GPs and LPs Discuss Guidelines For Structuring VC Funds In Today’s
              Environment
For the calendar year of 2005, 182 U.S.-based firms netted $25.2 billion, which is the
highest yearly total since 309 funds grabbed $38 billion in 2001. With fundraising
activity on the upswing for ’06, how will today’s venture fund managers sculpt their LP
              base and reach their goals.
              • Are GPs disclosing previous fund commitments
              • What percentage of the previous fund should be already committed
              • What are the other GP distractions LPs are concerned about
              • Long-term strategies: what are the right long-term return assumptions for a fund with
                   an international focus?
              • Operational considerations: governance in the investment process

3:00 – 3:30 NETWORKING & REFRESHMENTS

3:30 – 4:30 HARNESSING THE FUTURE OF CLEANTECH
Venture capitalists are seeing green in clean technologies. The amount of U.S. venture
capital invested in environmentally friendly technologies jumped 35 percent last year to
more than $1.6 billion. According to reports, "cleantech" investments by venture capital
firms rose to a record $502 million during the fourth quarter of 2005 -- 18 percent more
than the previous quarter and 60 percent more than the same period a year earlier.
Attributed to the growing interest in clean technology is the rising cost of fuel and other
natural resources, driven largely by rapidly expanding economies in Asia. The cleantech
sector encompasses a wide range of technologies related to water purification, air quality
nanotechnology, alternative fuels, manufacturing, recycling and renewable energy such
as solar, wind and hydrogen. Will this tech sector continue to see better prospects for
returns and offer a steady amount of seasoned managers and entrepreneurs? How will
              VCs bet their dollars?
              • Renewable and distributed energy
              • Advanced materials
              • Transportation
              • Water purification and management

OPEN SOURCE: THE NEW SOFTWARE PARADIGM
Open source software has revolutionized the development and distribution of software
and is increasingly either displacing or supplementing traditional proprietary software.
The recent sales of Gluecode to IBM, Sleepycat to Oracle and J Boss to Red Hat
demonstrates that such companies are sought after by even the most sophisticated
companies. This panel will focus on managing the complex interplay of commercial and
open source software and developing open source communities to build successful
              companies.

extreme importance of proceeding with cautious optimism and need to apply lessons
learned to achieve strong, sustainable returns. What are the new approaches being used
by today’s leading early stage dealmakers to ensure success?

7:45 – 8:45 PREPARING FOR THE COMING STORM:
VC COMPLIANCE WITH FAIR VALUE STANDARDS
Private equity no longer enjoys "flying under the radar" as it used to be not that many
years ago. In addition to increased transparency due to harder questions posed by LPs and
by the threat of FOIA now there are new standards the industry is being asked to adopt
and use. These include not only PEIGG guidelines which is an industry effort but now
there guidelines by the CFA institute and the Global Investment Performance Council.
Add to this the various association guidelines, EVCA, BVCA, AFIC, AVCAL and add to
it GAAP and it becomes a thick forest of reporting and compliance issues. This panel will
              address:
              • Interim Valuations: Getting To GAAP- Will GAAP Increase Or Decrease
                   Volatility?
