is investigating potential claims against the Board of Directors of Ulticom, Inc. (“Ulticom” or the “Company”)
(Nasdaq: ULCM) relating to the proposed acquisition by an affiliate of Platinum Equity, LLC.
Under the terms of the offer, Ulticom shareholders would receive cash of $2.33 after payment of a special dividend
in the amount of $5.74 per share in cash. The investigation concerns possible breaches of fiduciary duty and other
violations of state law. The transaction appears to be unfair, in part, given that Ulticom stock was trading at $9.48 a
share as recently as July 30, 2010 and was trading at $10.50 a share on April 19, 2010
