DECISIONS IN ADMINISlRA liVE PROCEEDING
A. C. KLUGER & CO. REVOKED, TWO PARTNERS SANCTIONED. An order has been issued revoking
the broker-dealer registration of A. C. Kluger & Co., of New York, suspending Alan C.
Kluger, a partner, from association with any registered broker-dealer, registered invest-
ment company or registered investment adviser for one year, barring Kluger from any such
association in a supervisory capacity, suspending George H. Newman, another partner of the
firm, from association in a supervisory capacity with any registered broker-dealer, invest-
ment adviser or investment company for 60 days effective January 28, and censuring Newman.
After two years, Kluger may apply to the Commission to have the restriction on his super-
visory activities lifted.
The sanctions were based on findings that from about February to September 1972 the
firm,Kluger and Newman unlawfully sold unregistered common stock of Minute Approved Credit
Plan, Inc., and, in the offer and sale of that stock, made material misrepresentations con-
cerning the participation of others in the stock's distribution, the misapplication and
diversion of funds realized from its sale, the return to certain investors of a portion of
the purchase price, purchases of Minute stock by the firm, and the placing of a substan-
tial portion of the Minute offering in nominee accounts. They also failed to deposit
promptly in a separate bank account sales proceeds from the firm's "best efforts, 50% or
none" underwriting of Minute stock, and to return such proceeds to the persons entitled
thereto when the required minimum amount of the offering was not sold. In addition, the
firm,Kluger and Newman failed to comply with provisions governing sending confirmations
to customers, and with recordkeeping and reporting requirements.
The Commission's order was based on the firm's consent and its partners' offers of
settlement. The firm, Kluger and Newman, without admitting or denying the charges against
them, consented to the above findings and the indicated sanctions. (ReI. 34-10598)
COMMISSION ANNOUNCEMENTS
COMMISSION RESCINDS ITS NON-TRADING REQUEST WITH RESPECT TO GOVERNMENTAL SECURITIES
OF BULGARIA, HUNGARY AND ROMANIA. The Commission today announced its intention to with-
draw, effective January 28, 1974, its earlier request that brokers and dealers refrain
from effecting transactions in securities issued or guaranteed by the governments of
Bulgaria, Hungary and Romania. The Commission noted however, its action notwithstanding,
trading in securities issued by Hungary after April 13, 1934, may be prohibited by provi-
sions of the Johnson Act (18 U.S.C. §955). The Commiss~on further pointed out that brok-
ers and dealers who resume trading in these securities should not overlook their responsi-
bilities under the Federal securities laws, including the antifraud provisions, and when
making recommendations to purchase or sell these bonds, should assure that full disclosure
is made to investors concerning the status of these bonds. In addition, the Commission
noted that the provisions of Rule l5c2-ll under the Securities Exchange Act impose many
requirements on broker-dealers who are engaged in making a market in a particular security.
Among other things, that Rule requires such broker-dealers to maintain in their records

TRADING BAN IN KORACORP TO TERMINATE. The SEC has announced that the suspension of
exchange and over-the-counter trading in the securities of Koracorp Industries, Inc. of
San Francisco, Cal. will terminate at midnight (EDT) on January 24, 1974.
The Commission initiated the t~ading suspension on August 8, 1973 because of questions
on the accuracy and adequacy of public information available about Koracorp's financial
condition. The: questions arose from Koracorp's announcement that it had requested an

On January 3, 1974, Koracorp mailed a letter to its shareholders, which stated, among
other things, that Arthur Andersen withdrew its prior certification on Koracorp's consoli-
dated financial statements for the year ended December 29, 1972; .that the magazine,
Homemaking with a Flair, the major asset of Koratec, was sold; that Koracorp had determined
to discontioue several of its nonapparel operations; and that for the nine months ended
September 30, 1973, Koracorp had a net loss of $10,518,000, taking into account the loss
from discontinued operations, compared to net income of $1,674,000 for the nine months
ended September 29, 1972; and that previously reported net income for year-end 1972 of
$604,000 has been restated as a net income loss of $1,996,000.
Koracorp informed the Commission that it expects to distribute to its shareholders
about March 31, 1974, audited and certified financial statements for 1972 and 1973, being
prepared by Koracorp's new auditors, Clarence Rainess and Co. (ReI. 34-10609)
COURT EHFOJlCEMENT ACTIONS
KENNETH H. GROVE SENTENCED. The Seattle Regional Office announced that on January 18
a U. S. District Judge in Seattle sentenced Kenneth H. Grove, former president of
Northwest Guaranty Savings and Loan Association of Seattle, to ten years imprisonment.
Grove had pleaded guilty to 1 count of a 20 count indictment charging him with, among
other things, falsely making a certificate of deposit purporting to be an obligation of
the Association and causing it to be transported tn interstate commerce. (LR-62l2)
GEORGE H • .JE"IT, OTHERS, ENJOINED. The Fort Worth Regional Office announced that the
U. S. District Court at Houston, Texas permanently enjoined George H. Jett and Garet Van
Antwerp, III, both of Mobile, Alabama, on November 5 and James E. Shipley, Huntington
Beach, California on January 9 and MDI Industries, Inc., Westminster, California on
January 16 from violations of the antifraud provisions of the securities laws in the pur-
chase or sale of securities issued by First National Corporation, Houston, Texas.

JOE GEBRON. JR. PLEADS NOLO CONTENDERE. The Fort Worth Regional Office announced
that Joe Gebron, Jr., Dallas, Texas, pleaded nolo contendere to charges of violating the
antifraud provisions of the securities laws in criminal contempt of an order of permanent
injunction entered October 24, 1972 by Federal District Court, Dallas, Texas, which en-
joined Gebron and Real-Tex Enterprises, Inc., Dallas, from violating the registration and
antifraud provisions of the securities laws in the sale of investment contracts issued by
Real-Tex Enterprises, Inc. (LR-62l4)
MAX ZERKIN PLEADS GUILTY. The Washington Regional Office announced that on January
17, before the U. S. District Court Judge for the District of Columbia, Max Zerkin pleaded
guilty to a one-count information charging the use and employment of a manipulative and
deceptive device in the purchase and sale of the following securities promoted by Joel
Kline: Penn Metal Fabricators, Inc., U. S. Vinyl Corp., and Montgomery Land Investment
