BYLAWS OF THE GUADALUPE/WASHINGTON NEIGHBORHOOD ASSOCIATION REV. 3/07 Article I – Name The names of this organization shall be the Guadalupe/Washington Neighborhood Association and also shall be know as “GWNA” Article II – Definition of area The area served by the association shall be the area bounded by Highway 280 to the North, Guadalupe River to the West, Willow Street to the South and South First Street to the East. Article III – Purpose The purpose of this Association shall be the improvement of the living conditions of the residents of the area defined in Article II. The Association will participate in programs, activities and events designed to promote a safe, secure and comfortable environment. Article IV – Membership Section 1. Any person 16 years of age or older who lives in, owns property in or has a community interest with the area described in Article II shall become a member of the Association upon registration. Section 2. To become a voting member, a registered member must attend at least three general membership meetings with a calendar year. Section 3. In order to remain a member of the Association, members are required to re-register once per year. Section 4. The Secretary will make registration forms or registration book available at all regular membership meetings of the Association, Section 5. The Secretary will maintain records of attendance at all membership meetings and at all executive committee meetings. Article V – Funds Section 1. Funds will be raised by voluntary contributions and grant applications. Section 2. The Treasurer will prepare a monthly financial report. This report will include any income and/or expenditures supported by acceptable receipts. This report shall be made available to be viewed by the general membership at any time. Section 3. The Treasurer is authorized to take appropriate actions to safeguard the funds of the Associating.

The officers of the Association shall be: President: The president shall preside at all Association meetings and the Executive Board. Attend meetings such as the Washington Area Community Coalition, and other city/county meetings that pertain to the community (mandatory attendance). Establish a relationship with the City of San José support staff and its departments. Seek out and inform the group on grant and programs vital to the success of G.W.N.A. Attend trainings and conferences that are vital to G.W.N.A. Assist the Secretary and Treasurer on writing grants for group. The president should inform the Vice President of his absence to the meetings mentioned above as noted. Vice President: The VP shall assist the president in his/her absence, notify officers of Executive Board meetings and perform such other duties and responsibilities as appointed by the president. Secretary: Should do all the duties as specific to Section IV Article 4 & 5. He/she should keep all record of all business for G.W.N.A and the Executive Board. Notify members of meetings by phoning or emailing. Provide copies of minutes to all members and keep records of attendance at G.W.N.A events and meetings and carry other correspondence of G.W.N.A. The secretary will also assist the Treasurer and President in writing the grants for G.W.N.A. Treasurer: The Treasurer shall be responsible for all association funds, supervising the handling of funds such as billings, receiving, depositing, signing checks and implementing grant applications. Co-sign all checks drawn against funds of the association, assure the keeping of financial records and report regularly to the members and the Executive Board of G.W.N.A business. The Treasurer will also oversee the disbursement of non G.W.N.A monies designated or donated for special programs/projects. Past President: Shall automatically become a member of executive board after his/her term is over. Member-at-Large, Washington Area Community Coalition representative: They are critical to the association Executive Board by providing and disseminating information to the members and executive board about Washington SNI. Vote on items that pertain to Washington SNI that is beneficial to G.W.N.A. be official representative to Washington SNI organization Section 2. Officers shall be elected at the annual meeting to serve a term of One year and until their successors are elected. Their term of office shall begin upon adjournment of the annual meeting

Run-off ballots will be held until one candidate receives more then 50% of the ballots cast. Section 4. No person shall hold be by majority if he is not a voting member (see Membership, section 2), and no member shall hold more than one office at a time. Section 5. If any office shall become vacant, the executive committee shall select a temporary replacement until the next regular membership meeting, when an election shall be held to fill the position until the end of the regular term. Section 6. The officers shall perform the described in the parliamentary authority and these bylaws. Article VII – Executive Committee Section 1. An executive committee shall be formed of the above-mentioned officers and at least 6 additional members selected at-large. At large members are to be elected at the annual membership meeting after the officers have been elected. The top 6 vote getters will be elected members at-large of the executive committee. Section 2. The executive committee will have the authority to act for the Association between membership meetings. Section 3. 4 officers and/or members at-large will constitute a quorum of the executive committee. Section 4. If any at-large executive board position shall become vacant, it shall be filed by election at the next membership meeting. Section 5. The executive committee may, by 2/3 vote; remove any officer or atlarge member who had missed without cause 3 consecutive committee meetings or membership meetings. Article XVI – Membership Meetings Section 1. A regular membership meeting of the Association shall be held on the first Wednesday of every month (effective 5/07), unless the executive committee orders it otherwise at least 5 days in advanced. Section 2. All members in good standing that meet the requirements of a voting member (as defined in Membership, section 2) are allowed to vote at membership meetings. Section 3. The regular membership meeting in the month of October shall be known as the annual meeting and shall be for the purpose of electing officers and conducting any other business that may arise.
BYLAWS OF THE GUADALUPE/WASHINGTON NEIGHBORHOOD ASSOCIATION REV. 3/07 Section 4. A membership meeting is the highest body of the Association. Section 5. A Special membership meeting may be held upon the call of the executive committee or upon the written request of any 20 members of the Association. The purpose of the meeting shall be set fourth in the notice. Notice of a special meeting shall be given at least 2 days in advanced. Section 6. No notice shall be required for a regular meeting except the annual meeting, which shall require notice of at least 5 days. Section 7. 10 members in good standing shall constitute a quorum for a membership meeting. Article IX – Parliamentary Procedure Section 1. The procedures contained in the Modern Edition of Robert’s Rules of Orders shall govern the Association in all cases where they are not inconsistent with these bylaws and with any special rules of order the Association may adopt. Article X – Amendments Section 1. These bylaws may be amended at any regular or special meeting of the Association by 2/3 vote, provided that previous notice of the amendment was given to all members at leas 5 days in advance or at the previous membership meeting.
