Non-Disclosure Agreement

 In      the NDA, submitters :
     – Verify that the idea is theirs,
          • They hold all rights
     – Agree there’s no guarantee of company being
       interested in the proposal
     – Agree there’s no implicit offer of employment
     – Agree to indemnify company from liability
       if the company is already developing
       similar idea
